CONDIZIONI GENERALI DI VENDITA
1. Contratto
2. Definizioni
“Cliente”: indica colui che acquista i Prodotti e stipula le presenti Condizioni Generali;
“Condizioni Generali”: indica le presenti condizioni generali di vendita;
“Conferma d’Ordine”: indica l’accettazione scritta da parte del Venditore dell’ordine di Prodotti ricevuto dal Cliente;
“Parti”: indica il Venditore e il Cliente di cui alle presenti Condizioni Generali;
acquisto del Cliente e nella relativa Conferma d’Ordine del Venditore, oggetto delle presenti Condizioni Generali;

spese doganali, dazi e ogni altro onere aggiuntivo.

1 - Introduction
GENERAL CONDITIONS OF SALE
1. Contract
These general conditions of sale (hereinafter indicated as the “General Conditions”) shall govern the sale
contract between OP S.r.l. (hereinafter “Seller”) and the client (hereinafter “Client”) relating to the products
manufactured by or on behalf of the Seller (hereinafter “Products”).
Each individual sale of Products shall be valid only after Seller’s acceptance, in written form, of the order
received by the Client (hereinafter “Order Confirmation”). Client will inform the Seller, upon the placement
of any order, on the existence of any regulations and/or technical standards required in manufacturing and/
or delivering the Products, imposed by the legislation of the country of final destination. The Seller shall
evaluate, at its sole discretion, the feasibility of the adaptations and/or modifications required to make the
Products compliant with the standards required. Should the Seller decide to implement such adaptations/
modification, it shall confirm them in the Order Confirmation. In no circumstance the Seller shall be bound to
adapt the Products to the standards required and/or indicated by Client, as this choice remains at the Sel-
ler’s complete and sole discretion.
These General Conditions and each individual sale between Seller and Client made pursuant these General
Conditions shall, in no circumstance, imply the creation of any agency, representation, continuous supply,
tender or any other agreements between the Parties which shall remain, at any material time, independent
contractual parties in a sale and purchase agreement. Moreover, these General Conditions and each indivi-
dual sale regulated by them, will not establish any relationship of exclusivity between the Parties, mutual or
unilateral, related to the sale and purchase of Products.
These General Conditions, acknowledged and approved by Client, represent the whole agreement betwe-
en Seller and Client and shall regulate each sale of Products between Seller and Client even if concluded
orally, by letter, on other printed forms or in any other form whatsoever. Each and any change on the Gene-
ral Conditions shall be valid and effective only if made in writing between Parties or by the Seller in its Order
Confirmation.
2. Definitions
“Client”: means everyone that purchases the Products and accepts these General Conditions;
“General Conditions”: means these General Conditions of sale;
“Order Confirmation”: means the written acceptance by the Seller of the order of Products received by
Client;
“Parties”: means the Seller and the Client under these General Conditions;
“Product”: means the machinery, the partly completed machinery, the technical equipment, precisely iden-
tified in the Client’s purchase order and in the Seller’s Order Confirmation, object of these General Condi-
tions;
“Seller”: means OP S.r.l., as a manufacturer and Seller of the Products or any other subject instructed by
OP S.r.l. to act on its behalf.
3. Orders
The purchase order that the Client transmits to Seller constitutes a binding offer for a period of 12 (twelve)
months from the date of its receipt by the Seller.
The purchase order shall be approved by the Seller. The Seller reserves the right, to be exercised at its sole
discretion, to accept or reject the proposal by transmission of the Order Confirmation. The fulfilment of any
single sale will, however, take place even without the transmission of the Order Confirmation and shall be
executed by delivering the Products to the carrier or freight forwarder.

An Order Confirmation that does not conform with the order in terms of object, quantity and/or price shall be
considered as accepted if the Client does not communicate to Seller and in written form, the rejection of the
Order Confirmation within the next 8 (eight) days from the receipt of such Order Confirmation.
Without prejudice to the above, any request for variations of the order made by Client shall be received at
least 5 working days before the expected date of the delivery of the Products and, in no event, it shall bind
the Seller, that maintains the utmost discretion to accept or not such request.
This document is the property of the Manufacturer and/or its Agent and must not to be tampered with or changed, reproduced or provided to others without written consent.
4. Warranty
Seller warrants the conformity of the Products, which means that the Products are free from material and/or
manufacturing defects and adequate to the use which they are normally intended. The Seller also warrants
that the Products comply with European law and security standards.
The warranty shall last for 12 (twelve) months, starting from the delivery of the Product to the final costumer
by Client that happens in accordance with the relevant terms established in these General Conditions or the
Order Confirmation.
Any defect and/or fault of Products arisen during the warranty period shall be notified by Client by way of
registered letter with acknowledgment of receipt and shall contain any appropriate evidence, also photo-
graphic, of the denounced defects. The letter shall be delivered within 8 (eight) days: in case of patent de-
fects from the date of delivery of the Products and in case of latent defects after the date of their discovery.
Any return of Products allegedly declared by Client non compliant and/or defective shall be previously
authorized by Seller in writing and executed at the plant indicated by Seller, in accordance with the origi-
nal transport conditions, the characteristics of the original packaging and at Client’s cost, unless otherwise
agreed upon by the Parties in writing.
Seller’s warranty is strictly limited to replacement or repair, at its sole discretion, of Products or parts of
Products that, after Seller’s relevant controls, evidence actual defects in material or workmanship and the
Client, consequently, waives any claim for the reduction of price or resolution of the contract. Any pending
or alleged claim does not justify the Client to totally or partially delay any payment otherwise due. The Client
cannot set-off any claim whatsoever it has against the Seller that originates from this warranty.
The warranty cannot be exercised when the Products are installed, assembled or used in an incorrect man-
ner, not in compliance with the Seller’s instructions, in case of inadequate and/or insufficient maintenance or
in case of tampering or change of Products, their parts, or their internal software.
Seller, moreover, is not liable for any consequences arising from use and/or fair wear and tear of the Pro-
ducts and their parts.
Seller is not liable for indirect damages occurred to Client and/or any third party including but not limited to
loss of opportunities, businesses and revenues.
5. Seller’s duties
The Seller warrants that the Products comply with European law and security standards.
The Seller shall provide a Product compliant with features and performances expressly indicated by it.
The Seller is not liable for damages occurred to the Client and/or any third party due to: (i) incorrect instal-
lation of the Product by the Client; (ii) modifications on the Product made by the Client; (iii) improper use
of the Product by Client; (iv) use by Client of unsuitable and/or of low quality and/or faulty materials and/
or components; (v) dysfunctions and/or any kind of malfunction arising from incorrect and/or non compliant
maintenance of the Product; (vi) insufficient use or lack of use by Client of appropriate protections and/or
safety measures; (vii) maintenance performed on the Product by any person apart the Seller; (viii) failure of
plant, machinery or systems made by Client or by third party with Seller’s Products; (ix) use of non original
spare parts and/or their incorrect installation. In this regard, Client undertakes to waive the Seller from any
claim of whatsoever nature issued by a third party for damages arising in the above mentioned cases.
It is understood that the Client is solely responsible of all activities related to the disposal of Products and
materials and/or components necessary for their use, including, but not limited to, oils and greases, batteri-
es, chargers, cables, etc.
Without prejudice to Italian D.P.R. 24.05.1988, no. 224, Seller is not liable for any indirect damages occur-
red to the Client and/or any third party including but not limited to lost opportunities and/or business and lost
revenue.
6. Confidentiality
Seller and Client undertake to maintain reserved and confidential any data and/or information in whatever
manner received in relation to these General Conditions and to not disclose any data and/or information
without the prior written consent of the Seller.

processing equipment Code: 000112AG Page: 4 Chapter:

7. Exclusions
Unless otherwise agreed upon by the Parties in writing, the following Products and services are excluded
from the sale: the project on which the Product is based, installation of sold Products, tests, Client’s staff
trainings, assistance in starting and all other benefits and burdens not mentioned in the Seller’s Order Con-
firmation.
This document is the property of the Manufacturer and/or its Agent and must not to be tampered with or changed, reproduced or provided to others without written consent.
8. Delivery
Unless otherwise communicated by the Seller, the applicable delivery terms is “Ex Work” (EXW Incoterms
2010) Seller’s production site and without any obligation on the Seller to load the Products on the mean of
transport.
The delivery of Products to the Client or carrier releases the Seller from delivery obligations. All relevant
risks concerning the Products shall then pass on Client, even if Seller appoints the shipper and/or the carrier
that transport Products and even if the Seller, under other relevant agreements, provides the installation of
the Products.
The date indicated in the Order Confirmation means that, unless otherwise agreed, from that day onwards
the Products are ready at Seller’s warehouse to be collected by Client. The terms of delivery indicated in the
order, in the Order Confirmation or elsewhere, are merely indicative for Seller and are calculated in working
days. In any event, the terms accrue from the Order Confirmation’s receipt by Client or, in case a down
payment is due by Client, from such payment. Seller, therefore, may reasonably anticipate or postpone the
delivery of all or part of Products, without thereby entitling the Client to demand the resolution of all or part
of the Agreement nor the payment of compensation for damages or indemnification, or to invoke any other
liability of Seller, unless the delay from the effective delivery and that established in the Order Confirmation
is higher than 60 days. In this case, if Client acknowledges in writing that he has no more interest in making
the purchase, the Seller shall not proceed to delivery, unless the delay can be attributed to the Client or is,
in any case, beyond Seller’s control.
In this case, should the Client communicate in writing that it is no more interested to purchase, the Seller
shall not proceed to delivery, unless the delay is attributable to the Client or, in any case, beyond Seller’s
control, including but not limited to the following circumstances: i) Client fails to provide, in time, the details
or materials necessary for the manufacturing of Products or require variations pending the execution and
these are accepted by the Seller; ii) Client delays to answer the request for approval of designs or executive
patterns; iii) Client fails to comply with payments related to past sales. In these cases the Seller may su-
spend the deliveries until the Client executes the due payments.
In the event the Client fails to take delivery of all or part of the Products, for facts that can be attributed to
Client or, in any case, beyond Seller’s control, the Client shall bear the risks and costs for the Products’
custody and the Seller may, at its sole discretion, demand the agreement’s execution, or declare its total or
partial resolution. In both cases, the Seller is entitled to request compensation for damages.
In no event the Seller shall be responsible for delays in delivery caused by force majeure, default of third
parties, decisions of public authorities, strikes, etc.
9. Price and payment conditions
Products’ prices are indicated in the Seller’s Order Confirmation and shall be at net of VAT, taxes, stamp
duties, customs fees, duties and any additional burden.
Unless otherwise agreed in written form, the payments shall be executed by Client under the terms speci-
fied in the Seller’s Order Confirmation and at Seller’s domicile or at the bank account indicated by Seller.
In case of delay in payment, Client shall pay the interests calculated - automatically and without any formal
notice - at the rate provided for by D. Lgs. no. 231/02 increased by three percentage points, without preju-
dice for the Seller to claim higher damages and the resolution of the Agreement. Disputes that may arise
between the Parties can not in any way exempt Client from its obligations to diligently comply with the terms
and conditions of payment.
conditioned for the reasons stated in this Article 11 shall be deferred until the termination of the situation
generating the suspension of the delivery. In case of an extension of the situation which has caused the su-
spension of the execution and/or the non fulfilment of the condition, for a period exceeding 2 (two) months,
Seller shall have the right to declare the resolution of all or part of the agreement without any prejudice for
his right to ask compensation for damages. Any delay by the Seller in exercising a right as stated in this
Article 11 shall not be deemed as a waiver of the Seller’s rights in favour of the Client.

Machine moving
The operator must also pay attention to the work environment around
them in order to guarantee sufficiently large space for escape routes.
Even when the machine is switched off it can pose a danger: guards,
dies 06, sharp edges, etc. are inevitably exposed and so care must be
taken when entering the working area and when handling parts of the
machine use suitable protective measures (gloves, shoes, etc.).
Noise
When running flat out, evaluated on its own and with correct mainte-
nance, the machine generates a (noise) acoustic pressure level of less
than 80 db(A) and so is completely harmless for the operator.
RESIDUAL RISKS
Despite the warnings and safety systems that the Manufacturer has
adopted, there are still some residual risks that cannot be eliminated.
These risks are listed in the table below, with some suggestions to
avoid them.

ALLGEMEINE VERKAUFSBEDINGUNGEN
1. Vertrag
gemeine Bedingungen steht für die hier aufgeführten Allgemeinen Verkaufsbedingungen;
Auftrag von Produkten;
“Parteien”: steht in diesen Allgemeinen Bedingungen für den Verkäufer und den Kunden;

gungen untereinander ausgetauschten Daten u./o.

In
