Dear Ms. Amor,

This is in response to your request to void the non-compete clause in the employment
contract of AS Global, which you have voluntarily entered into. The non-compete clause
prohibits any resigned employee from seeking employment from corporations and/or
companies that is in the same line of business with Acapa Specialist Consulting Services, Inc.
(hereafter ‘AS Global’). As stated in the employment contract, any changes in the contract
or any clauses therein, including the non compete clause, will require a written notice or
agreement thereto executed by the parties.

This officially serves as our agreement upon your signing in the conforme hereunder. AS
Global is waiving the non-compete clause in your favor given your limited tenure in AS
Global. However, as you are going to be employed with a rival company, you are hereby
reminded that the Confidentiality Clause of the Employment Contract is still in full force and
effect. For your reference and guidance, the Confidentiality Clause states as follows:

You are still duty bound to keep confidential all received information, such as matters
relating to files, data, figures, sales figures, projections, estimates, customer or client lists,
tax records, personnel history, accounting procedures, promotions, and the like, as well as
any other information pertaining to the Company, its operations, businesses, and
performance, in whatever form.

Request is hereby made that you confirm to the undersigned that you have not, and will
not, disclose or use any confidential information of the Company.

endeavors!
