BUT they are obligated as employees of our partners’ to keep our confidential information secret and to not use. our IP outside of the license scope. this applied to our partners! employees working on'sldram consortium. now however we read that sidram inc. has been set up as a corporation, this means itis a 3rd party’ and our partners cannot give 'it any of our confidential information. we cannot disclose any confidential information to sidram inc. as we have no NDA with it. this applies to anyone who is an EMPLOYEE/OFFICERIMEMBER OF THE BOARD of sidram inc. We should advise our rdram partners (or partners ike HP/apple that are ‘reputedly members of sidram inc.) that our confidential information must NOT be given to ANYONE who is an employeelofficerimember of the board of sidram inc. even if that person is also an employee oftheir company. and if they have an employee who is now an employee/officerimember of the board ‘of stdram inc. they should give back all confidential information of rambus, etc ‘will bring this up with all of our ram partners that i see next week who are members of sidram inc “ALLEN™* we should arrange to send a formal etter to the memory gm of ‘each of our dram partners that are members of sidram ine. That is | suppose i's possible for our DRAM partners to have people work atfon SLORAM Inc. stuf but who aren't offically on the SLORAM Inc. employee list. Do these people also need to be on the exclusion list? Many of our partners have segregated teams so | don't think it's an issue ‘but the picture is not clear to me at some of our less motivated partners: Hyundal and Micron for example (Terry Lee is likely to fall into the murky category: working on SLORAM inc. stuff but not an SLDRAM Inc. employee). 1'm guessing its okay for a person to be privey to info from both Rambus Inc., and SLDRAM Inc. and even to attend meetings at both places so long as the NDA's are honored and IP doesn't cross boundaries.
