OBJECTIVES
To provides the basic legal companies are governed, framework within which To provide information on how companies are incorporated, To understand the rights, liabilities, role and responsibilities of company directors, company secretaries and auditors and the accounting and reporting requirements,

To understand corporate governance obligations of the incorporated bodies; private as well as public companies, To understand the application of critical anlaysis in the understanding of law and legal issues involving company law

Learning Outcomes
At the completion of the subject, students should be able to perform the following tasks;
Define the basic legal framework within which companies are formed and governed

Distinguish the roles, responsibilities and liabilities of Shareholders, Directors, Secretaries and Auditors
Apply the relevant statutory requirements on business transactions and reporting Prescribe Winding-up procedures, Mergers, acquisitions, reconstructions and Minority protection laws Apply the principles of company law to solve legal problems by:
- analysingcases - interpreting statutes

1 Group Assignment Assignment must be solved as a group. Each group not more than 10 persons. Minimum number 8 members. Choose your own members!
