Recruitment Consultancy Agreement This agreement is entered into the 21st day of May 2012 between, Servers 4 Sales,

having its principal place of business at Clients Address (herein after called Client) and Grow Human Resource Consultant (herein after referred to as GHRC) having its office at GHR Address Pakistan. WHEREAS, GHRC is in the business of helping businesses search and select appropriate human resource for employment and whereas, client is desirous of utilizing GHRCs services to fill certain designated open positions at Client. NOW, THEREFORE, the parties agreed that the following terms and conditions should govern the provision of recruiting services (Services). All Services shall be provided by GHRC solely in connection with positions listed by Client with GHRC, listings will be provided in writing by the client. GHRC shall not supply unsolicited resumes to client without clients prior written consent. GHRC shall be responsible for accurately and fully disclosing all relevant information concerning candidates to client and for accurately transmitting information provided by client concerning listed positions to candidates. Services to be rendered by GHRC to client shall be solely on a contingency basis as set forth below; unless the parties agree otherwise in writing with respect to designated listed positions. GHRC is entitled to payment for Services rendered only if the client recruits the candidate referred by GHRC. In the event of a referral to client of a candidate who is already known to client, the referral will be considered as GHRCs candidate as it was not an active candidate, it would be considered as a qualified referral/submission. Resumes sent by GHRC to the client will be considered active for one (1) year only from the date it was received by the client. Methodology Whenever a client desires to engage GHRC to carry out executive search, he/she shall communicate in writing pertinent details such as requirements of the job candidate profile and tentative time frame for completing the assignment. GHRC Responsibilities GHRC undertakes to; 1. Present a shortlist of at-least three candidates who in their considered opinion relate to the job specifications, leaving the final selection decision with the client. 2. GHRC shall present candidates for selection to the client only after their credentials are ascertained and apparently found to be reasonably satisfactory. 3. GHRC will provide the required candidate, within 30 days, if not specified as critical. This includes acceptance of offer and may exclude the notice period tenure. 4. GHRC will quote each completed assignments through invoice. GHRC will make every possible effort to adhere to the time frame of the assignment. However, no assurance can be given in this regard. Clients Responsibilities The client shall nominate a coordinator to liaise with GHRC during the period of assignment to ensure that the proposed time frame of the assignment is met. The client is required to maintain complete confidentiality of candidate(s) information presented by GHRC. This may be made possible by restricting the resume to the position of immediate supervision and decision. Professional Charges Professional charges are billed at the rate of one month gross salary offered to the candidate selected / offered employment by the client organization. After the candidate(s) presented by GHRC, joins the client

organization, GHRC will bill the client and the client shall make payment immediately but not later than three (03) work days from the day/date the invoice is received by the client organization. Expenses and Reimbursements Where it is important to advertise or travel within/outside Pakistan to search/interview candidates; such an advertisement and or visit shall be made at clients cost, with its prior approval. The client shall be billed for actual expenses incurred on advertisement, travel, accommodation, subsistence, etc. Out of Pocket expenses such as travel and accommodation incurred by candidates (with receipt) needs to be approved by the client. The approval must be in writing (Approvals in the form of emails are acceptable). Only the actual cost will be borne by client. Guarantee Should the employment of the candidate placed by GHRC is terminated for reason(s) (such as misconduct) within Ninety (90) days from the date of employment OR if the employee decides to leave the employment of the company on his own accord within the first 30 days, GHRC shall provide replacement candidate on 50% additional cost/charge within a month. GHRC, shall not be, nor hold itself out to be, an agent or representative of client for any purpose whatsoever, and GHRC shall have no right or authority to create or assume any obligation or responsibility of any kind, express or implied, in the name of or on behalf of client, or to bind client in any way or for any purpose whatsoever. GHRC shall comply with any and all Federal, statutory laws, regulations and ordinances in the performance of the Services. GHRC agrees not to solicit any employee recruited by the client through GHRC, for other employment for at least Twelve (12) months. However, nothing herein shall grant to GHRC any exclusive right to provide recruiting services to client either generally or in connection with a listed position, unless the parties agree in writing to such exclusivity, and then only in connection with designated listed positions. During the performance of the Services and at any time thereafter, GHRC shall not use or disclose to any third party any information of client, which becomes known to it in connection with the performance of the Services other than such information, which is or becomes publicly available without breach of confidentiality obligation by GHRC hereunder. Either party with one-month notice can terminate this agreement. This contract is the complete understanding of the parties, supersedes any prior oral or written representations or understandings, and can only be modified by written agreement of the parties.
