Business Associate Agreement

BUSINESS ASSOCIATE AGREEMENT This Agreement is signed on 19th December, 2009 Between M/s. NETTLINX LIMITED, a Category B ISP, having its Regd. Office at 5-9-22, 3rd Floor, My Home Sarovar Plaza, Secretariat Road, HYDERABAD - 500 063 referred as NETTLINX, represented by Chandra Sekhar Pogula ,Director & COO, herein after also called as INTERNET SERVICE PROVIDER AND M/s. SRI HI SPEED NETWORK, having its registered office at # 14 D, STV NAGAR, Above Tamilnadu Mercentile Bank, Tirupati 517501, Represented by Mr. Jagdeeshwar Reddy, (Designation) Managing Partner, Herein after called as BUSINESS ASSOCIATE. WHEREAS NETTLINX is engaged in providing INTERNET SERVICES by virtue of its License Agreement with Ministry of Communications, Department of Telecommunications, Government of India. WHEREAS the above BUSINESS ASSOCIATE has approached NETTLINX to extend the following services in Chittore District on behalf of NETTLINX LIMITED on an exclusive basis: Business Associate represents that he is a registered Cable TV Operator under the Cable Television Networks (Regulation) Ordinance Act 1995 or a DID operator and shall operate in compliance with all applicable laws. BUSINESS ASSOCIATE shall not migrate the Subscribers in NETTLINX network to other operators/Networks. Such an act on the part of the Business Partner is a violation of TRAI guidelines and shall be considered illegal and a violation as per this term sheet. BUSINESS ASSOCIATE will allow NETTLINX to use their last mile connectivity, inclusive of any equipment related to the connectivity. BUSINESS ASSOCIATE shall not use the same network and the same last mile infrastructure, inclusive of Internet Bandwidth related equipment and the premises, to provide internet connectivity either directly or from partnering with any other Internet Service Provider other than NETTLINX, as, this agreement is on an exclusive basis between the BUSINESS ASSOCIATE and NETTLINX only, for your designated territory Chittore district. The BUSINESS ASSOCIATE will look after the last mile connectivity to the end customer. The BUSINESS ASSOCIATE will forward the CAFs duly filled in by the respective customer to the Head Office whenever a new customer request for such a service and will also maintain a copy of the same with him. After due diligence and proper verification only, NETTLINX will provide the service and Nettlinx will have the right to either agree or refuse such a request. All such current customers and any new additions in future will form an integral part of NETTLINX direct customer base and do not belong to any third party for all practical and legal purposes. . The BUSINESS ASSOCIATE on behalf of NETTLINX will handover NETTLINXs Invoices, Receipts, and any other Promo Material meant for the market place. The BUSINESS ASSOCIATE on behalf of NETTLINX will collect the payments either by Cash, Cheque or Demand Draft from the end customers, and deposit the same with NETTLINXs Bank Account at Hyderabad vide ICICI Bank A/c No.000805001780, Khairatabad Branch, HYDERABAD. For the preceding month, The Business Associate will have to send an e mail with an excel sheet attachment with all the details of Collection and remittance info during the first three working days of the following month. BUSINESS ASSOCIATE shall permit NETTLINX authorities to audit the accounts of the Business Partner in respect of charges collected and remitted by subscribers. The maximum payout to the BUSINESS ASSOCIATE shall be limited to 40% (Forty only) on the net revenue generated out of Internet Bandwidth sales in a given month, i.e., after excluding applicable Service Tax. Net revenue is calculated based on Net sales and full collections achieved and after adjusting any negative sale. (Refunds, Cancellations, Discounts, etc.). NETTLINX shall pay BUSISNESS ASSOCIATE amounts, as applicable. All payments shall be made to the BUSINESS ASSOCIATE, subject to applicable taxes and other deductions. All amounts to be paid to BUSINESS ASSOCIATES shall be made only through bank transfer with designated banks as specified by NETTLINX from time to time, with in one week after receiving all the details as above.

The Parties now being desirous of reducing this agreement in writing both NETTLINX and BUSINESS ASSOCIATE have entered into this agreement with the manner hereinafter appearing. The BUSINESS ASSOCIATE will immediately deposit with NETTLINX an amount of Rs.1,00,000/-(Rupees One Lakh Only) as a refundable security deposit, which will be returned in the event of termination of this service contract by either parties, as per the termination clause . BUSINESS ASSOCIATE shall adhere to all the required rules / policies, formats prescribed by NETTLINX from time to time. NETTLINX shall provide the required Public / Private IP addresses. NETTLINX shall ensure immediate response on BUSINESS ASSOCIATE queries pertaining to last mile connectivity issues and NETTLINXs technical persons will extend the support for all Technical issues on request by BUSINESS ASSOCIATE from time-to-time. Page 2 of 3 BUSINESS ASSOCIATE on behalf of NETTLINX shall always ensure that the last mile

connectivity at the premises specified at the time of installation is maintained. However, in case of any possible shift/change of address, NETTLINX shall intimate the same to BUSINESS ASSOCIATE in writing. Periodical Training and / or ongoing support would be provided by Nettlinx. This contract is valid for a period of 36 months from the date of signing of this agreement and shall be renewed at mutual consent at the end of the every 11 months period. In the event of either of the parties wanting to terminate this agreement, a 90 (ninety) days notice is applicable for either parties. Nettlinxs Trademark , Logo & Signage will be used by Business Associate only to cover the provision of this Business Associate Agreement and is not allowed for any other activity. The agreement signed by both the parties under their signatures with free will on the (date) _______________, as referred above.
