Human Resources Contract

This Human Resources Contract (this "Contract") is made effective as of May 05, 2012, by and between RL Electronics, Inc, of 440 Montgomery St., San Francisco, California 94103, and We Are HR, Inc, of 123 Main St., Mill Valley, California 94941. In this Contract, the party who is contracting to receive the services shall be referred to as "RL Electronics", and the party who will be providing the services shall be referred to as "We Are HR". In consideration of the mutual promises set forth below, the parties agree as follows: DESCRIPTION OF SERVICES. Beginning on May 05, 2012, We Are HR will provide human resource services as described here and that includes the recruitment, securing and delivering candidates suitable to the Company, other human resource services as reasonably requested by the Company and agreed to by the Service Provider and the following services (collectively, the "Services"): As described in the attached Exhibit.. A general recruitment process involves identifying vacancies, preparing job description and person specification, advertising, managing the response, short-listing, arranging interviews, conducting interviews, decision making, conveying the decision and appointment action. MUTUAL OBLIGATIONS. Both Service Provider and the Company agree that they will take all steps necessary and reasonably required, at their own expertise to: a. b. c. d. designate key individuals to perform its obligations herein; conduct periodic meetings of key individuals and others as required; fully cooperate with all reasonable requests for assistance from each other, and take such further steps and execute documents found reasonably necessary.

In addition all efforts will be taken by the parties in resolving any problems arising in the Services. SERVICE PROVIDER'S FEE. In consideration of the services to be performed by the Service Provider, the Company agrees to compensate the Service Provider for the services rendered as follows: Service Provider's fees for the services specified in Paragraph 1, above, and for any additional services, will be charged at Service Provider's standard rate of $15,000.00 per month. Any additional services not specified in Paragraph 1, above, will be charged to Company on an hourly rate basis at Service Provider's standard hourly rate of $35.00 per hour. TERM/TERMINATION. This Contract may be terminated by either party upon 60 days written notice to the other party. RELATIONSHIP OF PARTIES. It is understood by the parties that We Are HR is an

independent contractor with respect to RL Electronics, and not an employee of RL Electronics. RL Electronics will not provide fringe benefits, including health insurance benefits, paid vacation, or any other employee benefit, for the benefit of We Are HR. CONFIDENTIALITY. We Are HR will not at any time or in any manner, either directly or indirectly, use for the personal benefit of We Are HR, or divulge, disclose, or communicate in any manner any information that is proprietary to RL Electronics. We Are HR will protect such information and treat it as strictly confidential. This provision shall continue to be effective after the termination of this Contract. Upon termination of this Contract, We Are HR will return to RL Electronics all records, notes, documentation and other items that were used, created, or controlled by We Are HR during the term of this Contract. UNAUTHORIZED DISCLOSURE OF INFORMATION. If it appears that Service provider has disclosed (or has threatened to disclose) Information in violation of this Contract, Company shall be entitled to an injunction to restrain Service provider from disclosing, in whole or in part, such Information, or from providing any services to any party to whom such Information has been disclosed or may be disclosed. Company shall not be prohibited by this provision from pursuing other remedies, including a claim for losses and damages. INDEMNIFICATION. We Are HR agrees to indemnify and hold harmless RL Electronics from all claims, losses, expenses, fees including attorney fees, costs, and judgments that may be asserted against RL Electronics that result from the acts or omissions of We Are HR, We Are HR's employees, if any, and We Are HR's agents. EMPLOYEES. Service provider's employees, if any, who perform services for the Company under this Contract shall also be bound by the provisions of this Contract. At the request of the Company, Service provider shall provide adequate evidence that such persons are Service provider's employees. ASSIGNMENT. Service Provider's obligations under this Contract may not be assigned or transferred to any other person, firm, or corporation without the prior written consent of the Company. NON-COMPETE CONTRACT. For a period of 2 years after the termination of this Contract, We Are HR will not directly or indirectly engage in any business that competes with RL Electronics. This covenant shall apply to the geographical area that includes all of the State of California. We Are HR agrees that this non-compete provision will not adversely affect the livelihood of We Are HR. ENTIRE CONTRACT. This Contract contains the entire contract of the parties, and there are no other promises or conditions in any other contract whether oral or written. SEVERABILITY. If any provision of this Contract shall be held to be invalid or unenforceable for any reason, the remaining provisions shall continue to be valid and enforceable. If a court finds that any provision of this Contract is invalid or unenforceable, but that by limiting such provision it would become valid and enforceable, then such provision shall be deemed to be written, construed, and enforced as so limited.

AMENDMENT. This Contract may be modified or amended if the amendment is made in writing and is signed by both parties. WAIVER OF CONTRACTUAL RIGHT. The failure of either party to enforce any provision of this Contract shall not be construed as a waiver or limitation of that party's right to subsequently enforce and compel strict compliance with every provision of this Contract. NOTICES. All notices required or permitted under this Contract shall be in writing and shall be deemed delivered when delivered in person or deposited in the United States mail, postage prepaid, addressed to the parties in the addresses given in the beginning of the contract. APPLICABLE LAW. This Contract shall be governed by the laws of the State of California.
