CERTIFICATE OF EMPLOYMENT

Reference is hereby made to that certain music video project and artist photoshoot (Project) regarding the recording artist Jeff Bradshaw (Artist) for which Lionel Hampton p/k/a Devin Hampton (Director), whose address is 1508 Mt. Vernon Street, Philadelphia, PA 19130, is to perform services as director of a music video of the musical composition entitled Till Tomorrow and has rendered services as a photographer for a photoshoot of Artist which Project is for Hidden Beach Recordings, LLC (Company), whose address is 8750 Wilshire Boulevard, 2nd Floor, Beverly Hills, CA 90211. For good and valuable consideration (the receipt and sufficiency of which is hereby acknowledged), Director hereby agrees as follows: Director hereby expressly acknowledges, certifies and agrees that all of the results and proceeds of the services of every kind heretofore rendered by and hereafter to be rendered by Director in connection with the music video and photoshoot Project for Artist are and shall be deemed works made-for-hire in that (i) it is prepared within the scope of Companys employment of Director hereunder and/or (ii) it constitutes a work specifically ordered by Company for use as a contribution to a collective work. Accordingly, Director further acknowledges, certifies and agrees that Company is and shall be deemed the author and/or exclusive owner of all of the foregoing for all purposes and the exclusive owner throughout the world of all the rights of any kind comprised in the copyright thereof (expressly including the copyrights in and to such music video and photographs and any renewal or extension rights in connection therewith, excluding only the copyright in the musical compositions embodied in the master recordings produced by Director), and of any and all other rights thereto, and that Company shall have the right to exploit any or all of the foregoing in any and all media, now known or hereafter devised, throughout the universe, in perpetuity, in all configurations as Company determines. Director hereby irrevocably and unconditionally waives any and all moral and like rights that Director has in the Project agrees not to make any claim against Company or any party authorized by Company to exploit the Project

based on such moral or like rights. To the extent that Director may be deemed the author of such Music Videos Director will, upon request, execute, acknowledge and deliver to Company such additional documents as Company may deem necessary to evidence and effectuate Companys rights hereunder, and Director hereby grants to Company the right as attorney-in-fact to execute, acknowledge, deliver and record in the U.S. Copyright Office or elsewhere any and all such documents if Director shall fail to execute same within five (5) days after so requested by Company. Director hereby grants to Company the right to issue and authorize publicity concerning Director, and to use Directors name, voice and approved likeness and approved biographical data in connection with the distribution, exhibition, advertising and exploitation of the master recordings produced during the Project. Director shall exercise approvals hereunder reasonably and within five (5) days after request by Company, or such approvals shall be deemed given. Director hereby warrants that all music video elements, compositions, ideas, designs, inventions and all other material furnished by in connection with the Project are or will be original with Director or in the public domain throughout the world or used with the consent of the original owner thereof, and shall not infringe upon or violate any copyright of, or infringe upon or violate the right of privacy or any other right of, any person or entity Director further warrants that Director is free to grant all rights granted and make all agreements made by Director herein. Director agrees to hold Company, Artist and their respective successors, licensees and assigns harmless from and against all damages, losses, costs and expenses (including attorneys fees and costs reasonably incurred) which Company, Artist or their respective successors, licensees or assigns may suffer or incur by reason of the breach or alleged breach of any of the warranties made in this paragraph. Director hereby covenants and agrees that Director shall not have or be deemed to have any lien, charge or other encumbrance upon any of said rights conveyed to Company herein or proceeds derived therefrom, and that, as between Company and Director, no act of or omission by Company, nor any other act, omission or event of any kind, shall terminate or otherwise adversely affect Companys ownership of

the rights conveyed herein. Directors sole remedy for any such breach or alleged breach shall be an action at law to recover such damages as may have been actually suffered by Director as a result thereof. This agreement contains the entire understanding of the parties and will be governed by the laws of California applicable to contracts entered into in California and entirely performed there. No change of this agreement will be binding unless made by an instrument signed by the party to be charged. LIONEL DEVIN HAMPTON
