REQUEST FOR PROPOSAL FUNDRAISING CONSULTING FIRM/CONSULTANT Feasibility Study/Strategic Development Plan Sealed proposals addressed to the Director

of Development, The Cleveland Music School Settlement (hereafter referred to as The Music Settlement), 11125 Magnolia Drive, Cleveland, OH 44106 will be received until 5:00 p.m., 2010, Friday, January 15, for supplying all of the following subject to the conditions herein. Proposals received late shall not be accepted. Bidders must deliver a signed copy of the proposal to the above address in a sealed envelope. SECTION 1.0 PURPOSE 1.1 The Music Settlement is requesting submissions from fundraising consultants interested in undertaking a Feasibility Study/Strategic Development Plan on its behalf. The Music Settlements Board of Directors recently developed a five year organizational Strategic Plan. In formulating that plan, it became apparent that additional information was required to provide future strategic direction for the organization as it relates to the two major capital initiatives outlined below. Thus, The Music Settlements Board seeks to retain a Fundraising Consulting Firm/Consultant to: Test basic planning assumptions with potential donors; Ascertain potential support for the capital initiatives; Develop effective campaign strategies; Recommend a potential course of action to meet the fundraising objectives. 1.2 The purpose of this Request for Proposal is to retain a Fundraising Consulting Firm/Consultant who will: 1.2.1 Develop and conduct a detailed feasibility study which will analyze and report on the feasibility of Music Settlement fundraising required to complete (a) the acquisition of the real property necessary for and the design and construction of a new Early Childhood Education Center at the Cleveland Heights, Ohio Coventry school site, and (b) the renovation of The Music Settlements Magnolia Campus, both as described in the Master Plan developed by Westlake, Reed, Leskosky. 1.2.2 Conduct, compile, analyze, and report on internal and external audits, through direct interviews with potential donors and other sources to be identified by The Music Settlement and the consultant, which detail and realistically assess The Music Settlements fundraising capability for these capital projects. 1.2.3 Work with The Music Settlements administration, staff, board and volunteers to prepare for and conduct the fundraising initiative to be developed for these capital projects. 1.2.4 Develop with the assistance of The Music Settlement staff and board a Capital Campaign Case Statement and other fundraising materials to be used in the fundraising campaign for these capital projects.

2.1 The Music Settlement is a registered charitable organization governed by its own Board of Directors. The mission of The Music Settlement is to enrich the lives of people of all ages, backgrounds and abilities by offering access to high quality music instruction, music therapy, and early childhood education. As The Music Settlements approaches its centennial anniversary, it has determined to expand its early childhood programming at a secondary site in Cleveland Heights and to renovate its Magnolia campus to meet the new and increased demands for its services in Greater Cleveland. The Music Settlements facilities on Magnolia Drive are insufficient in size and design to meet the growing programmatic needs of our changing community. Through a convergence of factors, The Music Settlement has the unique opportunity to acquire and revitalize the site of a closed public elementary school in Cleveland Heights, Ohio, and to build in its place a new, state-of-the-art Early Childhood Education Center to serve the children in our community, from infants through pre-school, with an arts-based curriculum and Suzuki music instruction. The Music Settlement will develop this new learning center to serve as a local, regional, and national model for early childhood education and as a training facility for early childhood and music educators in partnership with local universities. This project has the enthusiastic support of the City of Cleveland Heights, the Cleveland Heights-University Heights School District, the local business community, and the neighborhood in which the facility will be located. Phase I of the campaign will focus on the transformation of the former Coventry School to The Music Settlements Early Childhood Education Center which will serve 300 to 500 children from infant through pre-school ages. With the facility and expanded programming, The Music Settlement will establish itself as the leading, larges, and most innovative provider of early childhood education services in Ohio and likely throughout the United States. The facility will also enable The Music Settlement to expand the number and variety of its strategic partnerships with smaller community arts organizations which serve Greater Cleveland. Funds raised during Phase II of the capital campaign will be devoted to upgrading and expanding the facilities, programming, and services at the Music Settlements Magnolia campus. This will include ensuring that our music students will be taught in studio spaces that are both acoustically sound and appropriately sized and providing them access to the latest in music technology through the addition of computer labs, piano labs, and recording facilities. Music therapy clients will also benefit from our campaign through updated teaching studios and dedicated therapy spaces. Additionally, funding from the campaign will address and correct the significant lack of parking that exists on the Magnolia campus. In addition to a reconfiguring of existing common areas in Burke Mansion to create better customer flow, Phase II also includes the building of a dedicated performance/multi-function space that will be accessible to all students and clients of The Music Settlement.

3.1 All questions pertaining to this proposal must be made in writing and sent by fax to: Maureen Ischay, Director of Development no later than Friday, January 8, 2010. Fax (216) 2315023. After this date, no further inquiries, concerns, or questions may be submitted. We reserve the right to distribute in writing a notice of content of any inquiry and any response. The Music Settlement will respond only to questions submitted in writing. Questions will be answered by Wednesday, January 13, 2010. SECTION 4.0 FORM OF PROPOSAL 4.1 Appendix A identifies the minimum requirements. Failure to respond to Appendix B will deem the bid noncompliant. If entering terms and conditions in electronic format, a copy must be printed and signed. 4.2 Bidders must submit Appendix B. 4.3 Bidders submissions should include page numbers for ease of reference by Committee Members. Alternative and additional information can be indexed at the end of the proposal. SECTION 5.0 REQUIREMENTS/SPECIFICATIONS/SCOPE OF WORK AND QUESTIONS 5.1 Appendix A details specific requirements/specifications/scope of work and questions which all bidders must complete. For each question in Appendix A bidders must place a response in the appropriate column. If bidder chooses to write a narrative response to the questions cited in Appendix A, please include a hard copy of the appendix. SECTION 6.0 PRICING 6.1 All bids must be entered in Appendix B. 6.2 Proposals must clearly outline the responsibilities both of The Music Settlement and the successful bidder. ALL costs payable by The Music Settlement for these services must be clearly defined. 6.3 Applicable taxes must be shown as a separate line item on all invoices. 6.4 All prices quoted will be in effect for the duration of the contract ending without escalator clauses or other qualifications. SECTION 7.0 - REFERENCES 7.1 Each proposal must provide a minimum of (3) references where the bidder has successfully performed similar services. Name, 2. Address, 3. Contact Person & Telephone. References should not include Directors of The Music Settlement. SECTION 8.0 TERM OF CONTRACT/IMPLEMENTATION SCHEDULE 8.1 This contract will be up to a three month period with a target commencement date of February 1, 2010. We are looking to have the study completed no later than March 31, 2010. Bidders must provide an implementation schedule of the proposed study. SECTION 9.0 INTERVIEW 9.1 Each bidder may be required to attend an interview to further clarify its proposal. No new information would be presented at this stage. SECTION 10.0 ADMINISTRATION, ORGANIZATION AND STAFFING Include: 10.1 An organization chart if appropriate. 10.2 State the correct legal name under which the bidder carries on business, telephone number and fax number, as well as the name or names of appropriate contact personnel which The Music Settlement may consult regarding the proposal. 10.3 Indicate if a bidder is a sole proprietor, the full personal name together with the name of the proprietorship, (i.e., John Doe, DBA the firm name of Johns Excellence Service). 10.4 If a bidder is a partnership, the bidder should provide the full name of all individual partners together with the correct legal business name of the partnership. 10.5 If a bidder is a corporation, the bidder should provide the full legal name of the corporation together with the jurisdiction in which the corporation was originally incorporated. 10.6 The Music Settlement reserves the right any time after the closing date, to require any bidder to provide evidence satisfactory to The Music Settlement of its financial standing and stability. All bidders agree to provide at their own expense all such above-related information as may be requested by The Music Settlement within four (4) days of the date of any such request. 10.7 The successful bidder(s) and their employees shall not be considered Music Settlement employees and shall not represent themselves as an agent of The Music Settlement. SECTION 11.0 SUPPLEMENTAL MATERIALS TO YOUR PROPOSAL 11.1 Supplemental materials will not qualify as substitutes for direct responses to the proposals requirements. Required responses must be stated or input into Appendices A and B. 11.2 The proposal may make reference to supplemental materials if submitted. However, the response must be stated in such a way within the proposal that it is not necessary to refer to the supplemental material to evaluate the response (except specifically requested material, such as the bidders financial statements etc.). 11.3 The technical and cost sections of the proposal may not make reference to supplemental materials.

11.4 Note that any such supplemental materials submitted will not have an effect on the independent evaluation process. SECTION 12.0 GENERAL TERMS AND CONDITIONS 12.1 Any proposal submitted in response to this Request for Proposal is IRREVOCABLE for 60 days. The Music Settlement reserves the right to decline any or all proposals, in whole or in part, at any time prior to making an award, for any reason or no reason, without liability being incurred by The Music Settlement to any bidder. 12.2 All costs associated with the preparation of the bidders proposal will be solely the responsibility of the bidder. 12.3 All of the terms and conditions of this Request for Proposal are assumed to be accepted by the bidder and incorporated into its proposal. 12.4 All bidders agree not to disclose any information provided by The Music Settlement in this Request for Proposal to any third party. 12.5 Any proposal submitted which does not strictly comply with the provisions, procedures and requirements of this Request for Proposal, or is incomplete, ambiguous, or which contains errors, alterations, misleading information, omissions, or irregularities of any kind, may be rejected and disqualified at the discretion of The Music Settlement. 12.6 All bidders agree to provide additional information as, and when, requested, at their own expense, provided no bidder in supplying any such information will be allowed, in any way to change the pricing or other cost quotations originally submitted in its proposal or in any way materially alter or add to the solution originally proposed. 12.7 Bidders are required to identify any material facts regarding any claims that The Music Settlement should be made aware of.
