REPORT ON THE SPECIALISED MALAYSIAN CONSTRUCTION SERVICES MARKETING MISSION TO HANOI AND HO CHI MINH CITY, VIETNAM 26 SEPTEMBER

MALAYSIAN DELEGATION A Specialised Malaysian Construction Services Marketing Mission cum Fact-Finding Mission was jointly organised by MATRADE and Construction Industry Development Board (CIDB) to Hanoi and Ho Chi Minh City, Vietnam from 26 September to 1 October 2004. The delegation comprised:i.

Eight officials from MATRADE, CIDB and Pusat Khidmat Kontraktor, Ministry of Entrepreneur and Cooperative Development (MECD); 39 members from the private sector representing 30 companies.

A list of the mission members is as per Appendix 1 & 2. 2. OBJECTIVES OF THE MISSION The objectives of the mission were: to familiarize representatives of Malaysian construction companies with the business environment in Vietnam to explore business opportunities in all construction sector to promote exports of Malaysian construction services to strengthen the existing business networking and foster closer collaboration between Malaysian companies and their Vietnamese counterparts

SEMINARS Seminars on Malaysia Vietnam Construction Related Business Opportunities were held in Hanoi and Ho Chi Minh City on 27 and 29 September 2004 respectively. The purpose of the seminars was to obtain first-hand information on various aspects pertaining to construction related opportunities in Vietnam as well as relevant rules and regulations for investment in construction projects. Highlights of papers presented by Vietnamese government officials in Hanoi and Ho Chi Minh City respectively were: i) Investment Law and Policies Of Vietnam

Foreign investment in Vietnam is governed by the Law on Foreign Investment enacted in 1997 and amended in 2002 and 2003 The types of foreign investment allowed under the law are Joint Venture, Business Co-operation Contract, Wholly Foreign Owned Enterprise and Build-Operate-Transfer; Investment under joint venture is only allowed in exploitation and processing of natural resources (oil, gas and forestry), transportation infrastructure and provision of maritime and aviation services Investment under business co-operation contract is allowed in the public telecom network and services, domestic and international mail services and press, radio and television Foreign investors applying for investment licence must submit the following documents: Application form; Joint venture or Business Co-operation Contract Agreement; Feasibility study; Legal and financial status of investors; Foreign investors must obtain investment licence from the respective agencies based on the type of investments: - Prime Minister (projects of importance for

society and/or politically sensitive projects e.g. radio & television, oil & gas, sea ports and airports). Approval period is 1-2 months; - Foreign Investment Agency of the Ministry of Planning and Investment. Approval period is 1-2 months; - Provincial Peoples Committee (of the region where the project will be located). Approval period is 1 month; - Board of Management of Industrial Zones, Export Processing zones of High-Tech Zones (where the project will be located). Approval period is 15 days 1 month; The investment application will be assessed on the followings: - Legal and financial status of investors; - Conformity of the project with master plan of the government; - Socio-economic benefits; - Level of technology transfer; - Use of land and valuation of assets contributed as capital; Taxes applicable to foreign investors are: - Corporate income tax with a standard rate of 28%; - Value added tax on product manufactured or service offered ranging from 5-10%; - Natural resources tax on exploitation of natural resources such as petrol & gas, forestry; - Personal income tax of 25% on foreigners residing between 30 to 182 days. No tax is imposed on those staying less than 30 days; - Import and Export duties ii) Petro Vietnam Development Strategy And Malaysia Vietnam Potential and Co-operation Opportunities Vietnam Oil & Gas Corporation (Petro Vietnam) had established a Production Sharing Venture (PSV) with Petronas in oil exploration and processing activities The company strategy is to diversify into gas

production, refinery and petrochemical products in the future with investments of US$15-21 billion until the year 2020 There are opportunities for Malaysian companies to collaborate with Petro Vietnam and its subsidiaries in both offshore and onshore oil and gas construction projects on a joint venture basis iii) Construction MasterPlan and The Prospects Of International Co-operation Under the new Construction Law passed on 1st July 2004, urban design and landscaping of public areas was made a legal requirement to be enforced by The National Institute for Urban & Rural Planning under the Ministry of Construction The Institute expressed interest to collaborate with Malaysian urban designers in construction projects in Vietnam following its successful venture with a Malaysian company in designing and planning Ha Long City and Hanoi Hai Phong economic corridor in the 90s.

Banking Policy And Assistance For Investment And Development In Vietnam The Bank for Investment and Development offers direct lending, co-financing, syndicated loans, financial leasing, guarantee for overseas borrowing and bridge loans to investors and companies in the construction industry The bank established the first joint venture in Vietnam with Public Bank Berhad in 1992. It is familiar with the financial needs of Malaysian companies and is prepared to offer financial assistance to Malaysian construction companies operating in Vietnam

business in Vietnam such as establishing a representative office, appointment of a distributor or agent or a trading office With effect from 1 January 2004, a new corporate income tax was introduced, which imposed a standard rate of 28% on corporations income To attract more foreign investments, the government will conduct a review of incentives and taxes such as the abolition of profit remittance tax and tax refund for reinvestment vi) Development of Transport Infrastructure In Southern Province of Vietnam Current infrastructure projects such as highways, upgrading of existing national roads, seaports, airports and railway lines (US$200 million) are being undertaken to meet the needs of the growing population and economy Malaysian investors are invited to participate in these projects through joint venture with Vietnamese companies or through project funding and consultancy services

Regulations and Procedures for Participation in a Construction Tender The usual forms of contracts awarded in Vietnam are package contract, turnkey contract or contract with price adjustment Foreign companies can participate in a tender in the form of a joint venture with Vietnamese companies. For international tender, foreign companies are required to use Vietnamese subcontractors in the projects Tender applications are evaluated by the project owner or the tender issuing authority and evaluation is done within 90 days after the closing date of the tender

viii) Master Development Plan of Ho Chi Minh City to the Year 2020 Ho Chi Minh City is Vietnams main commercial trading centre with average GDP growth of 10% annually (1.5% higher than the national GDP growth) and a population of 5.2 million New projects to be developed under the master development plan until the year 2020 include residential and commercial township in Saigon South Development Area, citys ring roads and bridges, a new airport with a capacity of 20-30 million passengers a year and integration of local rail system with the national railway network;

All foreign companies can participate in government tenders or those funded under the Overseas Development Assistance (ODA) programme (open international tenders) All tender applications in Vietnamese must be submitted to the Ministry of Construction or to the local Department of Construction. Tenders for ODA projects are submitted to international consulting firm or committee appointed by the donor countries and the government. Information on project tenders are available from the Tender News issued by the Ministry of Planning or Ministry of Construction, tender website of the Ministries and local newspaper x) Other information on investments in Vietnam Foreign Direct Investment contributed 14.3% to the GDP and account for 33% of Vietnams exports 4,700 FDI projects have been approved with investment capital of US$43.5 billion until 30 August 2004 Vietnams target is to attract US$320 billion worth of investment by 2010 with a yearly growth of

30%and to create 1.2 million new jobs The biggest investment sector is the construction and industry sector with 3,074 projects worth US$24.47 billion Malaysia had investments in 158 projects worth US$1.25 billion and is ranked 10 out of 70 countries and 3rd out of 8 ASEAN countries The list of speakers in Hanoi and Ho Chi Minh City respectively is as per Appendix 3 & 4. The list of construction projects open for bidding by international companies is as per Appendix 5. ISSUES RAISED AT THE SEMINARS Issues raised in the seminars in Hanoi and Ho Chi Minh City respectively are:

The approving authorities in Hanoi for Building Plans and Designs are the Ministry of Construction, Ministry of Planning and Investment, Department of Urban Planning and Architecture and Provincial Authorities. To meet the housing needs of Hanoi residents, the Department of Architect and Urban Planning of Hanoi is planning the construction of new urban areas with residential properties. The authorities in Hanoi has given permission to

developers to build residential building of 17 to 30 stories to meet the rising demand for housing. The authority has placed a target of building 1.3 1.4 million square metres of housing in Hanoi in the future.

Potential investors can obtain information on projects for investment in Hanoi from the website of the Ministry of Planning, Ministry of Construction, the Department of Urban Planning and Architecture and local newspapers. In the construction and oil & gas industry, the government gives priority to investors with good IT capability to participate in projects. Additionally, the government has developed an IT High-Tech Park in Hanoi and is inviting investment from international IT companies. Sub-contractors bidding for projects in the oil & gas industry must submit certificate of quality to PetroVietnam Corporation (PSC) to ensure that only quality services and products are provided for projects in the oil & gas sector. Companies with good IT capabilities are given priority to participate in oil & gas related projects. Under the Law on Foreign Investment of 1987 (amended in 2003), the basic rights of investors such as the right to repatriate profits and protection against nationalisation of investments are provided. Vietnam has also signed Bilateral Trade Agreements with Malaysia which provide incentives and protections not covered under the Law on Foreign Investment 1987. It has also signed an Investment Encouragement and Protection Agreement with 47countries including Malaysia. Foreign companies that have joint venture with Vietnamese partners are treated as local companies. Under the Law on Foreign Investment, foreign investors are allowed to convert joint venture partnership into full foreign-owned enterprise. The government has chosen Long Thanh as the site of the new international airport of Ho Chi Minh City to be

operational by 2008. A consortium of Malaysian construction companies that has the support of the Malaysian government can submit a project proposal to the Ministry of Transport or Ministry of Planning and Investment to show their financial capability to undertake the project.

In Ho Chi Minh City, high-rise residential buildings are being planned for construction by the government in new urban areas and township due to good demand for such properties. The government will encourage the construction of high-rise residential buildings under its urban development plan of the city (2005 2010). Foreign companies are required to obtain a licence after a tender has been won. It will take 20 days for the licence to be issued from the date of receipt of all completed documents. The authority will give reasons for any rejected applications. The licence will expire if the contract is no longer valid or the contractor is suspended or declared bankrupt. Import of construction machinery from Malaysia is allowed as temporary import and must be re-exported to the original destination after the expiry of the contract. However, if the machinery is sold in Vietnam after the project, the importer is required to pay all taxes on the item. All imported machinery will be registered and subject to quality inspection by the relevant agencies. All public tenders under the Overseas Development Assistance (ODA) programme are open for bidding by foreign companies. The government expects foreign companies to have strong financial capability to undertake projects. The Malaysian government can facilitate the participation of construction companies in Vietnam by providing funding for construction projects. The Ministry of Industry is the authority responsible for projects related to the construction of telecommunications and electrical power lines.

The construction schedule for the Trans- Asia railway project has been drawn up by the Ministry of Transport in line with the government masterplan on transportation infrastructure in Vietnam. Any investor which has the financial capacity to carry out the Trans-Asia railway project can submit a proposal to persuade the government to implement the project before 2010. The investor can include the feasibility study into the investment cost of the project. It can also discuss with the government to seek funding for the study. The masterplan of Ho Chi Minh City was approved by the People Committee in 1998. A copy of the masterplan can be obtained from the website of the Department of Urban Planning and Architecture of Ho Chi Minh City at www.qhkt.hochiminhcity.gov.vn No joint venture is needed for bidding of projects. However, joint venture companies stand a better chance of winning a tender. There is no limit on the sharing of equity in joint venture companies. However, the minimum equity for a foreign partner is 30%.

INDIVIDUAL BUSINESS MEETINGS A total of 329 individual business meetings were arranged between members of the Malaysian delegation and Vietnamese participants. Cities Hanoi Ho Chi Minh City Number of meetings 143 186

In addition, a number of Vietnamese companies without pre-arranged meetings also participated in the business matching session with Malaysian companies.

SITE VISIT Site visits were arranged for the mission members to the following sites: Hanoi i) Ciputra Hanoi International City The housing project is the largest real estate residential and commercial project in Hanoi developed on a joint venture basis between Ciputra Pty Ltd, an Indonesian real estate developer and a state owned corporation of Vietnam. Lessons Learnt: It took 9 years for the company to secure the leasing rights from the government to develop the 368 hectares of prime land next to Hanois West lake The company faced problems in getting supply of raw materials for the doors to match the quality and standard of the properties Most buyers purchase properties on a lump sum cash basis or by progressive payment Houses of size 279/180 m2 with prices from US$250,000 to US$300,000 are popular among buyers. The government has requested that more houses of this size be built to cater to demand in the mid-end market segment

ii)

Vietnam Construction & Import Export Corporation (VINACONEX) The company is a state owned construction corporation under the Ministry of Construction involved in the construction and development of residential and commercial properties in Hanoi. Visits to two units of completed apartments in Hanoi were arranged by Vinaconex.

Lessons Learnt: Involved in the construction of mid-end apartment units mainly for purchase by public sector employees and businessmen Apartments visited were of high-quality finishing with sizes ranging from 2000 to 2500 sqm Has wide experience in constructing all kinds of infrastructure projects and commercial buildings since 1988 Ho Chi Minh City i) Becamex Corporation (Trade, Investment & Development Corporation, Binh Duong Province) The province is part of the Southern Key Economic Development Zone of Vietnam situated 22 kilometres north of Ho Chi Minh City. Lessons Learnt: Strategically located and in close proximity to international airport, seaport and commercial and service centres of Ho Chi Minh City The construction of the New Township in Binh Doung province (3900 hectares) provide investment opportunities for the construction of new hospitals, universities, golf courses, shopping centres and residential properties Investors will be allocated space within the township on a lease agreement to build up their own infrastructure and projects within the area

Phu My Hung Housing Project Area The project is a joint venture between Taiwanbased Central Trading & Development Corporation (70%) and Tan Thuan Industrial Promotion Company of Ho Chi Minh City

government (30%) and part of the Saigon South Urban Development Area. Lessons Learnt: Government support at the highest level is important to ensure smooth implementation of the project and in getting approvals from government departments e.g. Phu My Hung housing project masterplan was endorsed by the Prime Minister of Vietnam in 1998 Foreign investors are expected to provide funding for the project while the government provide the land and basic infrastructure needs such as the water supply and drainage system Price of land is very high and controlled by the government. Government permission is required for sale of houses to Vietnamese.

SESSION ON SHARING BUSINESS IN VIETNAM

The following Malaysian speakers shared their views and personal experiences in doing business in Vietnam and elaborated on why they chose Vietnam as the preferred location for their overseas investment. i) Mr. Virat Dinrat, General Director, Noi Bai Industrial Zone, Hanoi A thorough feasibility and viability study on the prospective business should be conducted before any investment is made It is important for investors to examine and study the profile of potential business partner to ensure links are made with reliable and trustworthy local businessmen Investors must consult legal advisors before an agreement is signed as Vietnamese partners will tend to exploit loopholes in the law at the detriment of the foreign party

made although they do not have the capability to deliver or implement the project A contract is just a formality to fulfill the obligations and requirements of a joint venture agreement but is not regarded as binding by Vietnamese partners Vietnamese is not capable of managing financial matters or to properly follow accounting procedures Building confidence in business relationship with Vietnamese partners is an important aspect of the business culture in Vietnam Malaysian companies are competitive in the bidding of projects compared to companies from developed countries such as Japan, USA and France Most projects funded by foreign governments are given to companies from the same countries It is advisable for Malaysian companies to form a consortium to share financial resources and expertise to bid for projects

Mr. Linson Lim, Chief Representative Keppel Land Vietnam Properties Pte Ltd Vietnams strong economic growth has created a growing affluent mid and upper class population Houses in the price range of US$250,000 to US$400,000 are popular among Vietnamese buyers and were sold out in one week The company observed that the uptake rate by purchaser increases in correlation to a rise in the price of houses

or state owned corporations In most legal dispute, the court would usually give a judgement in favour of the Vietnamese partner. Under the legal system, the courts do not practice precedent or refer to past decision of similar cases Contract must always be in Vietnamese while an English version can also be made. However, only the Vietnamese version is allowed to be used in courts Disputes can be referred to an arbitration for settlement. In general, most disputes can be settled as Vietnamese will fulfil their legal obligations if they are properly informed

COURTESY CALL TO THE PEOPLE COMMITTEE Hanoi A courtesy visit was made to Mr. Nguyen Quang Thu, the Director for the Department of Foreign Affairs of the People Committee of Hanoi. The Malaysian side informed the Committee about the Specialized Malaysian Construction Services Marketing Mission to Vietnam and request for their support and cooperation for Malaysian contractors to do business in Vietnam Ho Chi Minh City A courtesy visit was made to Mr. Nguyen Van Dua, the Vice Chairman of the Construction/ Housing Development/ Infrastructure of the People Committee of Ho Chi Minh City to discuss potential projects for participation by Malaysian companies. Mr. Nguyen Van Dua pledged to discuss with the Transport Sector of the People Committee to invite Malaysian companies to participate in the construction of the new airport and highways. He stressed the need for capital and external experiences in developing Vietnam infrastructure and other construction needs. The Malaysian side informed the committee that Malaysian

contractors have the financial capabilities and experiences to undertake major projects and contribute towards Vietnams infrastructure developments. 10. VISIT TO THE URBAN PLANNING AND ARCHITECTURE DEPARTMENT A meeting was held with Mr. Huynh Xuan Thu, Manager, Urban Planning Information of the Urban Planning and Architecture Department in Ho Chi Minh City to discuss projects under the masterplan development of the city. Projects include the construction of townships, the new international airport, sea ports and citys ring roads. The mission members will follow-up with the department for details on some of the projects that they were interested in. 11. OBSERVATIONS

In 2003, the contribution of the industry and construction sector to the countrys GDP increased to 15% from 12% in 2002. In 2003, Vietnams GDP was US$38.97 billion. The Vietnamese economy is expected to grow by 8% in 2004 due to stronger growth in all economic sectors and increase inflow of foreign investment to the country. Malaysia is the 10th largest investor in Vietnam with 158 projects valued at USD 1.25 billion, 3rd among ASEAN countries and 8th among APEC countries. Since 1995, Malaysian construction companies had completed seven projects worth US$96 million.

From discussions held with Malaysian and foreign investors, it was observed that local presence and frequent visits to the market are critical for success in the construction and related professional services sector in Vietnam.

To establish a presence in Vietnam, it is important for Malaysian companies to find the right business partner. It is advisable for Malaysian companies to establish linkages with subsidiaries of government-owned

companies that could ensure smooth running of the project undertaken and channel disputes directly to the government.

Malaysian companies should form a consortium to share the risks and capital and offer a total integrated solution which include feasibility studies, designing, procurements, construction and implementation as well as financing to be successful in the project.

Malaysian companies should cultivate goodwill and shared values with their Vietnamese partners to built trust and confidence in their business relationship. Malaysian companies should adopt cross-cultural approach to understand the business culture and practices in Vietnam. Malaysian companies seeking to invest in Vietnam should engage the services of a language professional or translator as most Vietnamese has limited spoken and written command of the English language Vietnamese will often view an agreement/contract with a foreign partner as non-binding and a formality only. In a dispute, the Vietnamese court will give the benefit of the doubt to the local partner at the expense of the foreign investors.

Malaysian companies should be meticulous on the small prints of agreements and unwritten business rules as Vietnamese are fond of changing an agreement at the disadvantage of the foreign partners once funds have been channeled to the country.

Following this mission, Tele Kenyalang Sdn Bhd, Lion Pacific Sdn Bhd and Pembinaan Mitrajaya Sdn Bhd have verbally expressed their intention to set up a representative office in Vietnam. It is noted that Bina Puri Construction Sdn Bhd and EJ Joint Venture have established a representative office in Vietnam

The participants agreed that MATRADE, CIDB and the Consulate General office should continue taking proactive measures to disseminate information on construction opportunities and tenders to Malaysian companies. The information must be made available well before the closing of tenders for companies to have sufficient time to prepare for submission of the tender documents. Suggestions were also made by participants for CIDB to set-up a representative office in Vietnam to assist construction companies in establishing a commercial presence in Vietnam and identify business opportunities. The participants general feeling was that the mission was successful in providing a good overview of Vietnams construction sector. Both the seminars in Hanoi and Ho Chi Minh City have provided them with a good insight on the construction opportunities in Vietnam and the various aspects, challenges and the business culture in Vietnam.
