Meaning of Amalgamation The term "amalgamation" is not defined by the Companies Act, 1956. But section 2(1B) of the Income-tax Act, 1961, defines the term "amalgamation" for the purposes of the income tax law. Amalgamation is the merger of one or more companies with another company or the merger of two or more companies to form one company. In views of the Companies Act, 1956, the terms, "amalgamation" and "merger", has the same meaning.

Consolidation
1. The combining of separate companies, functional areas, or product lines, into a single one. Differs from a merger in that a new entity is created in the consolidation.

Exchangeable bond (or XB) is a type of hybrid security consisting of a straight bond and an embedded option to exchange the bond for the stock of a company other than the issuer (usually a subsidiary or company in which the issuer owns a stake) at some future date and under prescribed conditions.[1] An exchangeable bond is different from a convertible bond. A convertible bond gives the holder the option to convert bond into shares of the issuer. The pricing of an exchangeable bond is similar to that of convertible bond, splitting it in straight debt part and an embedded option part and valuing the two separately.
An exchangeable bond gives the holder the option to exchange the bond for the stock of a company other than the issuer (usually a subsidiary) at some future date and under prescribed conditions. This is different from a convertible bond, which gives the holder the option to exchange the bond for other securities (usually stock) offered by the issuer.

Directive Principles in India


The Directive Principles of State Policy are guidelines to the central and state governments of India, to be kept in mind while framing laws and policies. These provisions, contained in Part IV of the Constitution of India, are not enforceable by any court, but the principles laid down therein are considered fundamental in the governance of the country, making it the duty of the State[1] to apply these principles in making laws to establish a just society in the country. The principles have been inspired by the Directive Principles given in the Constitution of Ireland and also by the principles of Gandhism; and relate to social justice, economic welfare, foreign policy, and legal and administrative matters. Directive Principles are classified under the following categories: Gandhian, economic and socialistic, political and administrative, justice and legal, environmental, protection of monuments and peace and security.[2]

Solicitor General of India


The Solicitor General for India is subordinate to the Attorney General of India, who is the Indian government's chief legal advisor, and its primary lawyer in the Supreme Court of India.

The Solicitor General for India is the second law officer of the country, assists the Attorney General, and is himself assisted by several Additional Solicitors General of India.[1] Like the Attorney General of India, the Solicitor General and the Additional Solicitors General advice the Government and appear on behalf of the Union of India in terms of the Law Officers (Terms and Conditions) Rules, 1972[2]. However, unlike the post of Attorney General of India, which is a Constitutional post under Article 76 of the Constitution of India, the posts of the Solicitor General and the Additional Solicitors General are merely statutory.
