Ambito di applicazione e validit I presenti termini e condizioni di vendita e consegna sono valide per tutti gli accordi e le consegne tra REDGREEN A / S ed il Cliente, salvo diverso accordo scritto. Le condizioni particolari o generali fornita dal Cliente degli ordini, condizioni generali di commercio o simili non sono considerati come deviazioni dalle condizioni descritte di seguito, a meno che REDGREEN A / S ha espressamente accettato questi per iscritto. 2. Ricezione dell'ordine L'ordine del Cliente non vincolante per REDGREEN A / S. Accordo finale alla consegna non viene effettuata fino REDGREEN A / S ha inviato conferma scritta dell'ordine. In caso di discrepanza tra la conferma d'ordine e l'ordine del Cliente, della conferma d'ordine applicabile. English 1. Scope and validity The present terms and conditions of sales and delivery shall be valid for all agreements and deliveries between REDGREEN A/S and the Customer, unless otherwise agreed in writing. Any special or general conditions given by the Customer in orders, general terms of trade or similar shall not be regarded as deviations from the conditions described below, unless REDGREEN A/S has expressly accepted these in writing.
2. Receipt of order The Customers order shall not be binding for REDGREEN A/S. Final agreement on delivery is not made until REDGREEN A/S has sent order confirmation in writing. In case of discrepancy between the order confirmation and the Customers order, the order confirmation shall be applicable. An order shall be rejected in any and all cases by REDGREEN A/S if the Customer's credit rating is unsatisfactory or if the Customer has a balance in arrears at REDGREEN A/S.
3. Cancellation and returns The customer shall be entitled to cancel an order no later than 8 days after the order has been placed. On cancellation of an order later than 8 days after order placement, the Customer shall be obliged to indemnify REDGREEN A/S for all and any costs incurred as a result. On cancellation, the Customer shall further be obliged to recompense REDGREEN A/S a sum corresponding to 25% of the purchase price excl. Danish VAT for the delivery ordered. REDGREEN A/S shall not be obliged to provide documentation for de facto losses. Deliveries cannot be returned. To the extent that REDGREEN A/S in isolated cases agrees to return of a delivery, in whole or in part, REDGREEN A/S will charge a fee of no less than 25% of the sum paid for the returned delivery excl. Danish VAT. Return of the delivery will, furthermore, be at the Customers own account and risk. In all cases of return, the returned delivery must be undamaged and, in the case of packaged materials, these must be in the original and unbroken packaging.
4. Terms of delivery All goods shall be delivered in accordance with ICC Incoterms 2000 DDP, unless otherwise expressly stated in the order confirmation.
6. Prices All prices are excl. Danish VAT, customs duties and other charges. If, during the period between order confirmation and delivery, REDGREEN A/S' costs associated with supply/manufacture of goods, including but not limited to increases in the price of raw materials, wage costs, public duties and sudden exchange rate fluctuations and other conditions beyond the control of REDGREEN A/S, REDGREEN A/S reserves the right to increase prices accordingly. REDGREEN A/S price lists are guidelines only and REDGREEN A/S reserves the right to change prices without notice. If REDGREEN A/S wishes to make changes to listed prices, the customer shall be informed immediately. REDGREEN A/S reserves the right to charge a freight and insurance fee amounting to 1 % of the total amount invoiced.
7. Payment, interest calculation Unless otherwise agreed in writing, the purchase price shall be due for payment 25 days net from invoice date. If payment is received no later than 10 days from invoice date, REDGREEN A/S gives cash discount of 3 %. In case of delayed payment, interest will be charged at 1.5 % per month or fraction thereof calculated from the due date. In case of failure to observe the due date stated on the invoice, REDGREEN A/S reserves the right to withhold further deliveries until payment has been made.
8. Retention of title
9. Defects, claims The Customer shall be obliged immediately, and no later than 8 days after receipt of a delivery, to examine the delivery in order to ascertain defects (if any). The Customers examination must always take place before inserting REDGREEN A/S products into other products. The Customer shall be obliged without delay to lodge a claim over ascertained defects in writing to REDGREEN A/S. If errors and defects have occurred in connection with transportation and these are ascertained on delivery, the Customer shall be obliged to inform the relevant forwarder and ensure that the driver writes and signs for visible faults and defects on the waybill. If a delivery is defective such that the defects cannot be ascertained in the above-mentioned examination, the customer shall be obliged without undue delay after the defect has been or should have been discovered, to lodge his claim in writing to REDGREEN A/S. If the Customer fails to cite defects in a delivery no later than one month after delivery, the Customer cannot lodge a claim at a later date. In all cases, the customers right to claim is forfeited if REDGREEN A/S' products have been inserted into other products. Any complaint must include specification of the defect. REDGREEN A/S shall approve a complaint before the goods can be returned. Goods must not be returned without a return number.
10. Liability REDGREEN A/S liability for defects is limited to replacement delivery, subsequent delivery or remedial action. REDGREEN A/S may, however, choose to credit the Customer a sum not exceeding the price of the defective delivery excl. Danish VAT. REDGREEN A/S is under no circumstances liable for operating losses, loss of income, lost savings, third-party losses or other kinds of indirect losses. REDGREEN A/S liability for a delivery is, under all circumstances, limited to an amount not exceeding the price invoiced for the said delivery.
11. Exemption from Liability (Force Majeure) The following circumstances shall result in exemption from liability, to the extent that they delay fulfilment of the Agreement or make fulfilment of the Agreement unreasonably burdensome: industrial disputes and any other circumstances beyond the Parties control such as fire, war, mobilisation or unforeseen military call-ups of a corresponding extent, requisitioning, sequestration, exchange control regulations, riots and civil unrest, shortage of means of transportation, general scarcity of goods, fuel restrictions as well as deficiencies or defects or delays in consignments from sub-suppliers that are due to any of the circumstances mentioned in the present clause. The Party wishing to cite any exemption from liability shall be under obligation to inform the other Party in writing of their emergence and conclusion without delay.
12. Sales address Unless otherwise agreed in writing, the goods shall only be sold at the business address specified on the order.
13. Venue and governing law Any dispute shall be settled by the District Court in Aarhus (Denmark) according to Danish law. This is an English translation of the original agreement written in Danish. The original Danish document must always take precedent over the English translation in all matters.
