1 INTRODUCTION

1.1 GeneraI Information

Company intends to install production facilities offshore Angola, West Africa for the development of the
Vanza and Longui reservoirs in Block 0 Area B. The project is located offshore Angola in 350 to 450 ft water
depth.

The Greater Vanza and Longui Area Development (GVLA) Project is currently in the Concept Selection phase
(CPDEP Phase 2). This Scope of Work is for Front End Engineering & Design (FEED) of the GVLA Project.
FEED is a part of Chevron's CPDEP Phase 3 activity.

This Scope of Work will advance the Basis of Design, further define the facilities, and enhance and build on
the design developed in Phase 2. The FEED Scope of Work will be carried out by two contractors:

Contractor shall be responsible for the following components:

O Process and Compression Platform (PCP)
O Living Quarters Platform (QUP),
O Bridges connecting the Vanza VWHP platform, LQUP and the PCPs
O Power cable between the PCP and the Longui LWHP platform
O Fiber optic cable between the PCP and Longui platform
O NOTE: Only one submarine cable to carry power and fiber optic between the PCP and Longui WHP

The following components will be provided by others:

O Wellhead Platform (LWHP) at Longui
O Wellhead Platform (VWHP) at Vanza
O Flowline between the Longui LWHP Platform and the PCP
O Oil pipeline from PCP to the Nemba spur connection
O Gas pipeline from PCP to Saux platform
O GVLA tie-in at SAUX and Sanha.

This document defines the Scope of Work for Contractor.

1. Phase 3 Work

For GVLA project execution, there are multiple phases of work occurring in CPDEP Phase 3, sequentially:

1) Pre-FEED Phase work was conducted in late Phase 2 and prior to FEED Contract Award and is not
finished;
2) FEED Phase work to be conducted shall include:
a) This Scope of Work provided by Contractor; and
b) The above additional scope of work to be provided by others.
3) Pre-Sanction Engineering Phase work to complete Phase 3 and prior to Sanctioning of the project
or award of EPC.

The primary deliverables for CPDEP Phase 3 work are:

O TB packages to bid Facilities and Pipelines for EPC;
O Class 3 Capital Cost Estimate;
O Level 3 Asset Development Schedule;
O Set of design documents to continue into CPDEP Phase 4 Execution Phase.

Contractor work for this Scope of Work addresses only the FEED Phase.

1.3 FEED Work

For FEED Phase, the scope of work shall be sequenced as follows, with overlaps:

O FEED Planning
O FEED Execution
O Prepare and issue TB for EPC at unit rates.
O During TB for EPC bid phase, finalize FEED deliverables
O Prepare for Pre-Sanction Engineering (Pre Sanction Engineering is not part of this Scope)

Company plans a large project team at FEED Contractor office(s) and will require offices for Company project
team up to 6 months after EPC award.

n addition, the FEED Contractor may be asked to assist Company in bidding, evaluation, and preparing
documents to request project sanction and full funding prior to initial EPC awards.


PROJECT OVERVIEW

Company plans to produce hydrocarbons from the Pinda formation located in Block 0 of Angola's offshore sector.
The Pinda formation, in this area of development, consists of two separate reservoirs: Vanza and Longui. Two
separate facilities will be built to produce from these two reservoirs and then comingle the fluids at a central
processing station. The liquids (oil, condensate) will be separated and exported to an existing pipeline. Gas will
be separated and exported to Angola Liquid Natural Gas (ALNG) plant. The facilities field concept consists of the
following:

O Longui Wellhead Platform (LWHP) ~ 450 ft wd
O Vanza Wellhead Platform (VWHP) ~ 350 ft wd
O Production and Compression Platform (PCP) at Vanza ~ 350 ft wd
O Living Quarters and Utility Platform (QUP) ~ 350 ft wd
O (2) Bridges connecting VWHP, PCP and LQ at Vanza area
O Flare Boom on PCP
O Oil + Condensate Pipeline to Nemba spur ~ 7 km
O Rich, dense phase, Gas Pipeline from PCP to SAUX ~ 25 km
O 3 Phase Flowline from Longui to Vanza PCP ~ 7 km
O Electrical submarine cable with integrated fiber optic cable from Vanza Complex to Longui

The Facilities design basis, together with Company's development plan, is described in Section "03 Technical
Requirements Appendix 1 Design Basis. This Scope of Work document describes the engineering, and
procurement activities required to provide FEED for the Facilities for hydrocarbon production.

The GVLA platform complex will be designed as a "Hub network for future tie-ins and tie-back of other fields
in the area. Company's onshore logistic base and terminal is at Malongo, Angola. No work is planned at
Malongo as part of the GVLA project and FEED will not assume or provide for any mustering of equipment or
materials at Malongo base.

See the following figures for general information on the Project, locations, facilities, and pipelines within the
Project scope.

3 PURPOSE OF THIS DOCUMENT

The purpose of this document is to:

O Define the FEED Services required from Contractor;
O Define responsibilities of Company and the Contractor during execution of the FEED work;
O Describe the Scope of the FEED Work for Contractor;
O Provide sufficient information on the planned development to allow the FEED Work to be successfully
completed.

This document shall be controlled by the Company.


4 INTENT OF INFORMATION PROVIDED BY COMPANY

Company will provide to Contractor drawings, specifications and other documents previously developed as
part of the Phase 2 work activity. n addition, Company may provide for Contractor's use additional
documents and information from work performed by others for other similar projects. Contractor shall verify
that all such drawings, specifications or other documents are adequate and appropriate for FEED before
using them for design, procurement, or construction planning of the facility. Contractor shall notify Company
in writing of conflicts, errors, omissions or discrepancies in these drawings, specifications and other
documents.

Contractor shall fully incorporate Company's inputs into all work. However, Company encourages Contractor
to propose any standards, new or different approaches to the design, alternative equipment selections, etc.,
where Contractor believes that such will reduce cost, improve the schedule, improve reliability, or otherwise
benefit the project without compromising or impacting SAFETY.

Company does not desire to place restrictions on Contractor's judgment as to design of the facility. n the
interpretation of the design requirements of this Contract, it is not intended that there be imposed on
Contractor any design conditions that, in Contractor's judgment, are inconsistent with sound economics or
good design practice. f such inconsistencies develop, Contractor shall immediately notify Company for
resolution.

Company expects Contractor to utilize the work performed in Phase 2 and not to rebuild any documents, work
effort, studies, etc. during FEED. Work performed in Phase 3 by Contractor shall build on the work from
Phase 2. Work performed in Phase 3 will be used to build work in Phase 4.


5 SCOPE OF WORK DESCRIPTION

5.1 Scope Overview

Front End Engineering Design (FEED), as used throughout this document, means the work needed to support
the requirements of Company's CPDEP process for Phase 3, and achieve an ndependent Project Analysis,
nc (PA) Front End Loading (FEL) ndex of 5.0 or better.

FEED for GVLA consists of three phases of work effort that will overlap, and these are further clarified later in
this section. To summarize, the three phases that consist of FEED are:

O FEED Planning Phase Mobilization and joint planning for FEED (about 1 month in length);
O FEED Definition Phase Evaluation of Company's Technical requirements to finalize Facilities global
functional requirements and to optimize specific / key components (about 1 to 2 months in length);

O FEED Development Phase Develop the Design of the Facilities (about 30% engineering complete)
to enable delivery of the agreed deliverables for FEED (about 13 months in length).

The primary deliverables from this FEED work are:

O Class 3 Project Cost Estimate for full development of GVLA; and
O Level 3 Project Schedule Estimate for full development of GVLA to first gas; and
O Sufficient design and a set of TB packages to bid EPC in 2012

While awaiting EPC bids, and full Partner and Company approval for GVLA project funding, Company
intends for the FEED Contractor to advance the FEED design to a more detailed design, which will be
presented to the successful bidder(s) prior to final negotiations and award of the EPC contract. This phase of
work is called "Pre-Sanction Engineering Phase and the Scope of Work will be developed and agreed with
Contractor during FEED. Basically, the Pre-Sanction Engineering Phase deliverables will consist of
engineering to develop TB packages for long lead and critical path materials and equipment bidding,
evaluation of bids, and preparation of Purchase Orders to award upon award of EPC. Additionally, the Basis
of Design will be advanced to a greater level than provided in FEED. Pre-Sanction Engineering Phase is not
part of this FEED scope.

n addition, the FEED Contractor will be asked to assist Company in preparing documents to request project
sanction and full funding from Partners and Company prior to initial EPC awards.

Company has completed Pre-FEED engineering. This work includes flow assurance, mechanical, electrical,
structural, and process studies and development of field concept. The Contractor shall review, update, and
finalize this work but shall not repeat the work performed. Company will provide Contractor all drawings and
documents produced during Phase 2. Contractor will identify gaps in the Phase 2 work deliverables and include in
FEED work.

Company shall be responsible for reservoir management planning, drilling and well completion design.

Contractor shall develop Cost, Time and Resource (CTR) for the Services. Section 5.2 contains outline
information to aid understanding and developing CTR's for the Services that support development of the
deliverables. Part of the methodology in creating the deliverables shall involve additional studies and reviews
which are not explicitly stated in this document. However, it is expected Contractor shall understand the
supporting work required to produce the deliverable, and account for this in the work and schedule plan.

The following Sections further define the Contractor's Scope of Work. t shall be used as a basis for forming cost,
labor, and schedule control estimates, for reporting progress during the execution of the work and for identifying
scope changes that may change the values of the control estimates.

Within 3 months of Contract award, Contractor shall identify long-lead materials and equipment requiring bidding
prior to EPC award (during Phase 3), and equipment that will require bidding just after EPC award (Phase 4).

Contractor is free at anytime during the execution of this FEED work to identify additional studies or work or
deliverables. Contractor will be judged on its ability to reduce capital cost of the project and its initiative to identify
additional studies, activities, deliverables, etc. to enhance the value of the project, including risk reduction,
operability, maintainability and safety of personnel and facilities.

5. Project Management

5..1 Management and Project Staffing

See "Exhibit F-11 Contractor's Organization and Key Personnel (FEED) for more detail requirements. f there
are conflicts between this Section and other Exhibits or Sections, Contractor shall bring to Company attention for
resolution.

Contractor shall provide all services required to manage and support the execution of the Work in accordance
with the requirements of the Contract. The services of a full-time Project Manager familiar with all aspects of
facilities design and installation shall be furnished. Contractor's Project Manager shall have the authority to
directly assign any and all of the resources of Contractor and its sub-contractor(s), in terms of personnel,
equipment, services, computer aids, etc. to ensure the successful outcome of the Work.

Contractor shall provide sufficient qualified management, administrative, and technical personnel and other
resources to execute the Work in a timely manner. The personnel assembled for the project team shall meet or
exceed the skills and experience level of those listed in Contractor proposal and Company minimum
requirements. Project Personnel shall be adequately trained and experienced for their chosen tasks and
experienced in a similar development. Additionally, Contractor personnel assigned to this project must have
FEED experience in offshore upstream oil and gas industry.

Contractor shall provide to Company, personnel qualifications and experience records (CV's) for Company
approval of Contractor's personnel to be directly engaged in the work.

Company reserves the right to ask Contractor to replace any Project Personnel if Company is unsatisfied with
that person's performance or expertise. f an in-house substitute cannot be found, the expertise shall be
subcontracted by Contractor with Company approval within the range of rates as listed in contract.

Company approved Contractor Key Personnel shall remain on the project, as required, to provide continuity and
progress of the work. Contractor Key Personnel may only be removed after receiving Company written approval.

5.. Change Management

Contractor shall issue to Company within 14 calendar days of contact award a Change Management Procedure
for implementation immediately in FEED. See Exhibit F-1 Project Controls and Administration for details.

5.3 Engineering

5.3.1 FEED Overview

This Section is intended to provide Contractor information about work expectations during FEED and shall be
worked with other parts of this Scope of Work, and "Exhibit D - HES Requirements and "Exhibit F - Project
Coordination Requirements. f there are conflicts between this Section and other Exhibits or Sections, Contractor
shall bring to Company attention for resolution.

Generally, the following is included in the Contractor's engineering scope of work:

O Review, accept, or provide comments, on Company provided documents (including specifications).
Develop new documents as agreed with Company and detailed in CTR's;
O Perform any additional Definition Engineering agreed to by Company and any additional reviews,
interfacing with other project sections (pipeline and facility) or other studies Contractor and Company
agree to perform, to better define the project facilities;
O Advance engineering for the topsides facilities, structures, and pipelines for FEED to approximately
30%; and

O Complete FEED in accordance with the approved FEED Schedule, Contract CTR's, Contract
Deliverables List and Contract Price Budget, Contractor's internal QA and HES Management
Systems, and Company requirements.

n order to meet schedule, Company envisions at least two teams under experienced management with some
shared personnel. Contractor shall confirm need for separate teams for the following major components:

O Central Production Facilities
O Living Quarters and Utilities Platform

Contractor shall provide an architect who is versed in offshore design, engineering, planning, interior
architecture, and project management of living quarters (LQ). Architect shall be familiar with USCG and ABS /
DNV requirements for offshore living quarters. The GVLA LQ and heliport will meet USCG requirements. The
LQ architect will seek and include lessons learned from prior Chevron projects (preferably offshore Angola)
and implement improvements. The work for the LQ design will be advanced enough to describe major
components of the LQ structural, plumbing, mechanical, HVAC, area distribution, sizes of rooms, sizes of
offices, etc. Room Layout for each floor will be provided. Exterior and nterior architectural drawings will be
provided and materials selected. LQ FEED design will be shared with Company's operation team and they
will have significant input as to size and interior design of the LQ.

Process Automation and Control work must be performed by a recognized Main Automation Contractor
(MAC) engineering firm approved by Company, which could be a sister Company, partner, or sub-contractor
to the FEED Contractor. MAC will be approved by Company. Company has a master service agreement for a
MAC and this information will be shared with Contractor upon request. Scope of Work for MAC for FEED is
provided in "EXHBT A-3: Main Automation Contractor (MAC) Scope.

Company will enter FEED with a preferred concept, including preliminary layouts; technology preferences;
preliminary process designs; preliminary flow assurance studies for line sizing; equipment, operations, and
maintenance philosophies; preliminary equipment lists; and example specifications.

Engineering activities during FEED will consist of review and update of the Pre-FEED studies, and advancement
of the design from Pre-FEED to adequate quality to issue "Approved for Detailed Design (AFDD) with the TB
packages.

The FEED Contractor will be asked to assist Company in preparing the Decision Support Package documents to
request project sanction and full funding, prior to initial EPC awards.

While awaiting bids, and full partner approval for GVLA project funding and EPC contract award, Company
intends for the FEED Contractor to advance the GVLA Facilities design to a more detailed design, which will
be reviewed with the successful bidder(s) during final negotiations and re-issued AFDD Rev 2 at award of the
EPC contracts. This work is part of the Pre-Sanction Engineering Phase.

Safety, Health, Environmental Quality & Risk needs shall be considered and integrated into the designs at all
stages of FEED and project execution. See additional information in this Section and "Exhibit D HES
Requirements for more details.

Company will employ a comprehensive Risk Management Program during Phase 3. Contractor will be required to
participate and employ and ensure Contractor Risk Management Program echoes Company program. See
"Exhibit F-7 Risk Management (FEED) for more information.

Drilling and Well Completion design shall be performed by Company and relevant information will be found in the
Design Basis document.

As part of the FEED package Company will issue drawings and documents that may refer to a process design
of 350 MMSCFD. Where such production rate is referenced, Contractor shall note the actual through-put is
450 MMSCFD and make appropriate changes in all design, drawings, documents, etc.

As stated previously, FEED for GVLA consists of three phases of work effort and each are explained further in
succeeding sections:

O FEED Planning Phase;
O FEED Definition Phase; and
O FEED Development.

5.3.1.1 FEED PIanning Phase

This phase of work is expected to last no more than one month after Contract award.

During this phase of work, Contractor shall meet continuously with Company leadership team to agree on
organization, project execution, project controls and reporting, and overall administration of the Contract.

Contractor will immediately start organizing and assigning project leadership after award. Additionally, all
discipline leadership shall be in place within four weeks of contract award. Project discipline teams will be
organizing and commence work on the project by end of this phase.

The following deliverables are expected to be complete for the FEED Planning Phase:

O FEED Contract signed and distributed;
O CTR catalogue built;
O Company identified FEED studies planned and 25% commenced see "Exhibit A-1 Studies to be
Performed in FEED;
O nterface Management Plan (Exhibit F-6);
O Risk Management Plan (Exhibit F-7);
O Baseline for Cost Control and Reporting (Exhibit F-1);
O nformation Management and Technology Plans (Exhibit F-1);
O 50% of CTR's prepared and ready for approval;
O Project Controls and Reporting agreed;
O Procurement Plan (Exhibit F-3);
O CTR Man-Hour and Cost Plan (exhibit F-1);
O Project Staff Mobilization Plan (exhibit F-1);
O FEED contract Schedule (Exhibit F-1);
O Cost Control and Accounting Plan (Exhibit F-1);
O HSE, Quality and Risk Management Plans issued;
O Project Administration program agreed (offices, telecom, invoicing, etc.);
O Project Execution Plan complete;
O Project Dashboard agreed and first issue ready for distribution;
O Other deliverables and activities required within this Scope of Work but are not listed here - Contractor
shall provide; and
O Project Deliverable Schedule.

This FEED Planning Phase shall be considered complete when Company Project Leadership Team and
Contractor Project Manager agree all deliverables and activities have been completed.

5.3.1. FEED Definition Phase

This phase of work is expected to last no more than two months after FEED Planning Phase and three months
after Contract award. This phase of work could commence anytime during FEED Planning Phase, with the
approval of Company Project Manager and Engineering Manager.

Contractor will complete organizing and assigning project teams during this phase.

The following deliverables and activities are expected to be complete for the FEED Definition Phase:

O Review Company supplied information and identify missing or conflicting data and develop CTR's to fill
the gap. The Contractor shall also review the Company's selected concepts from the pre-FEED studies,
to ensure an optimized field layout;
O 95% of CTR's prepared, completed and approved;
O PCP Platform layout optimization;
O Company identified FEED studies commenced see "Exhibit A-1 Studies to be Performed in FEED;
O Phase 3 Basis of Design for FEED complete;
O FEED Development Phase commenced;
O Contractor shall identify and formally submit to Company for Approval a list of all long lead or critical
equipment packages for purchase order award during Pre-Sanction Engineering; and
O Other deliverables and activities required within this Scope of Work but are not listed here - Contractor
shall provide.

This FEED Definition Phase shall be considered complete when Company Project Leadership Team and
Contractor Project Manager agree all deliverables and activities have been completed.

5.3.1.3 FEED DeveIopment Phase

This phase of work is expected to last no more than 13 months after FEED Definition Phase and 15 months after
Contract award. This phase of work could commence anytime during FEED Definition Phase, with the approval of
Company Project Manager and Engineering Manager.

The FEED Development Phase of FEED shall include, but not be limited to, the following:

O Develop the design of the agreed facility layout to enable preparation of the AFE quality cost estimate
& schedule;
O Prepare the 'Engineering Package', including updated Basis of Design;
O Prepare technical documentation for inclusion in the Bid packages;
O Update and prepare a set of Project specifications;
O Layout and Operability Designs including; equipment configurations & weight / size, maintenance
and material handling, operations plan, etc.;
O Prepare RFQ packages for major equipment;
O Process Designs, Structural Designs, PDMS Piping and Structural Models, Fire and Explosion Risk
Analysis (FERA), Architectural designs for Control Room and Living Quarters completed, etc.;

All designs included in the bid packages shall be supported by the appropriate analyses and studies.

Contractor shall, prior to TB issue, define and develop the Process Automation System philosophy and advance
the design and system requirements to the level of detail required for bidding system components. Contractor
shall refer to "EXHBT A-3: Main Automation Contractor (MAC) Scope. Approved vendors conducting PAS will
be determined by Company.

The Main Automation Contractor (MAC) shall assist in finalizing the PAS Philosophy, PAS Basis of Design, using
the Company MAC Toolkit as starting point, develop the PAS including system design, functionality
requirements, scope of work, roles & responsibility, schedule and procurement package.

Contractor shall provide a list of engineering applications (name, manufacturer, version):

O Those that will be used for analysis and simulation (including but not limited to process simulation,
electrical load and short circuit analysis, structural analysis, vessel sizing, etc.); and
O Database applications (including any existing interfaces to other design systems) used for
management of:

Line lists
Cable schedules
Equipment lists (both electrical and mechanical)
Procurement

Contractor is required to use Ntools to create and manage instrument index, /O lists and estimates, and data
sheets. Contractor shall describe its experience in using Ntools for these purposes, such as number of years
Ntools has been in use on Contractor projects.

With respect to document management, contractor shall:

O Describe the system used to manage electronic files;
O Describe the system(s) used to manage transmittal data, the document register and deliverable list
(defined by Company as Project Documentation Schedule or PDS);

Company will be employing iFields, a dynamic and real-time data acquisition system developed for Block 0 field-

requirements as FEED progresses.

5.3. FaciIities Engineering

During FEED, the Contractor's most urgent scope is to complete sufficient engineering and design documents
to issue an nvitation to Bid (TB) for Phase 4 EPC Project Execution. FEED documents must be of high
quality and completeness for EPC execution with no change orders. The FEED Contractor's scope of work
includes, but is not limited to the following:

5.3.3 PipeIine Engineering


FEED work for pipeline scope consists of:

O New subsea Oil and Condensate export pipeline with subsea tie-in at new valve tie-in at Nemba Spur
connection point just south of Nemba Platform;
O New subsea Gas export pipeline to the new Sanha Auxiliary platform at the Sanha complex south of
GVLA;
O New three phase flowline between Longui wellhead platform and processing platform' and
O Allow space for two future 18 risers with a deck layout and design to accommodate the future
pipeline appurtenances..

The major pipeline design work will be by others. Pipeline Appurtenance and Riser Engineering Work
associated with the PCP, including pig traps, risers and tube turns, shall be done by Contractor. Pipeline
Appurtenance and Riser Engineering scope related to the platforms in the Contractor's Scope of Work shall
be done by Contractor. Contractor and Company's other FEED contractor shall interface between riser and

Contractor shall perform detailed Flow Assurance Analysis for the GVLA Project. Available previous work shall be

5.4 DeIiverabIes

5.4.1 CIass 3 Cost Estimate

5.4.1.1 Introduction

During FEED there are two costs estimates to be developed and tracked by Contractor;

O FEED Cost - Contractor costs to complete the three phases of FEED
O Class 3 Cost (CAPEX & OPEX) for development of GVLA (a FEED deliverable)

Contractor shall prepare a Basis of Capital Cost Estimate prior to commencement of cost estimating work and
must receive Company approval. Company and Contractor shall schedule and hold a formal meeting on the
detailed capital cost estimate within 30 days of Contract award. Meeting objectives shall include establishing
basis for estimate, timing for development of the estimate, interim reporting of estimate and presentation of
estimate details. The estimate shall be broken down by a cost breakdown structure developed jointly by the
Company and Contractor. The basis of estimate shall be documented and submitted to Company prior to start
on Class 3 Cost Estimate. The estimate shall be coordinated by Contractor personnel with previous experience
in cost estimation for offshore construction bidding.

Contractor shall prepare a Cost & Estimate Package. The estimate shall be performed / coordinated by a
professional currently engaged in the function of cost estimation for provision of major offshore oil and gas
facilities.

The cost estimate package shall conform to the table of contents as indicated by and be prepared in accordance
with the estimating guidelines. The scope of work includes cost risk assessment, participation in, and support for
Company's Estimate Assurance process.

5.4.1. CapitaI Expenditure (CAPEX)

Contractor shall assist Company in optimization of the total project expenditure for maximum value (CAPEX and
OPEX) based on life of the field. Contractor shall assist the Company in identifying opportunities of cost
reductions to realize greater value of the development. Contractor will receive results of Class 2 Capital Cost
Estimate and Level 2 Project Schedule developed in Phase 2 and will utilize these as benchmark for reduction.
Contractor will track changes to the Capital Cost from inception of FEED to completion of all work. Company has
targeted a Capital Cost reduction of up to a minimum of 10% (about $300 MM) during FEED. Capital Cost
reduction performance will be a Key Performance ndicator (KP) for success of FEED execution by Contractor.

Contractor shall develop and maintain facilities cost estimates.

Company will provide a 30% cost estimate documentation from pre-FEED engineering for reference purpose
only. Contractor shall update this estimate, and develop a risked AFE quality estimate of Capital and Operating
Cost to an accuracy of 10%, prior to receipt of EPC bids. The 30% cost estimate shall be used to discuss and
agree the structure, methodology (e.g. Monte Carlo Analysis) and processes utilized in refining the estimate to the
final deliverable (i.e. 10% Cost Estimate Package). After receipt of EPC bids, the cost estimate shall be
updated again to support Company and Partner AFE's and approval processes.

The estimate basis and all assumptions, contingencies, estimating allowances, exclusions, methodology and
sources of estimating information shall be documented. The method of contingency development shall be clearly
identified and carried as a separate line item. The probability of attaining 10% accuracy shall be identified given
the percentage completion of engineering, completeness of drawings, equipment data and well data composition.

Contingency, Owners Cost and Taxes shall be carried as separate line item in the cost estimating spreadsheets.

Contractor, as part of capital cost estimate, and working in concert with Project Development Schedule, build
project cashflow model to apply capital costs.

Contractor shall develop and submit a Phase 3 Basis of Cost Estimate for Company review and approval within
two months of FEED Contract Award. The cost estimating process will be planned in advance to allow sufficient
time for the final estimate review. The general process for developing the final Class 3 cost estimate:

O Contractor and Company will hold a cost estimate kickoff workshop to align all stakeholder
expectations for the estimate;
O Contractor will develop a Phase 3 Basis of Cost Estimate;
O Contractor shall plan for periodic workshops with Company Leadership Team to focus on status of
the cost estimating process;

O Contractor will plan for periodic reviews with Company Subject Matter Experts (SME) in Cost
Estimating to review status and ensure basis of estimate is consistently applied or if changes are
required;
O Conduct Final Class 3 Cost Estimate Workshop for a quality check with Company representatives;
O Conduct Class 3 Cost Estimate Assessment with Company SME (one week); and
O Conduct Class 3 Cost Estimate Analysis with Company. Company may employ third party to help
with assessment and Contractor shall work and accommodate the third party.

The estimate shall be based upon well-progressed designs. The estimate basis and all assumptions,
contingencies, estimating allowances, exclusions, methodology and sources of estimating information shall be
documented. Major equipment costs shall be based on budget quotes utilizing Company's Approved Vendors
List, which will be provided by Company. n preparing the Class 3 Cost Estimate, Contractor shall provide any
and all supporting information and backup to any estimates including:

O Written quotations for minimum 80% of equipment and 80% of the scope value;
O Computer Aided Drafting (CAD) / PDMS piping model defined for 4 and above;
O Detailed weight report to an accuracy of 10%;
O Process design including site-specific regulations, HAZOP/SSFA results and Ops / Maintenance
requirements;
O Detailed equipment / facilities layouts;
O Major equipment selection and sizing;
O Estimate Plan and subsequent Basis of Estimate;
O Project Execution Plan;
O Operating plan and Manpower plan;
O Procurement plan with Company approved vendors list;
O Detailed plot plan and areas;
O Detailed Flow Assurance evaluation;
O Firm Process Flow Diagrams, Material Selection Diagrams, Process and nstrumentation Diagrams
(P&Ds) and electrical one-lines;
O Firm Design Basis from each discipline;
O Detailed tie-in schedule;
O Firm utility balance;
O General project specifications;
O Cost and schedule risk analysis;
O Escalation defined;
O Currency exchange assumptions defined;
O Bulk Materials Take-off;
O Escalation considerations based on Project timing and Project schedules;
O Allowance considerations;
O Take-off factors; and
O Any exclusions from the estimates.

5.4.1.3 Operating Expenditure (OPEX)

Contractor shall prepare an OPEX model with the assistance of the Company.

The OPEX model shall be developed and refined to ensure an estimate that is accurate to +/- 10%. The level of
confidence in attaining +/- 10% accuracy shall be identified given the percentage completion of engineering and
the status of Project Development Planning.

Contractor shall provide input to the Direct Operating Expenditures (e.g. fuel consumption, chemical
consumption, capital equipment spares, maintenance spares, tools, mobilization of repair and inspection
equipment, mobilization of specialists etc.)

Contractor shall also provide input and assist Company in developing Manpower Estimates for inclusion in the
OPEX Model.

OPEX model shall be phased over the life of the development.

5.4. LeveI 3 ScheduIe

Contractor shall develop, in Primavera Project Management V. 6 (P6), a FEED and Execution schedule. All
schedules described herein shall be coordinated by professional(s) with previous experience coordinating
schedules in Primavera scheduling systems for detailed design, fabrication, and offshore installation,
construction and commissioning. Requirements for schedule development and submittal of schedules are
defined in "Exhibit C - Contract Schedule.

Upon Company direction Contractor shall provide a resource loaded execution schedule, with estimated work
hours, covering detailed design, procurement, fabrication, installation and hookup & commissioning activities
as part of the basis for the Class 3 Cost Estimate.

A formal schedule risk assessment will be performed jointly by Company and Contractor upon completion of
the resource loaded Execution Schedule.

Contractor shall assist and cooperate with Company in the development and maintenance of an overall
Master Project Schedule. Company will own Master Project Schedule.

5.4.3 Phase 4 Invitation To Bid (ITB) Packages

Company will require two major nvitation to Bid (TB) packages to be prepared with the assistance of Contractor.
One TB for bidding of all of the Platforms, which Contractor will develop with support information supplied by
Company's other contractors, as needed. And a second TB for bidding the Pipelines, which will be fully
developed by Company's other contractors. Both of the bid packages will be on an EPC (Engineering,
Procurement, Construction and nstallation) basis.

All designs represented in the Bid Packages shall be supported and documented by engineering analyses and
studies undertaken by Contractor as part of FEED.

Contractor shall prepare pre-qualification packages, assist in preparing evaluation criteria of the potential
bidder's responses and assist Company in bidder qualification.

Each Bid Package shall comprise all the information ( text, tables, data sheets, interface designations,
drawings and specifications) required to fully define the bidders' work scope and contractual obligations.

The Bid Packages shall be patterned after the Table of Contents for Bid Packages provided by Company and
provided to successful bidder. n general, the Contractor shall have primary responsibility for developing the
technical sections of the Bid Packages. Company will assume primary responsibility for developing the
commercial sections of the Bid Packages. Contractor shall have responsibility for typing, reproduction, assembly,
and distribution of all sections of the Bid Package(s).

Contractor shall prepare all drawings required for the bid packages.

Explicit interface designation between the potential contracts will be an important component of the bid
documents.

Contractor shall also support the development of other project Bid Packages by supplying interface information as
requested.

5.5 Specifications

Contractor shall review Company-provided specifications and Data Sheets to assess compatibility and gaps with
regards to the Project work scope and equipment functional requirements. Contractor shall complete a discipline
review of each specification, recommend specific changes or addendums for improvement, and create new
specifications when approved by Company. Company's intent in this respect includes identifying ambiguities,
discrepancies, obsolete requirements, and any unnecessary Contractor deliverables rather than incorporation of
"preferential engineering requirements. Contractor shall identify gaps where no Company specifications or Data
Sheets exist, and develop specifications and data sheets to fill these gaps. Contractor shall document its
engineering in an overall FEED Engineering Report Package.

Company intends to use the Chevron Engineering Standards (CES) and CABGOC Standards for FEED and TB.


6 HEALTH, ENVIRONMENT AND SAFETY MANAGEMENT

Details of Contractor HES requirements are contained in this Section and "Exhibit D - HES Requirements. f
there are conflicts between this Section and other Exhibits or Sections, Contractor shall bring to Company
attention for resolution.

6.1 GeneraI

Contractor shall, as a minimum, have and operate a HES Management System and have dedicated trained
personnel to systematically analyze all applicable HES issues. The system and products shall be subject to
regular internal verification / audits by Contractor and available for inspection by Company and / or third parties as
requested. To facilitate good and effective communication with the Contractor's dedicated HES representatives
and Company, a dedicated HES Coordinator will be available from Company throughout FEED.

All work shall be performed in a manner which is consistent with, and all work shall meet the intent of, Company
policies applying to health, environment and safety management. n all cases, the highest priority shall be given
to safety of the general public as well as safety of Contractor and Company personnel, the environment, and
GVLA asset.

Contractor shall perform all work in such a manner that will minimize the opportunity for repetitive stress injuries.
Contractor shall provide Company a process system that minimizes repetitive stress injuries.

Contractor shall establish and perform the Design Work in accordance with HES Management System inclusive
of all necessary studies, review / audit, HES action register and follow-up. The HES Management System shall
place particular emphasis on the following:

O Chevron Safety in Design (SD) Manual
O Chevron Safe Operating Procedures
O Chevron Human Factors Engineering (HFE)
O Design for safe construction and operation
O Design for acceptable environmental impact
O Design for emergency response
O Documentation of the above after PHA, HAZD, HAZOP/SSFA, SL, Determination, AP 14C
Compliance, and other studies and reviews.

Contractor shall prepare within fourteen days of Contract Award a Health, Environment and Safety Plan. The Plan
shall detail Contractor's HES management and audit activities, audit timelines and deliverables.

6. Incident and Injury Free Program

The Company objective is to have zero incidents or injuries during the design, fabrication, installation, and
operation of the Project facilities. n order to achieve extraordinary safety performance, an ncident and njury
Free program will be implemented on the project to create an aligned, committed and focused team to
execute the work. This program will initially be led and coached by a third party, who shall be under direct
contract to Company. The FEED Contractor should plan on the following involvement (as a minimum):

O Project Manager and key staff (5-10) to attend a 2 day commitment workshop on achieving incident
and injury-free performance.
O Participate in a 2 day Align Design and Plan workshop on achieving incident and injury-free
performance
O Participate in interviews and receive coaching on safety behaviors from third party contracted by
Company. This will likely average day every other month.
O ncorporate safety philosophy into both behaviors during the design process and into design
decisions that impact the ability to construct and operate the facility safely.
O Provide all required management, support, and processes to implement Company's ncident and
njury Free approach to the design and execution of this project. Establish programs for building in
safety in design, performing and documenting design reviews, system audits, supporting risk/hazard
identification and management and developing project execution safety requirements. n addition,
provide information on leading safety indicators, incident statistics and incident investigations as
required for project reporting.

6.3 HeaIth and EnvironmentaI Risk Assessments

Contractor shall be responsible for participating in the following assessments (at a minimum), documenting
the results, and incorporating the findings in the design:

O Process Hazards Analysis (PHA)
O Layout Assessment
O Human Factors Analysis
O HAZD / Risk Analysis A 'what-if' review of the facility layout and P&Ds
O HAZOP/SSFA
O Quantitative Risk Assessments
O Dropped Object, Ship Collision (inclusive of vessel traffic review)
O Safety Systems mpairment Frequency Assessment
O SMOPS

Contractor shall evaluate risk to the pipeline risers and seabed flowlines from dropped objects and recommend a
course of action (list of assumed dropped objects, recommended impact energy protection, defined heavy lift
zone etc).

Company will evaluate the experience of Contractor's personnel performing these assessments prior to
beginning a specific assessment. f Company is not satisfied with Contractor's experience, Company will
require that Contractor subcontract these assessments to a Company approved sub-contractor. A list of
approved sub-contractors for this type of work will be provided.

6.4 ReguIatory CompIiance

Contractor shall be responsible for developing a detailed matrix showing all applicable national and
international regulations and mandatory regulatory interfaces/permits/approvals and codes and standards
applicable for the project and incorporating the requirements of these regulations and permits into the design.

Contractor shall, as part of its responsibilities, perform a thorough review of Angolan legislation to accurately
reflect the legislative requirements, national and international regulations and those codes and standards to
which Contractor intends to furnish its proposed facilities.

Contractor shall attend a monthly meeting chaired by Company, to review design status and co-ordination
with regards to regulatory matters.

When requested by Company, Contractor shall provide to Company all data, drawings and information
relating to the work that may be required by any government or regulatory agency as a condition to the
granting of approvals or permits.

Where permits are required for Contractor, Contractor shall secure all permits, make all cash or other
deposits, provide all bonds and give all notices required by law in connection with conducting its business
during the performance of the work.


"UALITY MANAGEMENT

Details of Contractor QMS requirements are contained in this Section and "Exhibit F-5 Contractor's Project
Quality Management Program. f there are conflicts between this Section and other Exhibits or Sections,
Contractor shall bring to Company attention for resolution.

.1 "uaIity Management System ("MS)

The Contractor shall implement a QMS that meets the requirements of SO 9001:2008. t is not a requirement
for the Contractor system to be certified by an independent certification body, however it is a mandatory
requirement that the system be verifiable by the Company Quality Representative as meeting the
requirements of SO 9001:2008 as applicable to the scope of work.

. Project "uaIity Manager and Resources

The Contractor shall appoint a Project Quality Manager with the responsibility and authority to act effectively in
all Project quality matters, including establishing the Project QMS, establishing the Quality Plan, and full
implementation of Quality Management Exhibit F-5. The Project Quality Manager shall be supported as
necessary by Quality Representatives, Quality Engineers, and Auditors meeting the Exhibit F-5 Attachment
for Qualification Requirements for Contractor and Subcontractor Quality Personnel.

.3 Company Verification and Reviews

The process of Verification and Reviews shall be criticality driven. The level of Company Verification and
Reviews of design deliverables assigned to each document shall be based on the criticality of the document's
system/component/activity and the importance of the document to the design or plan for this
system/component/activity. Contractor in association with Company shall develop and assign the Criticality
Ratings Level to each document as well as to each equipment as detailed in Exhibit F-5 Attachment for
Criticality Rating Assessment.

Engineering criticality rating will be used to ensure that the level of review and verification of each engineering
document is commensurate with its criticality. t should be noted that this rating is separate from the
procurement criticality rating, which shall be used by Contractor to determine the level of shop inspection at
each manufacturing location.

.4 Change ControI

The Contractor QMS, aligned with QMS Exhibit F-5 Attachment for Technical Query Procedure, shall provide
for control of documentation relating to the quality of the goods and services specified in the FEED Contract.
t shall assure that changes to the contract, specifications, drawings and other documents affecting the work
are identified, controlled and distributed to personnel, subcontractors and suppliers responsible for
performing, checking, testing, inspecting, approving and releasing the work. Such changes that affect the

Scope of the Work and Services defined by the Contract shall be subject to review, verification and written
approval by the Company.

.5 Subcontractors and SuppIiers

The Contractor is responsible for assuring the quality of subcontracted and purchased goods and services
meets the Project Specifications and Exhibit F-5. This shall be achieved through a balanced combination of:

O Evaluating the capability and viability of the subcontractor or supplier before committing to the
contract / purchase order. This evaluation may include a review or audit of the subcontractor /
supplier QMS. For major subcontracts and purchase orders the Contracting Authority shall be given
the opportunity to participate in the evaluation before a commitment is made.
O Specifying requirements for product and/or service quality in the subcontract or purchase order. The
requirements of this Section and QMS Exhibit F-5 shall be passed on through all sub-tier
subcontracts and purchase orders.
O Monitoring implementation of the subcontractor / supplier QMS during execution of the subcontract or
purchase order.
O Verifying the quality of product or service.

.6 TraceabiIity and Marking

Contractor shall ensure that traceability and marking of all engineering deliverables is well defined and
maintained during all phases of the work. Also all procured items / equipments traceability and marking is
maintained as per Exhibit F-5 Attachment.

. Nonconformities

The Contractor QMS shall provide methods for identifying nonconformities in the goods or services and shall
include a system for evaluating and resolving those nonconformities. Resolution, other than correcting the
nonconformities, to comply with the original Scope of the Work and Services defined by the Contract shall be
approved by the Company in writing on the Company Technical Query Form referenced in Exhibit F-5 of this
bid documents. This applies equally to subcontracts and purchased goods and services.

. "uaIity Records

The records of all quality assurance and quality control activities for each discipline for engineering work shall
be maintained at all times.

.9 Customer Satisfaction

The Contractor QMS shall provide for efficient processing of all Company communications, including swift
acknowledgement, investigation and resolution of any concerns or complaints.

.10 InternaI Audit

The Contractor shall establish a schedule of internal audits for the Project as required in Exhibit F-5, covering
as a minimum:

O Quality management,
O Project management
O Engineering,
O Document control,
O Procurement

The internal audit schedule shall include major subcontractors and suppliers. An action tracking system shall
be established to ensure the timely and effective completion of corrective and improvement actions generated
from internal audits.

.11 "MS Review and Improvement

The Contractor shall establish mechanisms to periodically review the effectiveness of the Project QMS and
initiate improvements. Wherever practicable, lessons learned from other projects shall be introduced to the
Project following discussion with the Company and the written approval of the Company.

.1 System ImpIementation & Verification

The Company shall verify the effective implementation of the QMS of the Contractor, subcontractors and
suppliers by surveillance and/or audit. Failure by the Contractor, Subcontractor and Suppliers to effectively
implement an acceptable QMS in compliance with Exhibit F-5 and SO 9001:2008 may result in increased
surveillance and/or audit, or rejection of the goods or services.

.13 Contractor "uaIity System

Contractor shall have and employ Quality Management System and have dedicated trained personnel to
systematically assess all quality issues. The system and products shall be subject to regular internal verification /
audits by Contractor and be available for inspection by Company and / or third parties as requested.

The Work shall be performed in accordance with Contractor's Quality Management System (satisfying the
requirements of SO 9000 or equivalent international standard), amended where necessary to reflect any
particular requirements of the Work not reflected in Contractor's standard system.

Contractor shall prepare within fourteen days after Contract Award a Quality Plan. The Plan shall detail
Contractor's Quality management and audit activities, audit timelines and deliverables.

.14 "uaIity SpeciaIist Reviews

During the performance of the work, Company shall arrange for teams of specialists to review all aspects of
the work and/or the Facility with respect to its design, detail engineering, equipment, materials, construction,
commissioning, start up, operation and maintenance. Contractor shall fully cooperate with any such specialist
team and make available all necessary documents, services and facilities. Such reviews and any resulting
instructions by Company shall not relieve Contractor of any obligations under this Contract.

.15 Company Reviews and ApprovaIs

Company will have a Quality Manager assigned to the GVLA project who will provide interfaces and
assurances by Contractor and all subcontractors.

As provided throughout this Contract, Company has the right to review all and approve all specifications,
standards, drawings, procedures, methods and data that Contractor and its sub-Contractors and vendors use
or develop hereunder, including inspections of offices and material fabrication facilities. Neither a) such
review, inspection, or approval, including Company's review of, approval of, or agreement to the performance
of any facet of the work, nor b) Company's failure to conduct any such review or inspection or to discover
defective work or materials, shall in any way relieve Contractor from its responsibilities, obligations or
liabilities under this Contract. Company will have 10 business days to review and submit comments.

Prompt preparation and submittal of Contractor drawings and data for Company review and approval is
required. The approval of Contractor drawings or receipt of Contractor design by Company or Company's
designated representative does not constitute an acceptance or verification by Company or Company's agent
that the design satisfies all the codes, standards, technical specifications, and safety standards. t shall be
the sole responsibility of the Contractor to comply with all the codes, standards, technical specifications, and

safety standards. Any comments or requests by Company or Company's designated representative which
inadvertently or intentionally are in conflict with any codes or safety standards shall immediately be brought to
the attention of Company in writing.


SCOPE OF WORK BY OTHERS

The following activities and scope of work will be performed by Company or by others for Company during the
FEED contract. Data and information from this work will be provided to Contractor as needed.

O Project Benchmarking (cost, schedule, etc.)
O Field RAM Analysis

On a case-by-case basis, Company may elect to retain responsibility for any portion of work or involve a third
party to do work or to validate the work of the Contractor.

9 PROJECT COORDINATION

Project Coordination requirements are further provided in "Exhibit F Project Coordination Requirements.

9.1 Project ControIs (Costs, ScheduIes, Reports, Meetings)

See "Exhibit F-1 Project Controls and Administration for more detail requirements. f there are conflicts
between this Section and other Exhibits or Sections, Contractor shall bring to Company attention for resolution.

The Contractor's Project Execution Plan shall be submitted within fourteen calendar days of Contract award.

The Contractor must structure the work to ensure costs can be rolled into the Company Work Breakdown
Structure (WBS). The detailed WBS for FEED shall be proposed by Contractor and agreed with Company.

Project Status Dashboard

Contractor shall maintain and issue a monthly Project Dashboard. The Project Dashboard will be issued to
Company and Contractor Management Teams and the Project Team. The Project Dashboard will highlight key
status of the project, such as: HES, Project Schedule, Milestones achieved, Milestones to be achieved, etc.
Contents and format will be agreed during FEED Planning Phase. First issue of the Project Dashboard will be
second month of Contract award. The Project Dashboard shall have a professional publication look and no more
than one page.

9. Information Management

9..1 Information Management & TechnoIogy

See "Exhibit F-2 nformation Management for more detail requirements. f there are conflicts between this
Section and other Exhibits or Sections, Contractor shall bring to Company attention for resolution.

9.. Information Management

Contractor shall supply an nformation Management Plan within thirty calendar days after Contract Award.
nformation Management (M) is the collection and management of information from one or more sources and
the distribution of that information

9..3 Information TechnoIogy

Contractor shall supply an nformation Technology Plan within thirty calendar days after Contract Award.
nformation technology (T) is the design, development, implementation, support or management of computer-
based information systems, particularly software applications and computer hardware.

9..4 Documentation

Documentation shall be in Microsoft compatible software or as approved by Company. Acceptable software
includes Microsoft Access, Word, Excel, Power Point, and Adobe Acrobat. All schedules shall be presented
in native format using Primavera software program.

"PDMS is the preferred 3 dimensional modeling and drawing production for all engineered products in all
disciplines.

The originals and copies of all engineering calculations, designs, drawings, CAD data, and specifications, etc.
that Contractor prepares or causes to be prepared hereunder shall be delivered to Company upon completion
of the payments provided in this Contract, or upon termination of Contractor's performance of the work.
These documents and all others generated by the Contractor in the performance of this work are the property
of the Company. The Company may use this material in any way that it sees fit.

At the same time, or sooner if requested, Contractor shall deliver to Company the originals and all copies of
engineering calculations, designs, drawings and specifications prepared and delivered to Contractor by
Company and all copies thereof, if any, made by Contractor.

9.3 Procurement

See "Exhibit F-3 Procurement for more detail requirements. f there are conflicts between this Section and
other Exhibits or Sections, Contractor shall bring to Company attention for resolution.

Contractor will provide procurement services as outlined in this Exhibit A and detailed in Exhibit F-3.

9.4 Interface Management

See "Exhibit F-6 nterface Management for more detail requirements. f there are conflicts between this
Section and other Exhibits or Sections, Contractor shall bring to Company attention for resolution.

Contractor shall support management of interfaces between Company, Contractor and the other Contractors
involved in this project.

nterfaces are grouped into two (2) categories:

O nternal nterfaces exist within the Contractor's organization. The work scope is within Contractor
control.
O External nterfaces - exist between the Contractor and Company, Company and Company's other
Contractors, and also between Contractors when interfaces exist.

Contractor shall identify and manage the external interfaces that exist between Contractor's scope of work
and that of other Contractors and third parties.

The Contractor scope of work for nterface Management shall include the following:

O Prepare, maintain and distribute an external and internal nterface Register for Contractor's scope of
work. The nterface Register shall contain as a minimum the details of interfaces such as

identification number, description of task, description of deliverables, responsible party, receiving
party, need date, target date, status and float.
O Develop, or participate in the development of, interface resolution plans, including schedules,
deliverables, organization, roles and responsibilities, and contingency planning.
O Maintain for Company all reference documentation associated with interface identification and
resolution.
O Support for regularly scheduled and ad hoc interface meetings, as requested by Company. The
project interface team which includes representatives from Company and Contractor will meet on a
regular basis throughout the duration of the Work. The meeting frequency (similar to project progress
meetings) shall be advised by Company. Ad hoc meetings shall be called as warranted to resolve a
critical interface prior to the next regularly scheduled meeting. The purpose of the meetings shall be
to identify and resolve the most critical interfaces that have the potential to impact the overall costs
and/or schedule.

9.5 Risk Management

improve project results. Additional details, procedure, etc may be provided to the FEED Contractor after award.

Company plans several VP workshops during FEED, including those listed below. Unless otherwise noted,
Contractor's Project Manager, Lead Project Engineer, Process, and Equipment Engineers shall participate in all
of the VP workshops. Note that many of these workshops may result in follow-up design or investigative work,
which will be completed by the Contractor's FEED team.

Company plans to use Operations Assurance (OA) methods so that all Facilities will be designed and
constructed to improve the ultimate operability, reliability, maintainability, (ORM), and deliver a seamless
transition to production operations.

Additional details on Operations Assurance will be provided to the FEED Contractor after Award, including
several procedures and specifications, and examples of Operations Assurance deliverables.

Contractor shall provide the proactive and auditable participation of suitably qualified and experienced
production, maintenance and operations supervisory / OA system development personnel employed within
Contractor organization who shall be dedicated for the duration of the Project.

Contractor OA Team shall include a lead Operability and Maintainability Engineer with primary responsibility
for all aspects of OA, including:

O Coordinating outputs / inputs of Reliability Availability Maintainability (RAM) / Process Reliability
Modeling (PRM) analysis within the engineering activities (referred to as RAM throughout this
document);
O Supervision and direction of all activities to achieve OA deliverables;
O Participation in engineering reviews;

9. Phase 4 Project Execution PIanning

Contractor shall work with Company to provide input into the Phase 4 Project Execution Plan for the
completion of design, fabrication, installation, hook-up, commissioning and start-up. Contractor shall provide
all management, support and processes required for execution phase planning and development of key
execution phase management procedures. Key execution phase plans will be required for segments of the
project execution which include:

O Project administration and controls.
O Schedule management.
O Reporting systems.
O HES management.
O Risk management.
O nterface management.
O Engineering management.
O Contract and procurement management.

9. Project Execution Logistics

Contractor shall prepare a preliminary logistics plan for the execution of the project. Consideration shall be given
to the import / export process, required lead times, a recommendation on possible agents and appropriate
procedures. Separate sections of the logistics plan shall consider:

O Personnel movements and visas (consider visitors e.g. < 2 weeks per year offshore or onshore only,
crew rotation during drilling, installation, commissioning & operations). Also estimate lead times to
prepare visas for American, European, Asian, & Angolan nationals. List visa types with durations,
highlighting any particular problems or concerns
O Preservation and storage of critical items
O Contingency requirements with regard to tooling & spares
O Equipment movements within Angola
O Temporary exportation of equipment for repair / refurbishment
O Exchange of equipment (e.g. Re-furbished generator imported and exchanged for damaged

EXHIBIT A-3: Main Automation Contractor (MAC) Scope

1.0 PURPOSE

To achieve consistency in the quality and technical execution of the Process Automation System (PAS)
for the GVLA Project, Company will utilize the technical expertise of a Main Automation Contractor
(MAC). The MAC shall serve as the overall Contractor having primary responsibility for the supply of the
PAS and all of its components. n addition, the MAC shall provide services for integration of all
subsystems, third party packaged equipment and other 3rd party information systems. The Front End
Engineering and Design (FEED) Contractor shall document the approach to fully integrate the MAC into
Contractor's Project team and provide this information to Company for review and comment.

The MAC shall be comprised of a hardware-independent Automation Contractor where upon selection of
the Process Automation System (PAS) hardware vendor, shall integrate applicable vendor resources
within the MAC team. The MAC shall be responsible for providing necessary resources throughout the
Project starting with Phase 3 FEED, continuing through Phase 4 Execution and extending to pre-
commissioning and start-up.

The purpose of this document is to define the Scope of Work for the MAC associated with the GVLA
Project.

The GVLA PAS consists of:

O Process Control System (PCS)

3.0 SCOPE OF WORK

3.1 GeneraI
The MAC will be directly contracted to Company to provide all goods and services for the project's PAS
definition and development. The PAS shall be developed to reflect the Basis of Design Philosophy
document. The Roles & Responsibilities matrix shall further describe the details that breakdown the
functions of each party.
3. Process Automation System
The MAC shall be responsible to define and develop the overall PAS system comprised of the key
systems listed below:

Where Well Control Panels and CCTV systems are needed, the MAC will determine the requirements for

The scope of the FGS is the PAS safety controllers, /O modules, terminations and network interface
connections to the PAS HM. Other than defining PAS interfaces to this equipment, MAC responsibility
for other FGS equipment does not include the following FEED Contractor-specified equipment:
O NFPA-72 type fire detection provided in buildings and third party equipment packages and skids,
O Fire suppression systems
O Gas detection systems provided in third party equipment packages and skids.

3.3 The OveraII Process Automation System PhiIosophy
The overall Process Automation System philosophy is for an integrated system through which operating
personnel can monitor and control the entire development from a continuously manned Central Control
Room (CCR). Regardless of what hardware platform is providing control for the process, there exists only
one single standardized HM for operators to monitor and control the facility. Third Party Packaged
Equipment
The MAC shall be responsible for defining and developing the interface required to integrate all Third
Party Package Systems. Packages that shall require some level of interface with the PAS are as follows:

Working with Company and EPC Contractor, MAC shall identify which external systems and packaged
equipment shall have communication interfaces to PAS. MAC, working with Company, shall define and
document each interface type (physical layer, protocol, redundant or simplex) and the general data
exchange required (monitoring tags, write capable tags, or additional tags to support remote control). To
support the Class 3 cost estimate, the interfaces shall be documented in Appendix A, Communication
nterfaces to External Systems. The MAC shall also populate the table to provide the tag count basis for
the estimate.

MAC shall staff and execute the MAC Scope of Work in accordance with the MAC Phase 3 FEED Project
Execution Plan. MAC execution scope includes, but is not limited to MAC staffing, monthly progress

reports, scheduling, cost reports, liaison with Project and FEED Contractor management, and others.
Refer to the MAC Phase 3 Project Execution Plan for additional requirements.
Some of the Company's MAC Toolkit documents referenced in this document were specifically developed
for a Control systems manufacturer. f such supplier is not selected for GVLA, FEED Contractor and the
MAC shall develop similar documents customized for the selected manufacturer.
3.4. Phase 3 Project Execution PIan
Early in Phase 3 FEED, the MAC shall provide the Project Execution Plan (PEP) to Company for review
and approval:
O MAC shall create a project execution plan, at a minimum that addresses the following:

project requirements. The nterface Coordinator is responsible for creating and maintaining an effective
and timely technical coordination and document/information exchange with the FEED Contractor and
other parties. Refer to the MAC Project Execution Plan for specific responsibilities for MAC personnel,
work locations and other execution details.
3.4.3 Risk Management DeIiverabIes
The MAC shall work with Company to create a Risk Register in accordance with the MAC Risk
Management Plan. MAC shall manage this document.
The MAC shall develop and implement Risk Response Plans for items assigned to MAC. The MAC shall
also monitor Risk Response Plans assigned to others to drive timely closure.
3.4.4 "uaIity Management DeIiverabIes
The MAC shall implement the quality plan and processes defined in Project Quality Management
document.
3.4.5 Project Coordination, Communications and Reporting
The MAC shall implement a project communications, communications and reporting plan.

3.5 TechnicaI DeIiverabIes and Activities

3.5.1 PAS PhiIosophy
At the start of FEED the PAS Philosophy document will be developed.
3.5. Design Basis
The MAC shall develop a PAS Design Basis document, or update the document developed during Phase
3 FEED. The Design Basis shall further develop the PAS requirements based on the design concepts
and requirements provided in the PAS Philosophy. Lessons Learned from prior projects shall be
reviewed and assessed, and the appropriate implementation of that lesson determined; these
implementations shall be integrated into the Design Basis.

3.6 MAC Phase 3 FEED Scope
The MAC shall support the FEED by reviewing and validating all Pre-FEED documents for which it is
responsible to further advance the PAS design during the FEED. Any PAS documents developed during
FEED or provided by Company shall be reviewed and updated where applicable for the entire facility.
The MAC shall have a specific Scope of Work for Phase 3 as summarized below with details in the Roles
and Responsibility Matrix in Section 7 of this Attachment. The MAC shall provide deliverables according
to the MAC Deliverables List.
O Review relevant Chevron Engineering Standards (CES) and specifications applicable to the PAS
based on the GVLA Basis of Design. New specifications will be developed where a required
specification does not exist or the development of replacement specifications is deemed
appropriate.
O Build the PAS philosophy, in sufficient detail to define all requirements necessary to launch
Phase 4 Detail Design.
O Participate in defining Company goals for the Automation Asset Management Systems (AAMS)
O Support COMPANY in the selection process of the Automation System Manufacture
O Produce and update specifications for all PAS hardware, software and network components.
O Produce and update detailed PAS System Architecture Diagrams and Network topology drawings
including interface to Company BLAN and other nformation Management Systems (MS).
O Define interface requirements of the PAS network to support the ield requirements and
philosophy by ensuring all data paths are identified and viable.

the necessary data to the FEED Contractor.
O Review and comment on FEED Contractor's project equipment specifications as needed to insure
all PAS interfaces are properly addressed
O Develop and provide preliminary power and heat loads of PAS equipment to FEED Contractor
O Review and comment on FEED Contractor's Control Building layout drawings to ensure
compliance with PAS objectives.
O Review and comment on FEED Contractor's Living Quarters Building layout drawings to ensure
the PAS interface and/or equipment requirements are addressed.
O Review and comment on FEED Contractor's Electrical Building's layout drawings to ensure
adequate space has been allocated for PAS cabinets and components.
O Participate in FEED Contractor's progress meetings
O Participate in FEED Contractor meetings with major equipment vendors before and after
Purchase Order (P.O.) award as needed to insure all PAS interfaces have been properly
addressed

3. AnaIysis and Assessments

3..1 ControI Objectives AnaIysis
A Control Objective Analysis (COA) shall be conducted early in Phase 3 FEED for the main oil & gas
process facilities. The initial revision of Process Flow Diagrams (PFDs) will be used for the COA. Each
control valve will be reviewed to clearly document its purpose, and to identify any special requirements
that may be needed to specify the valve. The MAC must participate in the COA.
O Scope Objective statements for each final element in a unit (e.g. CV's / VSD), opportunity lists

A Simulation Objectives Analysis (SMOA) shall be conducted early in Phase 3 FEED to identify use and
the basis for establishing functional specifications, the execution plan and long-term infrastructure and
support requirements.
O Scope Provide Simulations development group control schemes, graphics and other data
necessary to produce an accurate simulation model for the project.

schedules, responsibilities, system architectural and interface requirements

3..4 Operation Automation Objectives AnaIysis (OAOA)
An Operation Automation Objectives Analysis (OAOA) shall be conducted (early Phase 3) to determine
what normal and emergency procedure actions could be automated and a cost/benefit analysis to
determine which actions will be automated as part of the project. An analysis that includes considerations
for Total Cost of Ownership shall be performed.

A Graphics Objectives Analysis (GOA) shall be conducted in late Phase 3. The MAC shall participate in
the GOA

O Process - Partition P&D's in Level 3 Graphics including a spreadsheet to keep track of number,
title, and type
O Deliverables - Graphics list referencing marked up P&D's for use in graphics development.

3..6 AIarm Objectives AnaIysis (AOA)
The Alarm Objectives Analysis (AOA) shall be conducted during Phase 4. Preparation efforts may be
required during Phase 3. The MAC shall perform preparation work necessary to support the AOA.
O Scope Conduct workshop to review alarms and the assigned priority to determine if correct
configuration is applied.
O Process - Review of P&D's and alarm list plus configuration parameters by assigning values to
determine priority level. Populate spreadsheet to record findings during the workshop.
O Deliverables - Spreadsheet for alarm system configuration, referencing marked up P&D's for use
in alarm development.

3.9 ControI Narratives and Logic Diagrams
All complex controls that are more than a simple cascade type, require written control narratives
describing the control functions and requirements by the FEED Contractor. Any narratives and diagrams
not provided during Phase 3 shall be prepared during Phase 4 Detailed Design and must match the
project documentation format and content detail. Sequence functions shall be provided with a sequence
chart. Control configuration guidelines for the PCS and ESS shall be developed such that they fully
describe common control configurations, default settings and scaling of inputs.
A MAC Management representative shall provide the required interface between MAC and the FEED
Contractor for the interpretation of the control functions and requirements by the FEED Contractor. See
section 4.2 for interface details.

3.10 Instrument Database
The MAC, FEED Contractor and the vendors shall utilize ntergraph's SmartPlant (NTools) instrument
database to execute the instrumentation and control system design and documentation throughout the
project at a level commensurate with the FEED activities. The use of SmartPlant shall provide a common
platform and structure for high quality electronic information exchange among the Contractors, vendors
and Company. The database during Phase 3 and Phase 4 shall be maintained by main engineering
contractor. Company will maintain the database after the facility is commissioned.
SmartPlant nstrumentation use shall be in accordance with Company's "SmartPlant nstrumentation
mplementation Plan, a copy which will be provided by Company. A standard seed file is also available
for use to begin the project.
The FEED Contractor shall also be responsible for entering all data for field instruments and wiring up to
and including PAS Marshalling Rack terminal strips. Contractor shall further be responsible for entering
vendors' instrumentation data associated with their package equipment vendors. The MAC shall be
responsible for entering PAS /O loading and configuration data as defined in the Roles & Responsibility
Matrix. During FEED, the emphasis will be on achieving an SP database ready for detail engineering
during Phase 4. This implies loading all the required and approved templates and profiles, as well as
documenting the implementation.

Company intends to closely monitor the implementation and final deliverables associated with SP.
Data for all instrument specification data sheets, PAS /O loading, instrument index, calculations, loop
diagrams, cable schedules, Fieldbus segments, junction box loadings, installation details, and bills of
materials (BOMs) for installation will be produced from the Project SmartPlant software.

4.0 PROJECT LOGISTICS

4.1 MAC Phase 4 Execution PIan
During Phase 3, the MAC shall develop a Phase 4 Project Execution Plan (PEP) to be reviewed and
approved by Company. The Execution Plan shall include a detailed task breakdown structure identifying
all MAC engineering, design functions, procurement, and construction support services for the project
through pre-commissioning and start-up. The Execution Plan shall consider and identify all planned
deliverables and required input from external entities, as well as other engineering services identified by
the MAC which are necessary to perform the Services.
The Execution Plan shall establish the review cycles of all parts of the services, with biweekly reporting to
include the review of all critical interim milestones with Company.
The MAC shall produce a plan for Company review describing how the MAC will staff and execute the
project with a detailed organization chart. The MAC shall be a fully integrated team managed by a single
MAC Project Manager (PM). The MAC PM shall provide Company with a single point of contact for all
execution, technical and commercial MAC responsibilities. The MAC PM shall be responsible for the
timely completion of all work and deliverables in accordance with the mutually approved execution plans,
procedures, schedules and budgets.
The Execution Plan shall identify the associated work hours, deliverables, required delivery schedule, and
key milestones for all tasks associated with the services. nterim completion dates shall be established
for the deliverables and key milestones.
The Execution Plan shall include a level 3 PAS project schedule to facilitate scheduling, resource
allocation, identify milestone delivery dates and progress reporting throughout the project.
4. Interface Management
The MAC team shall include an nterface Coordinator responsible for ensuring all interfaces between the
MAC, FEED contractor and all third-party contractors and vendors are properly addressed. n general,
the MAC nterface Coordinator shall:
O nform the MAC Project Manager who will notify the FEED Contractor and Company regarding all
significant interface issues which may impact the cost and schedule of the work.
O Liaise with Discipline Leads of the FEED Contractor, Company and all suppliers to ensure a clear
understanding of the tasks to be performed, to identify problem areas and obtain agreed
solutions.
O Plan and schedule coordination within the MAC's organization, with their subcontractors, and
other contractors and suppliers as necessary.
O Be responsible for identifying all interface issues.
O Be responsible for identifying interface documents that are required at any time from other
interfacing contractors and expedite such documents as necessary.
As part of the planning activities for Phases 3 the MAC and FEED Contractor shall prepare a Roles &
Responsibility Matrix, with Company input, indicating all key work activities and interfaces
between/among FEED Contractor, Vendors and Company. A preliminary Roles & Responsibility Matrix
may be found in Section 7.0 of this Attachment.

5.0 DEVELOPMENT OF CLASS 3 COST ESTIMATE
During Phase 3 FEED, the MAC shall develop a Class 3 (+10%) cost estimate and an overall level 3 PAS
Project Schedule. Requirements for the Class 3 cost estimate will be identified and issued at the start of
Phase 3 FEED. The MAC and FEED Contractor will jointly develop guidelines for preparation of the
estimates describing format, procedures, methodology, etc. prior to submitting the estimates to Company.
The scope of the estimate shall, as a minimum, include the following:
1. MAC Phase 4 Project Management and related services. A breakdown of local Angolan content
is required.
2. PAS hardware, software and licenses by system
3. PAS Equipment Commissioning and 2 Year Spare Parts Cost by system
4. MAC Phase 4 Detailed Design and Engineering Services (by project phase and provider) . A
breakdown of local Angolan content is required.
5. MAC Phase 4 procurement and related services
6. MAC Subcontract Costs (if applicable)
7. Software and Licensing costs and fees by system
8. PAS configuration, programming and testing costs
9. Training courses and locations
10. Warranty costs, including extended warranties
11. MAC services and fees for providing SP-related services, equipment and support in accordance
with the MAC Phase 4 Scope of Work
12. Service rates for yard and offshore services
13. Supporting infrastructure and miscellaneous equipment costs (leased equipment to support early
development, consumables, etc.)
The available physical quantities (PAS /O counts, hardware and software prices, engineering discipline
and PMT scheduled work-months, equipment fabrication for direct and indirect workers, and others) are
to be documented along with the respective costs.
The Class 3 estimate shall be based, as a minimum, on the following factors:
O All costs will be expressed in both constant and nominal US dollars explicitly documenting foreign
exchange rates where foreign currencies are converted.
O Equipment costs: Vendor quotes developed from data sheets and Company's Approved Vendors
List. Each cost and/or allowance added to condition quotes for specification deviation, omission,
etc., to be explicitly documented.
O Engineering: Detailed estimate of full service covering detailed design, procurement, and project
management services of work-hours and costs by location and grade.
O Onshore Fabrication sites: Development of onshore fabrication facility requirements and
location(s) for fabrication shall be defined by Company.
Contingency to cover the potential costs for new/unproven technology, design changes, market activity
uncertainties, etc. should not be included in the base estimate. For lump sum contacts, a general
contingency typically applied by bidders to this type of contact (e.g., +/-10%) shall be clearly identified.

6.0 PHASE 4 PAS PROJECT SCHEDULE
A Level 3 PAS Project Schedule will be developed jointly by the MAC and FEED Contractor and will be
consistent with and issued concurrently with the PAS Class 3 Cost Estimate near the end of Phase 3
FEED.

The scope of the Level 3 PAS Schedule will include but not be limited to detailed engineering, design
data requirements, procurement, fabrication, FAT, transport and installation, SAT, hook-up and
commissioning, and startup for the GVLA project.
With respect to planning activities for schedule completion, the following definitions shall apply:
Mechanical Completion encompasses all construction activities ensuring that all fabrication and
installation and tie-in work have been performed according to the requirements of the specification,
the design drawings and as defined on other contract documents.
Pre-Commissioning is the checking, verification, testing, calibration adjustments, etc. of PAS systems
and sub-systems that are required to ensure that all required functions have been met and are ready
for start-up. The systems shall be brought to the stage of "Ready-for-Commissioning" when Pre-
Commissioning is completed. Note: The effort begins with pre-commissioning and testing of vendor
packages at vendors' location (witnessed by Company) prior to acceptance.
Commissioning is the dynamic verification of the functioning equipment and facilities that are grouped
together in operational systems and sub-systems.
Start-up is considered to be the effort required offshore to bring the facility online to produce first oil.
The PAS Project Schedule will be supported by manpower histograms provided by the MAC.
The schedule should include PAS Early Need and Long Lead PAS requisitioning (RFE/RFQ/PO) that may
be required early in Phase 4, Detailed Design.
