VSS Standards & Approval Documention Requirements

Qualification Standards

• Appraiser must hold a current state license or certification for real estate appraisal issued by a state organization or a state-regulated
agency whose criteria for certification currently meets the minimum criteria issued by the Appraiser Qualifications Board of The
Appraisal Foundation. NO TRAINEE LICENSES ACCEPTED.

• Appraiser must understand investor and secondary market guidelines, including those of FNMA, FHLMC, and HUD, and be able to
competently apply these requirements as well as any more stringent requirements established by Valuation Support Services (VSS)
or its clients in the completion of all order assignments.

• Appraiser must be qualified and in good standing with any and all state licensing agencies and must not be prohibited from
performing appraisal work by any state licensing agency, nor misrepresent any information in this application or other supporting
document contributing toward Appraiser's approval.

• Appraiser must successfully pass a criminal background check, referenced herein as a Notice and Authorization for a Criminal
Background Check, initiated by Valuation Support Services (VSS), and meet related requirements for panel eligibility.

• Appraiser will comply with the following insurance requirements as applicable:

o Appraiser will maintain an Errors and Omissions (E&O) Insurance policy in force at all times with minimum coverage
amounts of $300,000 each claim and $1,000,000 aggregate. (Not applicable to Rels Valuation Field Appraisers.)

o Appraiser asserts full compliance with applicable state laws which require an Appraiser to maintain Workers' Compensation
insurance. (Not applicable to Rels Valuation Field Appraisers.)

o Appraiser will maintain automobile insurance with a recommended minimum of $500,000 liability coverage.

Approval Documentation Requirements

Valuation Support Services (VSS) uses the following documentation criteria in approving Applicants for our Approved Residential Appraiser
Panel. The documentation criteria are subject to change without notice. Applicant must:

• Complete the Appraiser Application. The application and resume pages may be completed entirely or Appraiser may complete the
application page and also attach a current resume that includes all employment for the prior five years, plus a listing of professional
education classes taken for licensing or continuing education within the last two years. The resume should note what percentage of
time was devoted to the appraisal of real property for each employment period.

• Provide a copy of the current state License or Certification for any state in which Appraiser has registered and desires to perform
appraisal assignments.

• Include a copy of HUD Certification if applicable.

• Attach a copy of current Declarations Page (Certificate) of Errors and Omissions Insurance policy. (Excludes Rels Valuation Field
Appraisers.)

• Disclose on Appraiser Application if Appraiser or the firm, through which currently or formerly employed, has ever been involved in a
lawsuit (pending or resolved).

• Complete the Payment Information Form. (Excludes Rels Valuation Field Appraisers.)

• Complete the Notice and Authorization form to procure a Criminal Background Check.

EDI Standards

Valuation Support Services (VSS) operates with a system of electronic data interchange (EDI) for electronic appraisal ordering and report
transmission. Appraiser understands that he/she is required to comply with these standards, or the standards set forth in any exhibits related
to technology requirements. Appraiser agrees to maintain current software versions and system hardware to comply with these standards and
understands these standards are subject to change or revision as current technology changes. VSS will apprise Appraiser of any changes to
the most current standards employed by VSS. Appraiser's approval status is subject to compliance with this electronic standard requirement.

VSS Appraiser Company Standards Policy Agreement

Appraiser:
The intent of this Agreement between Valuation Support Services (VSS) and Appraiser is to outline the roles, responsibilities, commitments and
escalations of the parties.

Responsibilities: Appraiser agrees during the term of such Agreement:

a. To comply with all rules, standards, and operating procedures which VSS may provide to the Appraiser or adopt; including but not
limited to the VSS Standards & Approval Documentation Requirements and the VSS Appraiser Performance Agreement signed by
Appraiser or the VSS Residential Appraisal Guidelines which can be accessed by visiting https://www.vss20.com. VSS reserves the
right to amend these instructions at any time.

b. That he/she will not accept or complete assignments in which he/she has an interest, direct or indirect, financial or otherwise in the
subject property.

c. To complete the work assignments provided by VSS in compliance with its EDI technology requirements as set forth in Exhibit B, or
other requirements as may be modified in the future.

d. Immediately notify VSS if his/her appraisal license is suspended, revoked or limited by any state licensing or governing agency.

Conviction of Crimes: VSS is unable to enter into associations with individuals, who have been convicted of or plead guilty to any crime
involving dishonesty or breach of trust, or have been convicted of or plead guilty to any felony or misdemeanor. Appraiser warrants he/she has
truthfully and accurately answered the "Additional Information" questions on the VSS Appraiser Application, has provided full disclosure through
letter(s) of explanation for all questions answered affirmatively. Appraiser acknowledges and agrees he/she will be directly involved in providing
services in accordance with this Agreement and has met this standard.

Credentials: Appraiser represents he/she is a fully qualified real estate Appraiser (licensed as required by federal regulation or by the state(s) in
which he/she operates) who is being employed as a professional in his/her field. VSS also requires the Appraiser to abide by all applicable state-
imposed appraisal regulations and obligations, to comply with all state licensing requirements, and to continue the education programs necessary
to maintain all state licenses required in good standing. VSS will verify Appraiser's credentials throughout his/her term of Agreement.

a. Appraiser understands that the license renewal process in some states or with FHA/HUD can be lengthy. Appraiser agrees to plan
ahead to ensure that licenses and certifications do not lapse in states where Appraiser intends to appraise. Appraiser will make sure
that all continuing education requirements are met well in advance so that the state will have a reasonable amount of time to issue a
license. Once an Appraiser's updated licenses or certifications have been received, Appraiser agrees to upload copies via
https://www.vss20.com.

b. Appraiser is licensed or certified as required in order to perform appraisal services related to property located in the states on file with
VSS and will provide to VSS a copy of each such license and renewal thereof. Appraiser will maintain these licenses/certifications
throughout the term of this Agreement and will advise VSS immediately of any investigation or proceeding relating to said
licenses/certifications. Appraiser indemnifies VSS for any and all losses, damages, fines and/or costs, including reasonable attorney's
fees, in connection with any failure by Appraiser to be properly licensed/certified.

c. Appraiser certifies he/she will maintain an Errors and Omissions (E&O) Insurance policy in force at all times, without any lapses in
coverage, as an approved Appraiser with VSS. Minimum coverage amounts are $300,000 each claim and $1,000,000 aggregate. At
time of E&O policy renewal or when submitting proof of renewed licenses and certifications, Appraiser agrees to also provide proof of
continued (or renewed) E&O Insurance coverage. Appraiser understands it is his/her responsibility to ensure VSS has a current policy
copy of E&O insurance at all times. (Excludes Rels Valuation Field Appraisers.)

Courses/Memberships: Appraiser agrees to attend, at his/her own cost, training sessions and continuing education as required to maintain
appropriate licensure. Appraiser agrees to stay current with the appraisal standards and practices relating to appraisals, USPAP, and FIRREA.

Fees: VSS Reserves the right to charge fees for appraisal panel services rendered to Appraiser, such as systems access, technology
and website applications utilized by Appraiser, and/or allocate the cost of state or federal appraiser/panel registration and similar fees.
Advance notice, as practical, shall be provided to Appraiser along with a description of the fees to be charged. Appraiser agrees to pay
VSS promptly per the payment terms specified in the notice provided.(Red Added for Emphasis)

Standards: Appraiser represents that he/she is familiar with the appraisal requirements of the Department of Housing and Urban *
Development (HUD), the Federal National Mortgage Association (FNMA), and the Federal Home Loan Mortgage Corporation
(FHLMC), and that he/she will prepare appraisals that meet those standards as applicable. In addition, Appraiser agrees to
perform his or her responsibilities under this Agreement in compliance with all applicable federal and state laws, regulatory
requirements and professional standards pertaining to the appraisal of real property, including but not limited to the requirements
specified in or established under Title XIV of the Dodd-Frank Wall Street Reform and Consumer Protection Act, Title XI of the
Financial Institutions Reform Recovery and Enforcement Act of 1989 (FIRREA), and the Uniform Standards of Professional
Appraisal Practice. VSS may from time to time issue its own appraisal standards to which the Appraiser agrees to adhere.
Appraiser will be subject to ongoing quality assurance reviews by VSS to verify Appraiser's continued competency.

Privacy Information: The privacy regulations and information security guidelines issued by the federal financial regulators
pursuant to the Title V of the Gramm-Leach-Bliley Act ("GLBA") went into effect on July 1, 2001. Pursuant to those regulations
and guidelines, covered financial institutions and service providers with access to confidential data are required to ensure that all
service providers and marketing partners who have access to customer information provide for confidentiality and security of such
information. To facilitate VSS' ability to demonstrate compliance with the privacy requirements of GLBA, Appraiser agrees and
understands his/her obligations to the following which will apply to all data provided to Appraiser by VSS:

a. As used herein, the term "Customer Information" shall mean any "nonpublic personal information" about the "customers" and
"consumers" (as those terms are defined in Title V of the Gramm-Leach-Bliley Act and the privacy regulations adopted there
under) of VSS. "Service Provider" shall mean the Party accepting below as "Appraiser" and each of its affiliates and
subsidiaries that are now or hereafter may be providing any goods or services to VSS.
b. Service Provider hereby agrees that, except as may be reasonably necessary in the ordinary course of business to carry out the
activities to be performed by Service Provider under its agreement(s) with VSS or as may be required by law or legal process,
he/she will not disclose any Customer Information to any third party other than affiliates of Service Provider or VSS.

c. Service Provider hereby agrees that it will not use any Customer Information other than to carry out the purposes for which such
Customer Information was disclosed by VSS unless such other use is (a) expressly permitted by a written agreement executed
by VSS, or (b) required by law or legal process.

d. Service Provider agrees to take all reasonable measures, including without limitation such measures as it takes to safeguard
his/her own confidential information, to ensure the security and confidentiality of all Customer Information, to protect against
anticipated threats or hazards to the security or integrity of such Customer Information and to protect against unauthorized
access to or use of such Customer Information.

e. Throughout the term of this Agreement, Service Provider shall implement and maintain "appropriate safeguards" as that term is
used in Section 314.4(d) of the FTC Safeguard Rule, 16 C.F.R. Section 314 (the "FTC Rule") for all "customer information" as
that term is defined in Section 314.2(b) of the FTC Rule, owned by VSS and delivered to the Service Provider pursuant to this
agreement.

f. Service Provider shall promptly notify VSS in writing of each instance of (i) unauthorized access to or use of that customer
information that could result in substantial harm or inconvenience to a customer of VSS or (ii) unauthorized disclosure, misuse,
alteration, destruction, or other compromise of that customer information.

g. Service Provider shall indemnify and hold harmless VSS from and against any loss, claim, costs, penalties, and expenses that
VSS may suffer due to Service Provider's breach of any provision in this section.

Law To Govern: This Agreement shall be governed by and construed and enforced in accordance to the laws of the State of
Minnesota.

Severability: The provisions of this Agreement are severable, and if any part of it is found to be unenforceable, the other
paragraphs shall remain fully valid and enforceable. This Agreement shall survive the termination or modification of any
arrangements contained herein or in any Exhibits or Addendums attached hereto.

Entire Agreement: This Agreement, which consists of all documents and exhibits as listed on Page 1 of the Independent
Contractor Agreement, encompasses the entire Agreement between Appraiser and VSS and supersedes any and all prior
Agreements and/or discussions. VSS shall have the authority to unilaterally modify this Agreement as needed at its sole
discretion.

VSS Appraiser Performance Agreement

By signing this agreement, Appraiser stipulates that he/she will act in accordance with the responsibilities indicated herein.
1. Appraiser understands that placement on the VSS approved appraiser panel does not guarantee him/her appraisal work. Contracts
for appraisal assignments are given on a job by job basis. VSS has sole discretion as to whom appraisal assignments will be offered.
2. Appraiser understands VSS is the Appraiser's client. Appraiser understands and agrees that appraisals transmitted to VSS, including
all data and information shown on said appraisals, are the property of VSS exclusively and Appraiser has no interest therein.
Appraiser will not provide a copy or summary of any appraisal delivered to VSS, nor any excerpts there from, to any person, without
VSS' advanced, written authorization.
3. Appraiser will not accept orders directly from VSS' clients. Appraiser agrees that all orders must be received from Valuation Support
Services (VSS) electronically.
4. VSS clients Appraiser may service include, but are not limited to: CoreLogic Appraisal Services, Prime Valuation Services, and Rels
Valuation.
5. Appraiser agrees to accept all orders that he/she has the technical and geographic competency to complete. Appraiser
acknowledges having the knowledge and experience to complete assignments competently and is familiar with all significant market
factors in his/her geographic areas of coverage on file with VSS. Appraiser agrees he/she will not accept assignments based on any
attributes including, but not limited to, property types, client, and/or fees (i.e. "cherry picking"). Appraiser agrees to complete
appraisal assignments from all current and future clients of VSS on a first-in-first-out basis.
6. Appraiser has the right to refuse any and all offers of appraisal assignments. Appraiser retains sole and absolute discretion, control,
and judgment in the manner and means of executing the appraisal assignment in accordance with appropriate regulatory guidelines
or requirements. In the event Appraiser has an excessive amount of order declines, VSS reserves the right to evaluate and/or modify
Appraiser's coverage area on file with VSS.
7. When an order is accepted, Appraiser agrees to complete the order within the stated turnaround time ("TAT"), product, and client
expectations as indicated in the appraisal order, VSS Appraiser Company Standards Policy, and/or the VSS Residential Appraisal
Guidelines which can be accessed by visiting https://www.vss20.com. The turnaround time (defined as the time in which the report
must be electronically delivered to the appropriate Operations Center) begins when the request for the appraisal is received and
accepted by Appraiser, as verified by the electronic mail date and time. Orders that are subject to client/realtor delays, property
access issues, or incomplete/incorrect orders will be adjusted in the turnaround time calculations. Appraiser will manage exceptions
on a case-by-case basis by contacting the appropriate Operations Center as soon as Appraiser learns of the occurrence of the
delay, and the clock will restart when the inspection is completed. The turnaround time clock stops when Appraiser completes the
report and electronically transmits the report, as verified by the electronic mail date and time.
8. When a client determines that an appraisal order should be canceled, an Operations Center representative will cancel the order and
notify the Appraiser. If Appraiser is advised of the cancellation by the property contact, Appraiser should notify the appropriate
Operations Center immediately. A cancellation charge will be applied if some work has been completed on the appraisal order.
Cancellation charges will be assessed as follows:

o Appraisal ordered and/or assigned, but not inspected: no charge.

o Property inspected, but data entry of form has not begun: 50% of total fee.

o Property inspected and data entry of form has been completed: 100% fee with appraisal delivered to VSS.

9. Appraiser has reviewed the VSS Residential Appraisal Guidelines and Standards of Professionalism located on the VSS website at
https://www.vss20.com. Appraiser agrees to perform all appraisal services for VSS in accordance with these Guidelines and
Standards as amended from time to time, which are incorporated into this Agreement.
10. Appraiser will complete all inspections in person and will not allow assignments to be completed by, or assigned to, any other
appraisers without prior approval by VSS.
11. Appraiser agrees to utilize the VSS website (https://www.vss20.com) on a daily basis to keep track of assigned orders, provide timely
updates to those orders, and to respond to web-initiated requests. The following work items need to be processed via the VSS
website:

a. Outstanding Communications:
• View and acknowledge outstanding order communications submitted through the website.
• Previous communications are displayed on the Order Notes tab for each order.

b. Outstanding Orders:
• Obtain a list of outstanding orders to be completed.
• Retrieve the assignment report for each order online.
• Provide inspection dates online.
• Provide comments for each order online.

c. Order Follow-up: (Orders that require follow-up for an Inspection Date, Estimated Completion Date, etc.)
• Obtain a list of order follow-up details.
• Provide inspection dates online.
• Provide comments for each order online.

12. Appraiser agrees to input the following paragraph in either the addendum or in the narrative section of all appraisal reports submitted
to VSS. Failure to include this paragraph will result in an unacceptable report (QA4) rating when audited.
"The Intended User of this appraisal report is the Lender/Client. Unless specifically stated within the report, there
are no additional Intended Users. The Intended Use is to evaluate the property that is the subject of this appraisal
for a mortgage finance transaction, subject to the stated Scope of Work, purpose of the appraisal, reporting
requirements of this appraisal report form, and Definition of Value as defined in the report."
13. Appraiser agrees his/her use of electronic communications to transmit appraisals is secure; only Appraiser knows the password
required to transmit appraisals and only Appraiser has the access required to electronically transmit an appraisal with an electronic
signature.
14. Completed appraisals will be transmitted to VSS via established and current EDI methods. Appraiser commits that appraisal reports,
final inspections, and addendums will be completed and delivered in compliance with industry, regulatory and VSS standards for the
individual products.
15. Appraiser agrees that he/she will not directly supply the client with completed copies of appraisals.
16. Appraiser Communications/Reconsiderations: Appraiser acknowledges that he/she may be contacted by real estate brokers, sales
people, home buyers, home sellers, or others who seek adjustments to the value conclusions in his/her appraisal reports. Appraiser
agrees that he or she will immediately refer or report all such contacts or requests to the appropriate Operations Center for each
VSS client, as listed in the VSS website at https://www.vss20.com, and will not take any responsive actions unless a formal
Appraisal Reconsideration Request is received from VSS or a VSS client. Appraiser further agrees that in responding to such
requests, he or she will: (i) utilize VSS-required forms and adhere to other applicable appraisal review policy requirements imposed
by VSS and/or its clients; (ii) comply with USPAP and other applicable laws, rules and standards; and (iii) refrain from submitting any
altered appraisal report unless all changes have been adequately supported and appropriately documented in the revised report.
17. Revisions to Sales Contracts: Appraiser acknowledges that in connection with his/her appraisals, he/she may receive revised sales
contracts that change the purchase price due to alterations of the improvements. Upon receipt of a revised sales contract that
modifies the purchase price due to alterations of the improvements, Appraiser will analyze the change(s) and make appropriate
revisions to the appraisal report. The revisions to the report include changing the terms of the contract for sale in the contract
section, adjusting the comparable sales as needed, and if the opinion of value is changed, providing a detailed explanation for the
change in value.
18. Appraiser agrees to comply with the following timeframes for order lifecycle activities:

Initial Contact to Set Inspection Within 1 business day from receipt of order.
Inspection Appointment Scheduled Within 2 business days from receipt of order for full appraisal products. On
inspection date requested for final inspection products.
Responses on Outstanding Orders & Follow Within 1 business day.
Up Requests
Order Issues or Delays Immediately. Appraiser shall include the revised time and date of the
inspection appointment.
Cancellations Immediately.
Delay Notifications (Hold Requests) Immediately, provided a time delay notice is filed as soon as the Appraiser
learns of the delay.
Appraisal Completion On or before the due date on the order as confirmed by Appraiser; no later

19. Appraiser agrees to notify VSS, whenever possible, via its website of any absences, at least 1 week prior to start date, by submitting

20. In the event that Appraiser's approval status with VSS is terminated by Appraiser or by VSS, all payments thereafter made to
Appraiser shall be made in accordance with the compensation agreement in effect at the time that the assignment is ordered with
Appraiser.

Valuation Support Services (VSS) is re-contracting our appraiser panel. This will ensure that all Independent Contractor Appraisers have
updated documentation on file reflecting current license, Errors and Omissions, and other application requirements. We genuinely
appreciate your continued interest in servicing orders from our client base, and we thank you in advance for your participation in reviewing
and submitting this online documentation.

Our documentation contains all information required for re-contracting and remaining an active appraiser partner on the VSS panel. This
same documentation is used for onboarding new appraisers, so any verbiage referencing vendor "approval" applies to existing as well as
new appraisers. Your current Appraiser Identification Number will not change. Your Payment Information IRS form on file (if current), along
with your Fees and Products on file with VSS, will not change. Once approved by VSS, this version of VSS Independent Contractor

VSS Engagement Agreement for Independent Contractor Appraisers

Appraiser Name:
This Agreement sets forth the terms and conditions under which Appraiser will perform appraisal assignments and will be compensated for
services as performed on behalf of Valuation Support Services (VSS), a division of RELS, LLC, in his/her capacity of Independent Contractor
Appraiser ("Appraiser"). An Independent Contractor Appraiser is an individual who has established a service provider relationship with VSS, but
who is not an employee or agent of VSS.
Nature of Relationship: Appraiser is an Independent Contractor. Appraiser expressly agrees to be an outside supplier of services when and as
desired by both parties. Appraiser is acting as an Independent Contractor and not as an employee or agent of VSS. This Agreement does not
create or evidence an employer-employee, principal-agent, or joint venture relationship between Appraiser and VSS and Appraiser is not, and
shall not represent him/her, to be an employee of VSS. Appraiser is an Independent Contractor and is not eligible to participate in or receive any
benefit from any benefit plan, program or other arrangement that may, from time to time, be available to employees of VSS including, but not
limited to, any health, disability, or life insurance, vacation, holiday pay, sick leave, profit sharing or pension plans. VSS will not provide workers’
compensation insurance for Appraiser. In states where workers’ compensation insurance is required for the Appraiser, the Appraiser shall obtain
at his/her cost the necessary insurance and shall provide proof of said insurance to VSS, if requested. Appraiser is solely responsible for
payment of all applicable taxes and withholdings respecting all payments made under this Agreement, and for all claims, damages and/or
lawsuits arising out of the acts of Appraiser and Appraiser’s employees, subcontractors and agents. Appraiser certifies that all of Appraiser’s
employees who will be directly involved in providing Services in accordance with this Agreement meet the requirements listed in the Conviction
of Crimes section of the VSS Appraiser Company Standards Policy Agreement.
Placement on the VSS approved appraiser panel does not guarantee assignment of appraisal work to an Appraiser, a minimum amount of work
to an Appraiser, or guarantee an amount of compensation.
Expenses: Appraiser shall be responsible for all of Appraiser’s own expenses, except for those that VSS, in its sole discretion, agrees to pay, in
advance and confirmed in writing, on Appraiser’s behalf.
Compensation: Consideration for services performed by the Independent Contractor Appraiser is governed by the following terms:

a. Upon completion of each appraisal, Appraiser shall be entitled to an appraisal fee in accordance with the attached fee schedule
(Exhibit A).
b. VSS is Appraiser’s client. Appraiser will not invoice VSS’ clients directly. Appraiser will not need to invoice VSS directly as all invoicing
is handled automatically through our accounting department.
c. VSS reserves the right from time to time to decrease the fee payable for any product(s) listed on Exhibit A, upon thirty (30) calendar
days' written notice to Appraiser, and the decreased fee will apply to all new assignments ordered 30 days after the notice. VSS further
reserves the right to increase the fee payable for any product listed in Exhibit A at any time, without notice, for any reason.
d. Appraiser agrees that any arrangement for compensation for appraisal services between Appraiser and VSS is confidential in nature
and should not be discussed with or communicated to any third party without the express written consent of VSS, except to the extent
any such discussion or communication is mandated by or protected under applicable law.

Insurance: Prior to the commencement of work under this Engagement Agreement and at all times during its term, and to the extent that any
insurance is carried on a claims made basis, also for such period thereafter that claims may be legally made with respect to occurrences during
the term, Appraiser shall carry and maintain in force, at Appraiser's expense, workers' compensation, liability, errors and omissions, or similar
types of insurance. Policies must provide coverage at levels appropriate and sufficient to support the payment of all potential claims that may
arise from Appraiser's performance of services and Appraiser's indemnification obligations under this Engagement Agreement, and shall: (i) be
primary and non-contributory with respect to any insurance or self-insurance that may be maintained by VSS or its affiliates; (ii) be carried with
companies Rated A VI or better by A.M. Best; (iii) contain a requirement that VSS be given written notice at least thirty (30) days prior to any
modification, cancellation or non-renewal; and (iv) contain a waiver of all rights of subrogation against VSS and its affiliates.
Amendments: VSS may amend this Engagement Agreement at any time by providing written notice to Appraiser of changes in existing terms
or inclusion of additional terms. Such amendments shall become effective no earlier than thirty (30) calendar days from the date of the notice of
amendment.
Term and Termination: Either Party may, upon thirty (30) calendar days' written notice to non-terminating Party, terminate this Agreement
without cause. Subject to any notice requirements mandated by applicable law, VSS may also terminate this Agreement immediately upon
Appraiser's breach of the terms of this Agreement.
Indemnification: Appraiser will indemnify and hold harmless VSS, a division of RELS, LLC, and each VSS entity for any liability arising out of
Appraiser's work product or for the release of any appraisals without VSS' permission. Appraiser is liable for payment of any legal fees, claims,
damages, losses and liabilities resulting from Appraiser's work product or non-performance of the duties and obligations identified herein.
