Merger of Associated Distillers Limited with Globus Spirits Limited sanctioned by Hon. High Court of Delhi
New Delhi, September 2, 2011 Globus Spirits Limited, a leading player in the spirits sector including IMFL & Country Liquor stated that it has received the sanction from the Hon. High Court of Delhi for merger of Associated Distillers Limited (ADL) with Globus Spirits Limited (GSL). Commenting on the merger, Mr. Ajay Kumar Swarup, Managing Director of Globus Spirits Limited said: The merger is expected to result in a stronger footprint in the Country Liquor segment across Haryana & Delhi and also augment our contract manufacturing business. It will bring operational synergies and efficiencies which we will leverage to strengthen our position as a leading cross-segment player in the alcobev sector in the country. Needless to say, our volume growth will also be accelerated by the huge production which will now be available as a result of this merger. The demand environment remains robust and with a larger operating base which includes enhanced capacities, we remain confident of delivering sustained growth going forward. The Board of Directors in Q2 FY2010-11 had proposed to merge the demerged undertaking of ADL into GSL on a going concern basis with effect from April 1, 2010. The valuation study was independently conducted by Ernst & Young (E&Y). The Board had approved the distribution ratio of 1:6 for the merger of the demerged undertaking of ADL into GSL i.e. for every 1 equity share of ADL of Rs. 10 each fully paid up, 6 equity shares of GSL of Rs. 10 each fully paid up which will take the post dilution equity share capital of GSL to 22.9 million shares from 19.7 million shares.

ADL operates in the Country Liquor (CL) segment in two states of Haryana and Delhi with a market share of 10% in both the states. ADL also has a bottling tie up with ABD India in Haryana. The merger would translate into a higher market share for GSL in the CL segment whilst further strengthening bottling ties-ups.
