Article 2: Costs and payment 2.1. Cost:

Costs, which are stated on Article 1.1, are fixed costs and agreed by both sides. Any fluctuation must be discussed and agreed by both Parties and it must represent on paper..

The total for the contract is: 7.000.000VN (In words: Seven million Vietnam Dong)

Therefore, the Grand total is: 7.700.000VN (In words: Seven million and seven hundred thousand Vietnam Dong)

2.2. Payment:

Right after contract signing, Party A shall pay Party B 2.310.000 VND (Two million three hundred and ten thousand Vietnam Dong), equivalent to 30%

- After signing Minute of Acceptance, Party A shall pay the remaining 70% of the contract value: 5.390.000 (In words: Five million three hundred and ninety thousand Vietnam Dong)

Payment method: Cash; Cheque; Bank transfer; Authorized to receive.

Article 3: Parties responsibility and benefit 3. 1. Party As responsibilities :

3.1.1

Party A shall not trade and re-use source codes of Party Bs website in any circumstances. Party B takes ownership to the source code. Compiling and providing Party B with information ( in formats: doc, xls, JPG, GIF) within 30 days to set up Party As website.

3.1.4 Party A is responsible for the content of the website.

Party A must self-protect their password for database accessing account. Any modification related to the contract must have written documents on solving problem 15 days in advance. Party A shall pay Party B all the arising costs for the modification.

3.1.7 Party A shall pay Party B fully and punctually as stated on Article 2.

3.2.

Party Bs responsibilities:

3.2.1 Fullfilling the specified tasks on Article 1. 3.2.2 Completely uploading Party As website on Internet within 01 (one) month since Party A approve the interface and websites content supplied by Party A. 3.2.3 Ensuring smooth operation and troubleshooting right after receiving notice of Party A, except force majeures as natural disasters, fire or another objective reasons. Party B shall ensure confidentiality and data security to Party A.

Resolving any customers complain and respond no later than 3 days since receiving complaints.

Article 4: Term of contract: 4.1 This contract is valid for 3 (three) months from the date of technical acceptance. 4.2. During website operating, Party B is responsible for resolving any source code error immediately. 4.3 The website shall be warranted and supported by Party B within 6 months from the date of signing acceptance. Article 5: General terms. 5.1 5.2 This contract takes effect on signing date.. Both Parties commit to implementing the above specified articles. For any arising trouble, both parties shall discuss, agree and modify the solution in writing. Any dispute between parties shall be settled by the Economic Court Peoples Court of Hue. 5.3 .
