Chairperson of the Board: The Chairperson of the Board shall be elected by and among the Directors.

He shall preside at all meetings of the Board and shall perform such other duties as he may be called upon to perform by the Board.

He shall assist in ensuring that the Board meets regularly in accordance with the corporate governance policies and practices. He shall likewise ensure that the Board meets regularly in accordance with an approved annual schedule and performs it duties responsibly. He shall determine the agenda of each meeting in consultation with the President.
Board Members:

While the role of the top executive is to manage the organization, the role of the board is to govern it. Inherent in the boards governance role are two functions:
Protect the Publics Interest

The first function of the board is to protect the publics interest. The boards job is to represent the publics interest in assuring that the agency serves effectively. The board must make decisions that will guide the organization beyond concern for mere survival of the organization, the reputation of board members, or the jobs of employees.
Enable the Organization to Achieve Its Purpose

The second function of the board is to enable the organization to effectively and successfully achieve its purpose. To do this, the board has both formal (governance) and informal (helping) responsibilities.
Formal Responsibilities

hiring, and (if necessary) firing the top executive; delegating the organizations management functions, including planning,organizing, staffing, directing, and controlling to the top executive;  developing and approving strategic plans, including major commitments;  assuring the continuity of the organization, making emergency decisions when management cannot perform, and stepping in when crisis endangers the programs or existence of the agency; and  maintaining the board as a healthy, well-organized governing body capable of helping the organization achieve success (i.e., progress toward fulfilling its purpose).
 

President: is also the Chief Executive Officer (CEO) of the company, The position is mainly responsible for the daily activities of the corporation. The president signs major deals and mergers into effect and signs off on the issuance of company stocks as well as other appropriate legal matters pertaining to the operation of the company. The president is a member of the board of directors but has no voting rights in the board and may be forced to act under direction of the board. He shall ensure that the business and affairs of the Company are managed in a sound and prudent manner and that organization and procedural controls are adequate and effective to ensure reliability and integrity of financial and operational information, effectiveness and efficiency of operations, safeguarding of assets and compliance with laws, regulations and contracts. The President shall provide the Board with a balanced and understandable account of the Companys performance, position and prospects on a regular basis.

He/she shall have the following duties: 1. He/she shall execute all resolutions of the Board of trustees 2. He/she shall be in charged with directing and overseeing the activities of the Corporation. 3. He/she shall prepare an annual report of the activities and operation of the association for the fiscal year under his/her term and the needs of the current years

Vice President Administration: Shall exercise all powers and perform all duties that maybe assigned by the Board of Trustees. The vice president is second in command to the president of a corporation under his/her own department. The vice president is granted authority to sign business-related contracts but is usually only responsible to do so in lieu or in addition to the company president. He/she shall involved more with administration, internal matters of staff and daily operations in order to provide information and support to the president. The vice president also sits in on board meetings and is responsible to act on the company's behalf under direction and guidance of the board. Administrative Job Description

Plans, develops, and establishes policies and objectives of functions in accordance with objectives of organization. Has multifunctional support responsibilities such as, but not limited to, administrative functions, data communications, facilities management, human resources services, insurance, office services, purchasing, security, etc. Provides support and assistance to other functions and operating units of the organization.

Interprets company policy to employees and enforces company policy and practices. Participates in the development of departmental programs, policy systems, and procedures, and is responsible for their effective implementation. Applies and is guided by overall departmental philosophy, goals, and objectives, as well as administrative and medical policies and procedures. VP Sales and Marketing: Shall exercise all powers and perform all duties that maybe assigned by the Board of Trustees. VP Finance: is the treasurer of a corporation is also known as the chief financial officer (CFO). This person is directly assigned/nominated by the chairperson of the board. He/she is in-charge of all the financial matters pertaining to the corporation, overseeing the financial department's management of company finances, maintaining financial corporate records, issuing payments and preparing financial reports to be presented to the company's board of directors, officers and shareholders. He/She has

the following duties: 1. Deposits in the name and to the credit of the corporation in such bank or banks as may be designated from time to time by the Board Members 2. Keep and have charge of the book of accounts. 3. Shall post a bond in such amount as may be fixed by the Board Members and 4. Shall render an annual report of the financial condition of the Corporation during the annual meeting of the Board.

Executive Secretary: The secretary is usually responsible for creating and maintaining all records and files regarding the corporation, its holdings, activities and future plans, preparing minutes of Board and shareholder meetings. The Corporate Secretary and Assistant Corporate Secretary who shall be citizens and residents of the Philippines shall be the ex-officio Secretaries of the Board of Directors; they shall attend all sessions of the Board and shall record all votes and the minutes of all proceedings in a book to be

kept for that purpose, and shall perform like duties for any committee of the Board when required. They shall give or cause to be given notice of all meetings of the stockholders and of the Board of Directors as may be required and shall perform such other duties as may be prescribed by the Board of Directors or by the President under whose supervision they shall be. Finance Manager : The job of the Finance Manager is to insure the integrity of the financial processes that need to take place. Supervise the Travel and Meeting Services Team. Responsible for overseeing the Corporate/On-line Card Program, all travel and Purchase Order related transaction. Sales Manager: Executing functions to develop plans, organize resources, achieve coordination in accordance to the directives from the board. Planning and organizing budget and tour packages with area coordinators. Serve as an authoritative source of information for Travel and Meeting Services. Bookkeeper: A bookkeeper performs the routine operations of recording transactions in books of accounts. His/her work comprises the writing up of the books of prime entry, positing to the ledgers, balancing the ledgers according to accounts including preparation of payroll, etc. Auditor: conducts a critical examination of the books and vouchers, and of balance sheet, profit and loss account which have been prepared by the bookkeeper, verifiers of assets and liabilities and reports whether the balance sheet shows a true and correct view of state of affairs of the business and of its profit and loss and if it fails to do so, in what respect it is untrue or incorrect. In practice, auditors sometimes advises as to the system of accounts and even prepares the balance sheet and profit and loss account, although these are not strictly part of his duties as auditor. Clerk / Reservationist/Data Entry: The office clerk or data entry employee focuses their effort on accomplishing a variety of basic office tasks that keep the office running and information flowing throughout the business. This elementary office job is necessary for the efficient operation of the office.

Customer Support / Customer Service: Customer Support or Customer Service Representatives are the voice and ears to our customers, handle and adjust customer complaints. A well organized customer service can help out our tourist guide. They will be the land crew to assist our clientele going out on tour and even those on tour. Cashiers : The office job of a cashier extends beyond handling just the money in the office. He/she will have checks and balances built in each area of concerns such as payment by: air, sea and land in order to protect the monetary assets of the company. Area Coordinator: Their duties may vary by area, but certain responsibilities are uniform and across the board. The area coordinators supervise, train and evaluate field officers and staff working in his/her area. This includes setting of goals and quotas to reach sales and marketing targets. Asst. Secretary The secretary focuses on supporting the Executive secretary. Her functions would include proper filing and keeping of records, speedup reports accurately and completely. He/she help in the smooth flow and assimilation of directives. May spend their days filing or keyboarding, enter data at a computer terminal, also operate photocopiers, fax machines, and other office equipment; prepare mailings; proofread documents; and answer telephones and deliver messages.
