GENERAL TERMS AND CONDITIONS OF TRADE

1. we or us means Tuapeka Gold Print Limited.
2. The Customer means the person or entity applying for a
credit account with us or placing an order for the purchase of
goods from us.
3. In the event of any conflict between the Trade Credit Terms and
these General Terms and Conditions of Trade these General
Terms and Conditions of Trade shall prevail.
4. We reserve the right to supply 5% above or below the quantity
ordered. The actual quantity delivered will be invoiced.
5. Payment is due in full (without set-off, deduction or counter
claim) on the 20th day of the month following the date of invoice.
In the event that we do not receive payment in full on the due
date all costs of the collection process will be payable by the
Customer. We reserve the right to charge interest at 5% per
annum above Westpacs base rate for commercial lending
on overdue accounts from the due date until the date of payment.
In the event of Court proceedings being issued for non-payment,
all costs, including our legal fees, will be payable by the Customer.
We reserve the right to issue legal proceedings in any Court.
6. We accept no liability for any loss sustained through late delivery
from any cause whatsoever including negligence.
7. An order may not be cancelled except upon terms that will
compensate us for all costs incurred (including any product
specifically purchased for the order) and will otherwise protect
against loss including loss of profit.
8. All Pen Trends products are guaranteed against manufactur
ing defects and complaints must be made in writing on our
complaint form within 10 days of the invoice date. Claims for
defective goods will be settled by replacement and credits or
refunds will only be issued at our discretion.
9. All goods are printed with modern inks and using industry
accepted printing processes. However, we shall not be liable for
inks wearing off products through wear and tear. We will match
PMS colours as accurately as our inks will allow, but we cannot
guarantee close matches on anything other than white surfaces.
Half tones and detailed graphics may reproduce less than
perfectly on some products and we take no responsibility for
such imperfections other than where we have made recommen dations to the Customer on our proof sheets. We will not be
liable for errors where a proof has been submitted to and
approved by the Customer. We shall not be liable for any indirect
or consequential loss or damage to the Customer or for any
loss to the Customer arising from third party claims occasioned
by errors in carrying out the work.
10. Ownership of goods hereby sold shall remain with us until
payment is received in full. We shall be entitled to recover from
the Customer the value of the goods (as invoiced) as a liquidated
sum.
11. We are not liable in any way whatsoever for errors or omissions
on paper proofs signed off by the Customer as correct. All costs
for remedial action requested by the Customer will be invoiced
to the Customers account.
12. The Customer acknowledges and agrees that personal inform tion, which for the purposes of this clause has the same meaning
as given to that term under the Privacy Act 1993, is collected by
and will be held by us. Such personal information (whether
contained in the Trade Credit Application or otherwise obtained)
is provided and may be held, used and disclosed for the following
purposes:
(a) administering, whether directly or indirectly, our contracts
and enforcing our rights thereunder;
(b) marketing goods and services provided by us;
(c) ascertaining at any time the Customers creditworthiness
and obtaining at any time credit reports, character references
or credit statements; and
(d) enabling us to notify any credit agency of any application for
credit or default on any obligation of the Customer to us and
enabling us to provide that personal information to any credit
agency so that credit agency can maintain effective accounting
records.
The Customer has the right under the Privacy Act 1993 to
obtain access to and request correction of any personal information
concerning the Customer. The Customer authorises us to
obtain at any time from any person or entity, any information
we may require to process and/or accept any application for
credit the Customer may make to us or to perform or complete
any of the other purposes for which the Customer has provided
personal information to us. The Customer authorises any such
person to release to us any personal information that person
holds concerning the Customer. If the Customer fails to provide
information requested by us in respect of any application for

credit the Customer may make, we may be unable to process
such application.
13. The Customer hereby grants to us in accordance with the
Personal Property Securities Act 1999 (the PPSA), a securi
ty interest in respect of all goods supplied to the Customer by
us and all proceeds from the sale thereof (including without
limitation, goods, money, accounts receivable, chattel paper,
intangibles, negotiable instruments, documents of title and
investment securities) (the Collateral) to secure the payment
by the Customer to us of all amounts the Customer may owe
us from time to time and at any time. The Customer shall
provide us with the information in the Trade Credit Application
and, where necessary, evidence of the accuracy of the inform tion and shall immediately at our request provide all informa tion and/or sign and return to us any document required to
enable us to register a financing statement or a financing change
statement in respect of the security interest granted by the
Customer pursuant to this clause or any other security interest
which the Customer shall grant pursuant to our request. The
Customer shall pay to us all costs, expenses, and other charges
incurred, expended or payable by us in relation to the filing of
a financing statement or a financing change statement in con nection with these General Terms and Conditions of Trade.
The Customer:
(a) agrees that if, at any relevant time, we do not at that time
have priority over all other secured parties in relation to the
Collateral, then the Customer and we will, for the purposes of
sections 109(1), 111(1) and 120(1) of the PPSA, be deemed, in
accordance with the entitlement to do so under section 107(2)
of the PPSA, to have contracted out of that section but specifi
cally on the basis that, as between them and for purposes of
these General Terms and Conditions of Trade and the operation
and application of the PPSA, sections 109(1), 111(1) and 120(1)
(but amended only by the deletion of the words with priority
over all other secured parties) is reinstated and contracted
back into;
(b) agrees that nothing in sections 114(1)(a), 133 and 134 of the
PPSA will apply to these General Terms and Conditions of Trade,
or the security under these General Terms and Conditions of
Trade;
(c) waives the Customers right to do any of the following:
(i) receive a statement of account under section 116
of the PPSA;
(ii) receive notification of the proposal to retain
Collateral under section 120(2) of the PPSA;
(iii) object to our proposal to retain any Collateral
under section 121 of the PPSA;
(iv) not have goods damaged when we remove an
accession under section 125 of the PPSA;
(v) receive notice of the removal of an accession under
section 129 of the PPSA;
(vi) apply to the Court for any order concerning the
removal of an accession under section 131 of the PPSA; and
(vii) receive a copy of the verification statement confirming
registration of a financing statement or a financing change
statement relating to the security interest created by these
General Terms and Conditions of Trade; and
(d) If the goods (or part thereof) or any after acquired property
supplied by us to the Customer is sold by the Customer to a
third party prior to payment having been received by us for the
same the Customer shall hold all proceeds of the sale in trust for
us in a separate bank account us until payment in full without
set-off or deduction, for the goods (or part thereof) or after
acquired property supplied by us to the Customer has been
received by us.
14. The above exclusions and limitations shall not apply to a consumer
as defined in the Consumer Guarantees Act 1993. The Customer
agrees and acknowledges that either the Customer does not
fall within the definition of consumer within the Consumer
Guarantees Act 1993, or all supplies of goods and services by us to
the Customer will be acquired for the Customers business
purposes and accordingly the provisions of the Consumer Guaran tees Act 1993 will not apply.
15. The warranties herein are expressly in lieu of all other warranties,
expressed or implied, including warranties of merchantability or
fitness for a particular purpose, all such other warranties being
hereby expressly excluded to the maximum extent permitted
by law.
Adjusting the prices to allow for your markup

We have included the ability to adjust this price list to allow for your markup percentage. We
have allowed for six different markup amounts: one for each separate quantity column, five in
total, and one for setup charges.
By entering a markup amount, below, the prices in this catalogue will automatically be adjusted
to reflect the base price plus your markup.
You can then print this Trends Collection Price List with the adjusted prices.
If you have a full version of Adobe Acrobat (i.e., not just the free Reader) you can also save the
adjusted Price List to a new Acrobat file to distribute to your own customers. Just remember to
delete this page before distributing!

If a product attracts any special setup charges or surcharges, this will
be indicated under the pricing grid for that product.
Under normal circumstances delivery of printed product will be within

5 working days of receipt of the signed proof assuming the product
ordered is in stock. This may vary depending on the work load of the
factory and we cannot be held responsible for orders taking longer
than 5 working days. Urgent orders are possible but please check with
us before placing an urgent order. Unprinted orders will be despatched
within 24 hours of receipt under normal circumstances assuming we
have stock available.
Change Outs
Changing Rells in Pens
If a single customer orders a quantity of products but requires multiple

changes to minor details of the copy the order will be charged at the

Laser Engraving Individual Names

It is possible to laser engrave individual names on products that are
60 c per name for pens and
suitable for laser engraving. The price is .60c

each list of names supplied.
Proofs
The standard rell colours of each of our pens are listed in our Pen
Trends catalogue. If other rell colours are available they are also
listed. Please note that many of our pens can have a gel ink rell tted.
There is a charge of 12 cents plus the cost of the rell to supply pens
with an alternative rell. The standard rells that have been removed
will be sent with the pens.
Samples
We will provide samples on receipt of a purchase order and these will
be supplied either at the list price or free of charge at our discretion.
Samples will be sent freight free and cannot be returned for credit.
Returns
Unprinted stock in good saleable condition may be returned by
arrangement within 7 days of the invoice date. A 10% restocking fee
will apply and our determination of saleable will be nal.
An electronic proof will be sent before printing commences. This

must be checked carefully and if correct signed or electronically signed
and returned.
No printing will proceed without a signed proof. Tuapeka Gold Print
Limited will take no responsibility for errors or omissions once a
proof is signed so please check proofs carefully.
Exact Quantities

Orders will be despatched by 48 hour courier and freight is free of

charge assuming the order is not below the quoted minimum quantity
in the corresponding price column. Free freight applies to New Zealand deliveries only
$ 5.00 packFor orders below the quoted minimum quantity there is a $5.00
ing charge. Overnight freight when required is additional. If a delivery
date is specied on your order and overnight freight has to be used
to meet your deadline, the extra cost will be charged to your account.

Pre Production Samples

Pre production samples are available at the cost of $$30.00
30.00 plus normal
set up charges. If the order proceeds in an unchanged format, repeat
set up charges will apply to the production order. Any changes will
incur new set up charges.
Reserving Stock
Stock can be reserved for 48 hours at our discretion. The reserve
will automatically expire after 48 hours and the stock will be available
for resale. Reserves cannot be placed on stock that is promoted as a
special offer or end of line.
We reserve the right to supply 5% above or below the quantity

ordered as per our General Conditions of Sale. If you require exact
quantities please specify this on your order. We will do our best to
oblige.
Delivery/Freight
Damaged or Lost Goods

We must be notied of any claims for lost or damaged goods while in
transit within 7 days of the despatch date. Liability for any settlement
rests with the carrier and we do not take liability for their actions.

Artwork Wizard
Getting useable artwork from clients can be difficult and frustrating.
Artwork Wizard will solve your artwork problems for a flat fee of $20.00
$ 20.00 plus GST.
If your client doesnt have useable artwork available simply get whatever you can
and Artwork Wizard will turn it into useable artwork in an instant! Artwork Wizard
can use bitmaps, scanned images or any file type we can open. Photographs, printed
material or even objects like shirts and caps are okay. Simply take a photo showing
the logo and send it to us.
When you need artwork redrawn e-mail it with your product order and
Artwork Wizard will work his magic to make the artwork useable for printing.
Artwork Wizard is licensed to Tuapeka Gold Print Ltd and is only available at the
quoted price for creating artwork to be used in orders placed with us.

FREE! The time spent on typesetting, logo arrangement and minor artwork
alterations is free of charge when useable artwork is supplied with the order.
When you cannot get useable artwork send us what you have available.We will convert
or redraw it for a flat fee of $20-00.

proceed with this option. You can send us bitmaps, scanned images or any file type
that we are able to open. Artwork Wizard can also use printed material, photographs
or even hats and shirts etc if this is all that you can get. Artwork Wizards $$20.00

covers converting almost any type of artwork into a useable file so you can quote this
cost to your customer with confidence. You can use Artwork Wizard to redraw logos
for orders that are not being placed with us but the price increases to $40-00
$ 40.00 per logo.
Artwork Wizard is a service for converting existing logos into useable artwork and is
not intended as a design service. We reserve the right to charge $1-00
$ 1.00 per minute if we
are asked to undertake design work and also for ongoing alterations to proofs.
Why is vector artwork better and what is wrong with
raster graphics or bitmaps?
Below is an example of a raster

graphic that has been converted to
vector artwork.

Vector Graphics - A vector graphic is the ideal format to supply artwork for printing,
Artwork in this format is saved as mathematical equations and can easily be edited and
resized without compromising the image quality. Vector artwork can be supplied in the

PDF Portable Document Format

(ensure artwork is converted to curves/paths to avoid font conflicts)
Raster Graphics A raster graphic is made up of grids of pixels and cant be as
easily edited or resized and in order to use raster graphics for printing they must first
be converted or redrawn as vector graphics. If raster graphics are supplied we will
attempt to make this artwork useable otherwise the flat fee of $20.00

Wizard service will be charged to convert or redraw artwork.

Terms and Conditions All artwork, film, plates and screens created by Trends
Collection or Artwork Wizard in the production of an order remain the property of
Tuapeka Gold Print Ltd.
Artwork Wizard is a licensed Trends Collection service and is only available at the
quoted price for creating artwork to be used in orders placed with us.
When we receive artwork from clients we assume the sender has been assigned the
right to use it by the owner and is acting on their behalf.
REFILL INFORMATION
Every pen in the Pen Trends catalogue has a detailed description of the
standard refill used in that pen and the standard ink colour(s). Some
pens are only available with the standard refill ink colour but others
have a choice of ink colours at no extra cost.
Also listed are any other refill colours that are available for an extra
charge.
Gel ink refills are also available for many of our pens and this is indicated in the catalogue under the Gel Ink heading.
If you want to change the refill from the standard options there is
an extra charge for both the refill and fitting it into the pen. The
standard refills that have been removed will be sent to you with the
pens.
You can choose the refill colour you want at no extra charge for
indent orders. See page 78 of the Pen Trends catalogue for more
information about indenting pens direct from our manufacturers.
