The origins of Group ICRA date back to 1991 when a company by the name Investment Information and Credit Rating Agency of India Limited was established by leading financial/ investment institutions, commercial banks, and financial services companies in India. Rating Services
As an early entrant in the Credit Rating business, ICRA Limited (ICRA) is one of the most experienced Credit Rating Agencies in the country today. ICRA rates rupee denominated debt instruments issued by manufacturing companies, commercial banks, non-banking finance companies, financial institutions, public sector undertakings and municipalities, among others. ICRA also rates structured obligations and sector-specific debt obligations such as instruments issued by Power, Telecom and Infrastructure companies. In IPO Grading, an ICRA-assigned IPO Grade represents a relative assessment of the fundamentals of the issue graded in relation to the universe of other listed equity securities in India. In MFI Grading, the focus of ICRAs grading exercise is on evaluating the candidate institutions business and financial risks. The Grading of Construction Entities seeks to provide an independent opinion on the quality of performance of the entities graded. Similarly, the Grading of Real Estate Developers and Projects seeks to make property buyers aware of the risks associated with real estate projects, and with the developers ability to deliver in accordance with the terms agreed. ICRAs Healthcare Gradings present an independent opinion on the quality of care provided by healthcare entities. Alliance with Moodys Investors Service


The international Credit Rating Agency Moodys Investors Service1 is ICRAs largest shareholder. The participation of Moodys is supported by a Technical Services Agreement, which entails Moodys providing certain high-value technical services to ICRA. Specifically, the agreement is aimed at benefiting ICRAs in-house research capabilities, and providing it with access to Moodys global research base. The agreement also envisages Moodys conducting regular training and business seminars for ICRA analysts on various subjects to help them better understand and manage concepts and issues relating to the development of the capital markets in India. Besides this formal training programme, the agreement provides for Moodys advising ICRA on Rating-products strategy, and the Ratings business in general.

Credit Rating An ICRA Rating is a symbolic indicator of ICRAs current opinion on the relative capability of the corporate entity concerned to timely service debts and obligations, with reference to the instrument Rated. The Rating is based on an objective analysis of the information and clarifications obtained from the entity, as also other sources considered reliable by ICRA. The independence and professional approach of ICRA ensure reliable, consistent and unbiased Ratings. Ratings allow investors to factor credit risk in their investment decision. ICRA Rates long-term, medium-term, and short-term debt instruments. ICRA offers its Credit Rating services to a wide range of issuers including: Manufacturing companies Banks, Insurance companies; and financial institutions Infrastructure sector companies Service companies Municipal and other local bodies State governments Non-banking finance companies Small and medium sector entities Structured Finance Rating ICRAs Structured Finance Ratings (SFRs) are ICRAs opinion on the likelihood of the Rated structured instrument servicing its debt obligations in accordance with the terms. An SFR, which is generally different from the corporate Credit Rating of the originator, is based on the assessment of the risks associated with the individual components of the structured instrument. These components include legal risk, credit quality of the underlying asset, and the various features of the structure. The symbols used for SFRs are similar to the Credit Rating symbols, except that the SFRs carry a suffix of SO (for Structured Obligation) within parentheses alongside. SFRs are based on an estimation of the expected loss on the Rated instrument, under various possible scenarios. The expected loss is defined as the product of probability of default and severity of loss, once the default occurs. An SFR symbol indicates the relative level of expected loss for that instrument, with the risk of loss being similar as in the case of a corporate Credit Rating of the same level. An SFR is different from the Credit Rating of the originator as it is based on the strength of the underlying assets and structure. ICRAs major SFR products (corresponding to the major categories of the underlying assets) are listed here. ICRA employs a specific methodology for each of its SFR products. The methodology is based on ICRAs understanding of that particular asset class and the structure and legal issues associated with the transaction involved. Line of Credit Rating (Basel II) The Line of Credit Rating service from ICRA entails evaluating the capability of an issuer to timely meet its debt obligations against a specific line of credit, in the light of the relevant terms, conditions and covenants. ICRA considers all relevant factors that have a bearing on the future cash generation and debt servicing ability of the issuer. These factors include: industry characteristics, regulations, competitive position of the issuer, operational efficiency, management quality, commitment to new projects and other associate companies, and funding policies of the issuer. A detailed analysis of past financial statements is made to assess performance under real world business dynamics. Estimates of future earnings over the next three to five years under various sensitivity scenarios are drawn up and evaluated against the claims and obligations that would require servicing. Primarily, it is the relative comfort on the level and quality of the issuers cash flows to service obligations that determines its Rating.

Corporate Governance and Stakeholder Value & Governance Rating ICRAs Corporate Governance Rating (CGR) is meant to indicate the relative level to which an organisation accepts and follows the codes and guidelines of corporate governance practices. The corporate governance practices prevalent in a company reflect the distribution of rights and responsibilities among different participants in the organisation such as the Board, management, shareholders and other financial stakeholders, and the rules and procedures laid down and followed for making decisions on corporate affairs. The emphasis of ICRAs CGR is on a corporates business practices and quality of disclosure standards that address the requirements of the regulators and are fair and transparent for its financial stakeholders. The emphasis of ICRAs Stakeholder Value and Governance (SVG) Rating, on the other hand, is on value creation and value management for all stakeholders of a company, besides the companys corporate governance practices. An SVG Rating considers a companys actual performance and the accrual of the benefits of such performance among all its stakeholders, apart from the quality of the companys corporate governance practices. It is the combined assessment of stakeholder value creation and management and the quality of corporate governance practices that determines the SVG Rating.

Project Finance Rating The envisaged demand for private-sector investments in infrastructure projects, particularly in the energy and road sectors, suggests considerable potential for adequately structured project finance transactions. Growth in such transactions would also be driven by the inability of many potential project sponsors to implement such capital intensive and highly leveraged projects on their balance sheets, without having their own credit risk profile materially impacted. Project financing usually involves setting up of a Special Purpose Vehicle (SPV), bound by a contractual matrix to various project participants, which raises debt and services it from its own cash flows, without recourse to its sponsors. ICRAs Rating approach emphasises the importance of carefully assessing the risks that characterise such transactions and suitably structuring the projects to mitigate the risks. It may be noted that if a project entity proposes to issue a debt instrument that requires a Credit Rating, ICRA would assign a Credit Rating on its conventional Credit Rating scale. The Project Finance Rating (PFR) service is essentially a project risk assessment exercise (with a separate PFR Rating scale) that may be useful to the project entity and its lenders/investors. Issuer Rating ICRA has been providing investors with independent, professional and reliable Rating opinions on debt instruments since 1991. Based on the feedback received from the market and to extend its Rating coverage to corporate entities that do not have firm or immediate debt issue plans, ICRA has launched the service of Issuer Rating in India. ICRAs Issuer Ratings provide an opinion on the general creditworthiness of the Rated entities in relation to their senior unsecured obligations. Our goal in Credit Risk Rating of debt mutual funds is to provide investors with a simple-to-use measure of credit risk. The Credit Risk Ratings incorporate ICRAs assessment of a debt funds published investment objectives and policies, its management characteristics, and the creditworthiness of its investment portfolio.

Grading Services
Claims Paying Ability Rating (for Insurance Companies) ICRAs Claims Paying Ability Ratings (CPRs) for insurance companies are ICRAs opinion on the ability of the insurers concerned to honour policyholder claims and obligations on time. In other words, a CPR is ICRAs opinion on the financial strength of the insurer, from a policyholders perspective. Following deregulation, a paradigm shift is expected in the domestic insurance sector as newer players and products enter the market. Given this scenario, ICRA expects its CPRs to be an important input influencing the consumers choice of insurance companies and products. ICRAs Rating process involves analysis of an insurers business fundamentals and its competitive position, and focuses primarily on the insurers franchise value, its management, organisational structure/ownership, and underwriting and investment strategies. Besides, the analysis includes assessment of an insurance companys profitability, liquidity, operating and financial leverage, capital adequacy, and asset/liability management method. Performance and Credit Rating of Small-Scale Enterprises ICRA, along with National Small Industries Corporation Limited (NSIC), has launched a Performance and Credit Rating Scheme for Small-Scale Enterprises (SEs) in India on a special Rating scale, using criteria tailored for the small-scale sector. The Rating methodology for SEs covers credit and performance factors, including parameters that measure operating, financial, business and management risks. Grading of IPOs ICRAs Grading of Initial Public Offerings (IPOs) is a service aimed at facilitating assessment of equity issues offered to the public. The Grade assigned to any individual IPO is a symbolic representation of ICRAs assessment of the fundamentals of the issuer concerned on a relative Grading scale. IPO Grades are assigned on a five-point scale, with IPO Grade 5 being the highest grading and IPO Grade 1 the lowest grading, i.e., a higher score indicates stronger fundamentals. An ICRA IPO Grade does not comment on the valuation or pricing of the issue that has been Graded, nor does it seek to indicate the likely returns to shareholders from subscribing to the IPO. Grading of Microfinance Institutions The focus of ICRAs MFI Grading exercise is on evaluating the candidate institutions business and financial risks. ICRA forms an opinion on an MFIs business risk by analysing, among other factors, its operating environment, governance structure, management and systems, scalability (in relation to business plans), and asset quality. Financial risk is assessed through an evaluation of factors including the MFIs liquidity position, funding policies, capitalisation profile and profitability.

An ICRA MFI Grading is a symbolic indicator of ICRAs current opinion on the relative capability of the Microfinance Institution (MFI) concerned to manage its microfinance activities in a sustainable manner. An ICRA MFI Grading is not a comment on any specific debt servicing capability of the MFI. Grading of Construction Entities ICRAs service of Grading of Construction Entities is designed to provide lenders and sector participants with an independent opinion on the quality of the entity Graded. The unique Grading methodology developed for the purpose, encompasses all entities in a construction project: the contractor, the consultant, the project owner, and the project itself. The service of Grading, by providing an independent opinion on the quality of the entity Graded, is designed to enhance the lenders confidence in the construction sector participants. Besides, the Gradings may also benefit the participants by highlighting their competencies and helping them stand out in a crowd.

Grading of Real Estate Developers and Projects ICRAs service of Grading of Real Estate Developers and Projects, by providing an independent opinion on the relative performance capability of real estate development entities, seeks to serve as a tool for identifying and managing the risks associated with the entities concerned. For the investor (buyer of property), the Gradings communicate the risks associated with the developers ability to deliver in accordance with the terms, quality parameters, and time stipulated. For developers, the Gradings, by providing a scientific assessment of their abilities and risk profiles, serve to assist them in presenting their case to lenders. Grading of Healthcare Institutions ICRAs Healthcare Grading is designed to evaluate the two most important dimensions of care, viz. technical and interpersonal care. A healthcare institution with a higher Grading would have relatively better care infrastructure and processes than those Graded lower. While evaluating a healthcare institution ICRA looks into a host of factors such as availability of infrastructure, equipment, manpower, systems and clinical algorithms, all from the users point

of view. The evaluation of these core factors involves a review of the institutions resources, processes and outcome to determine its capability to deliver care. The focus of the evaluation is on the quantitative adequacy (number), technical adequacy (type) and availability (distribution) of core resources. Additionally, the methodology involves incorporating the feedback of facility users to capture the quality of the interpersonal aspects of care. Grading of Maritime Training Institutes In keeping with its commitment to remain at the forefront of innovation, ICRA has ventured into the education sector, offering the service of Grading of Maritime Training Institutes (MTIs) in India. For this service, ICRA is empanelled with the Directorate General of Shipping (DGS), Government of India. The extension of service is aimed at promoting standardisation of infrastructure and practices within the maritime education industry and at addressing the perceived need among students, employers, the regulator and other stakeholders for an informed, reliable and independent opinion on the quality of education imparted by the various individual MTIs.
