These Standard Terms and Conditions and the Insertion Order (collectively, the “Agreement”) are entered into by and between xAD, Inc., Inc. (“xAD, Inc.

1. Promotions. Subject to the terms and conditions of this Agreement, xAD, Inc. agrees to use reasonable commercial efforts to provide the mobile adv

3. Delivery and Maintenance of the Promotions. The parties acknowledge and agree that there is limited advertising space in the format of m

6. Term; Termination. This Agreement will commence on the date of the last signature to the Insertion Order and terminate on the date all the Pr

7. Warranty and Disclaimer. Advertiser represents and warrants to xAD, Inc. that: (i) Advertising Content will be accurate and will be continuou

authority to enter into and perform Advertiser’s obligations under this Agreement; (iv) to the best of Advertiser’s knowledge, it currently has

8. Indemnification. Advertiser agrees to defend, indemnify, and hold xAD, Inc. and its affiliated companies harmless from any liability, d
expenses, including reasonable attorneys’ fees, relating to: (i) a material breach of any material representation or warranty provided by Ad
Agreement; (ii) a claim that Advertising Content as provided to xAD, Inc. by Advertiser hereunder (or as modified by xAD, Inc. as contemp
Advertiser’s direction) infringes or misappropriates any third party intellectual property right; (iii) a claim that Advertising Content as provid
Advertiser hereunder (or as modified by xAD, Inc. at Advertiser’s direction) is libelous or defamatory or otherwise violates the rights of any th
claim related to any virus, worm or Trojan horse or other contaminating or destructive features contained in the Promotions.
xAD, Inc. will promptly notify Advertiser in writing of any such claim. xAD, Inc. shall give Advertiser sole control over the defense and/or settlemen
except that Advertiser will not agree to any settlement or compromise that would require xAD, Inc. to make any payments or bear any obligations unles
xAD, Inc.’s prior written approval. xAD, Inc. shall give Advertiser reasonable assistance in such defense at Advertiser’s expense. xAD, Inc. will have th
in the defense of any such claim and/or to be represented by counsel of its own choosing.
9. Limitation of Liability. NOTWITHSTANDING ANYTHING ELSE HEREIN, xAD, Inc. SHALL NOT BE LIABLE FOR ANY SPEC
INCIDENTAL, CONSEQUENTIAL OR EXEMPLARY DAMAGES IN CONNECTION WITH THIS AGREEMENT, INCLUDING, WITHO
DAMAGES RELATING TO THE LOSS OF PROFITS, INCOME OR GOODWILL, THE REMOVAL OF ANY PROMOTIONS, ANY DELAY
OR THE FAILURE TO DISPLAY PROMOTIONS, OR ANY COST OF PROCUREMENT OF SUBSTITUTE GOODS OR SERVICES, EVE
THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT WILL xAD, Inc.’S LIABILITY UNDER THIS AGREEMENT EXCEED THE A
ADVERTISER FOR THE PROMOTIONS WHICH ARE THE BASIS OF LIABILITY.
10. Confidentiality. Each party agrees that all business, technical and financial information it obtains from the other party that is marked “Confidential”
the confidential property of the disclosing party (“Proprietary Information” of the disclosing party). Except as expressly allowed herein, the receivin
