Le presenti condizioni generali di vendita sono applicate dalle società facenti parte del Gruppo Baglioni - CSC S.r.l., Aircom S.r.l., Coinox S.r.l. - di seguito These general conditions of sale are applied by the companies belonging to Gruppo Baglioni - CSC S.r.l., Aircom S.r.l., Coinox S.r.l. - hereinafter referred
denominate “il fornitore”. to as “supplier”.

1) ORDINE
L’ordine viene assunto “SALVO APPROVAZIONE DELLA CASA” ed è conferito
irrevocabilmente per la durata di mesi uno dalla data della sua sottoscrizione
(art. 1329 c.c.). Gli ordini si intendono accettati solo se confermati dal
fornitore. La mancanza di conferma da parte della ns. società non costituisce
comunque obbligo contrattuale.
2) RISERVATO DOMINIO
È espressamente pattuita la riserva di proprietà di tutto il materiale oggetto
della fornitura a favore del fornitore fino a totale pagamento di
quanto dovuto. Il cliente, pertanto, acquista la proprietà solamente all’atto
dell’integrale pagamento della fornitura, assumendosi, tuttavia, i rischi sin dal
momento dell’inizio della consegna del materiale al corriere (art. 1523 c.c.).
3) PAGAMENTI
I prezzi sono quelli indicati a listino del fornitore e stante le possibili variazioni
del prezzo di mercato essi rimangono vincolanti solo dopo l’avvenuta
conferma da parte della ns. società. La fornitura è soggetta alle condizioni
indicate nelle commissioni o offerte una volta confermati dalla ns. società.
Tutti i pagamenti devono essere eseguiti nei termini e nelle modalità indicate
nell’ordine (preventivo e/o contratto).
Non sono riconosciuti validi e/o efficaci i pagamenti eseguiti in modo
difforme da quanto concordato nella conferma d’ordine o presso terze
persone o rappresentanti che non siano espressamente autorizzati alla
singola riscossione per iscritto. Il fornitore si riserva altresì la facoltà di
ritardare l’inizio o di procrastinare la consegna, qualora il cliente non si trovi
in perfetta regola con i pagamenti. Il ritardato pagamento anche di una rata
o l’inesatto o incompleto pagamento del prezzo comporta l’automatica messa
in mora dell’acquirente che dovrà corrispondere alla Baglioni spa gli interessi
commerciali.
4) DECADENZA DAL TERMINE E CLAUSOLA RISOLUTIVA ESPRESSA
Il mancato pagamento anche di una sola delle rate e/o delle scadenze, fa
decadere il cliente dal beneficio del termine rateale, se pattuito, e dà diritto
al fornitore di richiedere subito il residuo saldo del prezzo (art. 1186 c.c.),
oppure di ritenere senz’altro risolto il contratto ai sensi dell’art. 1456 c.c e,
quindi di chiedere la restituzione immediata della fornitura.
5) TERMINE DI CONSEGNA
Il termine di consegna non è mai tassativo. Qualsivoglia ritardo non dà mai
diritto a compenso o indennizzo a favore del cliente. La consegna si intenderà
già effettuata, (anche quando la società si è assunta l’obbligazione di merce
resa franco destino) con la consegna stessa al vettore. Il fornitore si impegna
a consegnare la merce, sempreché non intervenga uno qualsiasi dei seguenti
impedimenti:
a) Forza maggiore.
b) Ritardata consegna delle materie prime.
c) Richiesta di variazioni o correzioni delle caratteristiche della fornitura da
parte del cliente.
d) Inadempienza parziale o mora dell’Acquirente nel pagamento di anche una
sola rata.
In tali circostanze la consegna verrà posticipata del tempo necessario a
decorrere dalla cessazione dell’impedimento.
6) GARANZIA
Tutti i prodotti del fornitore sono garantiti per la durata di anni 2 dalla data
della fattura. Tale garanzia impegna la ns. società solo alla riparazione o
sostituzione dei pezzi difettosi, che devono essere restituiti al costruttore.
La garanzia decade qualora i difetti segnalati derivano dall’inosservanza
alle istruzioni d’uso che accompagnano il prodotto e nei limiti di utilizzo
definiti dalla dichiarazione di conformità ad esempio pressione d’esercizio e
temperatura massima.
7) SPEDIZIONE e TRASPORTO
La merce é resa franco nostro stabilimento. In caso contrario verranno
addebitate le spese di trasporto. In ogni caso la spedizione della merce viene
eseguita a rischio e pericolo del destinatario che, al ricevimento della merce,
deve verificare in presenza del trasportatore che l’imballo sia intatto, che
non ci siano articoli mancanti e sostituzioni. Ogni danno o perdita constatati
devono essere segnalati immediatamente al corriere firmando con riserva il
D.d.T. e confermando tale riserva tramite lettera raccomandata entro giorni
otto dal ricevimento della merce. L’inosservanza di questa clausola solleva il
fornitore da eventuali sue responsabilità.
8) RECLAMI
I reclami riguardanti merce mancante o difetti apparenti, sono presi in
considerazione solo se notificati entro otto giorni dal ricevimento. I reclami
devono essere indirizzati al fornitore a mezzo raccomandata a.r.
9) FORO DI COMPETENZA ESCLUSIVA E LEGGE APPLICABILE
Per qualsiasi controversia giudiziaria riguardante il presente contratto
nessuna eccettuata, foro competente sarà esclusivamente e solamente
quello di Novara, con espressa esclusione di ogni altro foro concorrente a
sensi dell’art. 29 c.p.c. Per qualsiasi controversia relativa all’interpretazione,
esecuzione e risoluzione del presente ordine, è applicabile la legge italiana.
10) LEGGE E LINGUA REGOLATRICE DEI RAPPORTI
Si dà atto che la lingua regolatrice dell’ordine, delle presenti condizioni e di
qualsivoglia rapporto è quella italiana.
1) PURCHASE ORDER
The purchase order is received “SUBJECT TO PARENT COMPANY APPROVAL”
and is conferred irrevocably for a duration of one month starting from the date
of signature (art. 1329 of the Italian Civil Code). Purchase orders are deemed
accepted only if confirmed by the supplier. Failure to confirm by our Company
shall not constitute a contractual obligation.
2) LIEN
The ownership reservation is hereby expressly agreed for all goods and
materials being supplied in favour of the supplier until settlement of the full
payment of the sum due. Therefore the customer acquires the ownership only
upon full payment of the supply but takes on the risks from when the material
is first handed over to the carrier (art. 1523 of the Italian Civil Code).
3) PAYMENTS
The prices indicated in the supplier’s price list apply and, subject to any changes
in the market price, remain blocked only after our company’s confirmation. The
supply is subject to the conditions set forth in commissions or offers once they
are confirmed by our company. All payments shall be carried out in compliance
with the terms and modes set forth in the purchase order (quotation and/
or agreement). Payments not complying with the what agreed on the order
confirmation or made to any third person or representative not expressly
authorized in writing to collect shall be deemed not valid and/or effective. The
supplier also reserves the right to delay the start of works or postpone the
delivery if the customer has not settled all the payments due. The late payment
of just one installment or a wrong or incomplete payment of price implies for the
purchaser to be automatically declared in default and therefore to be obliged
to pay all interests to Baglioni s.p.a. The issue of bills of exchange or other
titles is made and accepted “subject to collection” and without prejudice to the
clauses above.
4) ACCELERATION AND EXPRESS TERMINATION CLAUSE
Failure to pay even one of the installments and/or to pay within the deadlines
results in the customer losing the right to pay by installments, if agreed, and
gives the supplier the right to immediately request to settle the payment
of the remaining sum (art. 1186 of the Italian Civil Code), or to deem the
agreement definitely terminated pursuant to art. 1456 of the Italian Civil Code
and therefore to request the immediate return of the goods and materials
supplied.
5) DELIVERY DATE
The delivery date is never binding. A delay never gives the customer the
right to compensation or indemnification. The delivery shall be considered
as completed (even when the company undertakes the obligation to deliver
carriage paid) once the goods are consigned to the carrier. The supplier
undertakes to deliver the goods as long as any of the following impediments
do not take place:
a) Force majeure.
b) Late delivery of raw materials.
c) Customer requesting change or amendment to the features of the supply.
d) Partial non-fulfilment o default of the Purchaser to pay even one of the
installments.
In these circumstances the delivery will be postponed for the time needed
starting from when the impediment ends.
6) WARRANTY
All the supplier’s products are guaranteed for the duration of 2 year from
invoice date. This warranty binds our company to repair or replace only the
faulty components - which shall be returned to the manufacturer.
The warranty expires if the defects reported result from a failure to comply
with the instructions of use provided with the products and with the working
limits set forth in the declaration of conformity, such as for example working
pressure and maximum temperature.
7) SHIPMENT and TRANSPORTATION
The goods are delivered ex works. Otherwise, transportation costs will be
charged to the customer. In any case the shipment of goods is carried out
at the addressee’s risk who, upon goods receipt, shall check in the presence
of the transporter that the packaging is intact and that no item is missing or
substituted. Any verified damage or loss shall be immediately reported to
the carrier by accepting the delivery note conditionally and confirming such
a conditional acceptance by means of a recorded delivery letter within eight
days from goods receipt. Failure to comply with this clause will release the
supplier from any liability.
8) COMPLAINTS
Complaints regarding missing goods or apparent defects are examined only
if reported within eight days from goods receipt. Complaints shall be sent to
the supplier by means of registered mail with return receipt.
9) EXCLUSIVE COURTS OF JURISDICTION AND APPLICABLE LAW
The place of jurisdiction for any litigation - with no exceptions - arising hereof
will exclusively and solely be the Courts of Novara,
with express exclusion of any other competing courts pursuant to art. 29 of
Code of Civil Procedure. For any dispute concerning
the interpretation, fulfilment and termination of this order the Italian Law
will apply.
10) APPLICABLE LAW AND LANGUAGE
It is hereby acknowledged that the language that regulates the order, these
conditions and any other relationship is Italian.

Con l’accettazione del presente incarico il cliente dichiara di aver preso visione, del Codice Etico adottato dalla Baglioni s.p.a. e dalle società
del Gruppo consultabile sul sito www.baglionispa.com e si impegna ad osservare comportamenti conformi a quanto previsto dal Codice Etico e dal Decreto
Legislativo 8 Giugno 2001, n.231. Prende altresì atto che l’inosservanza di una delle qualsiasi previsioni dei citati Codice Etico e Decreto Legislativo 231/01
comporterà un inadempimento grave degli obblighi di cui al presente contratto in forza del quale la Baglioni s.p.a. sarà legittimata a risolvere lo stesso con
effetto immediato, ai sensi e per gli effetti di cui all’art. 1456 del Codice Civile.
By accepting this assignment the customer also states having read the Code of Ethics adopted by Baglioni s.p.a. and the companies of the Group, which can be
found on the website www.baglionispa.com and undertakes to behave in compliance with the provisions of the Code of Ethics and of the Legislative Decree 8
June 2001, No. 231. The customer also acknowledges that the failure to comply with any of the provisions of the Code of Ethics and of the Legislative Decree
231/01 will imply a serious breach of the obligations hereof and therefore will empower Baglioni s.p.a. to terminate the agreement immediately in accordance
with art. 1456 of Italian Civil Code.
