CITY SEARCH SUBSCRIPTION AGREEMENT

1. Full service photography contract – 1stdibs provides photography

Monthly Subscription Fee: $450.00 inclusive of photography, photo imaging and posting of first 10 items per month to the category
search section. Additional items will be photographed, processed and posted to the category search section at $20.00 per item.
Additional items posted using your own photography will be processed and posted to the category search section at $10.00 per item.
Items may be featured in the weekly new listings section at $5 per featured item. All items posted with no listing price will incur a $10

additional listing fee. On the 1 of each quarter – Jan 1 , Apr 1 , Jul 1 , Oct 1 – there will be a $1 per item charge for each item
available in your 1stdibs storefront, For example: if you have 150 items available you will be charged $150.

There is a one-time Set-up Fee of $1000 for the initial photo-shoot, processing and posting of 20 items (inclusive of first month’s 10
items), initial system training, storefront setup and logo implementation.

Initial Subscription Term and Subsequent Terms: Unless otherwise agreed, the Initial Subscription Term shall be for one year
effective as of the date of this contract. Unless previously terminated by Seller (30 day notice required) or 1stdibs.com the initial
Subscription Terms shall be automatically renewed for the same period. All inventory must be posted exclusively with 1stdibs.com for
at least 30 days before it can be shown on any other web site (other than your company’s own web site)

2. Self service photography contract – the Seller provides the photography

Monthly Subscription Fee: $450.00 inclusive of photo imaging and posting of first 15 items per month to the category search
section. Additional items will be processed and posted to the category search section at $10.00 per item. Items may be featured in
the weekly new listings section at $5 per featured item. All items posted with no listing price will incur a $10 additional listing fee. On

Terms and Conditions
This Subscription Agreement (this “Agreement”) describes the terms and conditions on which 1stdibs.com offers you access to sell property on the
City Search feature (“City Search”) of the 1stdibs.com domain (the “Site”). Any person or business entity (e.g., corporation, general partnership,
limited partnership, limited liability company, joint venture) which subscribes to sell property on City Search (a “Seller”) must accept all of the terms and
conditions contained in (a) this Agreement and (b) the 1stdibs.com User Agreement. This Agreement may not be amended except in a writing signed
by you and 1stdibs.com. This Agreement shall become effective upon 1stdibs.com’s receipt and acceptance of your signed Agreement and payment
of the Subscription Fee.
1. Operation of the Site City Search provides a venue for Sellers to sell Items online to buyers (“Buyers”). Unless otherwise requested by a Buyer,
the sale is made directly between the Seller and the Buyer, and the role of 1stdibs.com is limited to making the Site available and maintaining the Site.
Unless otherwise indicated, 1stdibs.com is not an agent of either the Buyer of the Seller for any purpose. 1stdibs.com does not accept responsibility
for any negligence, misconduct or other inappropriate or un-businesslike behavior by a Buyer in connection with any sale transaction entered into on
or through the City Search.
2. Services and Fees 1stdibs.com agrees to publish images and information relating to Items provided by the Seller on City Search for the term
specified on the front page of this Agreement. 1stdibs reserves the right to reformat the data and images received in order to accommodate the format
of the Site. 1stdibs.com further reserves the right to publish images and information relating to Items on the Site as they deem fit, including but not
limited to, the “New Items” section of the Site; to the extent 1stdibs.com, in its sole discretion, includes Items in the “New Items” section of the Site,
there shall be no additional charge to Seller. Any images created or produced by 1stdibs.com are the sole property of 1stdibs.com, and, unless
otherwise approved by 1stdibs.com, may only be used on the Site. The subscription fees (“Fees”) for providing the City Search service are listed on
the front page of this Agreement. Initial terms and Fees will be automatically renewed for subsequent periods, unless terminated by Seller or
1stdibs.com. Unless otherwise stated, all Fees are quoted in U.S. Dollars. We may terminate this Agreement if you fail to make a payment under this
Agreement when due, or are misusing or threatening to misuse 1stdibs.com’s trademark or other intellectual property. We reserve the right to adjust
our pricing at any time. In the event of a price change, a seller may elect to terminate this contract by giving notice within 30 days of the price change.
3. Release To the maximum extent permitted by law, you release 1stdibs.com, our officers, directors, subsidiaries, employees and agents from all
claims, demands, liabilities, actions, losses and damages (including, actual, direct, indirect, incidental, special and consequential) of every kind and
nature, known and unknown, suspected and unsuspected, disclosed and undisclosed, arising out of or in any way connected with City Search, the
Site, any goods or services sold, purchased or obtained or transactions entered into with City Search or the Site.
4. Information Control We do not control the information provided by other Sellers or Buyers. 1stdibs.com is not responsible for the acts or
omissions of other users of the Site.
5. Listing and Selling By signing and submitting this Agreement to 1stdibs.com you represent and warrant that you are legally able to sell and convey
full legal title to the Item(s) you list for sale on City Search. Your listings may only include text descriptions, graphics, pictures and other content
relevant to the sale of that Item.
6. Buyers’ Option Buyers on 1stdibs.com and City Search may request to have 1stdibs.com negotiate the purchase of your Item. In that event, the
“Total Purchase Price” (as that term is defined in the 1stdibs.com User Agreement) will include a Buyer’s Premium to1stdibs.com in the amount stated
in the “buyer’s premium schedule” posted on the Site. In no event, however, will that increase or decrease the amount you receive for the Item.
7. Fraud Without limiting any other remedies available to it, we may suspend or terminate this Agreement if we suspect that any Seller (by conviction,
settlement, insurance or escrow investigation or otherwise) has engaged in fraudulent activity in connection with the City Search or the Site.
8. Information Any information you provide to City Search, 1stdibs.com or other users in the subscription, registration, listing process, or through any
email feature, shall not: (a) be false, inaccurate or misleading, (b) be fraudulent or involve the sale of counterfeit or stolen items, c) infringe any third
party’s copyright, patent, trademark, trade secret or other proprietary rights or rights of publicity or privacy, (d) violate any law, statute, ordinance or
regulation, (e) be defamatory, trade libelous, unlawfully threatening or unlawfully harassing, (f) contain any viruses, Trojan horses, worms, time bombs,
cancelbots, easter eggs or other computer programming routines that may damage, detrimentally interfere with, surreptitiously intercept or expropriate
any system, data or personal information, (g) create liability for 1stdibs.com or cause 1stdibs.com to lose (in whole or in part) the services of our ISP’s
or other suppliers, and (g) link directly or indirectly to, or include descriptions of Items that are prohibited under this Agreement; or
You may not list any Item on City Search (or consummate any transaction that was initiated using our service) that could cause 1stdibs.com to violate
any applicable law, statute, ordinance or regulation.
9. Breach Without limiting other remedies, we may limit your activity, immediately remove your Item listings, warn our users of your actions, issue a
warning, temporarily suspend, indefinitely suspend or terminate your subscription and refuse to provide our services to you if: (a) you breach this
Agreement or the documents it incorporates by reference; (b) we are unable to verify or authenticate any information you provide to us; or ©) we
believe that your actions may cause financial loss or legal liability for you, our users or us.
10. Liability Limit In no event shall 1stdibs.com, our subsidiaries, officers, directors, employees, agents or suppliers be liable for lost profits or any
special, incidental or consequential damages arising out of or in connection with City Search, the Site, our services or this Agreement, however
arising, including negligence.
11. Indemnity You agree to indemnify and hold 1stdibs.com and (as applicable) our parent, subsidiaries, affiliates, officers, directors, agents, and
employees, harmless from any loss, claim or demand, including reasonable attorneys' fees, made by any third party due to or arising out of or related
to City Search, the Site, your breach of this Agreement or the documents it incorporates by reference, or your violation of any law or the rights of a
third party.
12. Legal Compliance You shall comply with all applicable domestic and international laws, statutes, ordinances and regulations regarding your use
of our service and your bidding on, listing, purchase, solicitation of offers to purchase, and sale of items.
13. No Agency You and 1stdibs.com are independent contractors, and no agency, partnership, joint venture, employee-employer or franchiser-
franchisee relationship is intended or created by this Agreement.

14. Notices Except as explicitly stated otherwise, any notices shall be given by postal mail to 1stdibs.com, 156 5 Ave. Suite 200 NY, NY 10010,
Attention: Michael Bruno, or to the email address you provided us. Notice shall be deemed given 24 hours after the email is sent, unless the sending
party is notified that the email address is invalid. Alternatively, we may give you notice by certified mail, postage prepaid and return receipt requested,
to the address provided to 1stdibs.com. In such case, notice shall be deemed given 3 business days after the date of mailing.
15. Refusal of Transaction We reserve the right to withdraw any Item from City Search or the Site, or to amend any content on City Search or the
Site at any time. We may refuse service to anyone at any time in our sole discretions. We will not be liable to any Seller, Buyer or third party because
we have withdrawn any Item from City Search or the Site, amended content or denied access to the Site.
16. General This Agreement shall be governed in all respects by the laws of the State of Delaware, USA. You and 1stdibs.com agree to submit any
dispute arising under this Agreement to the exclusive jurisdiction of the Delaware courts. We do not guarantee continuous, uninterrupted or secure
access to our services, and operation of the Site may be interfered with by numerous factors outside of our control. If any provision of this Agreement
is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall be enforced. You agree that this Agreement
and all incorporated agreements may be automatically assigned by 1stdibs.com, in its sole discretion. Headings are for reference purposes only and
in no way define, limit, construe or describe the scope or extent of such section. Our failure to act with respect to a breach by you or others does not
waive our right to act with respect to subsequent or similar breaches. This Agreement sets forth the entire understanding and agreement between us
with respect to the subject matter hereof.
