LITTLE QUEEN PERFORMANCE CONTRACT

THIS AGREEMENT, made this _______ day of _____________, 20____, is for the services of music and/or
entertainment described below between Little Queen (hereinafter referred to as “ARTIST”) and the buyer who is
to conduct an event (hereinafter referred to as “BUYER”).

Business will be conducted through designated agent or representative (hereinafter referred to as “PRODUCTION
MANAGER” or “PM”).

1. BUYER desires to hire ARTIST(s) to provide the entertainment generally described below (the

"Performance") on the _____________ day of _____________, 20____, and ARTIST(s) agrees to provide
such Performance at said Concert.

2. Entertainers: The names and contact information of the Entertainers who will appear during the
Performance are listed on Addendum A.

3. Location of Concert: The physical location of the Venue is:

4. Date(s) and Time(s) of Performance and additional performance details are listed in Addendum B.

5. Agreement to Perform: ARTIST(s) agree to provide the Performance in accordance with the terms of this
AGREEMENT and any attached addenda. BUYER agrees to the terms and line items of the Technical Rider,
unless otherwise exempted by the PRODUCTION MANAGER on an item by item basis.

6. Price of Performance: BUYER agrees to pay ARTIST a total sum of $___________ for each performance as
designated in Addendum B, per the payment schedule designated in Addendum B.

7. Recording, Reproduction or Transmission of Performance: BUYER will use means available to prevent the
recording, reproduction or transmission of the Performance without the written permission of ARTIST(s)
or ARTIST's representative.

8. Excuse of Obligations: BUYER and ARTIST(s) shall be excused from their obligations in the event of proven
sickness, accident, riot, strike, epidemic, act of God or any other legitimate condition or occurrence
beyond their respective control.

9. BUYER agrees to prepare and file all tax information required of a person who hires an independent
contractor and ARTIST(s) agree that they have sole responsibility for the payment of any Federal or State
taxes arising from monies paid to ARTIST(s) for the Performance.

10. Indemnity for Copyright Infringement: ARTIST(s) represent and warrant that they are knowledgeable
about the copyright laws of the United States as applicable to the Performance. ARTIST(s) shall not
perform any copyrighted materials of others during Performance without full compliance with such
applicable copyright laws. In the event that ARTIST(s) breaches this representation, warranty and
covenant, ARTIST(s) hereby agree to INDEMNIFY AND HOLD HARMLESS BUYER and its employees, guests
and agents from and against all liability, loss, damages, claims, and expenses (including attorney's fees)
arising out of said breach.

11. Independent Contractor: ARTIST(s) acknowledges that he or she is an independent contractor and not an
employee of BUYER. ARTIST(s) shall have sole control and direction in the conduct of the Performance.

12. Authority to Execute: The PRODUCTION MANAGER who is executing this AGREEMENT on behalf of
ARTIST(s) hereby warrants and represents that he has the full power and authority to bind ARTIST(s).

13. GOVERNING LAW: This AGREEMENT shall be governed by the laws and in the courts of the State of
Tennessee and by the laws of the United States, excluding their conflicts of law principles. Any dispute or
legal proceeding regarding the AGREEMENT shall take place in the county of Davidson, in the State of
Tennessee.

14. By entering into this agreement, BUYER acknowledges receipt of the Little Queen Technical Rider, and
acknowledges a good faith effort to address and implement the directives defined therein.

ADDENDUM B – Performance List and Pay Schedule.

The Little Queen performance length is variable and may include an opening act
depending on the venue and agreement. Please consult with your PRODUCTION
MANAGER to confirm show running time.
Little Queen is not responsible for delays beyond their control. Little Queen will always
try to present the entire show; Little Queen is not responsible for inability to present
certain content due to limitations associated with the venue. Please clear any issues
with the PRODUCTION MANAGER before the day of the show!
Unless other arrangements are made and approved by the PRODUCTION MANAGER, the
deposit is due 7 days before the first show day. If there are multiple shows listed above,
the deposit for each show (Line Item) is due 7 days prior to the date of that show.
The balance of the full price of the show is due immediately upon completion of the
show. Unless otherwise approved by the PRODUCTION MANAGER, payment must be
made in cash or in the form of a cashier’s check.
