LICENSE AGREEMENT - IMPORTANT - READ CAREFULLY

Nevercenter Ltd. Co. Software License Agreement

This is a legal agreement between you (an individual or entity) and Nevercenter Ltd. Co.
("NEVERCENTER") for Silo 3D Modeling and Design Software, which includes
computer software and any accompanying media ("SOFTWARE" or "SOFTWARE
PRODUCTS"). BY INSTALLING OR OTHERWISE USING THIS SOFTWARE YOU
AGREE TO THE TERMS OF THIS AGREEMENT. DO NOT INSTALL THIS
PRODUCT IF YOU DO NOT AGREE TO THE TERMS OF THIS AGREEMENT.
NEVERCENTER RESERVES THE RIGHT TO MAKE CHANGES TO THIS
AGREEMENT.

1. The SOFTWARE is protected by copyright laws and international treaties. Any

unauthorized redistribution or reproduction of the SOFTWARE is strictly prohibited and
will be prosecuted to the maximum extent permissable under the law. All intellectual
property rights in the SOFTWARE are owned by NEVERCENTER.

2. NEVERCENTER hereby gives you a non-exclusive license to use the SOFTWARE.

This SOFTWARE is licensed, not sold. For evaluation purposes only the license is
granted for a trial period as a fully functional version, and thereafter as a free limited
learning version. After purchasing a valid license the non-learning version will be
enabled permanently. You may use the SOFTWARE on a single computer. The
SOFTWARE is "in use" on a computer if it is loaded into the temporary memory (i.e.
RAM) or installed in permanent memory (i.e. hard disk or other storage device). You
may load and use the SOFTWARE on a second and third computer as long as the primary
user of each copy is the same person and more than one copy is not simultaneously in
use. You may make a single copy of the SOFTWARE for backup or archival purposes
only. You may not loan, rent, lease, sell, or transfer the SOFTWARE. The license
cannot be transferred to anyone other than the original owner. You may not modify,
translate, reverse engineer, decompile, or disassemble the SOFTWARE (except and only
to the extent allowed under applicable laws notwithstanding this license). You may not
create derivative works based on the SOFTWARE.

3. You may not redistribute this SOFTWARE without express written permission from
NEVERCENTER.

4. The license will terminate automatically if you fail to comply with the limitations
described herein. On termination, you must destroy all copies of the SOFTWARE.

5. THIS SOFTWARE IS PROVIDED ON AN AS-IS BASIS. NEVERCENTER DOES

NOT WARRANT THAT THE SOFTWARE IS ERROR FREE, NOR IS THERE A
WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR
PURPOSE, OR NONINFRINGEMENT OF THIRD PARTY RIGHTS.
The entire risk as to the quality and performance of the SOFTWARE is carried by you.
Should the SOFTWARE prove defective, you and not NEVERCENTER assume the
entire cost of any service and repair.
IN NO EVENT IS NEVERCENTER RESPONSIBLE FOR ANY INDIRECT,
SPECIAL, INCIDENTAL, OR CONSEQUENTIAL DAMAGES OF ANY
CHARACTER ARISING OUT OF THE DELIVERY, PERFORMANCE, OR USE OF
THIS SOFTWARE, INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS
OF GOODWILL, WORK STOPPAGE, COMPUTER FAILURE OR MALFUNCTION,
OR ANY AND ALL OTHER COMMERCIAL DAMAGES OR LOSSES. IN NO
EVENT WILL NEVERCENTER'S LIABILITY FOR ANY CLAIM, WHETHER IN
CONTRACT, TORT OR ANY OTHER THEORY OF LIABILITY, EXCEED THE
LICENSE FEE PAID BY YOU, IF ANY.
