Instructions to Proponents
1. The purpose of this RFP is to enter into one or more Standing Offer Agreements (SOAs) to provide
the services described herein. The GN is not bound to accept only the Proposal that provides for
the lowest price or the highest score. The SOA’s will set out the terms under which specific service
requests may be issued to a successful Proponent. The existence of a SOA will not bind the GN to
issue a specific service request, or bind the Contractor to accept a specific service request. By
entering into an SOA, the GN does not promise any work to any successful Proponent.
2. Proposals quoting “RFP 2021-03 SOA Inuit and Indigenous Support Addiction Treatment Programs”,
closing date and proponent’s name must be received by hand delivery, electronically, or by fax, in
accordance with these Instructions to Proponents on or before February 26, 2021 at 16:00hrs (4:00 PM)

a) Proposals received after the exact time and date noted above will be considered late and will be
rejected.
4. NUNAVUT TENDERS BID BOX: The GN is offering vendors the option of submitting bids electronically for
some, but not all, tenders and requests for proposals, using the Nunavut Tenders website
(http://www.nunavuttenders.ca). If this RFP is eligible for the Nunavut Tenders Bid Box, a “Submit” button
will appear on the webpage. By using the Bid Box, proponents are agreeing to the Terms of Use, which are
linked to the Nunavut Tenders webpage. If submitting via Nunavut Tenders, clause 2b) above does not
apply (i.e., the electronic document submitted online will be considered the original and will be distributed to
the evaluation committee).
a) Proponents are hereby advised that registering to upload a proposal submission file is different from
that of registering to download the RFP document. Proponents have to register online again so that
they can submit their proposal. The proposal submission does not have to be uploaded by the original
email/registration that was used on the website to download the file. Proponents are hereby instructed
to test the registration process well in advance of the closing date and time to make sure that they will
be able to upload their proposal without issue. The Bid Box closes and locks at the exact date and time
set for closing. Late proposals for any reason whatsoever will not be accepted.
6. As soon as practical after submitting a proposal by fax only, the proponent should provide confirmation
that the proposal and required copies have been sent by the most expedient means to:

b) In the event of any inconsistency, discrepancy or conflict between the proposal received by fax
transmission and the proposal received after the closing date and time, the faxed proposal shall govern.
c) Provision 5 is not applicable to proposals submitted online via the Nunavut Tenders Bid Box.
7. Due to limited bandwidth, file size restrictions and connectivity interruptions, submitting a proposal by e-mail
is unreliable. Proposals submitted by e-mail will not be accepted. Notwithstanding the foregoing, the
GN reserves the right to request an unaltered electronic version of the proposal after the closing date and
time.
8. One of the priorities of the GN is to ensure Inuit, Nunavut and Local businesses supply materials,
equipment, and services on any GN contract, and that Inuit, Nunavut and Local labour is used to the fullest
extent practical; therefore, the Nunavummi Nangminiqaqtunik Ikajuuti (NNI Regulations) applies to this
Request for Proposals.
a) To maximize incentives available under the NNI Regulations, proponents must identify cost
components for Inuit, Nunavut and Local Content.
b) Failure to complete and submit the NNI Incentives form with the proposal will result in a denial of any
adjustments the proponent may otherwise be entitled to under the NNI Regulations. Failure to provide
complete business names will also result in a denial of adjustments.
c) Proponents can obtain information about the NNI Regulations from the GN’s NNI Secretariat at 1 – 888
– 975 – 5999. A copy of the NNI Regulations may be downloaded from the website
http://nni.gov.nu.ca/. A registry of approved Nunavut Businesses is available on the internet at the
website http://www.nni.gov.nu.ca/search. Proponents may also obtain information about Inuit Firms
from Nunavut Tunngavik Inc. (NTI) at 1 – 867 – 975 – 4900 or from their website
http://inuitfirm.tunngavik.com/ The registry of approved Inuit Firms can be accessed on the internet at
the website http://www.inuitfirm.com/public/search.php.
d) The Contracting Authority cannot guarantee the accuracy of, nor is it liable for any information
provided by the NNI Regulations Secretariat on the NNI Business Search website, or Nunavut
Tunngavik Inc. on the Inuit Firm Registry; however, proponents may rely on the websites on the
date of writing the proposal, and the evaluation committee may rely on the accuracy of the
websites on the closing date for the purposes of applying the NNI Policy in evaluating
proposals. Accordingly, for the purposes of ensuring the correct bid adjustments are applied,
proponents should indicate the NNI and, or, NTI Registration Numbers on the NNI Incentives
Application Form.
e) Unsuccessful proponents may challenge the NNI evaluation of their proposal pursuant to s.9 of the NNI
Regulations within five (5) business days of receiving notice of a contract award.
9. For one year from the date their employment ceases, former GN senior officers may not own, operate,
control or be employed by any business enterprise in which they may be in a position to unduly exploit
knowledge they gained while employed by the GN. If, however, within one year after employment ceases,
a senior officer is offered a contractual position by a department, the Deputy Minister (DM) of that
department may make a request of the Senior Personnel Secretariat (SPS) to waive the last 6 months of
the required waiting period. If six (6) months have passed since the end of a senior officer’s employment,
the SPS may, in its sole discretion, waive the remaining waiting period.
10. The GN reserves the right to deem a proponent “not responsible” on the basis of performance problems in
any similar contract which performance problems occurred in the past 36 months. Performance problems
include default, failure to perform, unsatisfactory quality of result, or unsatisfactory contract management
practice. A proposal submitted by a proponent who is “not responsible” will be rejected.
11. After downloading and reading the RFP Doc(s), Proponents are encouraged to submit enquiries and seek
clarifications to the RFP document prior to the stated closing date and time. All questions, enquiries or any
other communications concerning this RFP should be in writing, e-mailed to:

a) Responses to any communication made by a GN employee other that the contact person identified
herein should not be relied on and cannot be guaranteed.
b) Verbal communications are discouraged, cannot be relied upon, and are not binding on either party;
therefore, are discouraged. Verbal responses to any inquiry or communication made by the contact
person identified herein, or any other person, are not binding on either party and cannot be relied upon
or construed to be an implied term of this RFP or any ensuing contract. The GN will accept no liability
for any losses, damages or claims by an unsuccessful proponent who has relied on verbal information
or communication from any other party, including our client.
c) A response to any enquiry received later than five (5) calendar days prior to the proposal closing
deadline cannot be guaranteed.
d) Proponents acknowledge that not all enquiries necessarily warrant a response; therefore a response to
every enquiry received pertaining to this RFP shall not be guaranteed. The RFP Authority reserves the
exclusive right to determine whether an enquiry warrants a response or will result in an addendum.
12. A Proponent seeking modifications to the Agreement terms must specifically request those changes in
writing well in advance of the closing date and time, and the GN may respond by way of addendum.
Amendments to the Contract will not be considered after the closing deadline or after acceptance of a
proposal.
13. Any amendments made by the GN to this RFP will be issued in writing and available via automatic
notification in an addendum format for download to those proponents who have registered and who have
received the original documents from the GN Tender website. Proponents who do not register will not get
the addenda.
14. Proponents may amend their proposal by fax at any time prior to the closing date and time. If submitting via
the Nunavut Tenders Bid Box is permitted, proponents may upload a revised proposal, or upload proposal
amendments. Amendments or amended proposals should be clearly identified as such. The latest version
will be considered the proponent’s official submission.
15. The GN reserves the right to request clarifications and negotiate modifications with any proponent who has
submitted a proposal.
a) Failure to provide information sufficient to satisfy the requirements of this RFP may result in the Bidder
bid being deemed ‘Not Responsible’ and disqualified from further consideration.
b) Proponents should also be aware that where it has done past similar work for the GN, the GN Department
and Division that the work was done for will automatically become a reference for the purposes of verifying
the proponent’s satisfactory performance for that particular work, and suitability for the work contemplated
in this RFP. Proponents who have never done similar work for the GN should provide references for the
purposes of verifying the proponent’s satisfactory performance of work done for other customers.
c) Any written information received by the GN from a Proponent in response to a request for clarification
from the GN shall be considered as an integral part of the Proponent’s Proposal. Notwithstanding the
generality of the foregoing, a Proponent may not amend or otherwise repair its Proposal as a result of a
request for clarification, or otherwise construe the request for clarification as an invitation to negotiate.
16. The GN reserves the right to issue an addendum after the closing date.
17. An evaluation committee will review each proposal. The evaluation committee reserves the exclusive right
in its sole discretion, to determine the scores of all proposals relative to the evaluation criteria, weights and
rating legend provided in this RFP. For greater clarity, the evaluation committee reserves the right to
make adjustments to a proposal following the closing date in accordance with the NNI Regulations
by taking into account any information that will assist it in doing so, including by taking into
account information obtained from the Nunavut Business Registry maintained by the NNI
Secretariat and the Inuit Firm Registry maintained by NTI. For greater certainty, if the GN
determines that a proposal should not receive a bid adjustment pursuant to the NNI Regulations, it
can adjust the evaluation and scoring of a proposal accordingly.
18. Proponents may be short listed. Proponents who are short listed may be requested to make a formal
presentation. Such presentations shall be made at the cost of the proponent.
19. It is a condition of every contract made by or on behalf of the government requiring an expenditure, that an
expenditure pursuant to the contract will be incurred only if there is a sufficient uncommitted balance in the
appropriated item for the fiscal year in which the expenditure is required under the contract.

20. The GN is not bound to accept the Proposal that provides for the lowest price or the highest score nor any
proposal of those submitted. The GN has the right to cancel this RFP at any time, in whole or in part, and
to reissue it for any reason whatsoever, without incurring any liability and no proponent will have any claim
against the GN as a consequence. The GN further reserves the right to accept proposals in whole or in
part.
21. If a contract is awarded as a result of this RFP, it will be offered first to the proponent who is responsive and
responsible and whose proposal provides the best potential value to the GN as determined by the highest
score. “Responsive” means compliant in all material respects. “Responsible” means the capability in all
respects to perform fully the contract requirements and the integrity and reliability to assure performance of
the contract obligations. See also paragraphs 10 above and 25 below.
22. If a contract is awarded as a result of this RFP, it will contain the relevant provisions of this RFP and the
accepted proposal, the terms and conditions of the Agreement and any other terms as may be mutually
agreed upon, whether arising from the accepted proposal or as a result of any clarifications or negotiations
prior or subsequent thereto; and this ensuing agreement will be forwarded to the successful proponent for
signature prior to the GN’s authorized representative signing it.
23. Proponents are cautioned to thoroughly review the Contract to ensure, before incurring the expense of
proposal preparation and submission that the proponent is capable of meeting the terms and conditions set
out in the Contract.
a) Proponents should familiarize themselves with the insurance requirements set out in the Contract and
take the cost of those insurances into account in making their proposal.
24. The GN and the successful proponent shall not acquire any legal or equitable rights or privileges under any
ensuing agreement until it is signed by both parties.
25. In the event the successful proponent elects to withdraw its proposal after acceptance and not enter into an
ensuing agreement, then the GN may, at its sole discretion, disqualify the successful proponent from any
further participation in the RFP process, revoke the offer of the ensuing agreement presented for signature,
and accept the proposal of the next highest scoring proponent, or cancel the RFP. Furthermore, as a result
of withdrawing its proposal, the withdrawing proponent may be required to submit bid security on future
RFPs, or be deemed ‘not responsible’ for future projects, at the sole discretion of the GN.
26. If a contract is awarded as a result of this RFP, it will be governed by the laws of Nunavut; therefore, the
successful proponent shall be required to comply, and shall require its subcontractors to comply, with all
applicable laws, orders, rules and regulations; and, without limiting the generality of the foregoing, shall at
its sole expense comply with all unemployment insurance, Worker's Safety and Compensation, Labour
Standards including requirements of the Labour Standards Board, income tax, Nunavut Payroll Tax,
Canada Pension Plan, occupational health and safety and environmental protection legislation.
a) If you are a new business in Nunavut, you will be required to register your business with the Workers
Safety and Compensation Commission (WSCC) prior to undertaking any work or services in
Nunavut. For greater clarity, the Nunavut does not have any reciprocity agreements with other
provincial and territorial workers safety and compensation commissions. The GN may check with the
WSCC prior to awarding a contract to ensure that the successful proponent is in compliance with the

b) If you are a new business in Nunavut, you will be required to comply with the Business Corporations Act
and other applicable legislation governing the conducting of business in Nunavut. The GN will will
check with its Corporate Registries branch in the Department of Justice, prior to the awarding of a
contract, to ensure that the successful proponent is in compliance with the legislation. It will be a
condition of contract award, that the successful proponent register its business with the GN’s
Department of Justice’s Legal Registries Division prior to undertaking an work or services in Nunavut.

c) Nunavut imposes payroll taxes on gross remuneration of all employees who work in Nunavut. For more

27. In the event of any inconsistency between this RFP and any ensuing contract, the contract shall govern.
28. Proponents should familiarize themselves with the insurance requirements in the attached form of contract
and take the cost of those insurances into account in making their proposal. Please note the requirement
that the Consultant ensure that all individuals (including the Contractor if an individual, and including all
employees, officers and subcontractors) who are physically present in Nunavut during the term of this
contract have extended medical benefits that cover the full cost of ambulance and medical evacuation.
Nunavut Inuit enrolled under the Nunavut Agreement are automatically covered by the NIHB (Non-Insured
Health Benefits) program. Individuals may have extended medical benefits through a group program,
including a group program to which their spouse belongs. Private coverage is available. Individuals present
for a short time in Nunavut may buy the necessary coverage with their airfare. In the event this coverage
is not in place for an individual who must be medically evacuated while in Nunavut, the Consultant
will indemnify the GN for the cost of the medical evacuation.
29. The Access to Information and Protection of Privacy Act, S.N.W.T. 1994, c. 20, as duplicated for Nunavut
by s. 29 of the Nunavut Act, S.C. 1993, c. 28 (“the ATIPP Act”) will define the GN's responsibilities with
respect to any information received by it pursuant to this RFP process. Subject to the Act and any
applicable law, proposals and all related information shall be treated as confidential and shall not be
disclosed to any person without the consent of the proponent, and such disclosure, where permitted, will
only be to the extent required to satisfy the GN’s obligations under this RFP, or pursuant to any applicable
law. The GN will:
a) take all reasonable steps to ensure that confidential information is secured;
b) subsequent to the RFP closing, disclose only the names and addresses of those who submitted
proposals; and
c) in the case of any contract resulting from this RFP, publish the successful proponent, contract title,
location, award method and value in a public procurement accountability report for the fiscal year in
which the contract is awarded.
30. The proponent represents, warrants, and covenants that it does not have, and will not incur, a pecuniary
interest in the business of any third party, or any other conflict of interest that would affect the proponent’s
objectivity in the performance of its duties under any contract arising from this RFP. Should an event giving
rise to such a conflict of interest occur after a contract is awarded, the successful proponent (consultant)
shall immediately notify the GN, in writing, and present a plan whereby the conflict may be managed or
avoided. Upon receipt of such notice, the GN may, in its sole discretion, elect to terminate the contract, or
continue under the contract subject to the consultant’s satisfactory compliance with a conflict management
plan.
31. The GN is not liable for any costs of preparation or presentation of any proposals. All proposals and
accompanying documentation received by the GN in response to this RFP shall become the property of the
GN and will not be returned.
32. Notwithstanding any other provision, a proponent who submits a proposal to this RFP agrees that the GN’s
liability for any claim for damages or compensation of any kind shall be limited to the proponent’s actual
proposal preparation cost. Proposal preparation cost is the actual cost borne by a proponent to prepare
and submit its response to this RFP. By submitting a proposal to this RFP a proponent acknowledges and
accepts this limitation.
33. This procurement document can be made available, upon request, in any of the 4 official languages

2. The purpose of this RFP is to enter into one or more Standing Offer Agreements (SOAs) to provide the
services described herein. The GN is not bound to accept only the Proposal that provides for the lowest price
or the highest score. The SOAs will set out the terms under which specific Service Requests may be issued
to a successful Proponent. The existence of a SOA will not bind the GN to issue a specific Service Request,
or bind the Contractor to accept a specific Service Request. By entering into an SOA the GN does not
promise any work to any Proponent.
3. Proponents that are successful will be notified, by written communication that they are on the Standing Offer
List. The service category for which they are successful will also be identified.
4. Unsuccessful proponents should be notified in writing within 90 days of the closing date. All other proponents
will be advised of the award results; however, total point score values will not be released.
5. Unless notified otherwise, proponents shall be required to keep the terms of their proposals valid and open for
acceptance for individual jobs for the duration of the full term of the SOA. These proponents may be referred
to as SOA Vendor(s).
6. The GN reserves the right to notify any SOA Vendor, at any time during the term of the SOA, that their
services will no longer be required, should the GN deem their services unsatisfactory.
7. This SOA establishes a list of pre-approved contractors. The contractors will be pre-approved to provide
services in the respective categories and related topics as outlined within the RFP. When considering work
requirements, the following rules will apply;
i. for Service Requests deemed to be worth $150,000.00 or less, the GN may engage with any
company on the pre-approved SOA list at their discretion;
ii. For Service Requests greater than $150,000.00 but less than $250,000.00 the GN will engage in an
invitational competitive process with multiple vendors on the pre-approved SOA list;
iii. For Service Requests greater than $250,000.00 the GN will engage in a public RFP process.
Standard GN contracting procedures will apply.
Please be advised that where a Standing Offer Agreement (SOA) includes a clause that allows the GN
to request competitive submissions from at least two (2) proponents on the SOA list, these
competitive processes must be managed and issued through CGS Procurement. These requests are
complex in that they now require the application of the NNI regulations, and the laws of Contract A
are implied. If a Department chooses to get competitive submissions for any proposal, these
competitive processes must be managed by CGS Procurement. These processes will include all of
the steps of a regular RFP, with the exception of the public advertising. These steps will include
disclosure of the evaluation criteria, detailed evaluation notes from an evaluation committee,
application of the NNI Regulations, regret letters and a final contract. Please submit the RFP
requisition and the terms of reference to the CGS Procurement email address at
procurement@gov.nu.ca . If a Department is ready to award the work based solely on lowest price,
then a simpler Request for Tenders (RFT) process may be used. This still will require the application
of the NNI Regulations. Departments may NOT issue competitive processes without CGS
Procurement.
8. The GN reserves the right to request competitive quotes from amongst any of the SOA Vendors at any time.
9. GN is not bound to purchase any services whatsoever and does not guarantee a minimum volume of
individual contract awards as a result of this RFP and no SOA Vendor shall acquire any legal or equitable
rights or privileges for any individual contract work or services whatsoever until a specific Service Request for
the work is signed. Individual contracts shall arise only when a specific Service Request is agreed under the
SOA.
11. Every SOA and service request issued as a result of this RFP will be governed by the laws of Nunavut;
therefore, the successful proponent shall be required to comply, and shall require its subcontractors to
comply, with all applicable laws, orders, rules and regulations; and, without limiting the generality of the
foregoing, shall at its sole expense comply with all unemployment insurance, Worker's Compensation, Labour
Standards including requirements of the Labour Standards Board, income tax, Nunavut Payroll Tax, Canada
Pension Plan, occupational health and safety and environmental protection legislation.
12. If a SOA is awarded as a result of this RFP, it will contain the relevant provisions of this RFP and the
accepted proposal, the terms and conditions of the Agreement and any other terms as may be mutually
agreed upon, whether arising from the accepted proposal or as a result of any clarifications or negotiations
prior or subsequent thereto; and this ensuing agreement will be forwarded to the successful proponent for
signature prior to the GN’s authorized representative signing it.
13. Service Contracts will be in the form of the Consulting Service Contract attached to this RFP document. In
the event of any inconsistency between this SOA and any ensuing Service Contract, the Service Contract
shall govern. . The terms of the Standing Offer Agreement and those contained in the GN standard forms
shall take precedence over the Proponents standard terms.
14. It is a condition of every contract made by or on behalf of the government that expenditures pursuant to the
contract will be incurred only if there is a sufficient uncommitted balance in the appropriated item for the fiscal
year in which the expenditure is required under the contract.
15. Either party may terminate the SOA upon 30 day written notice.
16. The Proponent agrees and acknowledges that sections 66 and 67 of the Financial Administration Act,
R.S.N.W.T., 1988 c.F-4, as amended, prohibits the making of guarantees and indemnities on behalf of the
GN and that any guaranty or indemnity made in contravention of this Act is not binding on the GN, and cannot
be enforced by the Proponent.
17. All goods or services provided shall be in accordance with GN policies, directives, methods, and procedures,
and under the direction of such official(s) as may from time to time be designated by the GN.
Service Requests for Individual Contracts resulting from this SOA are permitted by GN Department and Public
Agency staff (“Needs Analysis”) and will be entered into subject to the SOA Terms and the following Call-Up
Procedures. The steps described below set out the basic process for engaging service contracts under the SOA.
This process is further illustrated in the Service Request Matrix (Table 1) below.
1. Proponents that are successful will be notified, by written communication that they are on the Standing Offer
List. The service category for which they are successful will also be identified.
2. The GN Department and Public Agency staff may consult directly with any SOA Vendor to ascertain and
finalize a scope of work (see Needs Analysis below). However, where such consultation has been initiated
and a scope and estimate has been provided by a SOA Vendor, the Project Authority shall not request
competitive prices for the same scope from another SOA Vendor. Refer also to Table 2 below (Scope of Work
– Mandatory Minimums).
3. If and when the GN determines that we have a specific work initiative to be continued, Contract Authority
Departments will complete a “Consulting Service Contract” as is attached to this RFP document or other
approved standard GN services contract with same or similar conditions.
4. Once a Scope of Work is agreed upon, a Service Request will be called-up by the Program Authority as
follows:
a) Subject to the value estimated for the project, the Program Authority will provide a SOA Vendor, or
multiple SOA Vendors, with a description of the task(s) to be performed or a detailed Scope of Work.
b) The SOA Vendor(s) will, within the response time allocated, estimate a price, delivery schedule, project
team, and submit proof of insurance(s) based on the task(s) or Scope of Work.
c) Prior to commencing any work, a firm price shall be established by multiplying the applicable SOA Rates
specified in SOA Vendor’s Proposal by the number of hours or days estimated by the SOA Vendor for the
work.
d) The Program Authority will then formally authorize the SOA Vendor to proceed with the work by issuing a
formal agreement which shall be in the form of a Consulting Service Contract, signed by both parties.
e) The task(s) or Scope of Work and Delivery Time specified in the Consulting Service Contract shall be
binding and must be adhered to.
5. All the Terms and Conditions of this SOA including the pricing submitted by the SOA Vendor, shall apply.
6. The Contract Authority must ensure that the SOA Vendor has attained the necessary Insurance as is outlined
in the Consulting Services Contract before any work is initiated.
7. A Program Authority may at any time compare SOA Vendor resources and rates quoted for Service Requests
with the resources rates submitted in response to the RFP issued to establish the SOA to confirm same. SOA
Vendors are not permitted to change their rates and can only change resources with the written permission of
the Program Authority.
Refer to steps 2-10 of Table 1 below. SOA Vendors may be required to assist a Program Authority and the
Technical Authority in defining needs and advice on a solution to best meet their needs in order to develop a clear
Scope of Work. An SOA Vendor may also be required to perform specific planning and client liaison steps
dictated by the nature of the services required. The provision of this service must guarantee the client an honest
assessment of requirements coupled with a clear and logical time schedule and budget for completion. The focus
must be on providing quick responses to the client's requirement, keeping the Program Authority informed on the
status of the requirement and providing a high quality, cost-effective service, delivered on schedule.
RESPONSE TIME
“Response Time” refers to the time frame in which the SOA Vendor must respond to a Service Request Call-Up
with a quotation/proposal from a Program Authority. The SOA Vendor will be required to respond directly to the
Program Authority requesting the services. The SOA Vendor’s responsiveness to the Program Authority’s orders
is extremely important. In many circumstances, the work may be required as a result of an emergency situation;
therefore, it is critical that SOA Vendor(s) be able to provide a quick response. The SOA Vendor should be able to
process orders within as little as 24 hours of the date that the original request is made and up to no more than five
(5) business days.
Exceptions to a stipulated Response Time must be brought to the Program Authority’s attention upon receipt of a
Service Request. In the event the SOA Vendor cannot reply within the indicated timeframe, the Program
Authority shall be at liberty to request the services from another SOA Vendor in accordance with the SOA Terms
of Acceptance set out in the RFP.
DELIVERY TIME
“Delivery Time” refers to the time frame in which the SOA Vendor must complete the task(s) or Scope of Work
which is the subject of an accepted Service Request quote or proposal which has resulted in a Consulting
Services Contract under the Call-Up Procedures of the SOA. Upon receipt of such contract, the SOA Vendor will
complete the services specified in accordance within the Delivery Time requirement stipulated in the contract.
This deadline may also be referred to as the Completion Date. The agreed Delivery Time shall be set out in the
contract and shall be adhered to by the SOA Vendor.
FORMAL REPORTS
The SOA Vendor may be required to provide a detailed report of services provided and any recommendations as
a result of the study or services provided.
INVOICING
The SOA Vendor will invoice based on clear link to the deliverables associated with the project.
The following information must appear on all invoices sent to the Program Authority:
All travel and accommodations will be reimbursed in accordance with the GN’s Duty Travel Policy. Plane tickets,
itineraries, lodging and meal invoices must be submitted with travel claims.
A detailed list of the steps required to process an individual contract are listed below:
Scope of Work for each Individual Contract Call-Up must include the following minimum details:
This RFP specifically excludes outpatient, intensive outpatient (IOP), or similar services that require the individual
referred to be responsible for their own housing needs during the period of treatment.
The proponent must be able to deliver aftercare support to individuals located in remote communities.
The proponent is asked to clearly identify the population that they are able to provide service to.
The GN and DOH cannot guarantee any client contracting volume. The GN and DOH cannot provide any
estimate of client contracting, volume, frequency of use, or forecast for future use of any service.
Government Entities
While this RFP process is being issued and managed by the DOH, all GN departments including, but not limited
to the Department of Justice, Department of Family Services, and Department of Education, will have access to
the services outlined in this request and resultant SOAs for services.
Purpose
The goals of this RFP process are to establish a series of SOAs which will allow Nunavummiut with substance
use disorder or process addictions to access recovery and treatment services for addictions which are grounded
in traditional Inuit or Indigenous cultural practices or ways of knowing and being.
At present Nunavummiut have limited access to addictions treatment which is founded on Inuit and/or Indigenous
culture. This RFP seeks to rectify this gap while at the same time increasing the options available to specific
target populations including youth, mothers with children, and family units.
Background
The DOH has the responsibility to address the health needs of Nunavummiut impacted by mental illness,
problematic substance use, addictions, as well as compounding and complicating social issues. There is a need
to contract for services in order to establish the necessary capacity to address the significant burden of mental
health and addictions pressures within the territory. The Hospital Insurance and Health and Social Services
Administration Act (Nunavut) and the Mental Health Act (Nunavut) authorise the Minister of Health to enter into
agreements for the provision of medical services that are unavailable in Nunavut.
Nunavut’s current distribution of investment in mental health and addictions services is primarily in the area of
high cost acute services, which is driven by the need to respond to acute issues such as suicidality, and
unmanaged psychosis. It is the DOH’s long-term objective to reverse the distribution of investment and improve
outcomes through community-based service capacity development with a focus on prevention and early
intervention programing. A current timeline for the development of specific community-based capacity increases
does not exist at this time. It is recognized that it is necessary to continue to use out of territory service
arrangements while service capacity within the territory is established.
Constraints
Potential contractors should be very aware that there are numerous constraints in relation to the deliverables of
this RFP including, but not limited to:
• Nunavut’s Geography and Climate
• High Travel Costs
• Lack of Available Housing and Office Space
• High Building Costs
• Small Labour Pool of Qualified Mental Health and Addictions Professionals and Paraprofessionals
• High Food and Utility Costs
• Lack of Available Facilities for Inpatient and/or Residential Care
• Minimal Health Infrastructure When Compared to Southern Jurisdictions
• High levels of stigma and self-stigmatisation related to mental illness sand addictions as well as the
treatment thereof
1. This RFP pertains specifically to Inuit/Indigenous specific addiction treatment programs. The programs
must provide individuals with the necessary services and supports to address substance use disorders
and/or process addictions. Programs must be delivered in an inpatient/residential setting. Outpatient,
remotely delivered, intensive outpatient programs (IOPs), and other programs that require the individual
seeking treatment to be responsible for their own housing during the course of treatment are excluded
from this RFP.
2. Services delivered must actively support the individual seeking treatment in entering into a place of
recovery and addressing underlying causes to their substance use disorder and/or process addiction.
3. Programs must be trauma-informed, evidence-based, and founded in the traditional cultural practices of
Inuit and/or other indigenous groups.
4. The contractor must be able to provide the client with a safe, secure, and supervised environment in
which to receive treatment.
Service Requirements
The contractor is required to provide intensive treatment for substance use disorders and/or process addictions
which are founded on traditional Inuit and/or indigenous cultural practices. Outpatient, Intensive Outpatient, and
other forms of services delivery which do not provide the client with a safe, secure, and supervised environment
in which to receive care are excluded from this RFP. The contractor is required to provide care in a safe, secure,
and supervised environment.
The contractor is required to provide a program for recovery from substance use disorder and/or process
addictions which is evidence-based, trauma-informed, and founded in traditional cultural practices of Inuit and/or
other indigenous groups.
The contractor is required to identify which specific populations they are able to provide treatment for.
The contractor is required to have the capacity to provide aftercare support for clients living in remote
communities, these services may be provided using telephone, teleconference, video conference, or other
technologies.
If the contractor is capable of providing detoxification services they are required to provide details of their
detoxification services in their proposal including clinical capacity.
The contractor is required to specify the location(s) where care will be provided. In the event that care is provided
in an “On-The-Land” setting the general location is sufficient for the purposes of the RFP, though a description of
the camp and/or cabin is required.
If the contractor is able to provide sober living homes or other posttreatment locations for ongoing rehabilitation
support they should be clearly identified in the proposal. Sober living arrangements or other forms of ongoing
rehabilitation supports excluding aftercare must be properly licenced and maintained according to the standards
of the jurisdiction in which the contractor operates.
1. The services being provided are evidence-based, trauma-informed, person-centered, effective, and
culturally relevant and/or safe for Nunavummiut.
2. Programs and facilities are appropriately accredited, or that they operate with a professional standard of
care.
3. Programs, facilities, homes, and professionals employed to work with clients are licensed by the
appropriate licensing body for the jurisdiction in which they operate, as required by law.
4. The mental health and addictions services are strength-based and respect the culture, dignity, and
privacy rights of the client.
5. Facility operations and program delivery is effectively managed and supervised.
6. Required documentation ad reporting is up to date. Specifics regarding documentation can be found
within Section Deliverables.
7. Appropriate measures are taken to protect the privileged personal health information of the clients.
Proponents are required to provide documentation detailing internal or external personal health
information handling orientation/education for all workers (e.g., Personal Health Information Act Training
provided by a governmental entity or an internal training program for safe and correct handling of
confidential information).
8. Clients, their families, their support systems, and Nunavut-based case managers are actively engaged in
assessment and treatment/healing planning. Such planning must identify and address social, emotional,
cognitive, spiritual, and physical needs.
9. Inuit values, culturally specific activities, teaching from Elders, and land-based program elements are
integrated into programming and service delivery where and when it is appropriate.
10. Program staff are:
a. Aware of Inuit Societal Values
b. Culturally competent
c. Familiar with the constraints of healthcare delivery in Nunavut
d. Familiar with the unique challenges, circumstances, and resiliency of Nunavummiut clients
e. Aware of the differences between Inuit and other indigenous groups
11. The contractor will actively assist clients in connecting with community programs and supports, especially
Inuit groups (e.g., Kivalliq Inuit Society in Winnipeg).
Preferences:
Preferences refer to elements of a proponent’s proposal which are preferred but are not required. Proponents will
not be penalised for the absence of any or all of the items listed below.
Special Considerations:
While not required, special consideration will be given to proposals which include any or all of the following:
• Capacity to provide clients with access to traditional Nunavummiut activities, food, language, and cultural
events.
• Service delivery innovations and/or adaptations of strategies from other circumpolar jurisdictions or
rural/remote systems of care.
• Intergenerational family and/or community engagement in providing services (e.g., connecting clients with
community elders or providing couples or family counselling as part of treatment).
• Contractors who are actively involved with local Indigenous, and/or especially Inuit communities,
organisations, clubs, and/or societies.
• Conducting interviews and assessments with the client, their natural supports, and other individuals
involved in their care before accepting them into a program.
• Programs that are trauma-focussed or assist clients in addressing past traumatic experiences.
• Contractors who are able to provide clients with access to professional counselling services, especially
for trauma.
• Contractors who have Inuit employees working in frontline positions.
Deliverables
The following subsections detail activities which a proponent must perform if they are awarded a contract as part
of this RFP process.
Documentation:
1. Provide written assessments to the identified DOH or other GN departmental Case Manager or indicated
individual within 30 days of placement, unless a specific shorter or longer period of time is established in
writing between the GN and the contractor, or is established in the court order or review board order.
2. Organize a case review and provide a written progress report to the identified DOH or other GN departmental
Case Manager or indicated individual every 30 days during the first 90 days of service and every 90 days
thereafter, unless otherwise specified in writing between the GN and the contractor, in order to:
b. Discuss any new or ongoing behavioural concerns, and the identified plan to address the concerns
c. Review progress on treatment goals and any proposed changes to the treatment plan
d. Receive approval for changes to the treatment plan, including provision of additional services
e. Address any supports or resources that are needed to enhance the client’s quality of life
f. Identify any additional partners or organisations which might be beneficial in providing care and/or
support to the client
3. Develop and update a plan for community reintegration/discharge including, but not limited to:
c. Additional goals/tasks that need to be met in preparation for the client’s return to their home
community.
d. Provide the designated clinician in the client’s home community with a summary of treatment
outcomes including:
iii. Specific areas that the client wishes to continue working on including a brief summary of
topics/challenges covered up to the date of discharge
iv. Client’s relapse prevention plans – specifically ways in which the clinician can support the
client in ongoing recovery efforts
4. Develop and provide a written discharge plan to the identified DOH or other GN departmental Case Manager
or indicated individual a minimum of 14 days prior to a client’s discharge unless discharge is urgent/emergent
or otherwise specified in writing between the contractor and the GN. This report must include:
a. Details regarding any aftercare or ongoing services provided to the client by the contractor
b. Details regarding any areas which require significant further work that may be continued in
community
5. Provide documentation of appropriate accreditation or that the operations meet a professional standard of
care, and of required licensing at any time requested by the DOH or other GN department.
6. Provide documentation at any time at the request of the GN that adequate and appropriate measures are
being taken to protect personal information. This is to include a summary report of all privacy breaches that
have taken place within the facility and the corrective action taken to address identified issues.
7. Provide an annual update, by March 31st, to the Out-Of-Territory Mental Health Office [MHAOOT@gov.nu.ca]
regarding any changes to the programs and services offered by the contractor, with specific detail regarding
those areas specified in section “General expectations of the contractor” of this RFP. This update must
include any additional programing which is developed and any programing which is discontinued, reduced, or
otherwise modified.
8. Provide documentation of the institution’s organizational chart, the current staffing model, and details
regarding staff qualifications and credentials at any time requested by the DOH or other GN department.
9. Provide reports, for each Nunavut client to the identified DOH or other GN departmental Case Manager or
indicated individual of all critical incidents that have taken place at the facility involving each individual
Nunavut client and the corrective actions taken.
11. The contractors will Fax or email a Critical Incident Report as per the Critical Incident Reporting Guidelines
that will be provided to contractors on the SOA list.
12. Report any suspected or confirmed privacy breach to the identified DOH or other GN departmental Case
Manager or indicated individual by email within 24 hours of discovery.
13. Upon request, provide documentation that all staff have received appropriate training in the handling of
personal health information or other confidential information and that any associated credentials or
certificates are valid and up to date at any time of the request.
Financial Obligations:
1. All operational costs including salaries, wages, allowances, vacation pay, and all other benefits for employees
employed by the contractor are the responsibility of the contractor.
2. All payments in respect to Worker’s Compensation, Unemployment Insurance, Pension Plan, and any other
payments in respect to employees of the contractor are the responsibility of the contractor.
3. All material, food, and associated costs required for the preparation of meals to feed the client are the
responsibility of the contractor.
4. Costs to supply any and all hygiene items for the client including, but not limited to, toothbrushes, toothpaste,
deodorant, soap, shampoo, and other products required for daily use are the responsibility of the contractor.
5. All costs associated with first aid materials and non-prescription (i.e. over the counter) drugs and supplements
(e.g. Vitamin D tablets, Ibuprofen, etcetera) that are to be made available on the premises at all times are the
responsibility of the contractor.
6. Costs to provide recreational and other activity fees to the residents as a group are the responsibility of the
contractor.
7. Dues and memberships in respect to the operation of the program under this contract are the responsibility of
the contractor.
8. Any costs for typing, transcription services, accounting services, photocopying, stationary, postage, printed
forms, telephone, internet, and associated technologies are the responsibility of the contractor.
9. Costs for all bonds and insurance policies required pursuant to the terms of this contract are the responsibility
of the contractor.
10. Costs for any licenses, permits, or business taxes arising out of the performance of this contract are the
responsibility of the contractor.
11. Costs for complying with law, order, or regulation of any municipality or province of Canada or of any
competent commission or other authority thereof in order to carry out the terms of this contract are the
responsibility of the contractor.
Transportation Responsibilities:
1. For services involving client travel out of territory, the contractor is responsible to transport the client, prior to
admission, to the facility from the closest international airport or smaller regional airport with direct flights to
an international airport unless other arrangements are agreed to in writing between the contractor and the GN
2. The contractor is responsible for the provision of safe transportation, as needed, during the client’s stay. The
contractor shall not, at any time, transport the client in a vehicle, or allow the client to operate a vehicle, that:
a. Is not inspected and licensed by the motor vehicle regulator in the appropriate province or territory.
b. Does not comply with the provisions of the appropriate Motor Vehicle Act and the regulations thereof.
e. Is a van designed for sixteen (16) or more passengers, whether or not seats have been removed to
reduce the seating capacity.
3. The supervised use of off-road vehicles and snowmobiles by clients, or for the transportation of clients, is
allowed as part of structured treatment programing. The contractor is responsible to ensure the safe
operation of these vehicles and to ensure that appropriate safety equipment (e.g. helmet, eye protection) and
clothing (e.g. boots, gloves) are worn by the client at all times.
Evaluation Responsibilities:
The contractor and GN agree that at any time during the term of this contract and up to 7 years after the
completion or termination of this contract the GN may, at its own expense, conduct an evaluation of any
program utilized under this contract to review its efficacy. The contractor agrees to cooperate in the
evaluation and provide full access to relevant records required in the evaluation process.
The following Departments and Public Agencies may issue Services Requests and enter into contracts under this
SOA in accordance with the Call-Up Procedures set out herein:
Proponents should be aware that certain mandatory requirements may have been set out in the Terms of
Reference. Proposals that fail to provide these requirements shall be deemed not responsive and will not be
evaluated.
Evaluation Criteria
Proponents that receive a total score of 500 points or more will be offered a standing offer.
The evaluation team will utilize the following criteria to evaluate each proposal. Points awarded will be consistent
with the Points Rating Legend on the Proposal Rating Schedule. Points awarded will be confidential and no
details will be released to any of the other proponents.
One of the priorities of the GN is to ensure that Inuit, Local, and Nunavut businesses supply materials, equipment
and services, and that Inuit, Local and Nunavut labour are used to the fullest extent practical on any GN contract.
Therefore, the NNI Regulations applies to this Request for Proposals.
To receive the benefits of this Regulations, proponents must identify cost components for Inuit and Nunavut content
including the names of any subcontractors, suppliers, and the residency of project team members or other labour
proposed to carry out the work. Consideration will also be given for the proponent’s Inuit Firm or Nunavut Business
status.
Prior to rating, proposed pricing may be adjusted in accordance with the NNI Regulations for the amount of work to
be done by Inuit, Nunavut and Local businesses and residents. Cost components must be clear; therefore,
proponents are encouraged to complete and submit the NNI Incentives Application Form attached to this RFP.
Instructions are provided to guide proponents on what level of detail to include. Also refer to the Instructions to
Proponents for more information. Failure to complete and submit this form with appropriate detail will result in a
denial of NNI adjustments. For greater certainty, the evaluation committee reserves the right to make
adjustments to a proposal following the closing date in accordance with the NNI Regulations by taking into
account any information obtained from the Nunavut Business Registry maintained by the NNI Secretariat
and the Inuit Firm Registry maintained by NTI. If the GN determines that a proposal should not receive a
bid adjustment pursuant to the NNI Regulations, it can adjust the evaluation and scoring of a proposal
accordingly.
Proponents should take care to comply with any mandatory proposal requirements set out herein. Mandatory
proposal requirements are preceded by terms such as “proponents must”, “proponents shall” or “proponents will”.
Note: Mandatory proposal requirements are not the same thing as contractual obligations. A contractual
obligation is something that must be done under the contract that is expected to result from this RFP. Proposals
will not be rejected for failing to demonstrate compliance with contractual obligations. Contractual obligations are
identified by terms such as “consultant must”, “consultant is required to”, “consultant shall”, etc.
Proposal Format
To allow for a thorough yet timely evaluation, proposals should be presented in a clear and concise manner. Failure
to present information in the manner requested may be to the proponent’s disadvantage. It is suggested that the
following format and sequence be followed in order to provide consistency in proponent response and to ensure
each proposal receives full consideration:
The cover letter should provide a summary of your organization’s interest and suitability for this project. It should
be no more than 2 pages in a standard business format and should identify and be signed by the people who
prepared the proposal, including their titles; and identify a contact person responsible to answer questions
regarding the proposal contents.
The profile should include the organization’s legal name, address, and telephone number; date established and
structure; ownership details; firm leadership (such as corporate officers or partners); number of employees; number
of employees engaged in tasks related to the scope of work for this RFP. The proponent’s business number and
principal place of business should also be provided, and the Proposal Submission Form attached with this RFP
should also be filled out and submitted.
This section also provides the proponent with an opportunity to demonstrate their maturity and /or breadth of their
experience in the service categories outlined above. It should be used to highlight the proponent’s principal qualities,
its achievements, its experience filling needs similar to those outlined in this RFP, and any experience the proponent
may have of providing services in similar jurisdictions.
If the proponent is not legally registered to do business in Nunavut, then the proponent will have to register their
business in order to lawfully enter into any contract resulting of this RFP. For clarity, if awarded business from this
RFP process, companies will have to get registered.
The proponent will provide as part of their proposal the job descriptions including qualifications for all front-line
positions which have regular therapeutic contact with clients. The job descriptions will be identical to those provided
to front-line workers within the proponent’s organisation in both content and format.
Front-line workers for the purpose of this RFP include all individuals who engage with clients in a therapeutic
manner including physicians, nurses, psychiatrists, counsellors, cultural advisors, elders, therapists, and similar
positions which provide therapeutic support. Front-line workers for the purpose of this RFP do not include hospitality
workers, custodial workers, administrative workers, and other positions which though necessary for the operation
of the proponent’s organisation do not have therapeutic contact with the client.
In this section the proponent will provide details of their specific elements of their program which are specifically
designed and/or delivered in a manner which is responsive and/or reflective to Inuit and/or Indigenous culture.
Bullet points are strongly encouraged in this section. Proponents will identify and describe how the specific program
element is related to Inuit and/or Indigenous culture.
Trauma Support
Within this section of the proponent’s proposal the proponent shall provide details of trauma support available to
clients. Trauma support includes, but is not limited to, access to specialised trauma counselling services, grounding
skills, group therapy, individualised therapy, specialised Post Traumatic Stress Disorder (PTSD) programming,
partnerships with external agencies, and trauma support groups.
Information related to a how a program is trauma informed should be included in this section.
In the event that a proponent’s organisation has specific positions solely for the purpose of trauma support whose
job descriptions were not included in previous sections must include the job descriptions in this section.
Aftercare Support
The Aftercare Support section of the proponent’s proposal will detail the aftercare supports, including any semi-
independent living, supported living, sober living, second stage housing, and/or similar arrangements directly or
indirectly available to clients.
Details regarding aftercare support must include length of time supports are available, content of aftercare
support, and method of aftercare support delivery for individuals in remote locations.
The proponent will include details of their client assessment process including any standardised assessment
forms employed by the proponent’s organisation.
This section of the proponent’s proposal will include details on the structure of the proponent’s program including
timelines and details of goals to be achieved.
In this section the proponent will provide details of how programming is delivered to clients including individual
counselling, group counselling, and other means of program delivery.
The proponent will include in this section information related to program completion rates and ongoing success of
clients provided that the proponent gathers this data.
The proponent will provide a minimum of one (1) and a maximum of three (3) letters of reference from individuals
or organisations familiar with their organisation.
Letters of reference from past clients, especially those living in remote communities is encouraged.
Letters of reference from partner organisations, especially Inuit and/or Indigenous organisations are strongly
encouraged.
The proponent will provide concise details of the medical services which are provided by their organisation
including. For clarity medical services include onsite healthcare services such as the presence of nursing staff or
other healthcare professionals as well as offsite healthcare services which partner with the proponent’s
organisation. This includes medication administration/dispensation practices.
The proponent will provide concise details regarding safety planning for clients. For clarity safety planning includes
any and all measures which the organisation takes to ensure that clients entering into treatment are kept safe and
healthy.
The proponent will provide specific concise details of their organisation’s ability to provide detoxification services if
they are available either onsite or offsite regardless of whether delivered directly by the organisation or by a partner
organisation.
• Each proposal should indicate the position title and the hourly and daily rates for each team member for
year 1, year 2 and year 3.
• For sample testing and analysis, provide your pricing structure.
• Travel cost will require pre-authorization from GN. Hotel and transportation billed at cost. Meals as per
GN rates. No mark-up will be accepted.
• If travel is necessary for the completion of project work, travel time will be paid at 60% of the hourly rate.
• It should be noted that the GN will not provide an advance payment to any proponent upon the signing of
a contract; therefore, requests for such an advance will be denied and the contract will reflect same.
• Prices bid must be stated in actual dollars and cents expressed in Canadian funds.
• The Government of Nunavut will pay the Goods and Services Tax (GST); however, do not include GST in
your proposed pricing.
Proponents should:
a) Submit a billing cycle. It is preferred that invoices will only be issued as specific tasks are completed. The
GN's Financial Administration Manual provides for payments terms of net thirty (30) days or net twenty (20)
days for an NNI registered Nunavut Business.
b) Provide a list of hourly rates for each team member in the event additional services may be required. For
greater certainty, additional work must be specifically requested and approved by the GN Project Authority
and itemized with associated additional costs within a written contract change order.
c) Additional Services: The proponent should include hourly rates for project team members’ time if required to
provide additional services over and above those provided in the proposal. Note that additional services will

Unless noted otherwise, travel and accommodation costs approved by the GN will be paid in accordance with the
rates established under the GN duty travel directives in the Financial Administration Manual.
Inuit Content
In compliance with Article 24 of the Nunavut Agreement and the NNI Regulations, the GN will provide consideration
for Inuit Content. Accordingly, proponents are encouraged maximize business relationships with Inuit Firm sub-
consultants and suppliers and hire Inuit workers to work on the project. All information should be provided in detail
in the attached NNI Incentives Application Form.
Inuit Content is the dollar value of goods and services provided by an Inuit Firm, and the dollar value of Inuit
Employment in carrying out the work, including Inuit employees from an Inuit or non-Inuit Firm. An Inuit Firm is a
company that is approved by Nunavut Tunngavik Inc. (NTI) and included in the Inuit Firms Database which is
available online at www.inuitfirms.com. An Inuk is any person included in the Inuit Enrolment List under the NLCA
Article 35.
Approximately one (1) point will be awarded for each 10% of work to be done by Inuit Firms where this information
has been substantiated in the proposal. Likewise, proponents will be awarded approximately one (1) point for each
10% of work that will be done by Inuit workers where the names and dollar values are provided. For example, 8%
would be 0.8 points, and 32% would be 3.2.
In order to determine the percentage of work associated with Inuit Firms and Inuit Employment, the following
variables are required:
Failure to provide this level of detail in your proposal pricing will result in the evaluation committee not being able
to determine Inuit Content percentage levels to award points appropriately.

published selection criteria, was found Responsive, and to provide the best potential value to the GN) ;

C. The GN and the Consultant wish to set out the terms and conditions relating to the provision of such
Services;

1. SERVICES
1.1 The Consultant will perform those services which are set out in the Terms of Reference of the RFP
and the Proposal (“the Services”), which are attached as Schedules A and B respectively to, and
form part of, this Agreement,

1.2 The Consultant agrees to fully perform the Services in a competent, timely and professional manner
to the full satisfaction of the GN within the term and for the price set out herein;
1.3 The Consultant will perform the Services to the standards set out in the RFP and the Proposal,
whichever is higher.
1.4 The Consultant and the GN have mutually agreed upon the following supplemental terms, and
nothing in the RFP or the Proposal will supersede the terms listed in this part:
1.4.1 insert in this section any negotiated items or terms that differ from the proposal or RFP – If this is not
done, then the entire proposal, as written, will become part of the contract and any negotiations or
modifications thereto will be lost. NOTE: This part of the contract requires more thought than the whole
rest of it combined.
2.1 The Consultant shall commence performance of the Services on the day of , 20
, and shall forthwith execute and fully complete the Services, to the full satisfaction of the GN, on or
before the day of , 20__.
3. PAYMENT
3.1 The GN agrees to pay the Consultant for the Services a total amount not greater than type in the
amount of the contract in words Canadian Dollars ($contract value in numbers) as set out in refer to
section and page numbers of the Proposal. The underlined portion is necessary only if there is
more than one payment, or if the total payment amount is not known at this time, but must be
calculated (for example, to include travel expenses).
OR, if the payment terms are scattered throughout the Proposal; involve estimates; or are in any
other way unclear, make up a Schedule A clearly setting out the payment terms and use this
sentence for 3.1:
3.2 [Only if there is more than one payment] Following completion of each portion of the Services, the
Consultant shall invoice the GN for the performance of that portion of the Services, with
documentation satisfactory to the GN.
3.3 Upon receipt of the invoice, the GN shall promptly determine whether the work which is the subject of
the invoice is approved and the GN shall process payment to the Consultant of the amount of the
approved portion of the invoice within thirty (30) days of the date of approval of the invoice, or within
twenty (20) days of approval of the invoice in the case of a Nunavut Business as defined in the NNI
Regulations.
3.4 Where the GN does not approve of any part of the work which is the subject of an invoice, the GN
shall promptly notify the Consultant in writing, of the reason(s) why the work was not approved; and
the Consultant shall remedy the work at no additional cost to the GN before the GN shall be obliged
to pay the unapproved portion of the invoice.
3.5 If in the opinion of the GN the Consultant has failed to comply with or has in any way breached an
obligation under this Agreement, the GN, on having given written notice of such breach to the
Consultant, may withhold, in whole or in part, any payment due the Consultant without penalty,
expense or liability; and any such hold back amount shall be withheld until the breach has been
rectified to the satisfaction of the GN.
3.6 The GN may, in order to discharge obligations or satisfy claims against the Consultant or a
subcontractor arising out of the execution of the Services, deduct any monies claimed and owing
from any amount due and payable to the Consultant under this agreement, and pay it directly to an
obligee or claimant.
3.8 The GN must pay the Goods and Services Tax (GST), but is not subject to Provincial Sales Taxes
(PST) or the provincial portion of Harmonized Sales Taxes (HST).
4.1 Any notice required to be given herein or any other communication required by this Agreement shall
be in writing and shall be addressed as follows:
a) To the GN:
Contract Name and Reference Number: same as RFP Title but contract number may differ
from RFP No (i.e., it can be the RSN # if an RSN was given to Purchasing).
4.2 Any notice to be given under this Agreement shall be in writing, and shall be deemed to have been
properly given if
a) if delivered by mail, by mailing to that party at their mailing address for notices, and such delivery
shall be effective when actually delivered or fifteen (15) business days following mailing,
whichever is the earlier;
b) if delivered by fax, by fax transmission to that party’s fax number for notices (if any) and such
delivery shall be effective on the first business day following the receipt of the fax transmission;
c) if delivered by electronic mail, by electronic transmission to that party’s email address for notices
(if any) and such delivery shall be effective on the first business day following the receipt of the
electronic transmission.
4.3 In the case of fax and electronic mail transmission of notices, the party sending the notice shall be
solely responsible for ensuring the notice is properly received by the recipient.
5. PERFORMANCE OF SERVICES
5.1 The Consultant agrees to exercise all care, skill, and diligence in performing the Services and to
comply with all the terms of this Agreement;
5.2 The Consultant agrees to furnish all labour, materials, supplies, tools, transportation, services and all
things necessary for the proper and timely total completion of the Services. [Note: In some

circumstances, the GN may be supplying some materials or office support, in which case these
should be set out as an exception to this section.]
5.3 The Consultant agrees to use only new materials and supplies of the best quality, of merchantable
quality, fit for the intended purpose, and carefully installed or applied in accordance with any
manufacturer’s specifications and warranty requirements, in performing the Services; [This may
not apply in some cases, if the Consultant does not use materials.]
5.4 The Consultant warrants that it has independently reviewed the nature of the Services, it is not
relying upon any GN representations and it is fully qualified and able to perform the Services by the
completion date.
5.5 The Consultant shall ensure that its communications with the public and any services provided to the
public that are required by this Agreement, including: public signs, posters and commercial
advertising; and customer and client services, shall be provided in Inuktut in a manner that is at least
equally prominent with any other Language used and in compliance with section 3 of the Inuit
Language Protection Act, S.Nu. 2008, c. 17. [This may not apply in some cases, if the
Consultant will not be communicating directly with the public. This clause may need to be more
detailed if: the Consultant will be performing services to the public on behalf of the GN or a public
agency; the Consultant will be providing essential services such as health care, residential care, or
emergency services. Consult with Legal prior to amending or deleting this clause.]
5.6 The Consultant shall develop and implement a training and skills development program to provide
greater opportunities for Inuit to receive training and experience through the performance of work on
contracts. The training and skills development program shall include, at a minimum, (list
deliverables). [Delete if the contract has an anticipated labour value of less than $1 million and/or
a duration of less than 12 months, or if a training program is not required for this program.]
5.7 Services that fall within the meaning of "engineering" as defined in the Nunavut Engineers and
Geoscientists Act S.Nu. 2008, c. 2, as amended, shall be performed or supervised by a professional
engineer who is a member of the Northwest Territories and Nunavut Association of Professional
Engineers and Geoscientists ("NAPEG") who is licensed to practice engineering in Nunavut. All
plans, reports or similar documents prepared by or for the Consultant shall bear the NAPEG stamp or
seal. [Delete if the contract does not require engineering services.]
5.8 Services falling within the practice of architecture shall be performed by an architect who is a
member in good standing of an architectural association of one of the provinces of Canada and shall
bear the architect's stamp or seal. Architects must furnish proof of professional standing in an
architectural association of one of the provinces of Canada. [Delete if the contract does not
require architectural services]
6.1 Unless authorized by a written change order agreed to by both parties, the Consultant shall not
perform any additional work beyond the Services. Any costs, fees or expenses incurred by the
Consultant for additional unauthorized work that is not in a change order or change directive shall be
the Consultant’s sole responsibility and the GN shall not be liable for any claim for compensation or
reimbursement of such costs, fees or expenses, in law, in equity or under this Agreement.
6.2 The Consultant shall not change or omit any part of the Services nor perform any extra or additional
work or service requested unless authorized by a written and signed change order.
6.3 Any cost or expense incurred by the Consultant for any additional or extra work or service performed
by the Consultant, subcontractor or sub-consultant, without a previously signed change order, shall
be the Consultant’s sole liability and responsibility, and the GN shall not be liable for any claim for
compensation in respect of such additional cost or expenses, in law or equity, or under this
Agreement.
7. PERSONNEL [Delete this section if the contract is with a sole proprietor individual person – as opposed to a
company. Note the person still needs to be legally registered to do business in Nunavut, have a business
license and a waiver from WSCC].
7.1 At any time, upon request of the GN, the Consultant shall remove within three days any worker of the
Consultant (whether employed or otherwise engaged by the Consultant) who in the opinion and sole
discretion of the GN is deemed to be unsuitable and thereafter the Consultant shall replace that
worker with one who is acceptable to the GN.
7.2 [Delete this section if there are no key personnel.] The GN and the Consultant having recognized
that the following personnel is/are critically important to the successful performance of the Services,
agree that the following individuals will remain fully employed in performing the Services and the
Consultant will not, without the prior written consent or agreement of the GN, remove or reassign
this/these individuals during the term of this Agreement as long as such individual(s) remain(s) in the
employ of the Consultant:

price and term, these may be adjusted by the differences caused by such replacement.

recognized that the following subcontractor(s) is/ are critically important to the successful
performance of the Services, agree that the Consultant will retain the following subcontractor(s) in

the GN, remove or reassign this/these subcontractor(s) during the term of this Agreement, and shall
promptly notify the GN should this/these subcontractor(s) become unavailable to the Consultant:

Agreement, in addition to all other remedies which may be available to the GN, under this
Agreement, at law or in equity.

and are owned by the Consultant or have been validly and properly licensed by the Consultant as
to all necessary intellectual property rights;
c) to the best of its knowledge, that its work product is free of disabling mechanisms and viruses and
does not contain any content or metatags that were not identified in the terms of reference.
d) that its work product is original work of the Consultant, and that the Consultant has the right to
assign the work product to the GN and has obtained assignments and waivers of moral rights
from its employees and Subconsultants in favour of the GN, its licensees and subsequent
successors and assigns, and that such assignment to the GN does not and will not infringe on or
violate any applicable law, regulation or right of a third party. and,
e) it will indemnify and save harmless the GN from any costs, liabilities, damages or expenses,
including reasonable legal fees and expenses arising, directly or indirectly, out of any proven or
alleged breach of these warranties.
11. COPYRIGHT
11.1 All information, drawings, specifications, reports, calculations, data, research, documents,
photographs, and files (“GN Intellectual Property”) provided by the GN to the Consultant for the
purposes of this Agreement, and all copyright therein, shall be the exclusive property of the GN. The
GN grants the Consultant a non-exclusive, royalty-free license to use the GN Intellectual Property for
the purposes of this Agreement.
11.3 Title to any report, drawing, photograph, plan, specification, model, prototype, pattern, sample,
design, logo, technical information, invention, method or process and all other property, work or
materials which are produced by the Consultant in performing the Services or conceived, developed
or first actually reduced to practice in performing the Services, (herein called "the Property") shall
vest in the GN and the Consultant hereby absolutely assigns to the GN the copyright in the Property
for the whole of the term of the copyright.
11.4 The Consultant shall ensure that its contractual relations with employees and subcontractors
preserve copyright for the GN, in compliance with the subsection above.
12. CONFIDENTIALITY
12.1 Any information obtained from, or concerning any department of the GN, clients of any department of
the GN, or patients served by the GN, by the Consultant, its agents or employees in the performance
of the Service Request, or of any other contract, shall be confidential.
12.2 The Parties acknowledge the Access to Information and Protection of Privacy Act (Nunavut) and the
Personal Information Protection and Electronic Documents Act (Canada) and acknowledge that the
Consultant and its employees and sub-contractors are “employees” under the Access to Information
and Protection of Privacy Act (Nunavut) and so bound by that Act.
12.3 The Consultant agrees to protect confidential information in its custody or control by making
reasonable security arrangements against such risks as unauthorized access, collection, use,
disclosure, retention or disposal.
12.4 The Consultant shall take such steps as are necessary to ensure that any such information is not
disclosed to any other person, and shall maintain confidential and secure all material and information
that is the property of the GN and in the possession or under the control of the Consultant.
12.5 The Consultant will report any suspected or confirmed privacy breach, as defined in section 49.8 of
the Access to Information and Protection of Privacy Act (Nunavut), to the GN as soon as the breach
becomes known, and will comply with the GN’s breach investigation, or any investigation initiated by
the Information and Privacy Commissioner of Nunavut.

12.6 The Consultant agrees to securely destroy any copies, either in paper or electronic format, upon
completion or early termination of this Agreement, and will provide the GN with proof of secure
destruction in the form of a certificate of secure destruction or a statutory declaration.
12.7 The Consultant will avoid storing confidential information on mobile computing devices such as, but
not limited to, memory sticks, notebook computers, smart phones, tablet computers, and personal
digital assistants. Where personal information must be stored on such devices, the Consultant will
store only a minimal amount of information for the minimal amount of time necessary to complete the
work. Where personal information is stored on mobile computing devices or other vulnerable devices,
the Consultant will use both strong password protection and strong encryption.
12.8 The Consultant will ensure that data containing confidential information shall not be processed or
stored outside of Canada without the express written approval of the GN.
12.9 This section survives the completion or early termination of this Agreement.
13.1 In the event that the Consultant is, in the opinion of the GN, in default in respect of any obligation of
the Consultant hereunder the GN may do any act as it deems necessary to rectify such default and
the GN may deduct or set off the cost of such rectification against any payment due or becoming due
to the Consultant under this or any other contract with the GN.
13.2 The Consultant may not assign or delegate the Services to be performed under this Agreement, or
any part thereof, to any other party without the prior written consent of the GN. In the case of a
proposed assignment of monies owing to the Consultant under this Agreement, the consent in writing
of the Comptroller General of the GN must be obtained, pursuant to s.69(4) of the Financial
Administration Act (Nunavut) as amended or reenacted in successor legislation during the term of
this Agreement.
13.3 The Consultant shall keep proper accounts and records of the services for a period of 3 years after
the expiry of this Agreement. At any time during the term of this Agreement, and for the three (3)
year period following the Agreement, the Consultant, upon the request of the GN shall promptly
produce such accounts and records.
13.4 The Consultant shall notify the GN immediately of any claim, action, or other proceeding made,
brought, prosecuted or threatened in writing to be brought or prosecuted that is based upon,
occasioned by or in anyway attributable to the performance or non-performance of the Services
under this Agreement.
13.5 The Consultant represents, warrants and covenants that it does not have, and will not incur, a
pecuniary interest in the business of any third party, or any other conflict of interest that would affect
their objectivity in the performance of their duties under this Agreement. Should an event giving rise
to such a conflict of interest occur, the Consultant shall immediately notify the GN, in writing, and
present a plan whereby the conflict may be managed. Upon receipt of such a notice, the GN may, in
its sole discretion, elect to terminate this Agreement, or continue with this Agreement subject to the
Consultant’s satisfactory compliance with the conflict management plan.
13.6 In the event that the provision of these services creates a conflict with any other party that the
Consultant may represent, the GN and the other party to which services are being rendered shall be
advised of the conflict immediately.
14. TERMINATION
14.1 The GN may terminate this Agreement at any time without penalty upon giving written notice to the
Consultant, if, in the sole opinion of the GN:
c) an actual or potential labour dispute delays or threatens to delay timely performance of the
Services; or
d) the Consultant defaults or fails to observe the terms and conditions of this Agreement in any
material respect.
e) The Consultant fails to achieve the Inuit content and training obligations of this Agreement.
[For all contracts with an anticipated labour component valued in excess of $1,000,000.00 and
with duration of twelve (12) months or longer, the GN may require the Consultant to provide a
training and skills development program for Inuit as a contractual obligation (see s. 23.1 of the
NNI Regulations). Failure to achieve the Inuit training obligations set out in the Contract
constitutes a breach of contract; further, the Consultant may be held “not responsible” and
prevented from bidding on future GN procurement processes. Delete this clause if the contract
does not contain Inuit training obligations.]
14.2 This Agreement shall terminate as of the day for termination set out in the written notice and the
Consultant shall forthwith invoice the GN for work performed to the date of termination.
15.1 The GN may in its sole discretion at any time upon notice to the Consultant in writing suspend the
performance of the Services in whole or in part, for a specified or unspecified time.
15.2 Upon receiving notice of the suspension, the Consultant shall immediately suspend all operations
concerning that identified portion of the Services, except work necessary in the opinion of the GN, to
care for, preserve and protect the Services.
15.3 During the period of suspension, the Consultant shall only be entitled to be reimbursed for its
reasonable, proper and actual expenses in caring for, preserving and protecting the work product.
15.4 Should the period of suspension of the Services, in whole or in part, last longer than thirty (30)
consecutive days or such longer period as the parties may agree upon in writing, either party to this
Agreement may consider the Agreement to be terminated by mutual agreement without further
liability.”
16. PERFORMANCE
16.1 If the Consultant fails to comply with any decision or direction of the GN made pursuant to the
Services, or fails to take steps satisfactory to the GN to correct any defect, delay, deficiency or
default within seven (7) days of being given written notice by the GN to do so, the GN may, upon
notice to the Consultant, take the Services or a portion thereof out of the Consultant’s hands and
employ such methods and/or other Consultants as the GN deems advisable, to do that which the
Consultant failed to do, at the Consultant’s cost and expense.
16.2 If the Consultant defaults, fails to perform its obligations under this Agreement in whole or in part, or if
in the sole discretion of the GN the quality of work or the contract management practice of the
Consultant is unsatisfactory, the GN may deem the Consultant to be “not responsible” for the
purpose of other proposals or tenders.
17.1 The Parties agree that, both during and after the performance of the terms of this Agreement, each of
them shall make bona fide efforts to resolve by good faith negotiations any dispute between them,
which negotiations shall not terminate until the President of the Consultant (or designate) and the

Deputy Minister (or designate), shall have considered the dispute. The Parties shall, on a without
prejudice basis, provide frank, candid and timely disclosure of all relevant facts, information and
documents to facilitate such negotiation.
17.2 If the dispute is not resolved in the foregoing manner, then the dispute shall be finally settled by
arbitration and this Agreement specifically excludes the power of the Court to refuse to stay judicial
proceedings. The arbitration shall take place in Iqaluit, Nunavut unless otherwise agreed.
17.3 Within 20 days after the Party requesting arbitration has given written notice of such request to the
other Party, the Parties (acting reasonably) shall jointly appoint a single arbitrator. If the Parties are
unable to appoint a single arbitrator within the said 20-day period, then the Consultant shall appoint
one arbitrator and the GN shall appoint one arbitrator, both such arbitrators to be appointed within 10
days after the end of the aforementioned 20-day period, with a third arbitrator then being selected by
those two arbitrators within 5 days following their appointment. The third arbitrator shall alone
conduct the arbitration. The arbitration will be final and binding and not subject to appeal and the
procedures and substance of the arbitration will be governed by the Arbitration Act, (Nunavut).
17.4 Notwithstanding the foregoing, the GN may at its option refer a particular dispute regarding
confidential information, frustration or fundamental breach of the Agreement to the Nunavut Court of
Justice and not to Arbitration.
18.1 Neither party shall be responsible for any delay or failure to perform its obligations under this
Agreement where such failure or delay is due to fire, flood, explosion, war, embargo, governmental
action, terrorism, act of a public authority, Act of God or any other cause beyond its control, except
labour disruption, without additional notice.
18.2 The Consultant acknowledges that Nunavut frequently experiences severe weather, shortages in
supplies and fuel, and interruptions of power service and communications that might constitute force
majeure elsewhere, and the Consultant will plan for those eventualities as much as possible.
18.3 In the event a Force Majeure event occurs which delays or threatens to delay performance of its
obligations by a party, that party shall give prompt notice to the other party and shall take all
reasonable steps to eliminate the cause or ameliorate the potential disruption and consequent
losses.
18.4 Should the Force Majeure event last for longer than thirty (30) days, the GN may terminate this
Agreement, in whole or in part, without further liability, expense or cost of any kind.”
19.1 The Consultant will indemnify and save harmless the GN, its employees and agents from and against
all claims, demands, losses, damages, causes of action, costs and expenses made against or
incurred, suffered or sustained by the GN at any time either before or after the expiration or
termination of this agreement, where the same or any of them are based upon, arise out of or occur,
directly or indirectly, by reason of any act or omission of the Consultant or of any agent, employee,
officer, director or subcontractor of the Consultant pursuant to this agreement, excepting always
liability arising out of the independent negligent acts of the GN.
Note: In some circumstances, this may not be enough coverage, or it may be excessive;
consider the risks and consider consulting with the Risk Management office in the Department of
Finance – preferably prior to issuing the RFP].
19.2 The Consultant shall without limiting its obligations or liabilities hereto, obtain, maintain and pay for
during the period of this Agreement, the following insurance:
19.2.1 Professional Liability Insurance with limits of not less than two million dollars ($2,000,000)
per claim, to cover claims arising out of the rendering of or failure to render any professional

service under the Agreement. [Note: This kind of insurance applies to certain kinds
of professionals such as accountants, lawyers, engineers, and architects, and covers
‘errors and omissions’ This may be deleted if the Consultant is not a professional
who is required to carry professional liability insurance].
19.2.2 Workers’ Compensation and Safety (WCS) coverage. The Nunavut Workers Compensation
Act requires that all persons working in Nunavut for greater than ten (10) days per month be
covered under the Nunavut WC program, even if the employer is not a Nunavut-based
company. If the Consultant is assessed any extra levies or assessment as a result of an
injury or death to an employee (worker) of the Consultant or subcontractors or due to unsafe
working conditions, these extra amounts will not be reimbursed by the GN.
19.2.3 All motor vehicles, watercraft or snowcraft used by the Consultant in the performance of the
agreement , regardless of ownership, shall be insured by Standard Liability Insurance in an
amount not less than two million dollars ($2,000,000) per occurrence for bodily injury, death
and damage to property;
19.2.4 Commercial General Liability insurance with limits of not less than two million dollars
($2,000,000) inclusive per occurrence for bodily injury, death and damage to or loss of use
of property. Such insurance shall include but shall not be limited to the following terms and
conditions:
• Products and Completed Operations [this may be deleted if the contract does not involve
construction, survey or demolition]
• Owners & Consultants Protective [this may be deleted if the contract does not involve
construction, survey or demolition]
• Contractual Liability;
• Broad Form Property Damage;
• Personal Injury
• Cross Liability and Severability of Interest;
• Medical Payments
• Non-Owned Automobile Liability including contractual liability
• Underground Property Damage; (in respect to any work involving ground disturbance.)
[this may be deleted if the contract does not involve construction, survey or demolition]
• Contingent Employers Liability
• Employees as Additional Insureds.
• Construction activities occurring at airport facilities. Alternatively, coverage may have to
be provided under an aviation liability policy. [this may be deleted if the contract does not
involve construction at airport facilities]
19.2.5 Privacy and Data Breach insurance with limits that the Consultant considers appropriate in
terms of type, coverage, and limit, taking into account the nature, extent, and scope of the
personal and commercially confidential information collected, used, or disclosed in the
performance of the Services; [this may be deleted if the contract does not involve personal
information or commercially confidential information, or if all of the relevant information will
not leave the GN’s custody or control; consult with Legal and Risk Management if unsure]
19.2.6 Any other insurance that the Consultant, acting as diligent prudent and competent
contractor considers appropriate in terms of type, coverage and limit, taking into account the
nature, extent, scope and location of the Services undertaken in this Agreement.
19.3 The insurance policies shall name the GN, its directors, officers, employees, agents and Consultants
as Additional Insureds, only with respect to the terms of this Agreement (except on Workers
Compensation, motor vehicles insurance and Professional Liability insurance), with a cross liability
and severability of interests clauses. Such insurance shall be primary without right of contribution
from other insurances available to the GN, and shall extend to cover the employees of the insureds
hereunder.
19.5 The Consultant must have an account in good standing with its respective Worker’s Compensation
authority and provide evidence of same to the GN upon request from time to time.
19.6 The Consultant shall be responsible for any deductibles, exclusions and/or insufficiencies of
coverage relating to such policies. The Consultant's liability is not capped to the amount of and
scope of coverage required under the agreement.
19.7 The Consultant shall deposit with the GN prior to commencing the work, certificate(s) of insurance
evidencing the insurance required by this Agreement in a form satisfactory to the GN and with
insurance companies satisfactory to the GN, and shall provide evidence of continuing coverage on
request.
19.8 The Consultant will ensure that all individuals (including the Consultant if an individual, and including
all employees, officers and subcontractors) who are physically present in Nunavut during the term of
this contract have extended medical benefits that cover the full cost of ambulance and medical
evacuation. Nunavut Inuit enrolled under the Nunavut Agreement are automatically covered.
Individuals may have extended medical benefits through a group program, including a group program
to which their spouse belongs. Individuals present for a short time in Nunavut may buy the necessary
coverage with their airfare. In the event this coverage is not in place for an individual who must be
medically evacuated while in Nunavut, the Consultant will indemnify the GN for the cost of the
medical evacuation.
20.1 It is a condition of this Agreement that payment hereunder is subject to Section 46 of the Financial
Administration Act (Nunavut) as amended or reenacted in successor legislation during the term of
this Agreement. Section 46 currently provides as follows:
20.2 It is intended that all provisions of this Agreement shall be fully binding and effective between the
parties, but in the event that any particular provision or provisions or a part of one is found to be void,
voidable or unenforceable for any reason whatever, then the remainder of the Agreement shall be
interpreted as if such provision, provisions, or part thereof, had not been included.
20.3 This Agreement shall be to the benefit of, and be binding on the respective administrators,
successors and assigns of each of the parties hereto.
20.5 The Consultant is an independent contractor with the GN and nothing in this Agreement shall be
construed or deemed to create the relationship of employee and employer or of principal and agent
between the GN and the Consultant. The Consultant is solely responsible for payments of all
statutory deductions or contributions including but not limited to pension plans, unemployment
insurance, income tax, workers' safety and compensation and the Nunavut Payroll Tax.
20.6 This Agreement shall be interpreted and governed in accordance with the laws of Nunavut and the
laws of Canada as they apply in Nunavut.
20.7 No waiver by either party of any breach of any term, condition or covenant of this Agreement shall be
effective unless the waiver is in writing and signed by both parties. A waiver, with respect to a
specific breach, shall not affect any rights of the parties relating to other or future breaches.

20.8 The failure of either party at any time to require the performance of any provision or requirement of
this Agreement shall not affect the right of that party to require the subsequent performance of that
provision or requirement.
20.9 This contract comprises the entire Agreement between the parties hereto and supersedes and shall
take effect in substitution for all previous agreements and arrangements whether written or implied
between the parties relating to the Services to be provided by the Consultant and all such prior
agreements, arrangements and understandings shall be deemed to have been terminated by mutual
consent with effect from the date of signature of this Agreement.
20.10 This Agreement may be signed in counterparts and each such counterpart shall constitute an original
document and such counterparts, taken together, shall constitute one and the same instrument.
Execution and delivery of this Agreement or a counterpart thereof by any party by fax or
electronically shall constitute valid and effective execution and delivery, but each party shall retain an
originally executed copy of the Agreement.
