Agreement between

GOOD NEIGHBORS INTERNATIONAL, NEPAL (FIRST PARTY)


AND
AARAMBHA ENERGY & ELECTRONICS PVT. LTD. (SECOND PARTY)

This agreement shall evidence the complete terms and conditions under which the parties whose

signatures appear below have agreed. M/S Good Neighbors International Nepal (hereinafter referred

as ‘First Party’ and M/S Aarambha Energy & Electronics Pvt. Ltd. (Hereinafter referred as ‘Second

Party’). As consideration for this agreement, Second Party agrees to supply the required Office

equipment to First Party and the First Party agrees to purchase from Second Party.

1. Background

Good Neighbors International (GNI) is an international, non-profit, non-governmental, non-

religious, developmental, and humanitarian organization established in 1991. GNI Nepal is

working in 38 countries around the world through 211 community development projects (CDPs)

and benefiting approximately 16.8 million people, including 9.6 million children. GNI is

headquartered in Seoul, South Korea and has fundraising offices in the USA, Canada, South

Korea, Japan, and an International Cooperation Office in Geneva, Switzerland.

GNI has been working in Nepal since 2002 with the objective of improving lives of poor people,

especially children through education, income generating activities, health services, child

protection, disaster risk reduction, advocacy and network building. Currently, GNI Nepal has been

operating its activities in 20 districts.

2. Parties Involved:

a. Good Neighbors International Nepal, Ekantakuna-13, Lalitpur (First Party)

b. Aarambha Energy & Electronics Pvt. Ltd. (Second Party)

3. Roles of Aarambha Energy & Electronics Pvt. Ltd. (Second Party):

Following roles are agreed to be undertaken by the Second Party:

a. The Second Party shall be responsible to supply and deliver the Office equipment as per

specification at District (Trishuli) Hospital, Nuwakot. If the Second Party doesn't supply as per

agreed specification, then GNI Nepal would not accept the commodities and at the same time

the Second Party is responsible to borne the cost of replacing.

b. The second party shall ensure that surfaces of equipment must NOT be indented or

scratched.

c. The second party will be fully responsible for safe delivery of commodities up to assigned

hospital.

d. The second party will be responsible to provide necessary documents during verification of

supplied equipment.

e. The second party will be responsible for installation and necessary orientation on supplied

equipment.

f. The second party will be responsible for warranty and maintenance associated with all

supplied equipment for Two years.

4. Roles of Good Neighbors International (First Party):

Following roles are agreed to undertake by the First party

a. The First Party will send the Purchase order/requisition to Second Party with authorized

person’s signature Or can be sent official email through procurement@gninepal.org.

b. The First Party will be responsible to pay the amount within a week of successful acceptance

of supplied equipment.

5. Duration of the Agreement

This contract commences from date of signature and will automatically expire after successful

completion of all obligations defined in this contract however agreement duration will not exceed

December 2020.

6. Mode of Payment

Payment will be given in the name of M/S Aarambha Energy & Electronics Pvt. Ltd. The First party

will make the payment through Account Payee cheque within a week of bill submission. The Tax

Deducted at Source (TDS) will be deducted and deposited on behalf of Second Party to the

concerned tax office according to the prevailing law of government of Nepal.

7. Details of Quantity, specification and rate.

The quantity, rate and amount will be as per Annex 1 and specification as submitted by second

party.

8. Conflict resolution & cancellation of contract

 The given agreement is effective from the date of its signing and will remain effective until

the successful completion of all obligations defined in this contract.

 Disagreements arising during the performance of the works will be settled by both parties

according to the mutual understanding/legislation of Nepal.

 In case of unresolved disagreement, the contract can be terminated by one of the parties

with one-week prior notification letter.

 GNI reserves the right to terminate the contract in the case of poor quality work, unjustified

delays, or negligence towards the conditions of the contract and agreed requirements.

Hereby signing this agreement, each party is willing to obey the terms and conditions mentioned

above in the presence of witnesses mentioned below.
