Dear Sirs,

1.0 We hereby propose to provide the Consultancy Services for 2200 MTPD ammonia &
3850 MTPD urea plants and associated offsite & utilities at HURL, Barauni as specified
in the Technical Specifications and Conditions of Contract.

2.0 We have understood the instructions and the terms & conditions and have
thoroughly examined the specifications laid down by you in the Bidding Documents
and are fully aware of the nature of consultancy services required.

3.0 We declare that our quoted Lumpum fee and Manday rate/Man month charges is on
firm price basis for the entire scope of work for Consultancy Services for 2200 MTPD
ammonia & 3850 MTPD urea plants and associated offsite & utilities at Barauni as
specified in the Bidding Documents, is enclosed at Price Schedule / SOR.

3.1 We further declare that our total Bid Price including Discount, if any, plus GST
details indicated by us in the enclosed Price Schedule / SOR shall be used for
evaluation of bids.

4.0 We declare that the above mentioned quoted total Bid Price is firm and shall not be
subject to any price adjustment and shall remain valid for the entire period of the
consultancy assignment including any time extension granted by the Owner.
However, we understand that in case the completion of the project(s) gets delayed

 beyond 8 months from the schedule Mechanical Completion date of the contract for
the reasons not attributable to us, we shall be entitled to price adjustment in the
quoted rates of man days/ man months for Sl. no. 5 to 9 of the Price Schedules/SOR
as brought out at clause 10.0 of ITB of the bidding document.

4.1 We confirm that GST on Consultancy Fee/Man day/Man month charges under this
package shall be paid by HURL at actual as brought out at the relevant clauses of
ITB and GCC of the bidding document.

4.2 We further agree that the quoted prices for lumsum fee and Man day/Man month
charges shall be deemed to include for the full scope of the bidding document,
including overheads and profits, all man-day charges, equipment charges, travel
expenses, administrative charges, laboratory charges, documentation charges and
any other incidental charges for successful completion of the work as brought out in
the bidding document.

4.3 As regards Income Tax, Surcharge on Income Tax and other Corporate Taxes,
including Cess wherever applicable, we further confirm that we shall be responsible
for such payments to the concerned authorities. However, HURL will be entitled to
deduct Taxes at source from the payment to be made to the Contractor in
accordance with the Indian Tax laws and rules as applicable from time to time and
deposit it with the concerned Authorities within the prescribed time.

5.0 We declare that the services will be rendered strictly in accordance with the
specifications. We confirm our full compliance to the provisions of bidding document
and its amendment/errata. We confirm that Contract Performance Guarantee for ten
percent (10%) of the Contract Price shall be provided by us as per the provisions of
the bid documents, in case of placement of Award.
6.0 We undertake, if our bid is accepted, to commence the work immediately from the
date of Letter of Award and to complete all the services covered in the package
within the time specified in the bidding documents.
7.0 We understand that the Client will award the Contract, as per terms of bidding
document, to the successful Consultant whose offer is substantially responsive and
to be the lowest evaluated offer.
