This DEED OF ABSOLUTE SALE (“Deed”) executed and entered into this
______________ day of _________, 2010, by and between.

W I T N E S S E T H : THAT,
WHERAS, the BUYER has offered to buy, and the SELLER has agreed to sell
the PROPERTY.
I.
PURCHASE AND SALE
1.1 Purchase and Sale: In consideration of the payment by the BUYER of the
Purchase Price and the fulfillment of the parties’ respective warranties and
representations as provided for in this Deed, the SELLER hereby absolutely
sells, transfers and conveys to the BUYER, all its rights, titles and interest in
the above-described property, together with all the improvements found
therein and in turn, the BUYER hereby purchases and acquires said Property
by the SELLER.
1.2 Purchase Price: The Purchase Price for the said Property is SEVEN
HUNDRED FIFTY THOUSAND PESOS (P 750,000.00), receipt in full of
which is hereby acknowledged by the SELLER.
1.3 All taxes and expenses necessary to cause the transfer of the title of the above
described property and the capital gains tax which shall be for the account of
the SELLER.
COVENANTS, REPRESENTATIONS AND WARRANTIES
a. He is the true and lawful owner of and has good and marketable title to
the property.
2.3 Remedies in the Event of Breach of Representation: In the event that any
of the covenants, representations and warranties of the SELLER is found to
be untrue and inaccurate by the BUYER at any time prior to or after the
execution of the Deed of Sale, the BUYER shall have the right to rescind this
Deed by giving the SELLER written notice at least thirty (30) days prior to
the date of which such rescission shall take effect. Simultaneously with such
rescission, the SELLER shall refund the payments made by the BUYER for
the purchase of the property.
III.
GENERAL PROVISIONS
3.1 Governing Law: This Deed shall be governed by the laws of the Philippines
and the proper courts of the Philippines shall have jurisdiction to hear and
decide disputes between the parties involving or related to this Deed.
3.2 Waiver: The right of a party will not be prejudiced or restricted by any
indulgence of forbearance extended by another party, and no waiver by a
party in respect of any breach of this Deed will operate as a waiver in respect
of any subsequent breach thereof.
3.3 Binding Effect: This Deed shall be valid and binding upon the parties and
their respective assigns and successors-in-interest.
IN WITNESS WHEREOF, the parties have hereunto signed this Deed of Sale at the
date and place above-written.

Known to me and to me known to be the same persons who executed the foregoing
DEED OF ABSOLUTE SALE, and acknowledged to me that the same is their free and
