SMART MEDIA INC. TO ONGO SMART
ADVERTISING
INC.

Gentleman,

We write you on behalf of our client, ONGO SMART ADVERTISING INC. (“Client”), in
relation to their pending application for the registration of their company with your good
office.

Our Client is intending to establish a corporation engaged in the business of advertising.

Thus, they are already in the process of registering their company with the Securities and
Exchange Commission (“SEC”) using the Company Registration System. During their
application, they initially intended to use the name ONGO SMART MEDIA INC. They
already finished the whole process of registration from the inputting of the information in the
system, uploading the signed and notarized documents as well as the payment of the
necessary fees with the SEC. Unfortunately, when they were waiting for the issuance of their
Certificate of Registration, they were informed that the Certificate of Registration cannot be
issued because of the existence of foreign equity within the corporation which is prohibited
under the law for media companies. Thus, they were instructed to change the name of their
company and was instructed to remove the word “MEDIA” in their corporate name.

In compliance with your instructions, our Client changed the corporate name of their
company to ONGO SMART ADVERTISING INC. Our Client already has finished the
registration and the uploading of the signed and notarized documents for their application
reflecting the name ONGO SMART ADVERTISING INC. As the last step in the procedure
for registration of a new company, our Client is also required to upload the Official Receipt
of the payment of the necessary fees with the SEC. In relation to this, we are requesting your
good office to transfer the payment which our Client made during the application of ONGO
SMART MEDIA INC. as the payment of ONGO SMART ADVERTISING INC. considering
that it is the same company but only with a different name in compliance with the law and the
orders of your good office.
In this light, we would like to manifest that we are uploading the Official Receipt of ONGO
SMART MEDIA INC., with Official Receipt No. 1880314, as proof of payment of ONGO
SMART ADVERTISING INC. Again, the two (2) corporations are one and the sam,e
however, the name was changed to remove the term “MEDIA” in compliance with existing
laws, rules and regulations. We are also requesting that you accept the foregoing proof of
payment as proof that ONGO SMART ADVERTISING INC. has already paid for the
necessary fees with regard to the registration of new companies with the SEC.
