DEED OF CONDITIONAL SALE

KNOW ALL MEN BY THESE PRESENTS:

This DEED OF CONDITIONAL SALE made and executed this


______________________ by and between :

SPOUSES ADRIAN G. DIOMAMPO and SHERYLL SARAO


DIOMAMPO, Filipino citizens, both of legal age, and with residence and at
Unit 1 16 Kilmore St., Kellyville Ridge NSW 2155, represented herein by
their Attorney-in-fact, MA. CARMEN G. DIOMAMPO, hereinafter
referred to as the SELLER.1

and

JOHN SAMUEL C. MINAS, Filipino citizen, of legal age, with residence and
postal address at Room B 504 Gateway Garden Heights, Pioneer St.,
Barangka, Ilaya, Mandaluyong City, hereinafter referred to as the BUYER.

W I T N E S S E T H:

WHEREAS, the SELLER is the registered owner of a certain parcel of land with
improvement thereon , located at Lot 22 Block 9 Sorrento Street, Camella Cerritos,
Bacoor, Cavite, and covered by Transfer Certificate of Title No. T-1237374 issued by the
Registry of Deeds of Bacoor City, Province of Cavite.

WHEREAS, the SELLER has offered to sell to the BUYER the above-described
parcel of land with all the improvements thereon, and the BUYER has agreed to
purchase the same under the terms and conditions enumerated below.

NOW THEREFORE, for and in consideration of the foregoing premises, and the
mutual covenants and stipulations stated hereunder, the parties hereto agree as follows:

That the SELLER, for and in consideration of THREE MILLION TWO


HUNDRED THOUSAND PESOS ( Php 3,200,000.00) (“Purchase price”), agrees to sell
and the BUYER agrees to buy the subject property under the following terms and
conditions:

The SELLER warrants that there are no other claimants over the subject property,
and that it is free from liens and encumbrances, except taxes. That in the event of any
third party claim the SELLER shall defend the BUYERS from any litigation and
indemnify the same for all costs and expenses including reimbursement of payments
made plus damages.

The BUYER has already paid the SELLER the amount of Two Hundred
Thousand Pesos (Php 200,000.00) by way of earnest money on 27 June 2019 which shall
form part of the purchase price.

The BUYER has also issued in the name and in favor of the SELLER two (2)
checks on 21 January 2020 and 07 February 2020 for the total amount of Seven Hundred
Thousand Pesos (Php 700,000.00) which shall constitute as partial payment of the
purchase price as follows:

A copy of the Special Power of Attorney dated 26 March 2019 executed by Adrian Galang Diomampo and Sherryl
Sarao Diomampo in favor of Ma. Carmen Galang Diomampo is attached hereto as Annex “A” for your reference.

TOTAL Php 700,000.00

It is understood and has been agreed by the parties that the balance of the
Purchase Price amounting to TWO MILLION THREE HUNDRED THOUSAND
PESOS (Php 2,300,000.00) shall be paid from the proceeds of a bank loan to be applied
by the buyer from the Bank.

The SELLER shall turn over to the BUYER the TRANSFER CERTIFICATE OF
TITLE and all other documents required by the BANK upon the presentation of the
BUYER to the SELLER of the LETTER OF GUARANTY from the BANK. All the
documents submitted by the SELLER to the BUYER shall be used exclusively for the
purpose of securing Real Estate Mortgage from the BANK in accordance with this
DEED OF CONDITIONAL SALE and not to any other financing institution, and not for
any other reason/s;

The capital gains tax and real estate tax shall be for the account of the SELLER,
while the documentary stamps tax, transfer tax, registration fees and other
miscellaneous expenses connected with this Contract, the aforementioned Deed of
Absolute Sale, and the issuance of the corresponding Transfer Certificate of Title for the
subject property shall be for the account of and paid by the BUYER.

The SELLER warrants that all real estate taxes from the previous years and up to
the current year have been paid and that the above-described property is free from all
liens and encumbrances.

The parties agree that the ownership of the subject property shall remain with
the SELLER until the payment of the entire purchase price, including advances made on
account of the BUYER and interest, if any. Turnover of possession of the subject
property shall be subject to a different agreement between the BUYER and the SELLER.

The parties hereby represent that this entire Contract has been read, understood
and accepted by them or their authorized representative(s). This Contract sets forth the
entire agreement between the Parties and supersedes any and all prior understanding
and agreements between them. No representation or warranty relating to the subject
property shall be binding upon, or enforceable against the SELLER unless the same is
expressly stated or reiterated in this Contract.

Amendments of any of the terms hereof shall not be effective unless expressed in
writing and duly consented to by all the Parties. This Contract and the rights and
obligations of the parties hereunder shall be governed by, and construed in accordance
with, the laws of the Republic of the Philippines. The parties hereby irrevocably agree
that any legal action or proceeding arising out or relating to this Contract shall be
brought exclusively in the proper courts of Bacoor City of the Republic of the
Philippines.

This Contract shall be obligatory and binding upon all heirs, successors-in-
interest, administrators and assigns of the Parties.

IN WITNESS WHEREOF, the parties hereunto signed this document this
