SPECIAL CONDITIONS OF CONTRACT
VOLUME-IA
1.0 GENERAL INFORMATION
1.1 Power Grid Corporation of India Limited (A Government of India
Enterprise) (hereinafter called the ‘Employer’/‘POWERGRID’)
incorporated under the Companies Act, 1956, having its Registered Office
at B-9, Qutab Institutional Area, Katwaria Sarai, New Delhi-110 016, is
intending to procure Automatic Capacitance and Tan delta test kits for
their 400 kV Substations of Southern Region Transmission System-I.
1.2 POWERGRID, Southern Region Transmission System-I, Regional Head
Quarter, Secunderabad invites sealed Bids for the Automatic Capacitance
and Tan delta test kits, Specification No. SR-I/C&M/I-1101/2008 on
Domestic Competitive Bidding basis.
1.3 The contents of bidding documents are as indicated under Clause 4.0,
Section INB, Conditions of Contract, Volume-I ( Document Code:DC-5001-
JAN-2003-REV-0)of Bidding Documents. The requirements, conditions,
appendices etc., stated in Conditions of Contract (Volume-I ), Bid Proposal
Sheets & Technical Data Requirements (Volume-IB) & Technical
Specifications (Volume-II) shall apply to and shall be considered as part of
this Volume (i.e. Volume-IA) as if bound together. In case of any
discrepancy between the provisions of this volume and other volumes of
the Bidding Documents, the provisions of this volume shall prevail.
1.4 Unless brought out clearly, the Bidder shall be deemed to conform strictly
to the bidding documents. All deviations from the specifications shall be
clearly brought out in respective schedules of deviations forming part of
Bid Proposal Sheets (Volume-IB). Any discrepancy between specifications
and catalogues of the bid, if not clearly brought out in schedules, will not be
considered as valid deviations.
1.5 Bidders may note that POWERGRID has uploaded its ‘Works &
Procurement Policy and Procedure’ (Volume-I & II) to POWERGRID’s
website. Those bidders who wish to peruse the same may visit
www.powergridindia.com. However, it shall be noted that no other party,
including the bidder/contractor, shall derive any right from these ‘Works &
Procurement Policy and Procedure’ documents or have any claim on
POWERGRID on the basis of the same. The respective rights of
POWERGRID and Bidders/Contractors shall be governed by the bidding
documents/Contracts signed between POWERGRID and the Contractor for
the subject packages. The provisions of bidding documents shall always
prevail over that of ‘Works & Procurement Policy and Procedure’
documents in case of contradiction.

1.6 The word “Owner” wherever appearing in the Bidding Documents stands
replaced with and shall be read as “Employer”.

2.0 SCOPE OF WORK


The scope of work covered under the package covers design, engineering,
manufacturing, testing, insuring, packing, loading, forwarding,
transportation, unloading , supply on FOR destination site and installation
and demonstration basis of 3 nos Automatic Capacitance and Tan delta
test kits one each at Warangal S/s, Regional Lab at Hyderabad S/s and
Munirabad S/s .
The above said scope of work is only indicative. Detailed scope has been
described in the Bidding Documents.

3.0 QUALIFYING REQUIREMENTS


3.1 The Qualifying Requirements for the Bidders are given in Annexure-A
(SCC) of this Volume-IA.
4.0 PRICES
4.1 The items generally required for completion of the scope of work as per the
Technical Specifications (TS), Volume-II of the Bidding Documents, are
described and given in Schedules of Items and Prices (Price Schedules)
forming part of Bid Proposal Sheets (BPS), Volume-IB of the Bidding
Documents. However, the brief descriptions shall not be construed to limit
the scope of work, and the same shall be read in conjunction with
corresponding sections of TS including amendment/ errata, if any, thereto.
4.2 TAXES AND DUTIES
4.2.1 Taxes and duties shall be governed by Clause 15.0, Section INB and Clause
16.0, Section-GCC, Conditions of Contract, Volume-I of the Bidding
Documents.
4.2.2 Concessional Sales Tax declaration forms, as admissible, would be issued
to the Contractor on request, for all items (as identified in the price
schedule of the Bid).
4.2.3 Bidder shall quote their prices for supply items on final destination site
basis. The ex-works price component, transportation and insurance charges
shall be indicated separately. Bidder shall quote ex-works/ ex-factory
(referred to as Ex-works) price, as applicable, and transportation and
insurance charges separately, for F.O.R. destination site delivery of all the

items indicated in the relevant schedules of Bid Proposal Sheets (BPS),
Volume-IB of the Bidding Documents. Sales Tax, Excise Duty, Local Taxes,
Octroi/entry tax and other levies, if any, in respect of direct transaction
between Employer and the Contractor under the Contract, shall not be
included in the quoted price but shall be indicated separately, wherever
applicable, in the BPS. Also, octroi/entry tax, if any, in respect of bought-
out finished items, which shall be dispatched directly from the sub-
vendor’s works to Employer’s site (sale-in-transit), shall not be included in
the quoted price but shall be indicated separately, wherever applicable, in
BPS. In case the same are not indicated by the Bidder in his Bid, it shall be
deemed to be included in the ex-works price.
5.0 PRICE ADJUSTMENT/PRICE BASIS
5.1 The Bidder shall quote prices on FIRM price basis and there shall be no
price adjustment allowed under this contract. Accordingly Clause 33.0 and
sub clauses , Section GCC, Vol.-I of Bidding Documents stand deleted.
6.0 BASIS OF EVALUATION & COMPARISON
6.1 Bidders have to quote for the complete scope of work for the subject
package as stated in Technical Specifications, Volume-II. Bids for
incomplete scope shall be treated as incomplete and are liable to be
rejected.
6.2 Conditional discount/rebate, if any, offered by the Bidder shall not be
taken into consideration for evaluation. It may, however, be considered in
case of award.
Discount(s)/rebate(s) offered by the bidder shall be indicated as a
percentage of price component(s) and not as a lump-sum amount. Bidder
shall also indicate in his bid, the price component(s) on which the
percentage discount is to be applied. In case the price component(s) on
which the percentage discount is applicable is not indicated in the bid, then
the discount will be adjusted in the total bid price [i.e. proportionately on
each price component], in the event of award. However, if lump-sum
discount is offered, the same shall be adjusted in full from the ex-works
price component (by proportionately reducing ex-works price of
individual items), in case of award.
6.3 Bids stipulating delivery dates beyond that specified under Clause 8.0
below will run the risk of rejection.
6.4 Bids shall be evaluated and compared on the basis of total price for the
entire scope of work under the package. The total price shall include:-
(i) FOR destination (site) price of all equipments

6.5 POWERGRID's evaluation of a bid, in addition to the total price as per
Clause 6.4 above, will take into account - (i) the applicable taxes, duties,
levies payable/reimbursable by the Employer as per provision of clause 4.2
of this volume and (ii) “Cost Compensation for Deviations/Cost of
Withdrawal of Deviations” which will be added to bid price as indicated
under Clause 36.0, Section-INB, Vol-I, using pricing information available
to the Employer. The comparison of bids shall be in the manner indicated
in Clause 37.0 of Sec-INB, Vol-I.
6.6 The prices of all such item(s) against which Bidder has not quoted
rates/amount (viz., items left blank or against which ‘-’ is indicated) in the
schedules will be deemed to have been included in other item(s).
7.0 TERMS OF PAYMENT
7.1 The payment to the Contractor under the contract will be made by the
Employer in line with Clause 34.0, Section GCC of Vol.-I and as per the
guidelines and conditions specified hereunder. All payments made during
the contract will be on ‘on-account payment’ only.
7.2 Ex-works price
Ex-works price component of equipment shall be paid as follows:
i) Interest Bearing Initial advance (optional*): Ten percent (10%) of the
Ex-works price of the equipment shall be paid as an interest bearing
initial advance after award of Contract on presentation of:
a) Acknowledgement of the Letter of Award by the Contractor.
b) Contractor's detailed invoice.
c) An unconditional & irrevocable Bank Guarantee in favour of
POWERGRID for the equivalent amount of initial advance in
accordance with the provisions of Clause 34.7.1(i)(b), Section
GCC, Volume-I and as per proforma attached with Section-
Annex of Volume-I (Conditions of Contract). The advance BG
shall be kept valid till the amount is adjusted against the
payment due to the contractor.
d) An unconditional & irrevocable Bank Guarantee in favour of
POWERGRID for ten percent (10%) of the total Contract Price
towards Contract Performance Guarantee (CPG) in accordance
with the provisions of Clause 43.0, Section- INB and Clause 32.0,
Section-GCC of Volume-I and as per proforma attached with
Section-Annex. of Volume-I (Conditions of Contract).The Bid
Guarantee shall be kept valid till the CPG is accepted by the
Employer.

Note:* This payment is an optional payment. The Contractor has the
option of taking the interest bearing initial advance or otherwise.
In case, the Contractor opts for this interest bearing initial
advance, the same shall be paid to the Contractor on fulfillment
of above conditions and an interest on monthly outstanding
amount will be charged at the rate of 8.23% per annum. The
monthly outstanding amount for the purpose of calculating the
interest shall be worked out at the end of each calendar month
considering proportionate adjustment of advance against
dispatch payment as per 7.2 (ii) below.
In case, the Contractor opts not to take interest bearing advance
as above, it would be mandatory for him to submit the
documents listed at Sl. No. (a) and (d) above within thirty (30)
days of issuance of LOA.
ii) Ninety percent (90%)** of the Ex-works price shall be paid on pro-rata
basis on presentation of:
a) Receipted L/R or Challan
b) Contractor's detailed invoice.
c) Detailed packing list.
d) Insurance Policy/Certificate.
e) Manufacturer’s Test Certificate.
f) Taking over certificate from site after installation
demonstration.
g) Contract Performance Guarantee (CPG)
** In case, the Contractor opts not to take interest bearing initial
advance, then this payment shall be 100% instead of 90%.

7.3 Inland Transportation Charges


7.3.1 Full inland transportation and insurance charges pro-rata to the ex-works
price of shipment effected shall be paid along with the payment stated at
clause No. 7.2 (ii) above after receipt of material at site and production of
invoices by the Contractor. However, these charges shall be subject to a
limitation that aggregate of all the invoices does not exceed the total
amount indicated in the Letter of Award.
7.5 Taxes and Duties
Taxes and duties (excluding entry tax/octroi duty) applicable as per Indian
Tax laws, in respect of transaction between POWERGRID and the
Contractor shall be paid by POWERGRID as per the Contract after each
shipment. Invoices raised by the Contractor and pre-numbered invoices

duly signed by authorized signatory shall be considered for payment of
sales tax and excise duty respectively. Entry tax/octroi duty will be
reimbursed by POWERGRID as per Contract on submission of invoice
together with documentary evidence alongwith dispatch payment (to be
released against receipted LR) for the corresponding shipment. Payment
towards taxes & duties shall be released by POWERGRID directly to the
Contractor.
8.0 DELIVERY SCHEDULE
8.1 The Bidder shall include in his Bid, a programme for furnishing the Goods
covered in the subject package. The programme shall be in the form of
master network identifying key phases in various areas like design,
engineering, manufacture, testing, despatch and receipt of materials etc.
indicating restraints and interface activities to be arranged by the
Employer. The delivery schedule of the Automatic Capacitance Tan delta
test kits covered under the subject package is indicated below:

8.2 For the purpose of this clause, the materials shall be treated to have been
delivered on the day it is received at FOR destination site.
8.3 The schedule shall be reckoned from the date of issue of Letter of Award
and master network shall be submitted conforming to these delivery dates.
The master network will be discussed and agreed upon before issue of
Letter of Award. Engineering drawings and data submission schedule shall
also be discussed and finalized before issue of Letter of Award.
8.4 The destination sites, the quantities to be delivered at each site and the
sequence of despatch will be intimated to the successful Bidder(s). These
sites fall within the state of Andhra Pradesh/ Karnataka.
8.5 After the award of contract, the Contractor shall plan the sequence of
manufacture to meet the Employer's completion dates stated above and
shall ensure that all manufacture, shop testing and shipment of Automatic
Capacitance Tan delta test kits is in accordance with the required supply
schedule.
8.6 Within one month of issuance of the Letter of Award, the Contractor shall
submit, for review and approval, a detailed network schedule, based on
the Master Network/Bar Chart (to be mutually agreed by the Employer

and Contractor) to the Employer showing the logic and duration of
activities in the following areas.
a) Detailed engineering, procurement (including bought-out items and
raw materials), manufacture, shop inspection, testing, despatch &
receipt at site, and other activities.
b) Inputs required from the Employer for smooth and timely execution
of the Contract.
c) Major data/information to be submitted by the Contractor for
engineering activities to be done by Employer (which are to be
identified in the network) based on details finalized during post-bid
discussion.
8.7 A detailed payment schedule in accordance with terms of payment and in
line with agreed work schedule shall be submitted within sixty (30) days
after the award.
8.8 The Contractor shall submit to the Employer his manufacturing and
delivery schedules for all materials within sixty (30) days from the date of
issuance of the Letter of Award. Such schedules shall be in line with the
detailed network for all phases of the goods & services for the Contract.
Such schedules shall be reviewed, updated and submitted to the Employer,
once in every two months thereafter, by the Contractor. Schedules shall
also include the materials and equipment to be purchased from Sub-
Contractors/ vendors.
8.9 Access to the Contractor's or sub-Contractor's manufacturing works shall
be granted to the Employer at all reasonable times for the purpose of
ascertaining the progress.
8.10 Any demurrage and other expenses incurred after the Automatic
Capacitance Tan delta test kits reaches destination site, due to delayed
furnishing of despatch documents, delayed clearance or any other reasons
attributable to the Contractor shall be to the account of the Contractor.
9.0 TAKING OVER
Upon receipt of Automatic Capacitance Tan delta test kits at site after
verification of the same and on successful completion of installation,
testing & Commissioning and demonstration of Automatic Capacitance
Tan delta test kits , the Employer shall issue to the Contractor a taking
over certificate as a proof of the final acceptance of the Goods. Such
certificates shall not unreasonably be withheld nor will the Employer delay
the issuance thereof on account of minor omissions or defects which do not
affect the commercial operation and/or cause any serious risk to the
equipment. Such certificates shall not relieve the Contractor of any of his

obligations which otherwise survive by the terms and conditions of the
Contract after issuance of such certificate.
10.0 LIQUIDATED DAMAGES FOR DELAY IN DELIVERY
10.1 If the Contractor fails to complete supply,erection testing& commissioning
the Automatic Capacitance Tan delta test kits at respective site within the
time specified in the Letter of Award or any extension granted thereof, the
Contractor shall pay to the Employer as liquidated damages and not as
penalty, a sum of one half of one percent (0.5%) of the Contract Price of the
incomplete portion of supply/work for each calendar week of delay or
part thereof. The total liquidated damages for delay under the contract
shall, however, be subject to a maximum of five percent (5%) of the total
contract price.
11.0 PROGRESS REPORT
11.1 During execution of the Contract/Manufacture, the Contractor shall
furnish monthly progress reports to the Employer in a format as specified
by the Employer indicating the progress achieved during the month and
total progress upto the month against scheduled and anticipated
completion dates in respect of activities covered in programmes/schedules
referred to above. If called for by the Employer, the Contractor shall also
furnish to the Employer resources data in a specified format and time
schedule. The Contractor shall also furnish any other information that is
necessary to ascertain progress, if called for by the Employer.
12.0 CONTRACT PERFORMANCE GUARANTEE
12.1 The successful bidder shall be required to submit contract performance
guarantee for the value of 10% (Ten percent) of total contract price as per
conditions stipulated in Clause No. 43.0, Section-INB of Vol-I of the
bidding documents.
13.0 BID GUARANTEE
13.1 A Bid Guarantee shall accompany the bid in the original and two copies for
Rs. 000/- and in the manner as set forth in Clause 24.0, Section-INB,
Conditions of Contract, Volume-I. However, wherever New Delhi is
mentioned in Cl.No.24.3, same shall be read as Secunderabad. i.e Bank
draft /a cheque certified by banker as good or Bank Guarantee shall be
in favour of Power Grid Corporation of India Ltd., Payable at
Secunderabad/ Hyderabad
13.2 Any bid not accompanied by a Bid Guarantee as set forth in Clause 24.0,
Section-INB, Conditions of Contract, Volume-I & hereinabove will be
rejected by the Employer as non-responsive.

14.0 QUANTITY VARIATION
14.1 During the execution of the contract, the Employer reserves the right to
increase or decrease the quantity of item under the contract but without
any change in unit price and other terms and conditions. However, such
variations shall not be subject to any limitation for the individual items but
the total variation in all such items under the contract shall be limited to
plus or minus twenty percent (±35%) of the contract price.
15.0 WARRANTY
15.1 Warranty for the Automatic Capacitance Tan delta test kits shall be
extended for a period of 12 months from the date of commissioning or 18
months from the date of receipt of material at site, which ever is earlier,
against all manufacturing defects.

16.0 GENERAL DELETION / SUBSTITUTIONS/ ADDITIONS IN
CONDITIONS OF CONTRACT (VOLUME – I) TO BE READ
ACCORDINGLY.
16.1 Clause no. 8.1 of Section GCC, Volume-I shall stand modified as follows:
“The laws applicable to the Contract shall be the laws in force in India.
The Courts of Hyderabad/Secunderabad shall have exclusive
jurisdiction in all matters arising under this Contract.”

16.2 In Clause No. 9.2, of Section GCC,volume-I the following changes shall be
noted.
“Within 60 days” shall be read as “within 15 days”
“at New Delhi” shall be read as “at Secunderabad”

16.3 Clause No. 9.5 of Section GCC, volume-I shall stand deleted.

16.4 Clause No. 29.1 of Section GCC, volume-I shall stand deleted and training
shall be as stipulated in Technical Specification (if any) .

16.5 Clause No. 33 and Sub Clauses of Section GCC shall stand deleted.

16.6 Clause No. 49.1.2 , Section GCC shall be modified as follows: “The
arbitration shall be conducted in accordance with the provisions of Arbitration
and Conciliation Act 1996 or any statutory modifications thereof. The venue of
the arbitration shall be Sucunderabad. A.P.
16.7 In Clause No. 26.1 of Section INB,volume-I the following changes shall be
noted.
“The Bidder shall prepare five copies of the bid,……” shall be read as “The
Bidder shall prepare two copies of the bid,……”
16.8 In Clause No. 26.3 of Section INB,volume-I the following changes shall be
noted.
“The Bidder must submit the qualifying data in five copies,……” shall be
read as “The Bidder must submit the qualifying data in two copies,……”

QUALIFYING REQUIREMENTS FOR AUTOMATIC CAPACITANCE


AND TAN DELTA TEST KIT

1.0 QUALIFYING REQUIREMENTS

Qualification of bidder will be based on meeting the minimum pass/fail


criteria specified in Part-A below regarding the Bidder’s technical experience and
financial position as demonstrated by the Bidder’s responses in the corresponding
Bid Schedules. The bidder shall also be required to furnish the information
specified in Part-B in their Bid. Technical experience and financial resources of any
proposed subcontractor shall not be taken into account in determining the Bidder’s
compliance with the qualifying criteria.

POWERGRID reserves the right to waive minor deviations if they do not materially
affect the capability of the Bidder to perform the contract.

The Owner may asses the capacity and capability of the bidder, to successfully
execute the scope of work covered under the package within stipulated completion
period. This assessment shall inter-alia include (i) document verification; (ii) bidders
work/manufacturing facilities visit ; (iii) manufacturing capacity, details of works
executed , works in hand , anticipated in future & the balance capacity available for
the present scope of work; (iv) details of plant and machinery, manufacturing and
testing facilities, manpower and financial resources; (v) details of quality systems in
place ; (vi) past experience and performance ; (vii) customer feedback ; (viii)
banker’s feedback etc.

2.1.0 Part-A
2.1.1 Technical Experience

2.1.1.1 The bidder must be either a


Manufacturer of fully automatic capacitance and tan delta with variable test signal
frequency test kits from India
Or
Authorized agent /dealer of a foreign manufacturer of such test kits with servicing
facility in India
Or
Foreign equipment manufacturer of such test kits who are marketing directly with
servicing facility in India .

2.1.1.2 The fully automatic capacitance and tan delta with variable test signal frequency
test kits proposed for supply must be in satisfactory operation for at least 2 (Two )
years in any of the power utility in India with sub stations of 220 kV and above
voltage class as on the date of bid opening.

2.1.1.3 The lowest evaluated bidder offering such test kit which is meeting the requirement
cited at ‘2.1.1.1 & 2.1.1.2’ above shall be required to demonstrate the functionality
of the test kit in a charged 400 kV switchyard i.e at our Hyderabad 400 kV s/s. The
test results shall be consistent, repeatable under electromagnetic fields/ Induction.
Only upon successful demonstration of the test kit so offered shall be considered
for award. .However POWERGRID reserves the right to accept or reject any one or
all the bids.

2.1.1.4 FINANCIAL POSITION

a) Minimum Average Annual Turnover (MAAT) for best two years out of last
three financial years of the bidder should be at least Rs. 0.8118 Crores.

b) Bidder shall have Liquid Assets(L.A) and/or evidence of access to or availability


of credit facilities of not less than Rs. 0.5412 Crores .

In case bidder is a holding company, MAAT & LA referred to in clause (a) &(b)
above shall be that of holding company only (i.e. excluding its subsidiary/group
companies). In case bidder is a subsidiary of a holding company, MAAT & LA
referred to in clause (a) & (b) above shall be that of subsidiary company only (i.e.
excluding its holding company).

2.2.0 Part- B

2.2.1 The bidder shall also furnish following documents / details with its bid:

i) a certificate from banker (as per format) indicating various fund based / non-fund
based limits sanctioned to the bidder and the extent of utilization as on date. Such
certificate should have been issued not earlier than 3 months prior to the date of bid
opening. Wherever necessary POWERGRID may make queries with the bidder’s
bankers.

ii) the complete annual reports together with audited statement of accounts of the
company for the last five years of its own (separate) immediately preceding the
date of submission of bid.

[Note : I. In the event the bidder is not able to furnish the information of its own
(i.e. separate), being a subsidiary company and its accounts are being consolidated
with its group / holding / parent company, the bidder should submit the audited
balance sheets, income statements, other information pertaining to it only (not of
its group / holding / parent company) duly certified by any one of the authority {(i)
statutory auditor of the bidder / (ii) company secretary of the bidder or (iii) a certified

public accountant } certifying that such information / documents are based on the
audited accounts as the case may be.

II. Similarly, if the bidder happens to be a group / holding / parent company, the
bidder should submit the above documents / information of its own (i.e. exclusive of
its subsidiaries) duly certified by any one of the authority mentioned in Note.I above
certifying that these information / documents are based on the audited accounts, as
the case may be.

2.2.2 Litigation history:

The bidder should provide detailed information on any litigation or arbitration arising
out of contracts completed or under execution by it over the last five years. A
consistent history of awards involving litigation against the bidder may result in
rejection of bid.
