ii) The Company may, at its discretion, require

pay in lieu of notice (notice pay) which shall be calculated at
the rate of basic
applicable on the date of termination/resignation and will not inclu de the valuesalary as

allowances, benefits or perquisites due in terms of your appointment.
iii) Non-performance during notice period is not
acceptable, in any case. If you are not
performing in line with the goal sheet and do not work towards expected deliverables, the
Company may take decision to waive off the notice period without any notice payout liable
to be paid by the Company and can also report the same in the relieving letter.

iv) In case notice pay is payable by the Company, it shall be calculated solely on the basis of
the basic salary as applicable on the date of termination/resignation, and will not include the
value of any allowances, benefits, or perquisites due in terms of your appointment.
v)Notwithstanding the above, during the period of your probation, or after your
confirmation, in case you breach any of the clauses of this appointment, or you are found to
have committed an act of misconduct, your services may be terminated with immediate
effect. In such an event, it would not be necessary for the Company to give you any notice
whatsoever

vi) Upon resignation/termination of your employment with the Company, you must
return/handover all documents, assets and keys in your possession relating to the business
of the Company. Failing to do so shall be treated as criminal breach of trust, attracting
suitable criminal action by the Company.

vii) In the event of you leaving the service of the company for any reason, you
shaat
immediately repay all outstanding amounts due from you to the Company. The Company
all times right to have a lien over the dues payable to you for recovery of cash
reserves its
advances/loans advanced to you by the Company and which are outstanding against your
name.

10 Performance Pay/Bonus/Incentives

Payment of performance pay, or any discretionary bonus/Ex-gratia/incentives is not

obligatory and shall be paid exclusively at the option, choice and discretion of the Company
and no correspondence shall be entertained in this regard. Such discretionary paym ents will
be paid only if you are employed as a permanent employee on the rolls of the company on
the date such performance pay/Bonus/Ex gratia/incentives is disbursed. Such payments shall
also not be payable nor shall the company be liable for any such payment in the event you
have resigned/terminated and are serving the notice period at the date of such payment.

11 Retirement

The normal age of Retirement shall be age of employee at 60 years You will automatically
retire on attaining the age of 60 years and no further notice whatsoever to you will be
necessary in this regard.

12 Opening of Bank Account

You will have to open an account with State Bank of India and advise your account no. and
name of SBiI branch within 7 days after joining. Please note that your salary will be credited
to the bank account, after receipt of details from you.

13 Background Verification

This appointment is made relying upon the information furnished and representation made

by you from time to time. If any information or representation is found to be incorrect or if

have been suppressed by you or any action on
any material information is detected by us to
conditions stated herein, the Company will
