INTRODUCTION

PROJECT:

CONSULTANT’S REPRESENTATION:
SHARC is the Consultancy Firm. Mr. Sauban Habeeb Ahmad will represent the Consultant in all matters
related to this Agreement.

The Client has witnessed the Consultant’s portfolio and design aesthetic, and on this basis wishes SHARC
Architecture & Design to Design his project and engage them to furnish Architectural, Planning and
Engineering services with Top supervision.

(SECTION 03)
COMMERCIAL DETAILS

In consideration of the services and duties rendered and performed by the Consultants under this
agreement as described in section 02, the Client shall pay the Consultant’s design Fees based on following
breakup:

Total (Lump Sum) fee: RS 1, 50,000/- PKR ONLY.

The price is valid for 06 months only from signing of Contract.

Site visits done by the Consultant upon the Client’s directly made demand (more than 08 visits mentioned
in stage 06 of section 02) would be charged @ RS 3500 each.
The respective Invoices raised by the Consultant shall be paid by the client within 1 week.

(SECTION 04)
TERMINATION DETAILS

The Client and Consultant may terminate this Agreement in whole or by mutual agreement between
themselves at any time by a written notice of termination delivered to the other party not less than one
week (7 days) prior to termination as reasons herein specified:

1. The Client can terminate this Agreement upon extended delay of more than 20 working days (not
in case of Force Majeure) in completion of any stage of the project by the Consultant. The
consultant shall be liable to refund all the payment made by the client till then. The Client shall be
liable to return all the design, drawings, documents and sketches furnished to him by the
consultant.

2. In case the Client wishes to discontinue the Consultant’s services for reasons not including point 1
of article 04, he / she shall be liable to pay 25,000Rs in addition to all the outstanding fees for the
services completed by the Consultant till then.

3. The Consultant can terminate this Agreement if the design is not followed strictly, i.e. in case of
any variation, alteration or addition in design (in drawings or in execution) by the Client without
the approval of the design Consultant. In this case, the client shall be liable to pay all the
outstanding fees for the services completed by the Consultant till then.

4. The Consultant can terminate the Agreement if the Client discloses any of his design, drawings,
documents or sketches without the written approval of the consultant. In this case, the client shall
be liable to pay all the outstanding fees for the services completed by the Consultant till then.

5. The consultant can terminate the agreement if the client fails to make the payments within a
month after the generation of invoice by the consultant.

6. The client shall notify the consultant in case of any temporary breaks in construction. The
consultant can terminate the agreement if the client fails to make any contact within 02 months
with the consultant.

(SECTION 05)
IMPORTANT NOTES

1. The Consultants agree to safeguard the interest of the Client and no information received by them
from the Client shall be disclosed to a third party unless the Consultants receive written
permission from the Client to do so.

2. The Consultant shall not be responsible for any professional like site supervisor or contractors
recommended by him for the project other than the ones providing services through this
agreement.

3. Any defects in the construction due to poor workmanship, non-compliance with the design /
detail provided by the Consultant or any other defect due to incorrect or deficient geological data
and defects due to Force Majeure shall not be the responsibility of the Consultant.

4. The Consultant shall not be responsible for any dealings with government authorities, local
bodies, and public department etc.

5. The total duration of Consultant’s services is for 3 years only. After this period, the client shall be
liable to pay the consultant for their professional services, an amount of 30,000Rs / month in
addition to any outstanding amount.

6. Any changes in the design made by the Client after completion of stage 02 resulting in the
modification of working set would be charged as per mutual agreement.

7. The consultant shall not provide any drawings in computer software format to either the local
building authority or the client.

8. All drawings, documents and sketches produced by the Consultants, shall be kept strictly
confidential and cannot be disclosed to any third party without the written approval of the
Consultants.
