GENERAL CONDITIONS OF CONTRACT

1. DEFINITIONS
Unless otherwise repugnant to the context hereto the following words shall have the meaning described herein.
"
i) "AGREEMENT or "CONTRACT" shall mean and include this Agreement, Purchase Order/Work
Order, General Conditions of Contract, Special Conditions of Contract and any Annexure
appended hereto.
ii) "MAIN CONTRACT": Shall mean the Contract No. 2 0 1 5 / HQ/EL Ph-II/EMP-16/8/SOJITZ -
L&T Dated 3 1 s t March 2016 between the Dedicated Freight Corridor Corporation of India Ltd.
(DFCCIL) and Sojitz-L&T consortium for the work of
“Design, Supply, Installation, Testing & Commissioning of 2x25 kV o v e r h e a d Traction Power
Supply System, Traction Sub-stations, Auxiliary Stations, Switching Stations, Auto Transformer
Stations and SCADA System on Design-Build Lump Sum Price basis for JNPT – Makarpura
(Vadodara) Section of Western Dedicated Freight Corridor- Phase II,(Contract Package EMP16)
iii) "EMPLOYER" or CLIENT͟ shall mean Dedicated Freight Corridor Corporation of India Ltd. (DFCCIL)
and include its successors in interest and assigns.
iv) "CONTRACTOR" or L&T shall mean M/s Larsen & Toubro Limited.
v) "SUBCONTRACTOR/VENDOR" shall mean the entity so named in the Purchase Order/Work
Order/Letter of Acceptance and shall, unless repugnant to the context thereto, include its
successors in interest/heirs and permitted assigns.
vi) "PROJECT" shall mean Design, Supply, Installation, Testing & Commissioning of 2x25 kV Traction
Power Supply System, Traction Sub-stations, Auxiliary Stations, Switching Stations, Auto
Transformer Stations and SCADA System on Design Built Lump Sum Price Basis for JNPT –
Makarpura (Vadodara) Section of Western Dedicated Freight Corridor
vii) "WORKS" or "SCOPE OF WORK" shall mean the works to be executed in pursuance of this
Purchase Order/ Work Order (Refer Special Conditions of Contract.
2. SCOPE OF WORK
The scope of Work shall be as mentioned in the Special Conditions of Contract (SCC) of Work Order and
shall mean and include such amendments, modifications or variations as may be ordered by the Contractor
from time to time.
The Subcontractor has read, understood and accepted the requirements of the Main Contract
corresponding to the scope of work of this Work Order. The Subcontractor shall carry out the Works in
accordance with the said requirements of the Main Contract.
3. CONTRACT PRICE
The Contract Price shall be as specified in the Work Order (WO) and shall be valid for the entire duration of this
WO Order and any extension thereof. The WO Price, unless otherwise specified in the WO, shall be inclusive of
costs of all labor, plant, equipment, temporary works, tools, setting out, supervision, royalty, taxes, levies
and any local, state or central Government taxes or levies payable on all transactions, insurance and
everything necessary for due performance of work under this sub-contract and shall include all other items
which though not specifically listed, are necessary for completion of total work under this WO. It is
specifically agreed that the Subcontractor shall neither claim any extra charges over and above the agreed
rates nor shall claim payment for any extra item of work other than as provided herein. It is also agreed
that no idling or demobilization charges shall be paid to the Subcontractor on any account whatsoever. The
Contract Prices are as mentioned in Annexure ‘1’.
Subcontractor shall be paid with BOQ rates for unloading of material/ equipment’s supplied by L&T at site
store. Also shifting of material/ equipment’s from TSS location to SP & SSP location (including loading &
unloading) shall be paid as per the rates mentioned in BOQ.
4. TAXES & DUTIES
All applicable taxes and duties shall be as specified in the Special Conditions of the Contract of this Contract
Agreement.
As these are statutory levies, any variation in the rates applicable at the time of supply will be payable to
the Subcontractor. On the other hand, if there is any reduction in the rates applicable to the taxes at the
time of supply, the Subcontractor will pass on the benefit to L&T.
5. VALIDITY OF RATES
The Rates shall be valid and remain firm for the entire duration/ any extension granted for the WO. No
revision/alterations of unit rates shall be entertained.
6. SCHEDULE OF QUANTITIES
The Schedule of Quantities is only approximate and indicative. The quantities may vary to any extent, but the
rates indicated in Schedule of Quantities/Rates shall be firm for any variations. No claim shall be entertained
from Subcontractor if the actual quantities of work differ from those indicated herein. L&T reserves the right to
delete/add any item of work connected with this WO.
7. PLANT AND MACHINERY
The Schedule of mobilization/ deployment of Plant & Machinery shall be adhered strictly. Provided that L&T
shall be entitled to call upon the Subcontractor to deploy additional Plant & Machinery as found necessary
by L&T which shall be deployed by the Subcontractor promptly at no extra cost to the Contractor in the interest
of timely completion of work as per agreed construction program. The decision of the L & T in this regard shall
be final and binding on the Subcontractor.
8. FREE ISSUE MATERIALS
The Subcontractor shall take good care of and shall be accountable for the materials issued free of cost
for the Project (Free Issue Materials) by L&T to the Subcontractor. The Subcontractor shall submit monthly
reconciliation statements of the said materials to the Contractor.
L&T shall be entitled to deduct any amounts towards excess consumption of, or loss, pilferage or damage to
the said Free Issue Materials at prevailing market rates plus 20 % Overhead charge.
9. RECONCILATION

All the material issued to subcontractor shall be reconciled on regular basis including supply items, material issued
on returnable basis and free issue material.

For material falling short, the amount to be deducted shall be its supply cost plus 20 % Overhead charge.
10. SITE MANAGEMENT
The Subcontractor shall manage the execution of his Works at the site in such manner so as to minimize
hindrance to L&T and/or other Subcontractors at the site. The Subcontractors personnel shall obey all
instructions of L & T representatives to facilitate smooth execution of the Works.

11. QUALITY
The Subcontractor shall strictly adhere to the quality requirements specified in site quality plan and method
statement of all works approved by the client and where in respect of a specific part of the Works, no such
specification is communicated; the Subcontractor shall execute the Works in conformity with accepted
standards and best industry practices.
Manpower support for checking / testing of erected materials shall be in sub-contractor’s scope.
During execution for every stage of work subcontractor shall intimate request for inspection to L&T Site
engineer, 48 hours before execution of work to facilitate client inspection smoothly on time.
12. PAYMENT
a. Payment Schedule:
Payment will be made based on the certification by L&T Site Engineer, once in a month. It shall be released
against certified RA Bills by an engineer-in-charge on its certification. All interim payments to be regarded as
Advance Payments:
All progressive payments except the last payment shall be regarded as payments by way of advance against
the final payment only and not as payment for the work actually completed and shall not preclude defective/
imperfect/ incomplete work to be removed. It will not be considered as an admission of the due performance
of the Contract or any part thereof nor shall it include, determine or affect in any way the powers of L&T under
these conditions or in any other variable or affect the Contract.
13. TIME FOR COMPLETION
The Subcontractor shall complete the Scope of Work in the time specified in the SCC. Any supplies against
this WO shall be undertaken by the Subcontractor only after written confirmation from L&T representative.
L&T shall in no case be liable to make payments for any works or supplies undertaken by the
Subcontractor without the explicit consent of L&T.
The work shall be as per the construction program scheduled by a subcontractor in discussion with L&T and
duly approved by L&T or as modified by L&T project manager/ construction manager. Subcontractor shall
strictly adhere to the program and the same shall be reviewed periodically by L&T.
14. CASH RETENTION
The Contractor shall retain payment amounting f i v e percent (5%) from every running bill. The amounts
so retained shall be paid to the Subcontractor after commissioning / handover of the work.
15. EXTENSION OF COMPLETION DATE
Any request for an extension of time for the completion of the work by the Subcontractor shall be subject to its
acceptance by the Contractor. While applying for such extension, a Bar Chart showing the work already done
and the program for the work to be done shall be prepared and shown in juxtaposition with the bar
chart submitted earlier, giving reasons for slippage activity-wise.
16. STATUTORY DEDUCTIONS
All payments shall be subject to the statutory deductions and withholding taxes as applicable.
17. INSURANCE
a. INSURANCE FOR CONSTRUCTION PLANT & MACHINERY
The Subcontractor shall secure insurance for the Plant and Machinery deployed at project site under
Construction Plant and Machinery Policy. It shall be the responsibility of the Subcontractor to adequately
insured its Plant, Machinery deployed/to be deployed at the site.
18. STATUTORY COMPLIANCE
Subcontractor shall ensure strict compliance with all Labour laws including The Minimum Wages Act, Payment
of Wages Act, Industrial Disputes Act, Payment of Bonus Act, Contract Labor (Abolition & Regulation) Act, ESI
Act, PF Acts, Industrial Safety regulations, laws pertaining to use / storage of explosives for the work or any
other law as may be applicable. The Subcontractor shall, prior to the commencement of work, submit to
Contractor the relevant documents as a proof of compliance of the same.
Labour accommodation shall be the scope of subcontractor.
19. DEMOBILIZATION
Upon issuance of the Completion Certificate or upon determination of this WO, the Subcontractor shall,
with the permission of the Contractor, demobilize all the resources deployed by it at a site within 7 days
of such completion or determination.
20. RESPONSIBILITY FOR PERFORMANCE OF WO
The Subcontractor shall be responsible for the due and faithful performance of the Contract in all
respects according to the intent and meaning of the drawings, Specifications and all other documents
referred to in this Contract. The Subcontractor shall also be liable to perform the Scope of Works and give
effect to any variation or change ordered by the Client/Contractor. Any approval which may have been given
in respect of the materials, supplies or other particulars and the work or the workmanship involved in the
Contract shall not bind and notwithstanding any approval or acceptance was given, it shall be lawful to reject
the material on arrival at site, if it is found that the materials supplied are not in conformity with the terms
and conditions of the Contract in all respects.
The Subcontractor shall cooperate with other Manufacturer and suppliers, if any, for any associated plant
and coordinate for any interface activity pertaining to their scope of work.
21. TYPE, QUALITY OF MATERIALS AND WORKMANSHIP
a. The Subcontractor shall be deemed to have carefully examined and to have knowledge of the
equipment, the conditions, specifications, drawings, etc. forming part of the Contract and also to have
satisfied himself as to the nature and character of the work to be executed and the type of the
equipment and duties required including wherever necessary of the site conditions and relevant matters
and details. Any information thus had or otherwise obtained shall not in any way relieve the
Subcontractor from his responsibility and contractual obligations for the Detailed Scope of work
mentioned in the Scope of this WO.
b. The supplies as mentioned in the Scope of this contract shall be of the approved quality and
workmanship and shall be manufactured from quality materials considering strength and durability
for their specified performance. All material shall be new. Substitution of specified material or variation
from the method of fabrication is not permitted.
c. Subcontractor shall obtain sample approval for materials and consumables (in their scope), prior to bring
at site and use in the work.
d. Subcontractor shall submit duly filled Subcontractor/ Vendor assessment form as per the format
provided by L&T.

22. REJECTION OF DEFECTIVE MATERIAL


If the supplies made as per the Scope of Work mentioned in the WO, or any portion thereof, before
it is accepted or taken over, be found to be defective or fails to fulfill the requirements of the WO, L&T
shall give the Subcontractor reasonable notice setting forth particulars of such defects or failure and the
Subcontractor shall forthwith rectify the defective material well, or alter the same to make it comply
with the requirements of the WO. Should the Subcontractor fail to propose a solution and implement
promptly, L&T or the Employer may reject and replace at the risk and cost of the Subcontractor, the whole
or any portion of the defective unit, as the case may be, which is defective or fails to fulfil the requirements of
the WO. However, such rejection/replacement by L&T or the Employer shall not absolve the Subcontractor
of his responsibilities under this WO.
23. CODES & STANDARDS

The works shall be carried out as per the drawings issued to you and specifications mentioned the BOQ. In the
absence of specifications, relevant Indian standard code of practice & RDSO / railway norms together with
their latest revisions/amendments as applicable shall be followed. In the case of absence of the relevant
ASTM / IS code of practice also, the instructions of the Construction Manager and/or standard engineering
practice shall be adopted

In case of contradictions/ conflicts between the specifications, the interpretation of Execution head /
Construction manager shall be final and binding on both the parties
24. DISPOSAL OF UNWANTED MATERIALS

Any kind of unwanted materials as identified by the construction manager under your scope of work shall be
removed and shifted by you outside the site premises, failing which construction manager reserves right to
take appropriate action at your risk and cost without any further notice to you.
25. WATCH & WARD FOR MATERIAL

L&T shall deploy the security personnel for the general security & maintenance of harmony at the site. L&T,
however, shall not be responsible for materials and P&M brought by and/ or given to you by L&T.

26. RISK PURCHASE


In the event of failure to execute the WO exactly as per delivery schedule stipulated and specifications,
L&T reserves the right to cancel the order in part or in full subject to Force Majeure clause and procure
such cancelled, undelivered, rejected item/items from alternative sources at Subcontractor’s risk and cost.
Any extra cost incurred by L&T on such procurement will be recovered by us either by way of deduction from
your pending bills or by means of separate remittance from the Subcontractor within 15 days of receipt by
you of our advice to make such payment.
27. PRIORITY OF DOCUMENTS
The documents forming part of the WO are to be taken as mutually explanatory of one another. For the purpose
of interpretation in the event of a conflict between the provisions of the same, the priority of documents shall be in
the following order of priority:
a. Work Order
b. Special Conditions of Contract (SCC)
c. General Conditions of Contract (GCC)
28. LABOUR WELFARE PROVISIONS
a. In respect of labor employed on the job, the Subcontractor shall comply with all legislation and rules of
the State and / or Central Government including the Employees Provident Fund Act, 'Building and Other
Construction Workers Act-1996 and the like, relating to Health, Sanitation, Wages, Welfare and Safety
and shall indemnify the Contractor in respect of all claims that may arise out of the Subcontractors
failure to adhere to the same.
b. L&T will pay Provident fund & ESIC amount to the government for employer portion. PF & ESIC of
employee portion shall be recovered from subcontractor based on wages sheet, if proofs of payment of
PF & ESIC are not produced timely.
c. The Subcontractor shall maintain all Labor records and registers as required under the relevant
laws, including the Contract Labor (Abolition and Regulation) Act, Equal Remuneration Act etc. and
submit the required reports including muster rolls and all wages to the workman shall be paid through
bank transfer only and documents in support of such payment of wages through bank transfer shall be
submitted to the project site every month. Any failure on part of subcontractor to furnish necessary
documentary proof shall result in all future payments to be made to a subcontractor on this account
being withheld, till the compliance thereof is achieved to the satisfaction of the contractor (L&T) . The
Subcontractor shall indemnify L&T against any liabilities arising out of any order, claim, penalty etc.
relating to the same, which is passed by/claimed/ levied in respect thereto.
d. The Subcontractor shall make all necessary arrangements without any cost implication to L&T for travel,
boarding and lodging of manpower, including workmen deployed for the purpose of this Contract.
e. The Subcontractor shall produce and furnish Recommendation Letters/ No Objection / Compliance
Certificates etc. from the statutory bodies as required under the law and/or as demanded by L&T / the
Employer.
29. SAFETY, HEALTH & ENVIRONMENT (SHE)
The Subcontractor shall keep the site neat and tidy and shall comply strictly with the SHE Policy of the
Contractor, copy of which has been provided to the Subcontractor. The workmen shall be provided with
appropriate Personal Protective Equipment (P.P.E) and shall be engaged in work only after induction
training. L&T will provide PPE’s on a returnable basis as mentioned in the scope matrix.
a. The Subcontractor shall keep the site neat and tidy and shall comply strictly with the SHE Policy of the
Contractor, copy of which has been provided to the Subcontractor. The workmen shall be provided
with appropriate Personal Protective Equipment (P.P.E) and shall be engaged in work only after
induction training.
b. No workmen below 18 years and above 58 years of age shall be engaged for the job.
c. All workers shall be screened before engaging them on the job. Physical fitness of certain workers
assessed by a medical practitioner shall be submitted to SHO/EO. The final decision rests with site
management to reject any person on the ground of physical fitness. Fill all the details of SCREENING
FORMS and ID cards shall be issued after screening& SHE Induction.
d. Nobody shall be allowed at the workplace without adequate P.P.E including Safety helmet, Safety belt
(if working at height), Safety shoes/gumboot, goggles etc. The Subcontractor shall comply with all the
SHE compliances as stipulated by the Head – Safety, Health & Environment of the Contractor.
e. Usage of mobile phones is strictly prohibited within the site.
f. Subcontractor shall ensure adequate supervision at the workplace; they shall ensure that all persons
working under them shall not create any hazard to self or co-workers and this is monitored by our
evaluation system.
g. Subcontractor shall ensure safe approach, arrangement and adequate illumination while working at
night at Subcontractor's cost.
h. All dangerous moving parts of the portable/fixed machinery being used shall be adequately guarded.
i. Nobody is allowed to work without wearing a safety helmet with chin strap and safety shoes. PPE as
appropriate shall be used by all workers while at work.
j. Workers should wear a full body harness with a double lanyard for works above 2mts. height. Full body
harness should be anchored to a rigid structure wherever possible. Where there is no anchorage point,
the contractor shall arrange proper lifeline (8m wire rope or 20mm PP rope) for fastening the lanyard.
The employee should hook his full body harness once he reaches the work spot. In a situation where a
worker has to unhook his one lanyard and moves; he hooks the other lanyard to a reliable anchorage
and then the former one is unhooked. Thus 100 percent of fall protection is ensured.
k. Ladders being used at the site shall be rigid in condition and shall be adequately secured at bottom and
top. Ladders shall not be used as work platforms. Wooden Ladder & Make-shift ladders are not
allowed.
l. Horseplay is strictly prohibited and also running at workplace except in case of emergency.
m. Materials shall not be thrown from heights & it should only be lowered through proper arrangements.
If required, the area shall be barricade and one person shall be posted outside the barricaded area for
preventing the trespassers from entering the area.
n. Other than qualified electricians (with Red colour Helmet) no person shall be allowed carrying out
electrical connections, repairs on electrical connections on electrical Equipment or other jobs related
thereto.
o. Power supply to any equipment shall be routed through Residual Current Circuit Breaker (RCCB) for
earth leakage protection.
p. Only sheathed flexible (double insulated) cable to be used for area lighting and all electrical equipment
to be given adequate earthing. Inserting of bare wire for tapping the power from the electrical socket
is completely prohibited & Metal Clad Plug Tops must be used.
q. Ensure all scaffoldings/work platform shall be strong enough to take the expected load. Use of
casuarinas / Bamboo materials for scaffolding is strictly prohibited at our site. The width of the working
platform and fall protection arrangement shall be maintained as per the site engineer’s
recommendation. Approach ladder (MS or Aluminum) is to be provided for the working platform.
r. All tools and tackles shall be inspected before every use, defective tools are to be removed from
service immediately. No lifting equipment/lifting tackles shall be used unless it is tested/inspected and
approved by the site in-charge / P&M Engineer / SHO/EO. Lifting equipment/tools and tackles should
be supported by valid certificates issued by the Competent Person and a copy of the certificate shall be
submitted to P&M/SHO/EO.
s. No children shall be allowed to enter theworkplace.
t. Good housekeeping must be maintained an area of work in such a way that passages shall not be
blocked with materials. Materials shall not be stacked on the landing area of the staircases or by
blocking the passage to firefighting equipment/fire hydrants.
u. Welding cable and electrode holders must be fully insulated and return lead shall be connected to the
job/workpiece. Power cables must be safely routed either below ground or above the ground without
affecting the safe passage. Cable markers shall be provided for underground cables.
v. Debris, scrap and other materials must be cleared from time to time from the workplace and at the
end of the workday, all the debris and waste must be disposed at designated places.
w. All the unsafe conditions, unsafe acts and Near Miss incidents identified by subcontractor /supervisor/
workers shall be reported to site Engineer and/or safety personnel must be corrected on a priority
basis.
x. Workers deployed for height work job shall be specially screened and only selected persons who are
medically fit, experienced and safety inducted shall be provided to reach the work spot.
y. Work permit system shall be followed as per the requirement of the job.
z. Allow the workmen to attend safety committee meetings and other SHE training and awareness
programs as and when required.
aa. Drip tray must be used to avoid the oil spillage on the ground.
bb. Drinking water shall be provided to all workmen.
cc. Ensure workers responding to mock drills conducted by the management.
dd. Contractor/Client/Client’s representative shall have right to issue a direction to the Subcontractor and
Subcontractor's workmen regarding safety and such directions shall immediately be implemented by
the Subcontractor. Contravention of any safety regulation or direction shall result in levy of Penalty.
SHE committee of the Contractor shall decide the course of action and amount of Penalty to be levied
on sub-contractor. The decisions of the SHE committee of the Contractor shall be final & binding. The
same cannot be challenged in any court.
ee. Under no condition shall any of the Subcontractor's workmen/employees tamper with or use any
property belonging to Contractor/Employer without obtaining prior sanction for the same.
ff. The Subcontractor's workmen shall stop their work and proceed to a safe area in the event of an
emergency such as fire, oil spillage, power failure etc. They shall not crowd around and create
confusion in the area where the emergency has occurred. Before recommencement of work, they shall
obtain clearance of supervisor of the area involved.
gg. All have to follow the Gate management system (Example Time In/Out) very strictly.
30. REPORT ON ACCIDENT
a. All injuries sustained by the Subcontractor's representatives or personnel or workmen deputed to
site, damages to vehicle and property no matter how slight they are, shall be promptly reported to
the safety department during normal working hours and to the Duty Officer other than normal
working hours and to the prescribed statutory authorities.
b. The Subcontractor shall also make adequate arrangement and render all possible aid to the victims
of accidents at the site.
c. Medical treatment for an injured person will be entirely the responsibility of the Subcontractor,
unless injury happened at site during work.
31. TERMINATION
a. L&T may terminate the whole or any part of this Contract by written 10 days’ notice if agreed progress
is not achieved by sub-contractor for reasons attributed to a subcontractor or any other deviation from
agreed Terms & conditions of the contract.
32. FORCE MAJEURE
Force Majeure shall have the same meaning and consequences as set out in the Main Contract. In the event
of Force Majeure occurs, the affected party shall give notice within seven days to the other party.
In this clause “Force Majeure” means an exceptional event or circumstance:
a. which is beyond a Party's control,
b. which such Party could not reasonably have provided against before entering into the Contract,
c. which, having arisen, such Party could not reasonably have avoided or overcome, and
d. Which is not substantially attributable to the other Party.
Force Majeure may include, but is not limited to, exceptional events or circumstances of the kind listed
below, so long as conditions (a) to (d) above are satisfied:
(i) war, hostilities (whether war be declared or not), invasion, act of foreignenemies,
(ii) rebellion, terrorism, revolution, insurrection, military or usurped power, or civil war,
(iii) riot, commotion, disorder, strike or lockout by persons other than the Contractor's Personnel
and other employees of the Contractor and Subcontractors,
(iv) munitions of war, explosive materials, ionizing radiation or contamination by radioactivity, except
as may be attributable to the Contractor's use of such munitions, explosives, radiation or
radioactivity.
(v) Natural Catastrophe which may include earthquake, volcanic activity, & storms of high intensity
such as typhoons & hurricane.
Upon the occurrence of a Force Majeure Event, the Subcontractor shall continue to perform its obligations
under this WO so far as reasonably practicable and shall undertake all reasonable efforts to mitigate its
effect.
Notification of a Force Majeure Event shall be given within 7 days of the occurrence of the circumstances
constituting the Force Majeure Event and it shall specify the affected obligation. If a Force Majeure Event
prevents a sub Subcontractors or vendor of Subcontractor from performing its obligations, the
Subcontractor shall immediately use best efforts to procure performance by another Subcontractor or
Subcontractor. The party affected by the Force Majeure Event shall, upon request, submit to the other
party a plan detailing all proposed actions to minimize any resulting delay.
33. LANGUAGE
All documents, instructions, catalogues, brochures pamphlets, design data, norms and calculations,
drawings, operation, maintenance and safety manuals, reports, labels, on deliveries and any other data
shall be in English Language only.
The WO agreement and all correspondence shall be in the English language.
34. DISPUTE RESOLUTION ARBITRATION

a. All disputes, differences and/or claims between the parties hereto arising out of or in any way
relating to or touching upon the WO shall be settled through mutual consultation between the parties
and failing such settlement the same shall be referred to The Project director and even if it is not
settled the arbitration by a sole arbitrator appointed by the Contractor. The venue of arbitration shall
be Chennai, India and the language of Arbitration shall be English.
b. The proceeding of the arbitration shall be held in accordance with the Indian Arbitration and
Conciliation Act, 1996, 2005 or any statutory modification or re-enactment of the same for time being
in force.
c. The existence of any claim of any nature, dispute or difference or the initiation or of the
continuance of the arbitration proceedings shall not entitle the parties to postpone or delay the
performance their respective obligations under the contract.
35. APPLICABLE LAW AND JURISDICTION
This agreement shall be governed by and construed in accordance with the laws of the Republic of India and
the courts at Chennai, India shall have exclusive jurisdiction.
36. COMMUNICATION
All notices or communications to be given in respect of this Agreement shall, unless otherwise provided
herein, be given in writing by Contractor and Subcontractor respectively at the addresses as set out below:

The Subcontractor
As mentioned in the work order.
Whenever the Main Contract requires the Subcontractor to submit any documents, notices or information
within a specific time, the Subcontractor shall submit to the Contractor the aforesaid documents,
notices or information, as applicable, to the performance of this Agreement, sufficiently in advance, so
as to allow the Contractor to duly and timely perform its own obligations and enforce its own rights under the
Main Contract.
Any change in the address of the Subcontractor shall be communicated immediately but not later than 5
days of such change to the Contractor.
37. CONFIDENTIALITY
All drawings, specifications and details furnished by L&T to the Subcontractor shall be kept confidential. The
technical information imparted and supplied to the Subcontractor by L&T shall at all times remain the
absolute property of L&T. Subcontractor shall preserve and cause its employees to preserve the secrecy of
any confidential information.
Subcontractor shall not use or cause to be used any confidential information for any purpose other than
the performance of the Work, and as such Subcontractor shall not
a) Reproduce, copy or use any confidential information
b) Disclose to, place at the disposal of, or use on behalf of any third party, or enable any third party to
peruse, copy or use any confidential information unless with prior written consent of L&T.
38. AMENDMENTS
Any alterations of or amendments to this Agreement shall not be valid unless agreed in writing between the
parties, by their authorized representatives, in advance.
ANNEXURE –III, SPECIAL CONDITIONS OF CONTRACT (SSC)
1. GCC Clause No. 2: Scope of Work
 Electrical works at Panchali TSS, Ambewadi SP, Mahim SSP, Palghar (N) SSP, Palghar (S) SSP,
Saphale (N) SSP & Saphale (S) SSP.
 Scope as per attached Bill of quantities.
 Good for construction drawings & method statements will be provided by L&T

2. GCC Clause No. 8: Free Issue Materials


 Free issue material will be provided as per BOQ from L&T Store (Ref. Annexure-I)

3. GCC Clause No. 3: Contract Prices


The WO Price, unless otherwise specified in the WO, shall be inclusive of costs of all labor, plant, equipment,
temporary works, tools, setting out, supervision, royalty, taxes, levies and any local, state or central
Government taxes or levies payable on all transactions, insurance and everything necessary for due
performance of work under this sub-contract and shall include all other items which though not specifically
listed, are necessary for completion of total work under this WO.

4. GCC Clause No. 4: Taxes & Duties


GST: 18% (or at the rate as applicable at the time of delivery for composite scheme, shall be paid to the
subcontractor). Sub-Contractor shall comply with all the necessary legal requirements under the GST Law.
Any tax & Duties not specified herein shall be in Subcontractor’s account.
As these are statutory levies, any variation in the rates applicable at the time of execution will be payable to
a subcontractor. On the other hand, if there is any reduction in the rates applicable to the taxes at the time
of execution, the Subcontractor will pass on the benefit to L&T.

5. GCC Clause No. 6: Schedule of Quantities


It shall be read as “The schedule of quantity/scope of work is estimated and indicative. It may vary to an
extent, but the unit rates indicated in GCC clause no. 3 shall be firm for any variations.

6. GCC Clause No. 12: Payment


Payment shall be released on Unit rate basis on certification of your monthly bill by L&T against each item
within 3 weeks from certification of monthly bill by L&T Engineer.

7. GCC Clause No. 14: Cash Retention


The contractor shall retain payment amounting 5% from every running bill. The amounts so retained shall
be paid to subcontractor after commissioning/handover of the work.

8. GCC Clause No. 22: Rejection of defective material: -


As per quality norms.
9. GCC Clause No. 18: Statutory Compliance:
Labour accommodation shall be the scope of the Subcontractor.

10. GCC Clause No. 28: Labour Welfare Provisions

11. GCC Clause No. 13: Time for Completion


This clause may be read as “The total duration of completion of the work is One year from the date of issue
of LOI to sub-contractor. Agency shall mobilize the machinery and manpower within 7 days of intimation
from L&T.

12. Water and Power:


Subcontractor will make an arrangement for Water & Electricity.
