PETITION FOR VOLUNTARY DISSOLUTION

Petitioner, AWESOMICITY VENTURES INC. Doing business under the trade

name and style of PARAS ALTER STATION and SA-WRAPPED SUNSET RESTO,
through counsel, respectfully states:

1. That petitioner is a domestic corporation duly organized and existing under the
laws of the Philippines, with principal address at Unit 223, 2 nd Leven, SM City
Baguio, Luneta Hill, Upper Session Road, Baguio City engaged in the business of
retail trade except of Motor Vehicles,

2. That the corporation is dissolved by voluntary majority vote of its Board of

Directors and by a resolution adopted by the affirmative vote of the Stockholders
owning at least majority of the outstanding capital stock of all the Stockholders
and Board of Directors at a meeting held for that purpose at the corporation’s
principal place of business on July 16, 2020;
 3. That the corporation has no creditor having a claim against it;

4. That notice has been given PERSONALLY TO EACH STOCKHOLDER ON

JUNE 26, 2020 OR AT LEAST THIRTY DAYS BEFORE THE BOARD
RESOLUTION dissolving herein corporation,

5. That the officers and directors of the corporation have caused the publication of
the notice of dissolution of the corporation on _______________ once a week for
three consecutive weeks on a newspaper of general circulation, as attested by a
Publisher’s Affidavit of the publication of the dissolution of the corporation.

6. That the following supporting documents are attached to this Petition for
Voluntary Dissolution of Corporation:

6.1 A Board Resolution approving said dissolution, certified

under oath by the Corporate Secretary and attested by
the President on (________)

               WHEREFORE, premises considered, Petitioner AWESOMICITY VENTURES

INC. doing business under the trade name and style of PARAS ALTER STATION and
SA-WRAPPED SUNSET RESTO respectfully prays that the Honorable Commission
GRANT the instant Petition for Voluntary Dissolution and ORDER the Dissolution of
the corporation.

               Petitioner AWESOMICITY VENTURES INC. likewise prays for relief that are
just and equitable under premises.
