Article I - Name
Henceforth, the official title of this student organization shall be the Undergraduate
Composers Club.
The following names and acronym may be used when addressing the organization: UG
Composers, UG Composers Club, UGCC.

Article II - Purpose
This Undergraduate Composers Club exists to inspire a community of composers and
performers on the UC Berkeley campus. A community built upon the sharing of
compositions, of orchestrations, and above all the performance and demonstration of
students’ works by their peers. Though it began in the music department and was built
upon the idea of connecting music majors/minors to one another, it is not limited as
such. The Undergraduate Composers Club is open to all who wish to create, share, and
perform the music of their peers; and to do so without any limitation in regard to genre
or experience.

Article III - Membership


Any currently registered University student interested in the creative activities of UGCC
is eligible for membership without restrictions on grade point average, class standing, or
other academic qualifications. Students acquire membership by attending one or more
UGCC meetings during an academic semester and/or giving verbal or written notice to a
club officer.
Only currently registered students, faculty, and staff may be active members in a
registered student organization. Only active members may vote or hold office.
Off-campus participants, including alumni, are eligible for “non-active” or “associate”
membership based on their participation within the organization. This includes, but is
not limited to, meeting attendance, meeting participation, communication with active
members and club officers, and event participation. “Non-active” and “associate”
members have equal rights to active members in all fields except the right to vote or
hold office.

We will not haze according to California State Law.


We will not restrict membership based upon race, color, national origin, religion, sex, gender
identity, pregnancy (including pregnancy, childbirth, and medical conditions related to
pregnancy or childbirth), physical or mental disability, medical condition (cancer related or
genetic characteristics), ancestry, marital status, age, sexual orientation, citizenship, or service
in the uniformed services (including membership, application for membership, performance of
service, application for service, or obligation for service in the uniformed services).

Article IV - Officers & Elections


The Undergraduate Composers Club will have one President and three to four Officers,
which act as the executive committee. Officers are also referred to as club officers.
In order to be part of the active, voting membership, members must be an officer or
attend a minimum of three meetings per semester. Aspiring officers can be nominated
by any active voter or officer and elected by a 2/3 majority during the annual elections.
Aspiring officers must also demonstrate their dedication to the club throughout the year
and make both a written and oral statement stating their qualifications during the
election period. The inaugural officers will be the signatories of this document and will
serve a normal term without being elected.

The election period occurs at the end of the spring semester or as needed during the
school year to replace a departing officer.
The standard length of an office term is one school year, which is defined by one fall and
one spring semester.

Duties, including that of serving as the primary contact, shall be fluid and determined
among the officers on a semester basis. All officers will serve as signatories.
Officers will be replaced or reelected at the end of their term. If officers are found to be
irresponsible or negligent in their duties during the course of the school year, they will
be removed by unanimous decision of the remaining members of the executive
committee, as well as 2/3 of the active, voting membership.

Article V - Meetings
The Undergraduate Composers Club will hold meetings once a week at a time based on
the availability of most active, non-active, associate, and intending members. This time
slot will be decided by the executive committee at the beginning of the academic
semester after surveying the availability of the individuals mentioned above.

At least one Officer or the President must be present at these meetings to validate
them. Otherwise, there is no quorum.

Special emergency meetings may be called by Officers or the President for reasons
pertaining to UGCC activities. Any and all special emergency meetings must be
confirmed by the President, even if he or she will not be present at the meeting.
Members will be notified via email or text message if such an event occurs.

Article VI - Constitutional Amendments


Any member of the organization can propose a constitutional amendment if they have
at least one Officer to support the vote and at least five signatures from active
members.
Proposed amendments must be presented to the executive committee before notice is
given to active members and a vote can be called. The vote must occur no more than
one month after the notice has been issued to active members. Active members will be
notified of the vote via email or text message.

The vote can be held electronically, in person, or a combination of both. A 2/3-majority


vote from active membership is needed to pass a constitutional amendment.

All amendments, additions or deletions to this document must be filed with the LEAD Center in
432 Eshleman Hall.

Article VII - Dissolution

Dissolution requires a unilateral vote by the executive committee and a 2/3-majority


vote by active members.

All unspent non-ASUC funds will be donated to the Music Department at UC Berkeley.

If the organization is ASUC or GA Sponsored, all unspent ASUC funds shall return to the ASUC;
all Graduate Assembly funds shall return to the Graduate Assembly. If the organization is
defunct for five (5) or more years, any privately obtained funds (including any funds left in
miscellaneous accounts) shall be donated to the ASUC.
