DEED OF ABSOLUTE SALE

KNOW ALL MEN BY THESE PRESENTS:

This DEED OF ABSOLUTE SALE is made, executed and entered into by:

SPOUSES ____________ and ________________________, bothof legal age,

married,Filipino, and with residence atCatarman, Liloan, 6000 Cebu, Philippines,
hereinafter referred to as the SELLERS;

___________________________________________________, Muntinlupa City
presented by its _____________________, hereinafter referred to as the VENDEE.

WITNESSETH;

WHEREAS, the SELLERS are the registered owners of a parcel of land Lot
_________ with a three- storey building with roof deck located at
_________________________ Philippines containing an area of EIGHTY SQUARE
METERS (80 SMQ), more or less.

WHEREAS, the BUYERShave offered to buy and the SELLERS haveagreed to

sell the above-mentioned property for the amount of ____________________

NOW THERFORE, for and in consideration of the sum of

Buyers to the Sellers, the SELLERS DO HEREBY SELL, TRANSFER, AND CONVEY
by way of Absolute Sale unto the said BUYERS, their heirs and assigns, the

air-conditioning and fixtures found in the building, free from all liens and encumbrances
of whatever nature including real estate taxes as of the date of this sale. The Sellers
shall pay for the Capital Gains Tax and the Broker’s Commission while the Buyers shall
pay for the Documentary Stamp Tax, transfer taxes, attorney’s fees, registration fees
and other expenses.
