Reseller Agreement

Terms and Conditions

1. Upon signing the Reseller Application Form, the Reseller agrees to be bound by these terms and
conditions of being a Reseller of that Avango Berhad (1230864-W) (“Avango”). Avango reserves all
rights to modify these terms and conditions from time to time.

2. Reseller shall mean the party who sells the welcome pack of the Visa/MasterCard prepaid cards issued
by Avango including without limitation to Avango’s own cards or co-brand cards issued in collaboration,
affiliation or association with any third party (“Cards”).

3. Reseller shall purchase the Cards from Avango on an outright basis or cash on delivery where Avango
shall provide the Cards to the Reseller upon receipt of payment from the Reseller. Any other methods
of purchase of the Cards shall be subject to the approval in writing by Avango.

4. Reseller may be given access to Avango’s agent portal (“Portal”) at its sole discretion.

5. Upon approval, Avango shall provide to the Reseller with Portal access to the following:

(a) Reseller Code;

(b) Username; and
(c) Password.

6. Username and password are only given to Reseller with Portal access to conduct new sign up for new
applicants of the Cards. Username and password are strictly confidential and shall not disclose the
username and/or password to any unauthorised person.

7. The Reseller with Portal Access shall undertake the following:

(a) Not to disclose the username and password to any unauthorised person. Reseller shall be
solely liable for any unauthorised access via its username and password.

(b) Not to copy or allow to be copied any information generated through the use of the Portal;

(c) Not to copy or modify any contents, materials, logo or marks on the Portal;

(d) To ensure that the computer and/or devices used are installed with the appropriate anti-virus
software and updated periodically;

(e) To handle the Avango cardholders’ personal data in a lawful manner. Reseller shall be under the
obligation to protect the personal data of Avango cardholders from unauthorised and/or
accidental access, unauthorised processing, deletion, alteration, disclosure or destruction of such
personal data.

8. Unless otherwise indicated, the copyright and all other intellectual property in the Portal and contents
of the Portal (including but not limited to all designs, text and images) are the property of Avango and/or
its related companies. Any unauthorised use of any content, materials, logo or marks on the Portal will
violate copyright, trademark or any other statutory laws and common law rights and shall be subject to
legal action.

9. The Reseller shall fully indemnify and hold Avango and its related companies harmless, from and against
all demands, claims, action, proceedings, damages, liabilities, losses, costs and expenses of
whatsoever nature (including legal expenses), third party claims and all other claims arising from any
misrepresentation of the programmes made by reseller’s staff, agents, service provider or any parties
directly or indirectly associated with the reseller.

10. Obligations of Reseller with Portal access:

(a) Reseller shall scan the application forms and identification documents of applicants on a daily
basis;

(b) Upon scanning the application forms and identification documents, Reseller shall delete from its
laptop or computers, all scanned information and/or document collected in respect of the
application of the Cards;

(c) Reseller shall keep all original application forms together with relevant supporting documents;

11. The Reseller shall ensure that its employees and/or agents promote the Cards in accordance with
Avango’s guidelines, training materials and promotional materials in respect of the Cards and its
features. The Reseller shall be solely liable for any claim from and cardholder from or in any way
attributed to any default, negligence or act and/or omission by Reseller’s employees and/or agents.

12. The Reseller shall comply with the security requirements for the Cards as specified by Finexus Cards
or Avango from time to time. Reseller undertakes to ensure adequate security to prevent
unauthorised access to the Cards.

13. The Reseller shall undertake to comply with the Anti-Money Laundering and Terrorism Financing
Act 2001 including customer due diligence requirements and any other directions and/or
regulations issued by Bank Negara Malaysia (Central Bank of Malaysia) or any other regulating
bodies who has jurisdiction over Finexus Cards Sdn Bhd and Avango.

14. The Reseller declares that it is not in receivership or liquidation, has not taken any steps to enter
liquidation and no petition for winding up has been filed against the Company or no bankruptcy
proceeding has been filed and served against anyone of the partners of the business.

15. Avango and/or Finexus Cards hereto shall not be liable for failures or delays in performing their obligations
hereunder arising from any cause beyond their control, including but not limited to, acts of God, acts of civil or
military authority, fires, strikes, lockouts or labour dispute, epidemics, governmental, regulators or payment
brands such as MasterCard, Visa, restrictions, wars, riots, earthquakes, storms, typhoons and floods and in the
event of any such delay, the time for either Party’s performance shall be mutually extended for a period equal to
the time lost by reason of the delay.

In the event of any delay foregoing occurs, the delaying Party shall promptly notify the other in writing of the
reasons for the delay and the likely duration of the delay, whereby the performance of such Party’s obligation
shall be mutually suspended. If the conditions shall continue beyond the duration of thirty (30) consecutive days,
either Pay may terminate this Agreement forthwith by written notice to the other Party.

16. Avango shall be entitled to terminate the Reseller’s Portal access and/or this Agreement without
reason or cause by serving the Reseller with immediate effect.

17. Upon such termination, Reseller shall return to Avango, all Cards, pamphlets, catalogues,
advertising and promotional materials including any documentation which contain confidential
information relating Avango or the cardholders or bearing any name, trademark or logo of Avango
or (other than correspondence by Avango and the Reseller) which the Reseller may have in its
possession or under its control.

18. This Agreement shall be binding upon the respective successors in title and permitted assigns of
the parties hereto.

19. This Agreement shall be governed by and construed in accordance with the Laws of Malaysia and
the parties irrevocably submit to the jurisdiction of the courts of Malaysia.
