agreement under which they would implement a seaside holiday resort project. However, the Company Secretary has
informed that the Memorandum of Association of Fantasy World (Pvt.) Limited does not authorise the Company to enter
into a joint venture agreement.

Describe the procedure that would have to be followed by Fantasy World (Pvt.) Limited for making the necessary

exported to other countries. To avoid hassles of customs and excise and smooth shipping of its products, the Chief
Executive Officer (CEO) of TSIL has decided to shift their registered office from Islamabad to Karachi.
Required:

Q.1 Mr. Zouk is an employee in a brokerage house and he wants to prepare some reports on request of some potential
investors for a company named as “Arizona Grill Limited”. For the preparation of the report he requires Memorandum &
Articles of association of the company.
State whether he can obtain such copies of Memorandum & Articles of Association from “Arizona Grill Limited” and
explain why?

Q.2 Save Foundry Limited (SFL) has recently obtained a certificate of incorporation from SECP and has applied for certificate
for the commencement of business. Meanwhile, SFL has entered into an agreement with Feroz Engineering Limited (FEL)
for the supply and installation of machinery at its factory. SFL has also signed an agreement with a commercial bank for a
short-term finance facility for advance payment to FEL.

In the light of the Companies Act, 2017 analyse above situation and comment on its legality and the implications of

March 2013 A, B and D decided to wind-up the company voluntarily.
