Representation MoU

Between

CASTA Engineers Pvt. Ltd. & Mr. Safatullah Hamdard

This general Memorandum of Understanding (MOU) is made on Feb - 2020 between:

CASTA Engineers Pvt. Ltd., having its head office at A-26,B1, Mohan Cooperative Industrial
Estate New Delhi -110044, India being represented by its director on the first part (hereinafter
referred to as “First Party”).

And:

Mr. Safatullah Hamdard, S/o Mohammad Sabir having its office at 5th district Kabul,
Afghanistan on the Second Part (hereinafter referred to as “Second Party”),

The First Party and the Second Party referred to hereafter individually as “the Party” and
collectively as “the Parties”.

Preamble;

Whereas The First Party is premier consultancy organization rendering consultancy in a wide
spectrum of fields in the civil engineering industry in the field of transportation infrastructure
(roads and highways, railways, urban railways, long-span bridges and tunnels). The engineering
services include feasibility studies, basic and detailed engineering & design, construction
supervision, project management etc.

Mr. Safatullah Hamdard of Afghanistan nationality and holder of National ID no. 508737 as its
legal representative, negotiator as manager of the Branch he is having the right to open the
branch in Afghanistan

Whereas the Parties understand that various projects (hereinafter referred to as the “Projects”)
are in the offering in Afghanistan (hereinafter referred to as the “Region”) which may be of
interest to both the Parties.

Whereas The First Party and the Second Party have synergy for co-operation and desire, to
explore business interests in relation to the Projects as desired hereinbefore;

Whereas the Parties desire to execute a formal written agreement governing their relationships to
achieve the above objectives.

Now, therefore, it is hereby agreed and declared as follows:

1. Herewith, The First Party authorizes the Second Party, to personally act as its regional
representative in the Region.

2. In case The First Party wishes to establish its Afghanistan branch, the Second Party will
be one of the directors of the branch of the company.

3. The Second Party will identify the Projects of mutual interest in the Region for the
purpose of rendering consultancy/execution/implementation.

4. The Second Party will assist The First Party to strengthen its position in the Region,
promotion & marketing of the company, identifying projects, information related to the
projects, site appreciation of projects.

5. The Second Party will use own resources for the promotion and establishment and
winning of Projects, finally borne by the projects.

6. The Second Party will use own address for the purpose of registration and business
promotion.

7. The Second Party will arrange staffs for the purpose searching opportunities, bid
preparation, tender participation and in promotion.

8. The Second Party will bear own cost for the opening of branch of the First Party in the
Region in case of clause 2 and borne by the projects.

9. For the purpose of tendering, the Second Party will bear the cost of bid preparation
(Local Expenditure), and First party will bear the cost of tender fee, bid security, Bank
Guarantee (If Applicable) finally borne to the project.

10. The Second Party will completely indemnify and save the First Party harmless from
claims, disputes, actions, judgments and liabilities of every kind which are made,
contracted, suffered, or incurred by the First Party.

11. Upon the Project being awarded to CASTA Afghanistan (branch Office), the second
party will be the head and manager for the project/projects. He will complete the project
with his wisdom, local source and managerial skills. Head office will provide all
technical assistance needed to complete the project which will bourn to the project cost.
12. Profit Sharing from Afghanistan Projects for CASTA Engineers Pvt. Ltd. (First Party)
will be of 60% and for Safatullah Hamdard (Second Party) will be of 40%.

13. This Representation MoU shall be valid for period of 5 years, which can be extended by
mutual consent in writing and amongst the Parties.

 14. International bidding project will be participated and operated by head quarter in JV with
CASTA AFG where Head office belong to 70% and CASTA AFG will 30% share.

15. This MoU, may be terminated by either party upon serving 3 months’ written notice.
However, this shall not affect the existing commitments in running projects.

16. Notwithstanding anything contained above, this Representation MoU will come to an
end, if either Party to this Representation MoU becomes insolvent or decide not to
proceed further.

17. Any amendment to this Representation MoU shall be done in writing and be confirmed
by both Parties.

18. Each Party undertakes to the other to treat as confidential and keep secret the contents of
this Representation MoU and Projects/market information exchanged between the Parties
save and except what is required to be disclosed to the project authorities/others to
achieve the objectives set forth herein.

19. Any disputes arising out of or in connection with this Representation MoU shall be
resolved by mutual discussion by the Parties, or through Arbitration/ Arbitrator of
international court of law in Singapore.

20. Unless otherwise specifically mentioned, all notices, communication and statements shall
be made in English language with official letters and/or emails.
