MARK LINDSAY ~ 2012 RIDER

This rider attached hereto and made part of the contract dated ________________ by and
between NorthRiver Entertainment F/S/O Mark Lindsay (hereinafter referred to as
“Artist”) and ________________________________________________ (hereinafter referred to as
“Purchaser”).

1. ADVERTISING, BILLING, and PROMOTION


These provisions are binding on the Purchaser and all of his assigns and agents, including
all booking agents, venues, ticket sellers, producers, promoters, and advertising agencies
involved with this performance.

ALL print advertising or promotion (including newspaper ads, websites and other
electronic media, programs, posters, tickets, billboards, marquees, phone messages, etc)
must use ONLY one of two billing options:

MARK LINDSAY
OR

MARK LINDSAY
FORMER LEAD SINGER OF PAUL REVERE & THE RAIDERS

If this second option is used, the second line must be 50% size of “Mark Lindsay” as seen
above, and must fit all on one line. The print must also be in
the same color, style, and typeface on both lines.
********THERE ARE NO EXCEPTIONS TO THIS REQUIREMENT.********

ALL radio, television, or other recorded advertising or promotion (such as telephone line
ticket information) MUST use only Artist-supplied music and/or video, and voiceovers
MUST use only billing options outlined above.

Only photos supplied by Artist or Artist's agent may be used for promotional purposes.

UNDER NO CIRCUMSTANCES is Mark Lindsay to be billed/advertised/promoted as “Mark


Lindsay of Paul Revere & the Raiders” or “Mark Lindsay from Paul Revere & the Raiders” or
“Paul Revere & the Raiders’ Mark Lindsay.”

ALL advertising, whether print or recorded, must be approved in writing by Artist PRIOR
to publication, dissemination, or broadcasting. Files may be sent by E-mail in .PDF, .JPG,
and/or MP3 formats to deb@marklindsay.com UU

and will be promptly reviewed and approved if in compliance with above.

If above Artist billing format and approval requirements are not met by Purchaser or his
agents/assigns, Purchaser agrees to indemnify Mark Lindsay/NorthRiver Entertainment,
and Paradise Artists against any trademark infringement or advertising non-compliance
claims made by any third party.

If purchaser receives any communication from any third party regarding the manner in
which Mark Lindsay should be billed or advertised, purchaser agrees to immediately
forward same to deb@marklindsay.com . UU

No advertising of the performance may be issued in any form prior to receipt of signed
contract from Artist.

All interviews or “Meet and Greets” must be cleared in advance and scheduled with Artist.

Purchaser shall not have the right to broadcast, televise, or otherwise reproduce the
performance or any part thereof. Audience may take photographs if permitted by venue
rules, but video cameras and other recording devices are not permitted.

2. FINAL PAYMENT
Balance of performance fee is due to the Artist prior to performance in CASH ONLY, unless
otherwise agreed to in writing prior to performance by Artist's agent or representative.

3. CANCELLATION
Artist has the right to cancel any date up to 45 days prior to engagement if he is booked on
a national television show, multi-day casino date, or international tour date.

4. FORCE MAJEURE
Artist obligations are subject to detention or prevention by Acts of God, sickness, accident,
transportation, riots, strikes or any other cause beyond the Artist's control.
Notwithstanding the provisions hereof, in the event that inclement weather renders Artist's
performance unfeasible or unsafe, the parties hereto agree that said circumstances shall
have no effect whatsoever upon Artist's right to receive his full compensation as set forth
herein.

5. CONTROL OF PRODUCTION
Artist shall have the sole and exclusive control over the production, presentation and
performance his show in connection with the engagement, including but not limited to, the
details, means and methods of his performance. It is specifically understood and agreed
that a representative of the Artist shall have sole and absolute authority in directing
personnel operating all lighting and sound equipment during rehearsal and each
performance scheduled herein.

6. PURCHASER ASSUMES LIABILITY


Except as otherwise herein specifically provided, Purchaser hereby assumes full liability
and responsibility for the payment of any and all cost, expenses, charges, losses, liabilities,

and damages related to or based upon the presentation or production of the show or shows
in which Artist is to appear hereunder.

7. COMPLIMENTARY TICKETS
Purchaser must provide Artist with twelve (12) complimentary tickets per show within the
first ten (10) rows, the unused portion of which may be placed on sale the day of
performance with the permission of Artist. Purchaser will also honor the backstage passes
issued by Artist, or, in the alternative, provide Artist with no fewer than twelve (12)
backstage passes.

8. FAILURE TO FULFILL OBLIGATIONS AND ANTICIPATORY BREACH


Each one of the terms and conditions of this contract is of the essence of this agreement and
necessary for Artist’s full performance hereunder. In the event Purchaser refuses or
neglects to provide any of the items herein stated, and/or fails to make any of the payments
as provided herein, Artist shall have the right to refuse to perform this contract, shall retain
any amounts theretofore paid to Artist by Purchaser, and Purchaser shall remain liable to
Artist for the agreed price herein set forth. If on or before the date of any scheduled
performance hereunder, the financial standing or credit of Purchaser has been impaired or
is unsatisfactory, Artist shall have the right to demand payment forthwith of the guaranteed
compensation specified above, and if Purchaser fails or refuses to make such payment
forthwith, Artist shall then have the right to cancel this agreement. In the event of such
cancellation, Artist shall have no further obligation to Purchaser hereunder, and shall retain
any moneys theretofore paid to Artist by Purchaser.

9. INDEMNIFICATION
Purchaser agrees to indemnify and hold harmless Artist and its employees, contractors
and/or agents from and against any claims, costs (including attorney’s fees and court
costs), expenses, damages, liabilities, losses or judgments arising out of, or in connection
with, any claim, demand or action made by any third party, if such are sustained as a direct
or indirect consequence of the Engagement.

10. CHOICE OF LAW/FORUM


This agreement shall be deemed made and entered into in the State of California and shall
be governed by all of the laws of such State applicable to agreements wholly to be
performed therein.

11. INSURANCE
Purchaser agrees to provide comprehensive general liability insurance (including, without
limitation, coverage to protect against any and all injury to persons or property as a
consequence of the installation and/or operation of the equipment and instruments
provided by Producer and/or its employees, contractors and agents). Such liability
insurance shall be in the amount required by the venue, but in no event shall have a limit of
less than One Million Dollars ($1,000.000.00) combined single limit for bodily injury and
property damage.

12. MERCHANDISING
Artist has the SOLE AND EXCLUSIVE right, but not the obligation, to sell merchandise
bearing his name and/or likeness and retain 100% of the receipts unless otherwise agreed
to in writing by Artist. The Purchaser is prohibited from selling any merchandise bearing
the name and/or likeness of the Artist without written consent of Artist and a financial
contractual agreement for purchase of those rights. If artist chooses to sell merchandise,
one banquet sized table, two chairs, and security in a location near stage with good lighting
to be provided by venue at no charge to Artist.

13. ACCOMMODATIONS
Purchaser to provide one non-smoking suite with mini-refrigerator for Mark Lindsay, plus
6 single king non-smoking hotel rooms, prepaid, in first class hotel such as Hilton, Marriott,
Doubletree (one that has restaurant, room service, lounge, and gym) with the option for a 2
night stay.
HOTEL INFORMATION IS TO BE SHARED ONLY WITH ARTIST /NORTHRIVER
ENTERTAINMENT AND PARADISE ARTISTS, AND UNDER NO CIRCUMSTANCES IS TO BE
GIVEN TO THE PUBLIC.

14. INTERNAL TRANSPORTATION


Purchaser to provide transportation for 8 people, to and from airport, hotel, and venue
from arrival to departure. Late model van(s) or mini-van(s) are preferred.

15. SECURITY
Purchaser shall provide an adequate number of professional security officers to ensure
safety to Artists and Artist’s equipment. Officers shall be stationed to prevent audience and
public access to the stage, dressing rooms and backstage areas, and security will
accompany Artist at any time he is in contact with the general public.

16. DRESSING ROOMS AND MEALS


Artist to have one large or two medium size secure, clean, well-lit heated/air-conditioned
dressing room(s) with private restroom, full length mirror, clothes rack, and 15 towels, for
Artist’s use only. NO SMOKING IN THIS AREA.

Purchaser to provide a hot meal for 8 consisting of healthy vegetarian and non-vegetarian
choices, with an ample supply of coffee/tea/soft drinks /bottled water at a mutually agreed
upon time or provide $20 per person buyout.

Prior to show time, to be placed in Artist’s dressing room: small deli platter with cheese,
crackers, fruit, vegetables; snacks, coffee, tea, honey, diet & regular Cokes, sugar-free
RockStar , one quart of skim milk and one quart of orange juice, and ample supply of
bottled spring water.

Prior to end of show, to be placed in one of Artist’s dressing rooms: Two large pizzas (one
with pepperoni, one vegetarian), two 6-packs of local micro-brew beer.

17. PRODUCTION REQUIREMENTS

Purchaser shall provide the place of performance, completely equipped and staffed on the
day of the performance for a rehearsal sound/light check of no less than one hour’s
duration, no less than four hours prior to the performance. Staff to include house engineer,
monitor engineer, and follow spot operators.

Stage must have dimensions of at least 24' wide by 20' deep with no obstructions and must
be 3-4 feet high. One 8'x8'x2' high carpeted drum riser.

SOUND (INCLUDING BACKLINE) AND LIGHTS ARE TO BE PROVIDED AT NO COST TO


ARTIST.

Sound Requirements:
A professional three or four-way sound system including separate house and monitor
consoles from reputable production company which is capable of handling the facility. The
system must be capable of 120db of clean, undistorted sound with even coverage of the
performance area. Preferred systems are EAW KF700-850, EV X-Array, Clair Bros., V-Dosc,
and high end JBL systems. (Please no mid-line carpeted cabinets) The entire system must
be free of hum, 60 cycle noise, and any other interference. Please have system properly
phase-checked and time-aligned before Artist arrives at the venue.

Production company must also provide power distribution to the stage (60 amp, single
phase). Three power drops must also be provided on stage: two edison quad boxes stage
right and one edison quad stage left.

A professional 40 channel FOH console with 8 Aux sends and 8 VCA's. Preferred consoles
are Midas XL3 and higher, Yamaha PM3000 and higher, or equivalent. Old consoles with
dirty pots and crackling or noisy faders will not be accepted. Small Venues Only - If there
are no other acts on the bill, we can get away with a 32 channel 8 bus console, but if there is
an opener, we will need a 40 channel or better, to preserve our channel settings for the
show.

FOH Drive rack should have 2- 1/3 octave eq's and dual compression in line before the
crossover.(EQ's should be Klark-Technik, Ashley Protea, or better. Comp's should be DBX
160's or better. Please no Behringer on FOH Drive rack.)

FOH Efx rack should have 8 insertible gates, 8 insertible compressors, and 5 quality effect
units. A quality Lexicon reverb unit is a must, PCM 80 or better. Other effects should
include Yamaha SPX 990 or 1000, SPX 90, Roland SDE 3000 or TC Electronics delay, TC
Electronics M-one or Yamaha Rev 500.

Mix position must be in the center of the listening audience, no farther than half-way to the
back of the performance area. A competent sound engineer must be present for the set up
and run time.

One professional UHF Wireless Microphone for Mark Lindsay with selectable frequencies.
Microphone must be in good condition, and free of smoke or other irritable scents.
Preferred capsule is an Audix OM-5. Other acceptable capsules are Shure Beta 87, and
Shure 58. Please no Audio Technica. Must have fresh battery and backup battery available.
A hard-wired Shure 87 backup is also required. One straight mic stand.

Band members require 6 (six) Shure 87 mics with 3 straight stands and 3 boom stands.

A professional 40 channel monitor console is required for mixing monitors, with at least 8
mixes. Preferred consoles are Midas, Ramsa 840, Yamaha PM3000m and better. Console
and monitors must be free of noise, 60 cycle hum, and any other interference. If there is no
opener, we can make do with a 24ch 8 mix desk.

9 double 12" or single 15" matching wedges, with a 2" horn driver are required, including
the que wedge. The only single 12" wedge with enough clarity is a Clair 12AM. Acceptable
double 12's and 15's are EAW, EV, JBL, etc. Absolutely no Peavy, Mackie, or mid-line
Yorkville please. Two Bi-amp'd sidefills with their own insertable 1/3 octave eq's. (Horns
on sidefills should be no lower than 6' from stage floor)

Mix position must be stage left with Artist and musicians visible. A competent sound
engineer must be present for set up and run time.

All mixes must have 1/3 octave insertible eq's, Ashley 3102 or better.

LIGHTING:
A minimum of 2 follow spots with operators.
One quality Hazer. (please have Hazer, not fog units)
Nightclubs must have stage lighting of at least 24 source four par's (12 front and 12 back,
half with color changers), and 5 focusable source four leko's on front line with operator.
Stage lighting for concerts and larger events should be at least double of that for a
nightclub. A minimum of 6 separate colors : red, amber, blue, purple, yellow, and clear
diffusion.

Lighting operators should consult with musical director regarding focus and scene changes.
