CONTRACT FOR SALE OF GOODS

This Contract for Sale of Goods (The "Agreement”) is made on _________________ by

and between:
Osstem Philippines Inc. a corporation organized and existing under and by virtue of the
laws of the Republic of the Philippines with office address at Unit 2708A and B Centuria Medical
Makati, Kalayaan Avenue cor. Salamanca Street, Barangay Poblacion, Makati City, hereinafter
referred to as the “Seller";
And
_________________________________________, of legal age with registered address at
______________________________________________________________, hereinafter
referred to as the “Buyer”.
WITNESSETH:

WHEREAS, Seller wishes to sell a certain medical devices, as described below

(hereinafter referred to as the "Goods"), to the Buyer; and
WHEREAS, the Buyer desires to purchase the Goods from Seller pursuant to the terms
and conditions of this Agreement;
NOW, THEREFORE, for and in consideration of the mutual promises and covenants
hereinafter set forth and other good and valuable consideration, the receipt and sufficiency of
which is hereby duly acknowledged, Seller and Buyer covenant and agree as follows:
Section 1. Description and Price of the Goods –
Seller shall sell to Buyer, and Buyer shall purchase from Seller, dental implant products
with corresponding descriptions and prices, as follows:

 Any sales taxes applicable to the Goods listed in this Agreement shall form part of the
contract price. In the event that the Buyer intends to upgrade the Goods listed herein, it shall
notify the Seller in writing within three (3) months from the purchase date for proper
consideration.

Section 2. Inclusion and Freebies –

The Agreement entitles the Buyer for a _____ % discount on all the Goods listed herein.
Section 3. Payment –
Upon the execution of this Agreement, the Buyer shall pay to the Seller the total amount
of PESOS: _________________________ (PhP__________) corresponding to the total contract
price, with the following payment schedules:
3.1 Initial payment of PESOS: ____________________ (PhP___________);
3.2 Installment payments for the remaining balance of the total contract amount
supported by postdated checks payable as follows:

3.3. On the event that the issued check by the Buyer bounced, the Seller will
redeposit the said check on the following banking day. If on the second time, it will
bounce again, the Buyer should replace the bounced check with cash.
 3.4. There will be a 3% penalty charge per month if the Buyer will have an
overdue account.
Note: In no case shall the Seller accept any cash payment from the Buyer. All
payments shall be made in checks payable only to Osstem Philippines Inc. or, at the option
of the Buyer, deposited to the Seller’s corporate bank account.
Section 4. Delivery –
The purchased Goods shall be delivered in good working condition by the Seller to the
Buyer. Any failed or defective Implant Fixtures shall be replaced by the Seller with a brand new
one and will not require any justifying reports on the failed case.
Section 5. Any claim by the Buyer for an amount equivalent to a perceived loss or
damages during the Seller’s performance of its obligations shall be deemed independent and
separate to the transactions covered by this Agreement. In no case shall automatic deductions of
such Buyer’s claims for reimbursements or any amount payable by the Seller to the Buyer be
allowed against the obligations set forth within this Agreement.
Section 6. In the event of default by the Buyer, viz, the failure of the Buyer, in whole or
in part, to perform any of the terms or provisions of this Agreement or insolvency, or the
commencement of any proceedings or commission of any act under any of the provisions of the
Bankruptcy Law by or against the Buyer, this Agreement may be terminated with immediate
effect at the sole option of Seller. As a result of the termination, all outstanding amounts owed by
the Buyer to the Seller shall become immediately due and payable without need of demand or
notice.
Section 7. The venue of all court actions relative to this Agreement shall be in the courts
of the City of Makati only.
Section 8. This Agreement may not be amended except in writing signed by the duly
authorized representatives of all the parties hereto.
