CIRCULAR

As a part of our long term strategic planning, we regularly evaluate our business portfolio
to identify businesses with robust potential for growth, and those suitable for divestment.
This on-going process functions as a strong support for M&A, enabling it to the desired
goals.

In line with this practice, and to further strengthen our M&A function, Management is
pleased to announce the appointment of Mr. Krishnan Mahesh as Head – M & A and
Divestment with effect from 4th May 2020. He will be based at Landmark, Andheri and
will report to Dr. Hasit Joshipura. Mr. Ramesh Seenippandian, Head – Mergers &
Acquisitions will continue to work on all his current assignments including Project
Edison and continue to report to Mr. P. R. Kothari.

Mr. Mahesh has a Bachelor’s Degree in Commerce from Madras University and an MBA
from IIM Ahmedabad. He has 26 years of rich professional experience in Corporate
Finance, Investment Banking, Private Equity, Structured Financing, Capital Market
transactions and M&A. Prior to joining L&T, Mr. Mahesh was Chief Executive Officer in
Amplus Mobility (solar energy arm of Petronas, Malaysia). His previous stints have been
in companies like Morgan Stanley, Shell, PowerGen India, Edelweiss and IL&FS
Financial Services.

We welcome Mr. Mahesh to the L&T family and are confident that he will contribute
actively to help the Company achieve its growth objectives.
