Mortgage Commitment

RE: First Mortgage to Doble

459078 Ontario Limited has agreed to provide a mortgage commitment to


you in respect of a first mortgage of Two Hundred and Fifty Thousand
($300,000) Dollars securing the property described on the terms and
conditions set out below:

1. Mortgagors: Kevin Doble

2. Property: 95 Ontario St.


Cobourg Ontario
3. Principal Balance: $250,000.00

4. Interest Rate: 8 % per annum


calculated monthly

5. Term: 1 yr; open after 6 upon Payment of bonus of 1/2 months


interest.

6. Payments: Interest for


the first 6 Months In Amount of
$24,000 shall be deducted from the
Initial Advance of funds. Thereafter

6. Special Terms of
Mortgage:
a) Mortgage may not be assumed by a
transferee without written consent of
mortgagee, which consent may be withheld
at mortgagee’s discretion;

b) In the event of a non-payment, returned


payment, late payment or default, the
mortgagors shall pay to the mortgagee
forthwith a default payment of $100.00 per
payment, which shall be in addition to any
of the remedies taken or sought by the
mortgagee.

7. Legal Fees and Placement Fees:

Mortgagors agree to pay to the mortgagee on


closing the sum of Six thousand Dollars
($5,000.00 plus GST) On account of Legal and
Placement fees which sum may be deducted from
the mortgage advance on closing.

8. Standby Fee:

Upon acceptance of the within commitment by the


mortgagors herein, the mortgagors shall execute
and return the within commitment, together with a
standby fee by certified cheque in the amount of
Two Thousand Five Hundred ($2,500.00) Dollars.
In the event that the transaction is not completed
for any reason whatsoever, except for the default
of the lender, the said standby fee shall be
automatically forfeited to the lender as liquidated
damages. Otherwise, the said standby fee shall be

applied towards the legal fees and placement fees


above.

9. Guarantee: The mortgage shall be executed as


Guarantor by the spouse of the mortgagor who
shall provide a certificate of independent Legal Advice
satisfactory to the lenders Solicitors.

10.Closing:

10 days following receipt of:

a) this duly executed commitment letter by the


mortgagor;

b) the standby fee;

c) the lender’s Solicitor’s opinion that the Mortgagor


has clear title to the property mentioned above and
that all terms and conditions hereof Have been
satisfied.
