LandFund Partners II, LP – Summary Term Sheet

Structure Limited Partners (Investors) invest in a closed-end structure managed by its General Partner (GP),
LandFund GP II, LLC.

Type of Assets Investment primarily in farmland property suitable for the cultivation of row crops, such as corn,
soybeans, rice and cotton.

Investor Committee GP will establish a committee of Investors to review and approve certain Fund activities.

Management Fees GP receives a 1.5% Management Fee. Fees paid quarterly in advance.

Fund Expenses Fund will be responsible for direct, third-party expenses (e.g. tax, audit, legal, appraisals and
organizational expenses of the Fund) or for expenses incurred on behalf of the Fund for items not
covered by the Management Fee.

Preferred Return Investors receive distributions equal to an annualized, cumulative and non-compounding 8%
Preferred Return, prior to any distributions to the GP.

Performance Fees Fund profits are intended to reach an 80:20 distribution between the Investors and GP,
respectively. To reach this distribution, following distribution of the Preferred Return, GP
receives 100% of the profits in excess of the Preferred Return until an 80:20 ratio is reached;
thereafter, GP receives 20% of Fund profits.

Closing Initial & Final Closing on July 1, 2015; Capital Commitments equal to at least $5,000,000.

Investment Period Fund may deploy its capital for up to two years after the initial closing date, after which time no
new investments will be initiated.

Term of Fund Anticipated to be 7 years.

Fiscal Year Calendar year, ending December 31st.

Distributable Sales No redemption/withdrawal rights; net income from sales proceeds expected to be distributed upon
Proceeds a refinancing, sale or other disposition, not in the ordinary course of the Fund’s business.

GP Investment GP and GP Affiliates intend to collectively invest a minimum of 5% of the Fund’s total Capital
Commitments, on the same terms as Investors.

Purchasers Accredited Investors only, within the meaning of Regulation D under the Securities Act of 1933.

Minimum $100,000, subject to GP’s ability to accept lesser amounts in its sole discretion.
