 A. OVERVIEW

AQ-LAW FIRM LLP® is pleased to submit this profile to provide legal services to your
Company.

The Firm was founded in 2004 by Adil Aziz Qazi (ASC) duly registered with SECP Pakistan.
From initial concentration and expertise in litigation, the FIRM has aggressively expanded and
diversified its areas of practice in the last five years, and successfully positioned itself as a top-tier
law FIRM in Pakistan. It has progressed into a full service law FIRM offering premium and
efficient legal services in various fields of practice to clients, both domestic and foreign,
representing a broad range of industries. To complement its prominent litigation practice, the
FIRM has emerged as a leader in the areas of telecom, commercial and corporate agreement,
labour, civil, criminal, energy, securities law, excise & taxation law and acquisitions, corporate
rehabilitation, project finance, mining and alternate dispute resolution.

To cope with this expansion, the FIRM has intensified its recruitment of lawyers and has, as a
result, attracted top associates and the top graduates of the most prestigious law colleges in the
country. The number of lawyers working for the FIRM has increased from less than 5 in 2004 to
nearly 20 today, making it one of the fastest-growing law firms in the country and all the firm
partners and associates are certified attorney’s from the bar council of the country.

The FIRM partners are young but highly-experienced and innovative lawyers who are
acknowledged as experts and emerging leaders in their respective fields. A number of partners of
the FIRM have received further education from universities and training facilities outside the
Pakistan or from international seminars and conventions. Following the lead of its founding
partner, most lawyers also have extensive experienced in drafting and vetting
commercial/corporate contracts/agreements and their enforcement, franchise agreements and
experts in litigation. Few FIRM partners were previously involved in private corporate practice as
General Counsels of leading Pakistan Companies in telecom, power generation and the mining
industry, respectively. Their experience in the actual operations of these companies has allowed
the FIRM to provide a sophisticated commercial, social and practical perspective in advising its
clients in the Media, Telecommunications, energy, mining and insurance industries, and other
related business that is immensely value-adding. The FIRM partners are providing services to the

 FEE STRUCTURE & PAYMENT METHODS OF AQ-LAW FIRM

The legal services of AQ-LAW FIRM LLP® are generally available under two heads:

a) Legal Services for non-contentious matters:

These are matters, in which no litigation/court case is involved and usually includes drafting and
vetting of agreements/contracts, transactional work, legal opinions, regulatory advices, and
uncontroversial registration of intellectual property rights i.e. trademarks and copyrights etc. All
matters excluding court cases and representation before any judicial/quasi judicial authorities and
tribunals’ falls in the general category of non-contentious mattes. We provide legal services for
non-contentious matter against mutually agreed per hour rates or fixed monthly retainer/fee.

b) Legal Services for contentious matters:

These matters involve court cases and presentation before the judicial, quasi judicial
authorities/courts and tribunals on behalf of clients. We provide legal services for contentious
matter against mutually agreed fee, determined on case to case basis.

Payment Methods

AQ-LAW FIRM LLP® specifies and customizes the method of payment according to the clients’
legal needs; according to the international standards.

The following are the payment methods:

1. Lump Sum: A flat or fixed fee is set when a client is charged for legal services provided on
case to case basis.

2. Hourly base: we will limit our fees depending on the complexity of the subject matter. An
hourly fee is a method of billing for all time actually spent on the case and legal problem at hand.
Usually before starting with a client we set the hourly rate fee (generally used for consultation).
Hourly based with Gaps: it’s similar to the hourly base; however, the attorney sets the minimum
and maximum time needed to finalize the case. If the case took more than the maximum time set
by the lawyer, no additional charges are taken.

3. Retainer arrangement: is usually a fee paid up front before legal representation commences.

4. Yearly/monthly fees: this is usually the method of payment for businesses and corporations.
The lawyer is given a payment at the end of each month for his or her legal services. In this type
of payment, we also used to charge separate fee for cases and agreements.

 We are prepared to discuss and negotiate alternative billing arrangements.

Any fees we quote include all office support services. We do not charge for travel time within
Islamabad/Rawalpindi. We will bill for any third-party expenses such as experts fees,
deposition and court reporter fees, and electronic legal research. We will not bill for costs such
as duplication, facsimile charges, delivery charges, and postage expenses; instead, we have
found that an overhead charge of 3 percent of each invoice covers these costs. We will not bill
for word processing time.
