SUB: Proposal for appointment of EverVantage Consulting LLP as a channel partner for
exclusive project marketing for your commercial space at 669 Park Avenue at Law College
Road & 9 Sadashiv, Sadashivpeth, Pune.

Dear Sir,

We thank you for giving us an opportunity of getting associated with your prestigious project. The Senior
Partners of EverVantage Consulting bring 20+ years of hardcore Real Estate Experience across the value
chain from Leasing to Fund raising. The partners are credited for their active role in achieving substantial
footprint for the projects marketed in their earlier assignments over the respective micro markets.

It gives us great pleasure to share with you this proposal aimed to assist you make an informed decision to
appoint us a channel partner for exclusive marketing of the above-mentioned premises

Particulars Description

Area of the project 9 Sadashiv: 20,000sq ft. (Retail space)

669 Park Avenue: 45,000 sq. ft. (Commercial / Retail)

Tenure of Exclusive 6 months or 180 days from the date of signing


Marketing Mandate

Scope of Services • Strategy Conception: Post discussions with the top management to
understand the objectives for the project and its role in the company’s
plans, we would conceptualize, plan and execute the strategy be it stake
sale, stock sale or interim finance

• Product Development and Marketing Services: Considerable time


would be spent on analyzing the product and then creating a unique
positioning for the project. All ATL and BTL activities would then follow to
ensure that the project is well noticed and received

• Process Mapping: We would ensure a roll out of all sales & after sales
related processes like enquiry registration system, agent protocols,
transaction guidelines, cold calling, mailshots etc. for maximizing reach
and providing excellent customer service

• Transaction Management: Right from the initial enquiry, inspections,


query handling, negotiations and closure would be managed seamlessly

• Knowledge Base: To take sound decisions it is important that the Top


Management has sound information. We would bring across market
intelligence and generate leads by leveraging on EverVantage Consulting
network with:

− Occupier Representation teams at IPCs

− External Agents & Local Broker community

− Corporate Real Estate teams of leading MNCs & Indian companies

− Architectural and Interior Designing Firms

Landlord’s You hereby represent and warrant that:


Representations and • you have absolute right, title and interest in the Premises
Warrantees • you have a clear and marketable title for the said Premises

• the Premises has been raised as per the sanctioned building plan

• the Premises is permitted for commercial usage

• a NOC to sub-lease / sub-license the premises from the landlord has


been secured in cases where the intent is to do the same

Fee Structure
The success-based fee would be paid towards successful closure of
commercial negotiations for Lease / Leave & License arrangements /
Sale Consideration:

− 2.5 months gross rental

Note: Rent is the Gross Rent payable per sq. ft. /month and
includes Base Rent, CAM Charges, Property Tax, Utility Charges
and Fit out Charges wherever applicable.

Confidentiality • Except as otherwise expressly provided herein, all written information


including but not limited to information related to technical, financial or
business affairs, personnel, customers, suppliers, products, operations,
processes, trade secrets and know-how communicated by one Party
(“Discloser”) to the other Party (“Recipient”) in connection with this
Agreement that was identified or marked as being confidential or
proprietary to the Discloser (“Confidential Information”) will be used by
the Recipient only for purposes of this Agreement, and no such
Confidential Information will be disclosed by the Recipient without the
prior written consent of the Discloser except as may be necessary in
connection with the performance of the Services. The Recipient will
exercise at least the same level of care to protect the Discloser’s
Confidential Information as it exercises to protect its own confidential
information of a similar nature, but in no event less than reasonable
care.
• To the extent that such disclosure is required for the purposes of this
Agreement, either Party may disclose Confidential Information to its
employees, agents, independent contractors, professional advisers
and auditors, so long as all such recipients are bound by similar
confidentiality obligations as the Parties herein.
• Each Party’s Confidential Information is and will remain the sole and
exclusive property of such Party, notwithstanding any disclosure made
to the other Party during the Term of this Agreement.

Non-Solicitation Neither Party shall directly or indirectly, solicit nor offer employment to
any personnel of the other or cause any such personnel to leave the

employ of the other Party until one (1) year after the termination or
expiration of this Agreement. Notwithstanding the forgoing, this Clause
shall not apply in the event any such personnel has responded to a
general advertisement for employment, provided that neither Party
utilizes such exception in bad faith to circumvent this restriction.

the CLIENT shall act on a principal to principal basis only. Nothing in this

principal and agent, employer and employee, partnership or joint
venture between the Parties hereto or any subsidiary, parent, holding
company or affiliate thereof.

General Terms and a) All Applicable taxes would be payable over and above the above-
mentioned remuneration
Conditions
b) The above amounts become payable fully within 7 days from the date of
agreement signing.

c) There would typically be payments to be made to broker/s / tenant


representation agent/s in cases where they are involved. The same
would be in line with market norms and on a case to case basis

d) From a perspective of revenue recognition, EverVantage Consulting LLP


would be associated with and compensated for all transactions effected
during the tenure of the agreement. Further, EverVantage Consulting
LLP shall be entitled to receive success fee for all transactions where
prospects have been introduced during the tenure of this engagement,
but the actual closure gets effected post the same.

e) You shall indemnify, defend and hold harmless EverVantage Consulting


LLP and its officers, Partners, employees, thereof from any and all
costs, claims, damages, judgments, proceedings, attorney and expert
fees and costs and expenses suffered, arising from or incurred in
respect of the breach with respect to undertakings, representation etc.

f) Exclusivity being the essence of this engagement, every transaction


concluded in the premise mentioned above including but not limited to
your group companies / subsidiaries / holding companies , clients
approaching you directly, prospects introduced directly to you by third
party brokers / IPCs, leads generated from media / marketing activity,
etc. would be deemed to have been routed through the EverVantage
Consulting LLP Project Marketing team

g) The Client shall pay EV 100% of the Fee as per the fee structure if
within one hundred and eighty (180) days after the expiration or earlier
termination of the Terms of Appointment, space is leased/sold (signed
MOU) to any tenant for which EV has submitted a written lease
proposal, which has been specifically approved by the Client.

h) For all expansion space committed by a tenant within an initial lease


agreement, fees shall be paid by the Client to the EVERVANTAGE
CONSULTING LLP and any third party broker as per the (fee slab for
committed space) above stated clauses of the Exhibit II hereof. 100%
of the applicable fee shall be payable to the Consultant upon signing of
Agreement to Lease Agreement to License and on receipt of Security
Deposit.

i) Advertising / Marketing / Canvassing support if envisaged would be paid
directly by you to the agencies involved, as is the case with other
vendors / PR / advertising agencies / collateral (brochures, website,
fliers, 3-D animations etc.) execution etc.
