SALE DEED ‘This SALE DEED ("DEED") is made and entered into at Dethi on this _/ S4# day of September, 2017 ("Execution Date") BY AND BETWEEN ‘Avantha Realty Limited, a company incorporated under the provisions of the Companies Act, 1956 ‘and having its registered office address at Thapar House, 124 Janpath, New Delhi - 120001 and with CIN No, U70102D.1981PLC198595, through its director Shri Raghubir Kumar Sharma, authorized Under the resolution unanimously passed by the Board of Directors dated 04 September 2017, hereinafter referred to as “Seller” (which expression shall, unless it be repugnant to the context or meaning thereof mean and include its administrators, authorized / legal representatives and successors) of the ONE PART; AND Bliss Abode Private Limited, @ company incorporated under the provisions of the Companies Act, 2013 and having Its registered office at F-1/12, Hauz Khas Enclave, New Delhi - 110016 and with CIN. No. U70109DL2017PTC313812, through its Authorized Signatory Shri Rajesh Gandhi, authorized. under the resolution unanimously passed by the Board of Directors dated 30 August 2017 as above hereinafter referred to as “Purchaser” (which expression shall, unless it be repugnant to the context OF meaning thereof, be deemed to mean and include its administrators, authorized / legal representatives, successors and assigns) of the SECOND PART. ‘The Seller and the Purchaser are hereinafter collectively referred to as “Parties” and individually as @ “Party”. WHEREAS: ‘A. The Seller being the absolute, legal, beneficial and registered owner of the plot of land, ‘admeesuring 1.237 acres, along with the residential building constructed thereon, bearing umber I7A, Block-1, Ratendon Road also having municipal address as 40, Amite Shergill Marg, New Delhi 110 003 and is in complete and exclusive possession of the aforesald land (less the possession of 58.64 Square Meters surrendered to NOMC towards road widening a stated below in recital A (pvi)), hereby represents, warrants, declares and covenants to the: Purchaser as under as regerds the devolution of its title to the said Property (as defined below): () By an indenture of Perpetual Lease dated 3 July 1941 ("Indenture of Perpetual Lease”) ‘executed between the Governor General in Council (therein referred to as the lessor) ‘and Mrs. Chandnee Widyeawati Madden (therein referred to as the lessee) and registered with the concerned sub registrar on 16 September 1941 as document ‘number 3004 on pages 193 to 196 of additional book No. 1, volume no. 139, the lessor therein granted a perpetual lease in respect of plot of land bearing number 174, Block- 41, Ratendon Road also known as 40, Amrita Shergill Marg, New Delhi admeasuring 1.237 acres (sald “Land”), for residential use, for the lease rent and on the terms and. conditions more particularly stated therein.
