DEED OF ABSOLUTE SALE

KNOWN BY ALL MEN BY THESE PRESENTS:

This Deed of Absolute Sale made and entered into by and between:

_________________________, of legal age, single, Filipino citizen, with

address at D192 Alexandra Condominiums, 29 Meralco Avenue, Pasig City,
Metro Manila, hereinafter referred to as the ‘SELLER’,

- and –

________________________, of legal age, Filipino, married to

_______________, of legal age, American Citizen with address 330 Port Royal
Avenue, Foster City, CA, USA 94404, herein represented by her duly appointed
Attorney-in-fact, _______________________, of legal age, single, Filipino
citizen, with address at E261 Alexandra Condominiums, 29 Meralco Avenue,
Pasig City, Metro Manila, bearing a Special Power of Attorney herein attached as
Annex “A” and hereinafter referred to as the BUYER;

WITNESSETH: That –

WHEREAS, the SELLER is the absolute and registered owner of a condominium unit more
particularly described as Unit D192, The Alexandra Condominium, # 29 Meralco Avenue, Pasig
City, Metro Manila, Philippines, with two (2) appurtenant parking slots of D192, with Condominium
Certificate of Title No. PT - 18294 of the Registry of Deeds of Pasig City, a certified true copy of
which is hereby attached as “ANNEX B”, hereinafter referred to as the “PROPERTY”, and more
particularly described as follows:

ALEXANDRA CONDOMINIUM PROJECT

In the diagrammatic floor plan appended to the enabling or master

deed of the condominium project annotated on Transfer Certificate of Title
No. 64356 & 58498 which embraces and describes the land located at Oranbo,Pasig,
M. M. with an area of Thirty One Thousand Eight Hundred Fifty One
(31,851) square meters

WHEREAS, the SELLER hereby agrees to sell, cede and transfer to the BUYER and the latter’s
heirs, administrators and assigns, and the BUYER agrees to buy and acquire the aforedescribed real
property.

NOW, THEREFORE, for and in consideration of the sum of PHILIPPINE PESOS: THIRTEEN
MILLION (Php13,000,000.00), receipt of which is hereby acknowledged in full, the SELLER has sold,
ceded, transferred and conveyed, and by these presents, do hereby sell, cede, transfer and convey
unto the BUYER, their heirs, successors, administrators, executors and assigns, in a manner
absolute and irrevocable, the above-described residential condominium unit, free from all claims,
liens and encumbrances its rights, title and interest on the aforesaid property.

1. The SELLER warrants sole Title to and peaceful possession of the property. The SELLER
further warrants and represents that the property is free from any and all kinds of liens and
encumbrances whatsoever.

2. The SELLER shall immediately execute, deliver and submit to the BUYER all documents to
effect transfer of the Title of said property in favor of the BUYER including, but not limited to
Tax Declaration, Tax Clearance for the year 2015 and Real Property Tax receipts.

3. The SELLER warrants that all condominium dues are fully paid and outstanding.

4. Capital Gains Tax shall be for the account of the SELLER.

5. Documentary Stamp Tax shall be for the account of the BUYER.

 6. All expenses incidental to the registration of the Deed of Absolute Sale shall be for the
account of the BUYER including Transfer Tax and Registration Fee.

IN WITNESS WHEREOF, the parties have hereunto signed this Deed of Absolute Sale, this _____

This instrument consisting of two (2) pages, including this page on which Acknowledgment is written,
each page of which has been duly signed by the parties and their instrumental witnesses at the foot
of the instrument and on the left hand margin of every page, refers to a Deed of Absolute Sale of a
residential condominium unit, specifically known as Unit D192, The Alexandra Condominium and two
(2) appurtenant parking slots, located at 29 Meralco Avenue, Pasig City, with Condominium
Certificate of Title No. PT-18294 issued by the Registry of Deeds for Pasig City.
