Review
The market is scoped to gauge the investors’ interest level. Presentations only made to those
who are a match for your concept, product or business. If there’s genuine interest, we will

Engagement
Before engagement, we obtain sign off for exclusivity to represent your opportunity. We
guarantee never to take on an engagement which wouldn’t generate interest from our global
investor network. The initial engagement fee covers costs for plan development and a pre-
release offer to our investor network. Feedback from investors informs our next steps. We
lead the process and communicate with you at all times.

Presentation
We decide on the ideal format for a market presentation. Options include: invitation to
investors for a pre-release event, information evening, investors’ conference, direct marketing,
direct product release, and referral marketing. Investor interest is always generated through
these channels and every source is investigated thoroughly. Options are presented back to
you for consideration, allowing you to assess the suitability of each potential investor.

Investor Negotiations
Negotiations commence with a release of information protected by a non-disclosure
agreement (NDA). An investors’ shortlist (up to three investors) is prepared and meetings
arranged with each. Your active participation in all meetings is essential and an important
success factor.

Discovery
At Discovery, more complete information is provided to the investor who, in return, is subject
to specific outcomes. Pre-approval for investment is obtained should certain results be
achieved.
Full disclosure from the entrepreneur regarding any concerns is essential at this critical point.

Contract and Release


At the Contract and Release stage, the investor agrees the opportunity meets their investment
criteria, a binding heads of agreement is drafted and 10 percent from the total investment
released. Funds are held in trust as a contract is prepared.

Settlement
The final step is when settlement is completed. Typically, this occurs when both the venture
capital investor and entrepreneur have both signed the contract. Funds are then released with
the contract engagement. Only at this point are brokerage fees owing to us are released.
